CONTRACT

ThisContractismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.Recitals

WHEREAS,PartyAisengagedin[describePartyA'sbusiness];

WHEREAS,PartyBisinterestedin[describePartyB'srelevantinterest];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

II.ScopeofWork

III.Payment

1.PartyBshallpayPartyAthesumof[amountincurrency]fortheservicesrenderedhereunder.

2.Paymentshallbemadeinthefollowingmanner:[describethepaymentschedule,e.g.,30%uponsigningthecontract,50%uponcompletionofacertainmilestone,and20%uponfinaldelivery].

IV.IntellectualProperty

1.AllintellectualpropertyrightsarisingoutoftheworkperformedunderthisContractshallbeownedby[specifytheowner,e.g.,PartyA/PartyB].

2.ThepartythatdoesnotowntheintellectualpropertyrightsshallhavetherighttousetheintellectualpropertysolelyforthepurposeoffulfillingitsobligationsunderthisContract.

V.Confidentiality

1.EachpartyacknowledgesthatduringtheperformanceofthisContract,itmayhaveaccesstoconfidentialinformationoftheotherparty.

2.Thereceivingpartyshallkeeptheconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.ThisobligationshallsurvivetheterminationofthisContractforaperiodof[numberofyears].

VI.RepresentationsandWarranties

1.PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisContractandtoperformitsobligationshereunder.

2.PartyBrepresentsandwarrantsthatithasthefinancialabilityandresourcestopaytheamountsdueunderthisContract.

VII.TermandTermination

1.ThisContractshallcommenceon[startdate]andshallremaininforceuntil[enddate].

2.EitherpartymayterminatethisContractupon[numberofdays/months]writtennoticetotheotherpartyintheeventofamaterialbreachofthisContractbytheotherparty.

VIII.LiabilityforBreach

1.IntheeventofabreachofthisContractbyeitherparty,thebreachingpartyshallbeliabletothenon-breachingpartyforalldamagesandlossessufferedasaresultofthebreach.

2.Thenon-breachingpartyshallhavetherighttoseekallavailableremediesatlaworinequity.

IX.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

X.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
