I.RECITALS

II.SCOPEOFSERVICES/GOODS

1.Services

IV.DELIVERY/PERFORMANCE

V.WARRANTIESANDREPRESENTATIONS

1.PartyA'sWarranties

PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothiscontractandtoperformitsobligationshereunder.PartyAshallindemnifyandholdPartyBharmlessfromanylosses,damages,liabilitiesarisingoutofPartyA'sbreachofthiswarranty.

2.PartyB'sWarranties

PartyBrepresentsandwarrantsthat:

-Theservices/goodsprovidedshallbeofgoodquality,freefromdefects,andincompliancewithallapplicablelawsandregulations.

-PartyBhasthenecessaryskills,expertise,andresourcestoperformtheservices/supplythegoodsasrequiredunderthiscontract.

-PartyBshallindemnifyandholdPartyAharmlessfromanylosses,damages,liabilitiesarisingoutofPartyB'sbreachofthiswarranty.

VI.CONFIDENTIALITY

1.ConfidentialInformationDefined

EachPartyacknowledgesthatinthecourseofperformingthiscontract,itmayhaveaccesstoconfidentialinformationoftheotherParty,includingbutnotlimitedtobusinessplans,customerlists,technicaldata.

2.ObligationsofConfidentiality

EachPartyshallkeeptheconfidentialinformationoftheotherPartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.

VII.TERMANDTERMINATION

1.Term

ThiscontractshallcommenceontheEffectiveDateandshallremaininforceuntil[enddate],unlessterminatedearlierinaccordancewiththetermsofthiscontract.

2.Termination

-EitherPartymayterminatethiscontractupon[numberofdays]days'writtennoticetotheotherPartyintheeventofamaterialbreachofthiscontractbytheotherParty.

-Intheeventoftermination,PartyBshallbeentitledtoreceivepaymentfortheservices/goodsalreadyprovidedandacceptedbyPartyAuptothedateoftermination.

VIII.LIABILITYANDINDEMNIFICATION

1.LiabilityLimitation

NeitherPartyshallbeliabletotheotherPartyforanyindirect,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththiscontract,evenifsuchPartyhasbeenadvisedofthepossibilityofsuchdamages.

2.Indemnification

EachPartyshallindemnify,defend,andholdtheotherPartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeperformanceofthiscontractbytheindemnifyingParty.

IX.GOVERNINGLAWANDDISPUTERESOLUTION

1.GoverningLaw

Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

2.DisputeResolution

-AnydisputesarisingoutoforinconnectionwiththiscontractshallbefirstattemptedtoberesolvedthroughfriendlynegotiationsbetweentheParties.
