2025销售合同范本英文2025SalesContractTemplateinEnglishThisSalesContract("Contract")isenteredintoonthisdayof,2025,byandbetween:Seller:Name:Address:City,State,ZIPCode:Phone:Email:Buyer:Name:Address:City,State,ZIPCode:Phone:Email:WITNESSETH:WHEREAS,SelleragreestosellandBuyeragreestopurchasecertaingoodsorservices(the"Goods")underthetermsandconditionssetforthinthisContract;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,itisagreedasfollows:1.GoodsandDescriptionTheGoodstobesoldbySellerandpurchasedbyBuyeraredescribedinExhibitAattachedhereto,whichisincorporatedbyreference.SellerwarrantsthattheGoodsarefreefromanydefectsinmaterialandworkmanshipundernormaluseandconditionsforaperiodofmonthsfromthedateofdelivery(the"WarrantyPeriod").2.PriceandPaymentTerms2.1ThetotalpricefortheGoods(the"Price")isdollars($),asspecifiedinExhibitA.2.2BuyershallpaythePriceasfollows:(a)%ofthePriceasadeposituponsigningthisContract;(b)Theremaining%ofthePriceshallbepaidupondeliveryoftheGoods,subjecttoBuyer'sinspectionandwrittenacceptance.2.3AllpaymentsshallbemadeinaccordancewiththepaymenttermsspecifiedinExhibitB.IfBuyerfailstomakeanypaymentwhendue,Sellermay,atitsoption,cancelthisContractorchargeBuyerinterestontheunpaidamountatarateof%perannum.3.Delivery3.1DeliveryoftheGoodsshallbemadeonorbefore(the"DeliveryDate").3.2RiskoflossordamagetotheGoodsshallpasstoBuyerupondelivery,regardlessofwhetherBuyerhasinspectedtheGoods.3.3IfSellerisunabletodelivertheGoodsontheDeliveryDateduetocircumstancesbeyondSeller'sreasonablecontrol(including,butnotlimitedto,actsofGod,war,strikes,orgovernmentalactions),SellershallnotifyBuyerpromptlyandtheDeliveryDateshallbeextendedbyareasonableperiod.4.AcceptanceandInspection4.1BuyershallinspecttheGoodswithinbusinessdaysafterdelivery("InspectionPeriod").4.2BuyershallpromptlynotifySellerofanydefectsordiscrepanciesintheGoodswithintheInspectionPeriod.FailuretodososhallconstituteacceptanceoftheGoodsasdelivered.4.3IfBuyerfailstoaccepttheGoodswithintheInspectionPeriod,Sellermay,atitsoption,storetheGoodsatBuyer'sriskandchargeBuyerforstoragefeesorreselltheGoodsatitsdiscretion.5.WarrantyandLiability5.1SellerwarrantsthattheGoodsshallconformtothespecificationssetforthinExhibitA.5.2ExceptfortheexpresswarrantysetforthinthisContract,Sellermakesnootherwarranties,expressorimplied,including,butnotlimitedto,warrantiesofmerchantabilityorfitnessforaparticularpurpose.5.3BuyeragreestoindemnifyandholdSellerharmlessfromanyclaims,damages,orexpensesarisingoutofBuyer'suseoftheGoods,excepttotheextentsuchclaims,damages,orexpensesareattributabletoSeller'snegligenceorbreachofthisContract.6.Insurance6.1BuyershallobtaininsurancecoveragefortheGoodsduringtransitatBuyer'sexpense.6.2IfrequestedbySeller,BuyershallprovideSellerwithacertificateofinsurancenamingSellerasanadditionalinsuredparty.7.**TERMSANDCONDITIONS_MODIFICATIONS7.1ThisContractmaynotbeamendedormodifiedexceptbyawrittenagreementsignedbybothparties.7.2AnywaiverofaprovisionofthisContractshallnotoperateasawaiverofanyotherprovisionorasacontinuingwaiverofthesameprovision.8.ForceMajeure8.1Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,strikes,orgovernmentalactions.8.2Upontheoccurrenceofaforcemajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyandmakereasonableeffortstomitigatetheeffectsoftheevent.9.Termination9.1EitherpartymayterminatethisContractimmediatelyiftheotherpartybreachesanymaterialtermofthisContractandfailstocuresuchbreachwithinbusinessdaysafterreceivingwrittennoticethereof.9.2Upontermination,allobligationsofbothpartiesshallimmediatelycease,exceptforthoseobligationswhich,bytheirnature,areintendedtosurvivetermination,including,butnotlimitedto,paymentobligations,indemnification,andconfidentialityobligations.10.DisputeResolution10.1AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheArbitrationAssociation.Thearbitrationshalltakeplacein,andthejudgmentorawardshallbefinalandbindingonbothparties.10.2Thecostsofarbitration,includingattorney'sfees,shallbebornebythelosingparty,unlessotherwisedeterminedbythearbitrator.11.Confidentiality11.1Bothpartiesagreetokeepconfidentialallnon-public,proprietary,orsensitiveinformationdisclosedduringthenegotiationandperformanceofthisContract.11.2ThisconfidentialityobligationshallsurvivetheterminationofthisContract.12.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof,withoutregardtoitsconflictoflawsprinciples.13.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Itsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten.14.SeverabilityIfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.15.CounterpartsThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
