CooperationMiningContractAgreementThisCooperationMiningContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[FullNameofPartyA]Address:[AddressofPartyA]ContactPerson:[NameofContactPerson]ContactNumber:[PhoneNumber]Email:[EmailAddress]PartyB:Name:[FullNameofPartyB]Address:[AddressofPartyB]ContactPerson:[NameofContactPerson]ContactNumber:[PhoneNumber]Email:[EmailAddress]I.ScopeofCooperation1.MiningArea:Thepartiesagreetojointlyconductminingoperationswithintheminingarealocatedat[specificlocationoftheminingarea],hereinafterreferredtoasthe"MiningArea".ThedetailedboundariesoftheMiningAreashallbedefinedinaccordancewiththerelevantminingrightscertificatesandofficialdocuments.2.MineralResources:Thecooperationshallfocusontheexploration,extraction,andprocessingof[typesofmineralresources],hereinafterreferredtoasthe"MineralResources"withintheMiningArea.II.RightsandObligationsoftheParties(A)PartyA1.Rights-Hastherighttoparticipateinthedecision-makingprocessregardingtheminingoperationswithinthescopeofitsshareholding.-Isentitledtoreceiverelevantfinancialreportsandinformationregardingtheminingprojectonaregularbasis.-Hastherighttoinspecttheminingoperationsandmanagementactivitieswithinareasonablescope.2.Obligations-Shallprovidenecessarymining-relatedlicenses,approvals,anddocumentationrequiredforthelegaloperationoftheminingprojectinatimelymanner.-Shallberesponsibleforcoordinatingwithlocalgovernmentdepartmentsandrelevantstakeholderstoensurethesmoothprogressoftheminingproject.-Shallcontribute[amount/resource]asitsinvestmentinthecooperationprojectinaccordancewiththeagreed-uponschedule.(B)PartyB1.Rights-SimilartoPartyA,hastherighttoparticipateindecision-making,receiveinformation,andconductinspectionswithinthescopeofitsshareholding.-Hastherighttoproposeimprovementsuggestionsandnewdevelopmentplansfortheminingproject.2.Obligations-Shallberesponsibleforprovidingadvancedminingtechnology,equipment,andprofessionaltechnicalpersonneltoensuretheefficientandsafeoperationoftheminingproject.-Shallformulatescientificminingplansandsafetymanagementsystemsinlinewithrelevantnationalandinternationalstandards.-Shallcontribute[amount/resource]asitsinvestmentinthecooperationprojectinaccordancewiththeagreed-uponschedule.III.InvestmentandShareholding1.TotalInvestment:Thetotalinvestmentrequiredfortheminingprojectisestimatedtobe[totalinvestmentamount](in[currency]).Thepartiesshallcontributetheirinvestmentsinproportiontotheiragreed-uponshareholdingratios.2.ShareholdingRatio:PartyAshallhold[X]%ofthesharesinthecooperationproject,andPartyBshallhold[Y]%oftheshares.Theshareholdingratiosshallbeusedtodeterminethedistributionofprofits,losses,anddecision-makingrights.IV.ProfitDistributionandLossSharing1.ProfitDistribution:Afterdeductingallcosts,taxes,andexpensesrelatedtotheminingproject,thenetprofitshallbedistributedamongthepartiesinaccordancewiththeirshareholdingratios.Theprofitdistributionshallbecarriedoutona[specifictimeinterval,e.g.,quarterly/annual]basis.2.LossSharing:Intheeventoflossesduringtheminingproject,thepartiesshallbearthelossesinproportiontotheirshareholdingratios.Eachpartyshallberesponsibleformakingupthelosseswithinitsshareholdingscopeinatimelymannertoensurethecontinuedoperationoftheproject.V.ManagementandOperation1.JointManagementCommittee:ThepartiesshallestablishaJointManagementCommittee(the"Committee")toberesponsiblefortheoverallmanagementanddecision-makingoftheminingproject.TheCommitteeshallconsistof[number]representativesfromeachparty.2.Decision-MakingMechanism:Majordecisionsregardingtheminingproject,suchasmajorinvestmentplans,productionexpansion,andimportantcontractsigning,shallrequiretheunanimousconsentoftheCommitteemembers.GeneralmanagementdecisionsshallbemadebyasimplemajorityvoteoftheCommitteemembers.VI.Confidentiality1.Eachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyduringthecooperationprocess,includingbutnotlimitedtobusinesssecrets,technicalsecrets,andfinancialinformation.2.Theconfidentialityobligationshallremainineffectfor[numberofyears]aftertheterminationofthisAgreement.VII.LiabilityforBreachofContract1.IfeitherpartyfailstoperformitsobligationsunderthisAgreement,itshallbedeemedinbreachofcontract.Thebreachingpartyshallbeliableforcompensatingthenon-breachingpartyforalldirectandindirectlossescausedbythebreach.2.Incaseofdisputesarisingfromthebreachofcontract,thenon-breachingpartyhastherighttotakelegalactionstosafeguarditslegitimaterightsandinterests.VIII.DurationoftheAgreement1.ThisAgreementshallcomeintoforceasofthedateofsigningandshallremainineffectfor[numberofyears].2.PriortotheexpirationofthisAgreement,ifbothpartiesagree,theymayrenewtheAgreementthroughwrittennegotiation.IX.TerminationoftheAgreement1.ThisAgreementmaybeterminatedunderthefollowingcircumstances:-Bymutualwrittenagreementofbothparties.-Incaseofforcemajeureeventsthatmakeitimpossibletocontinuetheminingproject.-IfonepartyseriouslybreachesthisAgreementandfailstocorrectthebreachwithinareasonabletimelimitafterreceivingwrittennoticefromtheotherparty.2.UpontheterminationofthisAgreement,thepartiesshallconductacomprehensivesettlementoftheminingproject,includingtheliquidationofassets,thesettlementofdebts,andthedistributionofremainingpropertyinaccordancewiththerelevantlawsandregu
