2025中非贸易合作合同范本：英文合作合同范文2025China-AfricaTradeCooperationContract范本：英文合作合同范文ThisChina-AfricaTradeCooperationContract(hereinafterreferredtoasthe“Contract”)isenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoasthe“ChineseParty”)and(hereinafterreferredtoasthe“AfricanParty”),withamutualintenttoestablishacollaborativepartnershipinthefieldoftradeandcommerce.TheContractshallgovernthetermsandconditionsunderwhichtheChinesePartyandtheAfricanPartyshallconducttheirbusinessactivities,inaccordancewiththeprinciplesofmutualrespect,equality,fairness,andbenefit.1.ScopeofCooperationTheChinesePartyandtheAfricanPartyagreetoestablishalong-termtradecooperationrelationship,focusingontheexchangeofgoodsandservicesbetweenChinaandAfrica.Thespecificscopeofcooperationshallbeasfollows:1.1GoodsandServices:TheChinesePartyshallsupplytheAfricanPartywithhigh-qualitygoodsand/orservices,includingbutnotlimitedto,whiletheAfricanPartyshallprovidetheChinesePartywith,inaccordancewiththequalitystandardsandspecificationsagreeduponbybothparties.1.2VolumeandValue:ThequantityandvalueofthegoodsandservicestobesuppliedunderthisContractshallbedetailedinseparateagreements(hereinafterreferredtoasthe“supplements”)tobesignedbybothparties.ThesesupplementsshallformanintegralpartofthisContract.1.3GeographicScope:ThetradeactivitiesunderthisContractshallcovertheterritoryof(hereinafterreferredtoasthe“AfricanTerritory”)andtheterritoryof(hereinafterreferredtoasthe“ChineseTerritory”).Bothpartiesagreetoexplorepotentialtradeopportunitiesinotherregions,subjecttomutualagreement.2.TermsandConditionsofTradeThefollowingtermsandconditionsshallapplytoalltradeactivitiesconductedunderthisContract:2.1PaymentTerms:TheAfricanPartyshallpayforthegoodsandservicesprovidedbytheChinesePartyinaccordancewiththeagreedpaymentterms,whichmayincludebutarenotlimitedtoprepayment,letterofcredit,ordocumentarycollection.Thespecificpaymenttermsshallbedetailedinthesupplements.2.2DeliveryTerms:TheChinesePartyshalldeliverthegoodstotheAfricanPartyinaccordancewiththeagreeddeliveryterms,whichmayincludebutarenotlimitedto.Thedeliveryscheduleshallbespecifiedinthesupplements.2.3QualityStandards:ThegoodsandservicesprovidedbytheChinesePartyshallmeetthequalitystandardsandspecificationsagreeduponbybothparties.Intheeventofanyqualitydiscrepancies,theChinesePartyshallberesponsibleforresolvingtheissuewithinareasonableperiodoftime.2.4Insurance:TheChinesePartyshallarrangeforappropriateinsurancecoverageforthegoodsduringtransit,unlessotherwiseagreeduponinwritingbybothparties.2.5CustomsandImportDuties:TheAfricanPartyshallberesponsibleforallcustomsclearanceandimportdutiesintheirrespectivecountries.TheChinesePartyshallprovideallnecessarydocumentationtofacilitatetheimportprocess.3.IntellectualPropertyRightsBothpartiesacknowledgeandagreetorespecteachother’sintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets.TheChinesePartyshallnotuseanyintellectualpropertyoftheAfricanPartywithoutpriorwrittenauthorization,andviceversa.4.TaxationAlltaxesandfeesimposedbyChineseorAfricangovernmentsonthegoodsandservicestradedunderthisContractshallbebornebytherespectivepartyunlessotherwisespecifiedinwriting.Bothpartiesshallcomplywithallapplicabletaxlawsandregulationsintheirrespectivejurisdictions.5.PaymentandCurrencyThepaymentsunderthisContractshallbemadeinthecurrencyof,unlessotherwiseagreeduponinwriting.Bothpartiesshallensurethatalltransactionsareconductedincompliancewithapplicableforeignexchangeregulations.6.RepresentativesandAgentsBothpartiesagreetoappointrepresentativesoragentstofacilitatethetradeactivitiesunderthisContract.Thenamesanddetailsofsuchrepresentativesshallbespecifiedinthesupplements.BothpartiesshallensurethattheirrepresentativesactinaccordancewiththetermsofthisContractandmaintainconfidentialitywithrespecttoanysensitiveinformation.7.ConfidentialityBothpartiesagreetomaintaintheconfidentialityofanyandallinformationexchangedduringthecourseofthisContract,includingbutnotlimitedtobusinessplans,financialdata,andtradesecrets.TheobligationsunderthissectionshallsurvivetheterminationofthisContract.8.LiabilityandIndemnification8.1Liability:BothpartiesshallbeliableforanylossesordamagescausedbytheirbreachofthisContractoranyofitssupplements.Theliabilityofeachpartyshallbelimitedtothedirectdamagesarisingoutofsuchbreach,unlessotherwiseagreeduponinwriting.8.2Indemnification:Eachpartyshallindemnifyandholdtheotherharmlessfromanyclaims,damages,costs,orexpensesarisingoutofanybreachofthisContractoranyofitssupplementsbytheindemnifyingparty.9.GoverningLawandDisputeResolution9.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.9.2DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好协商.Ifthedisputescannotberesolvedthrough协商withindays,eitherpartymaysubmitthemattertothejurisdictionofthecourt,whosedecisionshallbefinalandbindingonbothparties.10.TerminationofContract10.1TerminationbyMutualAgreement:EitherpartymayterminatethisContractbymutualagreementinwriting.10.2TerminationforBreach:EitherpartymayterminatethisContractiftheotherpartybreachesanyofitsmaterialobligationsunderthisContract,andfailstoremedysuchbreachwithindaysofreceivingwrittennotice.10.3TerminationforConvenience:EitherpartymayterminatethisContractwithdays’writtennoticetotheotherparty,providedthatnobreachhasoccurred.11.ForceMajeure11.1DefinitionofForceMajeure:Forcemajeureshallincludeanyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,war,riots,orgovernmentalactions.11.2EffectofForceMajeure:IfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetoaforcemajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheevent.Theobligationsoftheaffectedpartyshallbesuspendedforthedurationoftheforcemajeureevent,andtheotherpartyshallnotbeliableforanyfailureordelayinperformancearisingtherefrom.12.AmendmentstotheContractAnyamendmentstothisContractshallbemadeinwritingandsignedbybothparties.Nooralagreementormodificationshallbebindinguponeitherparty.13.Miscellaneous13.1EntireAgreement:ThisContract,togetherwithitssupplements,constitutestheentireagreementbetweenthepartieswithrespecttothemattersherein.AnyprioragreementsorunderstandingsaresupersededbythisContract.13.2Waiver:Thefailureofeitherpartytoenforce
