2025商务英语对话：合同谈判与签订合同ContractAgreement(BusinessEnglishDialogue-ContractNegotiationandFormation)ContractNo.:Dateofsigning:Placeofsigning:PartiestotheContractThisContractisenteredintoonthisdayof,2025,byandbetween:PartyA:(hereinafterreferredtoas"PartyA"),Address:ContactInformation:PartyB:(hereinafterreferredtoas"PartyB"),Address:ContactInformation:RecitalsWHEREAS,PartyAandPartyBwishtoestablishacollaborativerelationshipforthepurposeof;ANDWHEREAS,PartyAandPartyBhavemutuallyagreeduponthetermsandconditionsfortheaforementionedcollaboration;NOW,THEREFORE,thePartiesagreeasfollows:1.ScopeofWork1.1ServicestobeProvidedbyPartyA:PartyAshallprovideservicestoPartyBinaccordancewiththespecificationsdetailedinExhibitAattachedhereto.1.2GoodstobeDeliveredbyPartyA:PartyAshalldelivergoodstoPartyB,whichshallcomplywiththequalitystandardsandspecificationssetforthinExhibitBattachedhereto.1.3ResponsibilitiesofPartyB:PartyBshallcooperatewithPartyAinallaspects,includingbutnotlimitedto.2.TermoftheContract2.1Duration:ThetermofthisContractshallcommenceonandterminateon,unlessprematurelyterminatedasprovidedherein.2.2Renewal:ThisContractmaybereneweduponmutualagreementoftheParties,subjecttoawrittenamendmentorrenewalagreementexecutedbybothPartiespriortotheexpirationdate.3.PaymentTerms3.1TotalConsideration:PartyBshallpayPartyAthesumof(hereinafterreferredtoasthe"TotalConsideration").3.2PaymentSchedule:TheTotalConsiderationshallbepaidinaccordancewiththefollowingschedule:%oftheTotalConsiderationuponsigningthisContract;%oftheTotalConsiderationuponcompletionof;Remaining%oftheTotalConsiderationwithindaysoffullperformance.3.3LatePaymentPenalties:IfPartyBfailstomakeanypaymentdueunderthisContractwithinthirty(30)daysoftheduedate,PartyAmaychargealatefeeof%oftheoutstandingamountpermonth.4.IntellectualProperty4.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,developedinthecourseofperformingthisContractshallbeownedby,unlessotherwiseagreeduponinwriting.4.2Licensing:PartyBisgrantedanon-exclusive,non-transferablelicensetouseintellectualpropertyownedbyPartyAsolelyforthepurposesofthisContract.5.Confidentiality5.1ConfidentialInformation:"ConfidentialInformation"shallincludeanyandallinformationdisclosedbyonePartytotheother,whether书面ororal,throughoutthetermofthisContract,includingbutnotlimitedtobusinessplans,financialdata,andtechnicalspecifications.5.2ObligationtoMaintainConfidentiality:EachPartyagreestomaintaintheconfidentialityoftheotherParty'sConfidentialInformationandnottodiscloseittoanythirdpartywithoutpriorwrittenconsent,exceptasrequiredbylaw.5.3TermofConfidentiality:TheobligationsunderthisSection5shallsurvivetheterminationofthisContractforaperiodofyears.6.WarrantiesandRepresentations6.1PartyA'sWarranties:PartyArepresentsandwarrantsthat:a)IthastheauthoritytoenterintoandperformthisContract;b)ThegoodsandservicesprovidedunderthisContractarefreefromdefectsandmeetallapplicablelawsandregulations;c)IthasthenecessarypermitsandlicensestoperformitsobligationsunderthisContract.6.2PartyB'sWarranties:PartyBrepresentsandwarrantsthat:a)IthastheauthoritytoenterintoandperformthisContract;b)ItwillusethegoodsandservicesprovidedbyPartyAinaccordancewithapplicablelawsandregulations.7.Indemnification7.1IndemnificationbyPartyB:PartyBagreestoindemnify,defend,andholdharmlessPartyA,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachofthisContractbyPartyBoritsemployees.7.2IndemnificationbyPartyA:PartyAagreestoindemnify,defend,andholdharmlessPartyB,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachofthisContractbyPartyAoritsemployees.8.ForceMajeure8.1DefinitionofForceMajeure:A"ForceMajeureEvent"shallmeananyeventbeyondthereasonablecontrolofaParty,includingbutnotlimitedtonaturaldisasters,actsofGod,war,riot,civildisturbance,strikes,orgovernmentalactions.8.2EffectofForceMajeure:ShouldanyPartybepreventedordelayedintheperformanceofitsobligationsunderthisContractduetoaForceMajeureEvent,suchobligationsshallbesuspendedforthedurationoftheevent,andthenon-performingPartyshallnotbeliableforanyfailureordelayinperformance.9.GoverningLaw9.1Jurisdiction:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutreferencetoitsconflictoflawsprovisions.9.2Venue:AnylegalactionorproceedingarisingoutoforrelatedtothisContractshallbebroughtexclusivelyinthecourtsof,andthePartiessubmittothejurisdictionofsuchcourts.10.EntireAgreement10.1EntireAgreement:ThisContract,togetherwithanyexhibitsandannexesattachedhereto,constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten,betweenthePartiesconcerningthesubjectmatterhereof.10.2Amendments:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothParties.11.Miscellaneous11.1Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonallyorsentbyregisteredorcertifiedmai
