2025版英文借款协议ThisBorrowingAgreement("Agreement")isenteredintoonthis_______dayof_______2025,andbetweenthefollowingparties:[甲方名称]("Lender"),a[甲方类型]incorporatedandexistingunderthelawsof[甲方所在国家/地区]，withitsprincipalplaceofbusinessat[甲方办公地址]("Lender")oftheonepart,[乙方名称]("Borrower"),a[乙方类型]incorporatedandexistingunderthelawsof[乙方所在国家/地区]，withitsprincipalplaceofbusinessat[乙方办公地址]("Borrower")oftheotherpart.WHEREAS,theLenderdesirestolendtotheBorrowerandtheBorrowerdesirestoborrowfromtheLender,theprincipalsumof[金额](inwords:[金额文字表达])(the"Loan")onthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:1.LoanAmountandTerms1.1TheLoanshallbe[货币类型][金额](inwords:[金额文字表达]).1.3TheBorrowershallrepaytheprincipalandinterestoftheLoaninaccordancewiththeamortizationscheduleattachedheretoasExhibitA(the"AmortizationSchedule").2.Repayment2.1TheBorrowershallmakethepaymentsofprincipalandinterestontheLoanassetforthintheAmortizationSchedule.2.2TheBorrowershallpayallamountsdueandpayablehereunderwithin[付款期限，例如：30天内]followingtheendoftherelevantmonth.3.Security3.1AssecurityforthepromptandfullrepaymentoftheLoan,theBorrowerheremortgagesandgrantstotheLender,itssuccessorsandassigns,afirstprioritymortgageonalltheBorrower'spresentandafteracquiredrealandpersonalpropertylocatedin[抵押物所在地](the"Security").3.2TheBorrowershallexecuteanddelivertotheLendersuchfurtherdocuments,agreementsandinstrumentsastheLendermayreasonablyrequirefromtimetotimeinordertoperfectandmaintaintheSecurity.4.RepresentationsandWarranties4.1TheBorrowerrepresentsandwarrantsthat:(a)itisavalidlyexistingentityandisdulyorganized,validlyexisting,andingoodstandingunderthelawsof[乙方所在国家/地区];(b)ithasfullpower,authorityandcapacitytoenterintothisAgreementandtoperformitsobligationshereunder;(d)theexecution,deliveryandperformanceofthisAgreementwillnotresultinaviolationofanyprovisionofitsconstitution,laws,oranyotheragreementtowhichitisaparty;(e)ithasallnecessarypermits,licenses,andauthorizationstoconductitsbusinessandperformitsobligationsunderthisAgreement;(f)theexecution,deliveryandperformanceofthisAgreementandthetransactionscontemplatedherewillnotresultinabreachofanymaterialcontracttowhichitisaparty.5.Confidentiality5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisAgreement,exceptforinformationthat:(a)isalreadypubliclyknownandmadegenerallyavailableinthepublicdomain;(b)isdisclosedtothemathirdpartywithoutadutyofconfidentiality;(c)isdisclosedtheotherpartytoathirdpartywithoutadutyofconfidentiality;(d)isindependentlydevelopedthereceivingpartywithoutuseoforreferencetotheconfidentialinformationofthedisclosingparty.6.GoverningLawandJurisdiction6.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[适用法律所在国家/地区].6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[法院所在地].7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.8.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.9.WaiverThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofthepartythereaftertoenforcesuchprovision.10.Notices(a)deliveredpersonallytothepartytowhomnoticeistobegiven;(c)sentfacsimiletothepartytowhomnoticeistobegivenatthefacsimilenumberspecifiedherein.11.ExecutionThisAgreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedtheirrespectivedulyauthorizedrepresentativesa
