EMPLOYMENTAGREEMENT

ThisEmploymentAgreement("Agreement")ismadeandenteredintoasof[Date]("EffectiveDate"),byandbetween[CompanyName]("Company"),a[CompanyType]incorporatedin[State/Country]withitsprincipalplaceofbusinessat[Address]("Company"),and[EmployeeName]("Employee"),anindividualhavinganaddressat[Address]("Employee").

1.POSITIONANDDUTIES

TheCompanyherebyemploystheEmployeeinthepositionof[JobTitle]("Position").TheEmployee'sdutiesandresponsibilitieswillbeasoutlinedintheJobDescriptionattachedheretoasExhibitA("JobDescription").TheEmployeeagreestoperformthedutiesofthePositionwithdiligenceandprofessionalismatalltimes.

2.EMPLOYMENTTERM

TheinitialtermofthisAgreementshallbeforaperiodof[Number]year(s)("InitialTerm"),commencingontheEffectiveDateandendingon[Date]("EndDate").UpontheexpirationoftheInitialTerm,thisAgreementshallcontinueineffectonamonth-to-monthbasisunlesseitherPartyprovides[Number]days'writtennoticeofitsintentionnottorenewtheAgreement.

3.SALARYANDBENEFITS

4.CONFIDENTIALITY

TheEmployeeagreestomaintaintheconfidentialityofallnon-publicinformationbelongingtotheCompany,includingbutnotlimitedtotradesecrets,customerlists,andfinancialdata.TheEmployeeshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheCompany.

5.NON-COMPETECLAUSE

DuringthetermofthisAgreementandforaperiodof[Number]year(s)followingtheterminationofthisAgreement("Non-CompetePeriod"),theEmployeeshallnotengageinanybusinessthatdirectlycompeteswiththeCompanywithin[Specifygeographicarea]("GeographicArea").

6.INTELLECTUALPROPERTY

AllintellectualpropertycreatedbytheEmployeeduringthecourseofhisorheremploymentwiththeCompanyshallbethesolepropertyoftheCompany("IntellectualProperty").TheEmployeeagreestoexecuteanydocumentsnecessarytotransfertheIntellectualPropertytotheCompany.

7.TERMINATION

ThisAgreementmaybeterminatedbyeitherPartyupon[Number]days'writtennotice.Intheeventofterminationforcause,theCompanyshallbeentitledtorecoveranydamagesitmayhavesufferedasaresultoftheEmployee'sbreachofthisAgreement.

8.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]("GoverningLaw").

9.AMENDMENTS

ThisAgreementmayonlybeamendedbyawrittendocumentsignedbyboththeCompanyandtheEmployee.

10.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweentheCompanyandtheEmployeeandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisEmploymentAgreementasoftheEffectiveDate.
