2025商务英语写作中的合同英文ContractAgreementThisContractAgreement("Agreement")isenteredintoasof[Date]("EffectiveDate")byandbetween[PartyAName],acompanyincorporatedunderthelawsof[Country],withitsregisteredofficeat[Address]("PartyA"),and[PartyBName],acompanyincorporatedunderthelawsof[Country],withitsregisteredofficeat[Address]("PartyB").PartyAandPartyBmaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."1.ScopeofServices1.1ServicestobeProvided:PartyAagreestoprovidethefollowingservicestoPartyB:[Detaileddescriptionofservices,includingbutnotlimitedtoconsulting,projectmanagement,marketing,oranyotherspecificservicesagreeduponbytheParties].TheseservicesshallbeperformedinaccordancewiththetermsandconditionsoutlinedinthisAgreement.1.2ServiceDelivery:PartyAshallensurethattheservicesaredeliveredontimeandincompliancewiththestandardsagreeduponbytheParties.AnydeviationfromtheagreedtimelinesorstandardsmustbecommunicatedtoPartyBinwritingatleast[Number]businessdaysinadvance.1.3ModificationstoServices:AnymodificationstothescopeofservicesshallbemadeinwritingandsignedbybothParties.Nooralagreementsormodificationsshallbeconsideredvalidunlessconfirmedinwriting.2.TermandTermination2.1TermofAgreement:ThisAgreementshallcommenceontheEffectiveDateandcontinueuntil[EndDate]("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.2TerminationbyEitherParty:EitherPartymayterminatethisAgreementwith[Number]days'writtennoticeiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysofreceivingwrittennotice.2.3TerminationforConvenience:PartyBmayterminatethisAgreementatanytimewith[Number]days'writtennoticeiftheservicesarenolongerrequired.Insuchcases,PartyAshallnotbeentitledtoanyfurtherpaymentorcompensationbeyondtheservicesalreadyperformeduptothedateoftermination.2.4SurvivalofCertainClauses:ClausesrelatingtoConfidentiality,IntellectualProperty,Indemnification,andDisputeResolutionshallsurvivetheterminationofthisAgreement.3.FeesandPaymentTerms3.1Fees:PartyBshallpayPartyAthesumsspecifiedin[AttachmentA]fortheservicesprovidedunderthisAgreement.Allamountsshallbepaidin[Currency]andareexclusiveofValueAddedTaxoranyotherapplicabletaxes,whichshallbetheresponsibilityofPartyB.3.2PaymentSchedule:PartyBshallpayPartyAasfollows:[Percentage/Amount]uponthesigningofthisAgreement;[Percentage/Amount]uponthecompletionof[SpecificMilestone];Theremainingbalanceuponthecompletionoftheagreedservices.3.3LatePaymentCharges:IfPartyBfailstomakeanypaymentwithin[Number]daysoftheduedate,PartyAmaychargealatepaymentfeeof[Percentage]%permonthontheoverdueamount.3.4Invoices:PartyAshallsubmitdetailedinvoicestoPartyBonorbeforethe[Date]ofeachpaymentperiod.PartyBshallverifytheinvoiceswithin[Number]daysandpromptlyinformPartyAofanydiscrepancies.Failuretodososhallbedeemedasacceptanceoftheinvoice.4.Confidentiality4.1DefinitionofConfidentialInformation:ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyandallnon-public,proprietary,and/orconfidentialinformationdisclosedbyonePartytotheother,includingbutnotlimitedtobusinessplans,financialdata,customerlists,technicalinformation,andanyotherinformationdesignatedasconfidential.4.2ObligationsoftheParties:EachPartyshallmaintaintheconfidentialityoftheotherParty'sConfidentialInformationandshallnotdiscloseittoanythirdpartywithoutpriorwrittenconsent.Theobligationsunderthisclauseshallcontinueindefinitely,evenaftertheterminationofthisAgreement.4.3ExclusionsfromConfidentiality:TheobligationsunderthisclauseshallnotapplytoinformationthatispubliclyavailableorbecomespubliclyavailablethroughnofaultofthereceivingParty,orinformationthatisindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheConfidentialInformation.5.IntellectualProperty5.1OwnershipofIP:Allrights,title,andinterestinanyandallintellectualpropertycreatedordevelopedinthecourseofprovidingtheservices("IntellectualProperty")shallvestsolelyinPartyA.PartyBshallhavenorightstotheIntellectualProperty,whethernowexistingorhereaftercreated,exceptasexplicitlyprovidedforinthisAgreement.5.2LicensetoUse:PartyAgrantsPartyBanon-exclusive,royalty-freelicensetousetheIntellectualPropertysolelyforthepurposeofcarryingoutitsbusinessoperationsasoutlinedinthisAgreement.AnyotheruseoftheIntellectualPropertyrequirespriorwrittenconsentfromPartyA.5.3ConfidentialityofIP:PartyBagreestotakeallnecessarymeasurestoprotecttheconfidentialityoftheIntellectualPropertyandtopreventanyunauthorizeduseordisclosure.6.Indemnification6.1IndemnificationbyPartyB:PartyBagreestoindemnify,defend,andholdharmlessPartyA,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforrelatedtoPartyB'smisuseoftheservicesprovidedbyPartyAorbreachofthisAgreement.6.2IndemnificationbyPartyA:PartyAagreestoindemnify,defend,andholdharmlessPartyB,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforrelatedtoPartyA'snegligenceorwillfulmisconductintheperformanceofitsobligationsunderthisAgreement.7.DisputeResolution7.1Negotiation:IntheeventofadisputearisingoutoforrelatingtothisAgreement,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.7.2Mediation:Ifthedisputeisnotresolvedthroughnegotiationwithin[Number]days,eitherPartymayreferthemattertomediationinaccordancewiththemediationrulesof[MediationInstitution].Themediationshalltakeplacein[Location],andthecostsofmediationshallbeborneequallybybothParties.7.3Arbitration:Ifthedisputeisnotresolvedthroughmediationwithin[Number]days,itshallbereferredtoarbitrationin[Location]inaccordancewiththerulesof[ArbitrationInstitution].ThearbitrationshallbeconductedintheEnglishlanguage,andthedecisionofthearbitrationtribunalshallbefinalandbindingonbothParties.7.4LegalProceedings:Notwithstandingtheabove,eitherPartymaypursuelegalproceedingsinacourtofcompetentjurisdictionformattersofinjunctiverelieforotherurgentmatters.8.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputeorclaimarisingoutoforrelatingtothisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].9.Miscellaneous9.1EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten,relatingtothesubjectmatterofthisAgreement.9.2Amendments:AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.Nooralagreementorvariationshallbeconsideredvalidunlesssoconfirmedinwriting.9.3ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,riot,insurrection,orgovernmentalaction.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.9.4Severability:IfanyprovisionofthisAgreementis
