2025年度国际农产品进口与加工合作协议（英语版）ThisAgreement(hereinafterreferredtoas"theAgreement")ismadeandenteredintoon[Date]betweenthefollowingparties:PartyA:[NameofPartyA][AddressofPartyA][CountryofPartyA][ContactPersonofPartyA][PositionofPartyA]PartyB:[NameofPartyB][AddressofPartyB][CountryofPartyB][ContactPersonofPartyB][PositionofPartyB]Recitals:WHEREAS,PartyAisengagedintheimportandprocessingofinternationalagriculturalproducts;WHEREAS,PartyBisengagedintheproductionandsupplyofagriculturalproducts;WHEREAS,PartyAandPartyBwishtoenterintoanagreementfortheimportandprocessingofinternationalagriculturalproductsfortheyear2025;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:1.ScopeofAgreement:ThisAgreementshallcovertheimportandprocessingofinternationalagriculturalproductsPartyAfromPartyBfortheyear2025.2.ProductsandQuantities:PartyBshallsupplythefollowingagriculturalproductstoPartyA:|ProductName|Quantity(inmetrictons)|DeliveryPeriod||||||[Product1]|_[Quantity]_|_[DeliveryPeriod]_||[Product2]|_[Quantity]_|_[DeliveryPeriod]_||[Product3]|_[Quantity]_|_[DeliveryPeriod]_|||||3.PriceandPaymentTerms:Thepricefortheagriculturalproductsshallbedeterminedbasedonthefollowingterms:|ProductName|UnitPrice(USDpermetricton)|TotalPrice(USD)||||||[Product1]|_[UnitPrice]_|_[TotalPrice]_||[Product2]|_[UnitPrice]_|_[TotalPrice]_||[Product3]|_[UnitPrice]_|_[TotalPrice]_|||||Paymentshallbemade_[PaymentMethod]_within_[PaymentPeriod]_afterthedeliveryoftheproducts.4.DeliveryTerms:Theproductsshallbedeliveredtothefollowingdestination:[AddressofDelivery]ThedeliveryshallbemadeinaccordancewiththeIncoterms2020_[Incoterm]_.5.QualityStandards:[QualityStandards]6.InspectionandAcceptance:Theproductsshallbeinspectedandacceptedamutuallyagreeduponthirdpartyinspectionagencybeforedelivery.7.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,civilunrest,orgovernmentactions.8.Confidentiality:ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisAgreement.9.GoverningLawandDisputeResolution:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof_[Jurisdiction]_.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtoarbitrationin_[ArbitrationVenue]_.10.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.11.AmendmentsandModifications:ThisAgreementmaybeamendedormodifiedonlyawrittenagreementexecutedbothparties.12.Execution:ThisAgreementshallbeexecutedintwo(2)counterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:________________
