英文合同终止协议书范本AgreementonTerminationofContractPreambleThisAgreementonTerminationofContract(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[FulllegalnameofPartyA]Address:[CompleteaddressofPartyA]ContactPerson:[Nameofcontactperson]ContactInformation:[Phonenumber/Emailaddress]PartyB:Name:[FulllegalnameofPartyB]Address:[CompleteaddressofPartyB]ContactPerson:[Nameofcontactperson]ContactInformation:[Phonenumber/Emailaddress]Hereinafter,PartyAandPartyBshallbecollectivelyreferredtoasthe"Parties".Recitals1.ThePartiesenteredintoa[describethetypeofcontract,e.g.,salescontract,servicecontract](the"OriginalContract")on[dateoftheoriginalcontract].TheOriginalContractwasmadeforthepurposeof[brieflydescribethepurposeoftheoriginalcontract,e.g.,thesaleof[specificgoods]ortheprovisionof[specificservices]].2.Now,throughfriendlyconsultations,thePartieshavereachedanagreementtoterminatetheOriginalContractinaccordancewithrelevantlawsandregulations,includingbutnotlimitedtotheprovisionsoftheCivilCodeofthePeople'sRepublicofChina.1.TerminationoftheOriginalContract1.1TheOriginalContractshallbeterminatedasofthedateofsigningthisAgreement.AllrightsandobligationsarisingfromtheOriginalContractshallceasetohaveeffectfromthisdate,exceptasotherwiseprovidedinthisAgreement.1.2EachPartyherebywaivesanyclaims,rights,orcausesofactionagainsttheotherPartythatmayhavearisenundertheOriginalContractpriortotheterminationdate,exceptforthoserightsandobligationsthatareexpresslyprovidedtosurvivetheterminationoftheOriginalContractinthisAgreement.2.DescriptionoftheSubjectMatterorServicesundertheOriginalContract2.1SubjectMatter(ifapplicable)IftheOriginalContractwasasalescontract,thesubjectmatterwas[describethegoodsindetail,includingquantity,quality,specifications,etc.].Forexample,ifitwasacontractforthesaleofelectronicproducts,statethebrand,model,numberofunits,andanyspecialfeaturesorconfigurations.Quantity:[Numberofunits]QualityStandards:Thegoodsshallmeetthe[specificqualitystandard,e.g.,nationalstandardGB/T[number],orindustryspecificstandard]Specifications:[Listthedetailedspecificationssuchassize,weight,color,etc.]2.2Services(ifapplicable)IftheOriginalContractwasaservicecontract,theservicesprovidedbyPartyB(orasotherwiseagreed)were[describetheservicescomprehensively].Forinstance,ifitwasasoftwaredevelopmentservicecontract,describethescopeofwork,functionsofthesoftwaretobedeveloped,andtheexpecteddeliverables.ScopeofWork:PartyBwasresponsiblefor[listthemaintasks,e.g.,systemanalysis,softwaredesign,coding,testing,anddeployment]Deliverables:PartyBwasrequiredtodeliver[listthespecificdeliverables,suchassoftwareinstallationpackages,usermanuals,technicaldocumentation]withintheagreedupontimeframe.3.RightsandObligationsafterTermination3.1ReturnofPropertyandInformation3.1.1IfeitherPartyholdsanypropertyorinformationbelongingtotheotherPartyundertheOriginalContract,itshallreturnsuchpropertyandinformationtotherightfulownerwithin[numberofdays]daysafterthesigningofthisAgreement.Thisincludesbutisnotlimitedtophysicalgoods,documents,data,andanyintellectualpropertyrelatedmaterials.3.1.2EachPartyshallensuretheconfidentialityofanyconfidentialinformationoftheotherPartythatithasobtainedduringtheperformanceoftheOriginalContract,evenaftertheterminationoftheOriginalContract.Theconfidentialityobligationshallcontinueforaperiodof[numberofyears]yearsfromthedateoftermination.3.2SettlementofAccounts3.2.1ThePartiesshallconductafinalsettlementofaccountswithin[numberofdays]daysafterthesigningofthisAgreement.PartyAshallpayPartyBanyoutstandingamountsdueundertheOriginalContractwithin[numberofdays]daysafterthesettlementisconfirmed.PartyBshallissuevalidinvoicesfortheamountsreceivedinaccordancewithrelevanttaxregulations.3.2.2IfthereareanyoverpaymentsmadebyeitherPartyundertheOriginalContract,thereceivingPartyshallrefundtheoverpaidamounttothepayingPartywithin[numberofdays]daysafterthesettlementisconfirmed.4.LiabilityforBreachofAgreement4.1IfeitherPartyfailstoperformanyofitsobligationsunderthisAgreement,itshallbedeemedtobeinbreachofthisAgreement.ThenonbreachingPartyshallhavetherighttorequirethebreachingPartytoremedythebreachwithin[numberofdays]daysafterreceivingwrittennoticeofthebreach.4.2IfthebreachingPartyfailstoremedythebreachwithinthespecifiedtimelimit,thenonbreachingPartyshallhavetherighttoclaimdamagesfromthebreachingParty.ThedamagesshallincludealldirectlossessufferedbythenonbreachingPartyasaresultofthebreach,aswellasanyreasonableindirectlosses,suchaslostprofitsandadditionalexpensesincurredinconnectionwiththebreach.4.3Inadditiontoclaimingdamages,thenonbreachingPartymayalsotakeotherlegalremediesavailableunderthelaw,includingbutnotlimitedtospecificperformance,injunction,orcancellationofthisAgreement.5.DisputeResolution5.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheParties.Iftheconsultationsfailtoreachasettlementwithin[numberofdays]daysaftereitherPartyrequestsconsultations,thedisputesshallbesubmittedto[arbitrationinstitutionname]forarbitrationinaccordancewithitsarbitrationrules.5.2Thearbitrationshallbeconductedin[cityname],andthelanguageofthearbitrationshallbe[language].ThearbitrationawardshallbefinalandbindingonbothParties,andeachPartyshallbearitsownarbitrationfeesandlegalcosts,unlessotherwisedeterminedbythearbitrationtribunal.6.Miscellaneous6.1EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttotheterminationoftheOriginalContractandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesamesubjectmatter.6.2AmendmentsandSupplements:AnyamendmentsorsupplementstothisAgreementshallbemadeinwritingandsignedbybothParties.6.3Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,thevalidityandenforceabilityoftheotherprovisionsshallnotinanywaybeaffectedorimpaired.6.4Waiver:NowaiverofanyprovisionofthisAgreementshallbeeffectiveun
