EachofPartyAandPartyBshallbereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties".

RECITALS

1.PartyAisengagedin[descriptionofPartyA'sbusiness],andhas[listrelevantresources,expertise,etc.ofPartyA].

2.PartyBisengagedin[descriptionofPartyB'sbusiness],andhas[listrelevantresources,expertise,etc.ofPartyB].

3.ThePartiesdesiretocooperatein[describethegeneralscopeofcooperation],andherebyenterintothisAgreementtosetforththetermsandconditionsoftheircooperation.

AGREEMENT

1.ScopeofCooperation

ThePartiesshallcooperatein[specificareaofcooperation,suchasaproject,abusinessactivity,oraservice].Thespecificdetailsofthecooperationareasfollows:

2.RightsandObligationsofPartyA

Rights

PartyAshallhavetherighttoparticipateinthedecisionmakingprocessrelatedtothecooperationtotheextentprovidedinthisAgreement.

PartyAshallhavetherighttoinspectandmonitortheprogressofthecooperationactivitiestoensurecompliancewiththetermsofthisAgreement.

Obligations

PartyAshallcontribute[describetheresources,assets,orservicesPartyAisrequiredtocontribute,suchascapital,equipment,technology,orhumanresources].ThecontributionshallbemadeinaccordancewiththescheduleagreeduponbytheParties.

PartyAshallkeepconfidentialallconfidentialinformationobtainedfromPartyBduringthecooperation.

3.RightsandObligationsofPartyB

Rights

PartyBshallhavetherighttoreceive[describethebenefitsorreturnsPartyBisentitledto,similartoPartyA'srights].

PartyBshallhavetherighttoparticipateinthedecisionmakingprocessrelatedtothecooperationtotheextentprovidedinthisAgreement.

PartyBshallhavetherighttoinspectandmonitortheprogressofthecooperationactivitiestoensurecompliancewiththetermsofthisAgreement.

Obligations

PartyBshallcontribute[describetheresources,assets,orservicesPartyBisrequiredtocontribute].ThecontributionshallbemadeinaccordancewiththescheduleagreeduponbytheParties.

PartyBshallabidebyallapplicablelaws,regulations,andindustrystandardsinthecourseofthecooperation.

PartyBshallkeepconfidentialallconfidentialinformationobtainedfromPartyAduringthecooperation.

4.ProfitSharingandLossAllocation

ProfitSharing:ThePartiesshallsharetheprofitsgeneratedfromthecooperationinthefollowingratio:PartyAshallbeentitledto[X]%andPartyBshallbeentitledto[Y]%.Theprofitsshallbecalculatedona[period,suchasmonthly,quarterly,orannually]basisanddistributedwithin[numberofdays]daysaftertheendofeachperiod.

LossAllocation:Intheeventoflossesincurredduringthecooperation,thePartiesshallbearthelossesinthesameratioastheprofitsharingratio,unlessotherwiseagreedinwriting.

5.Confidentiality

DefinitionofConfidentialInformation:"ConfidentialInformation"meansanyinformation,whetheroralorwritten,thatisdisclosedbyoneParty(the"DisclosingParty")totheotherParty(the"ReceivingParty")inconnectionwiththisAgreementandthatismarkedasconfidentialorthat,underthecircumstancesofthedisclosure,shouldreasonablybeconsideredconfidential.ConfidentialInformationincludes,butisnotlimitedto,businesssecrets,tradesecrets,technicalinformation,customerlists,andfinancialinformation.

ObligationsoftheReceivingParty:TheReceivingPartyshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.TheReceivingPartyshallusetheConfidentialInformationonlyforthepurposeofperformingitsobligationsunderthisAgreement.TheReceivingPartyshalltakereasonablemeasurestoprotecttheConfidentialInformationfromunauthorizedaccess,use,ordisclosure.

Exceptions:Theconfidentialityobligationsshallnotapplytoinformationthat(a)isalreadyinthepublicdomainatthetimeofdisclosure;(b)becomespubliclyavailablethroughnofaultoftheReceivingParty;(c)isrightfullyobtainedbytheReceivingPartyfromathirdpartywithoutanobligationofconfidentiality;or(d)isrequiredtobedisclosedbylaw.

6.IntellectualPropertyRights

Ownership:AnyintellectualpropertyrightscreatedordevelopedduringthecooperationshallbejointlyownedbytheParties,unlessotherwiseagreedinwriting.EachPartyshallhavetherighttousethejointlyownedintellectualpropertyrightsforthepurposeofthecooperation.

Protection:ThePartiesshallcooperatetoprotecttheintellectualpropertyrightsrelatedtothecooperation.Intheeventofanyinfringementoftheintellectualpropertyrights,thePartiesshalljointlytakeappropriatelegalactionstoenforcetheirrights.

7.Termination

TerminationforConvenience:EitherPartymayterminatethisAgreementupon[numberofdays]days'priorwrittennoticetotheotherParty.Intheeventofterminationforconvenience,thePartiesshallsettlealloutstandingmatters,includingthepaymentofanyamountsdueandthereturnofanyassetsorproperty.

TerminationforBreach:IfeitherPartymateriallybreachesthisAgreementandfailstocurethebreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherParty,thenonbreachingPartymayterminatethisAgreementimmediately.

ConsequencesofTermination:UponterminationofthisAgreement,thePartiesshallceaseallcooperationactivities.ThePartiesshallreturnallConfidentialInformationandotherpropertybelongingtotheotherParty.TherightsandobligationsofthePartiesregardingconfidentiality,intellectualpropertyrights,anddisputeresolutionshallsurvivetheterminationofthisAgreement.

8.LiabilityandIndemnification

Liability:EachPartyshallbeliableforanydamagescausedbyitsownnegligence,willfulmisconduct,orbreachofthisAgreement.However,innoeventshalleitherPartybeliableforindirect,incidental,consequential,orpunitivedamages,exceptincasesofwillfulmisconduct.

Indemnification:EachPartyshallindemnifyandholdtheotherPartyharmlessfromandagainstanylosses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith(a)itsbreachofthisAgreement;(b)itsnegligenceorwillfulmisconduct;or(c)anythirdpartyclaimsrelatedtothecooperation.

9.DisputeResolution

Negotiation:Intheeventofanydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysafteronePartynotifiestheotherPartyofthedispute.

Arbitration:Ifthenegotiationfails,thedisputeshallbesubmittedtoarbitrationinaccordancewiththe[nameofarbitrationrules,suchastherulesoftheInternationalChamberofCommerce(ICC)ortheAmericanArbitrationAssociation(AAA)].Thearbitrationshallbeconductedin[city,country].Thelanguageofthearbitrationshallbe[language].ThearbitralawardshallbefinalandbindingontheParties,andjudgmentmaybeentereduponitinanycourthavingjurisdiction.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelaw
