2025版权转让合同(中英文)2025CopyrightTransferAgreement(Sino-EnglishVersion)正文ThisCopyrightTransferAgreement(hereafterreferredtoasthe"Agreement")ismadeandenteredintoonthisdayof2025,byandbetweenthefollowingParties:甲方（转让方）:NameofPartyA:Nationality:Address:ContactInformation:乙方（受让方）:NameofPartyB:Nationality:Address:ContactInformation:鉴于WhereasPartyAisthelawfulownerofthecopyrightintheworktitled"”(hereafterreferredtoasthe"Work"),anddesirestotransferthecopyrightandallrelatedrightsintheWorktoPartyB;AndWhereasPartyBiswillingtoacquirethecopyrightandallrelatedrightsintheWorkfromPartyA;第一条著作权转让范围Section1:ScopeofCopyrightTransfer1.1PartyAherebyirrevocablytransferstoPartyBallrights,interests,andclaimsunderthecopyrightintheWork,includingbutnotlimitedtotherighttoreproduce,distribute,display,perform,transmit,andcreatederivativeworksbasedontheWork.1.2ThetransfershallincludeallrightsintheWorkinanyandallmedia,includingbutnotlimitedtoprint,electronic,digital,audio-visual,andonlinemedia,aswellasallfutureformsofmedianotyetdevised.1.3PartyAshallprovidePartyBwithallnecessarymaterialsandassistancetoenablePartyBtoperfectthetransferofthecopyrightintheWork,includingbutnotlimitedtooriginalmanuscripts,drafts,andanyotherrelevantdocuments.第二条转让对价Section2:ConsiderationforTransfer2.1Inconsiderationforthetransfer,PartyBshallpayPartyAthesumof(hereafterreferredtoasthe"TransferFee")withindaysoftheeffectivedateofthisAgreement.2.2TheTransferFeeshallbepaidinthefollowingmanner:2.3PartyAshallprovidePartyBwithaninvoiceorreceiptfortheTransferFeeuponpayment.第三条权利的行使与保护Section3:ExerciseandProtectionofRights3.1FromtheeffectivedateofthisAgreement,PartyBshallhavethesoleandexclusiverighttoexerciseandenforcethecopyrightintheWork,includingtherighttobringlegalactionsinitsownnameagainstanyinfringersofthecopyright.3.2PartyAagreestoassistPartyBinanylegalproceedingsoractionsnecessarytoprotectthecopyrightintheWork,atPartyB'sexpense.3.3PartyBshallmaintaintheintegrityandqualityoftheWorkandshallnotmakeanyalterationsormodificationstotheWorkwithoutpriorwrittenconsentfromPartyA.第四条保证与承诺Section4:RepresentationsandWarranties4.1PartyArepresentsandwarrantsthat:4.1.1ItisthesoleandexclusiveownerofthecopyrightintheWorkandhastherighttotransferthecopyrightfreeofanyclaims,encumbrances,orrestrictions.4.1.2TheWorkdoesnotinfringeuponanyintellectualpropertyrights,trademarks,patents,orotherrightsofanythirdparty.4.1.3TherearenopendingorthreatenedlegalactionsorclaimsrelatedtothecopyrightintheWork.4.2PartyBrepresentsandwarrantsthat:4.2.1IthasthelegalcapacityandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.4.2.2ItshallusethecopyrightintheWorkinaccordancewithapplicablelawsandregulations.第五条合同的终止Section5:TerminationofAgreement5.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyintheeventofamaterialbreachofthisAgreement,providedthatthebreachingPartyfailstocurethebreachwithindaysofreceivingnoticeofsuchbreach.5.2UponterminationofthisAgreement,allrightsandobligationsofthePartiesunderthisAgreementshallcease,exceptforthoserightsandobligationsexplicitlystatedtosurvivetermination.第六条争议解决Section6:DisputeResolution6.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughfriendlynegotiationbetweentheParties.6.2Ifthedisputescannotberesolvedthroughnegotiation,eitherPartymaysubmitthemattertoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).6.3Thearbitrationshallbeconductedin,andtheawardshallbefinalandbindingonbothParties.第七条其他条款Section7:Miscellaneous7.1ThisAgreementconstitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,andarrangements,whetheroralorwritten.7.2AnyamendmentsormodificationstothisAgreementmustbemadeinwritingandsignedbybothPartiestobeeffective.7.3ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.7.4ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.第八条签署Section8:ExecutionINWITNESSWHEREOF,thePartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.甲方（签字）:Name:Signature:Date:乙方（签字）:Name:Signature:Date:AppendixA:中文版本附录A:中文版本著作權轉讓合同（2025年版）（中英文版本）正文本著作權轉讓合同（以下簡稱為“合同”）於2025年月日由以下當事人簽訂：甲方（轉讓方）:姓名：國tịch：地址：聯絡方式：乙方（受讓方）:姓名：國tịch：地址：聯絡方式：鉴于鉴于甲方是著作“”（以下簡稱為“作品”）的著作權合法所有人，願意將作品的著作權及其他相關權利轉讓給乙方；乙方願意從甲方取得作品的著作權及其他相關權利；第一條著作權轉讓範圍Section1:著作權轉讓範圍1.1甲方hereby不可撤銷地將作品的著作權及所有相關權利轉讓給乙方，包括但不限於複製權、發行權、展示權、表演權、信息网络传播權及製作物權等。1.2轉讓範圍包括但不限於作品在任何媒介上的權利，包括但不限於印刷、電子、數位、影音及網上媒介等，以及所有尚未發明的媒介形式。1.3甲方應提供乙方所有必要的材料及協助，以使乙方完成著作權的轉讓，包括但不限於原文手稿、草稿及其他相關文件。第二條轉讓對價Section2:轉讓對價2.1為了取得轉讓權，乙方應在本合同生效之日起日內向甲方支付轉讓費金額為（以下簡稱為“轉讓_fee”）。2.2轉讓_fee應以如下方式支付：2.3甲方應在付款後向乙方提供轉讓_fee的發票或收據。第三條权力的行使與保護Section3:权力的行使與保護3.1自本合同生效之日起，乙方將獨家且排他地享有行使和實施作品著作權的權利，包括以乙方自己的名義對任何侵權著作權的行爲提起法律訴訟。3.2甲方同意在乙方的要求下assistance乙方在任何法律程序或訴訟中保護作品的著作權，費用由乙方承擔。3.3乙方應保持作品的完整性及質量，並不得在prior書面同意下對作品進行任何修改或改動。第四條保證與承诺Section4:保證與承诺4.1甲方保證並聲明：4.1.1甲方是作品著作權的sole與exclusive所有人，並有權無條件地轉讓著作權，且無任何權利主張或限制。4.1.2作品不侵權任何第三方的智慧財產權、商標、專利或其他權利。4.1.3就作品著作權而言，作品未涉及任何pending或有威脅的法律訴訟或主張。4.2乙方保證並聲明：4.2.1乙方具有法律資格及權利簽订本合同並履行其合同義務。4.2.2乙方將依照適用的法律法規使用作品著作權。第五條合同的終止Sect
