2025关于租赁及租赁方式的商业英语合同模板CommercialLeaseAgreementforRentalandRentalMethods(Templatefor2025)ThisCommercialLeaseAgreement("Agreement")isenteredintoonthisdayof,2025,byandbetween:,referredtoasthe"Lessor"or"Landlord,"and,referredtoasthe"Lessee"or"Tenant,"withthemutualunderstandingandagreementasfollows:1.DefinitionsThefollowingtermsshallhavethemeaningssetforthinthisAgreement:1.1"LeasedProperty"shallmeanthepropertylocatedat,includingbutnotlimitedtothebuilding,structures,fixtures,andappurtenancesthereon,whichistobeleasedbytheLessortotheLesseeunderthetermsandconditionsofthisAgreement.1.2"Term"shallmeantheperiodduringwhichthisAgreementisineffect,asspecifiedinSection2hereof.1.3"Rent"shallmeantheamounttobepaidbytheLesseetotheLessorinconsiderationfortheuseandoccupationoftheLeasedProperty,asspecifiedinSection3hereof.1.4"SecurityDeposit"shallmeanthesumofmoneypaidbytheLesseetotheLessorassecurityfortheperformanceoftheLessee'sobligationsunderthisAgreement,asspecifiedinSection4hereof.1.5"Use"shallmeantheconductofthebusinessoractivitybytheLesseeattheLeasedProperty,asspecifiedinSection5hereof.2.TermoftheLease2.1Theleaseterm("Term")shallcommenceon,2025,andcontinueuntil,2025("LeaseTerm").2.2TheLesseeshallhavetheoptiontorenewthisAgreementforanadditionaltermofyearsunderthesametermsandconditions,subjecttothemutualagreementofbothpartiesandtheexecutionofarenewalagreement.2.3TheLessorreservestherighttoterminatethisAgreementintheeventofabreachbytheLesseeoriftheLeasedPropertyisrequiredfortheLessor'sownuseorfortheuseofathirdparty,subjecttothetermsofthisAgreement.3.RentandPaymentTerms3.1TheLesseeagreestopaytheLessoramonthlyrentofdollars("Rent")fortheuseandoccupationoftheLeasedProperty.3.2TheRentshallbepaidmonthlyinadvanceonorbeforethedayofeachmonth,commencing,2025.3.3TheLessorshallissueaninvoicetotheLesseeforeachpayment,whichshallbedueandpayableinaccordancewiththepaymenttermsoutlinedherein.3.4TheRentshallbepaidbycheck,banktransfer,orsuchothermethodasmutuallyagreeduponinwriting.4.SecurityDeposit4.1TheLesseeshallpayasecuritydepositofdollars("SecurityDeposit")totheLessoruponsigningthisAgreement.4.2TheSecurityDepositshallbeheldbytheLessorassecurityfortheLessee'sperformanceoftheirobligationsunderthisAgreement.4.3TheSecurityDepositshallbereturnedtotheLesseewithindaysaftertheexpirationoftheTerm,providedthattheLesseehasfullyperformedalloftheirobligationsunderthisAgreementandhaslefttheLeasedPropertyingoodcondition,normalwearandtearexcepted.4.4TheSecurityDepositmaybeappliedbytheLessortoremedyanydefaultbytheLesseeunderthisAgreement,includingbutnotlimitedtounpaidRent,maintenancefees,ordamagestotheLeasedProperty.5.UseoftheLeasedProperty5.1TheLesseeshallusetheLeasedPropertyforthebusinessoractivityspecifiedinScheduleAattachedhereto,andnootheruseshallbepermittedwithoutthepriorwrittenconsentoftheLessor.5.2TheLesseeshallensurethatallactivitiesconductedattheLeasedPropertycomplywithallapplicablelaws,regulations,andzoningrequirements.5.3TheLesseeshallmaintaintheLeasedPropertyinaclean,safe,and良好stateofrepair,andshallpromptlyreportanydamageordeteriorationtotheLessor.5.4TheLesseeshallberesponsibleforallrepairsandmaintenancerequiredtomaintaintheLeasedPropertyingoodcondition,excludingstructuralrepairs,whichshallbetheresponsibilityoftheLessor.6.Lessor'sResponsibilities6.1TheLessorshallprovidetheLesseewithpossessionofandaccesstotheLeasedPropertyonthecommencementdatespecifiedinSection2.1.6.2TheLessorshallensurethattheLeasedPropertyisfreefromanyencumbrancesotherthanthosedisclosedinScheduleBattachedhereto.6.3TheLessorshallberesponsibleforthepaymentofallpropertytaxes,insurancepremiums,andfeesrelatedtotheLeasedProperty.6.4TheLessorshallhavetherighttoinspecttheLeasedPropertyatreasonabletimesforthepurposeofensuringcompliancewiththetermsofthisAgreement.7.Lessee'sResponsibilities7.1TheLesseeshallpayallRentandothersumsrequiredunderthisAgreement,whenandwheredue.7.2TheLesseeshallmaintaintheLeasedPropertyinacleanandorderlymanner,andshallpromptlyremedyanydamageordeterioration.7.3TheLesseeshallcomplywithalllaws,regulations,andzoningrequirementsapplicabletotheLeasedProperty.7.4TheLesseeshallobtainandmaintainallnecessarylicenses,permits,andapprovalsfortheirbusinessoractivityattheLeasedProperty.8.AlterationsandImprovements8.1TheLesseeshallnotmakeanyalterationsorimprovementstotheLeasedPropertywithoutthepriorwrittenconsentoftheLessor.8.2AnyalterationsorimprovementsmadewiththeLessor'sconsentshallremainthepropertyoftheLessee,andtheLesseeshallberesponsiblefortheirremovalattheendoftheTerm,unlesstheLessorelectstopurchasethematamutuallyagreed-uponprice.8.3TheLesseeshallrestoretheLeasedPropertytoitsoriginalcondition,orbetter,uponterminationofthisAgreement,attheLessee'ssoleexpense.9.Indemnification9.1TheLesseeshallindemnifyandholdharmlesstheLessor,itsofficers,directors,employees,andagentsfromandagainstanyclaims,damages,losses,orexpensesarisingoutoforrelatedtotheLessee'suseoftheLeasedProperty,excepttotheextentcausedbythenegligenceorwillfulmisconductoftheLessororitsemployees.9.2TheLesseeshallmaintaingeneralliabilityinsuranceandsuchotherinsuranceastheLessormayreasonablyrequire,withlimitsofcoverageacceptabletotheLessor,andshallprovidetheLessorwithacertificateofinsurancenamingtheLessorasanadditionalinsuredparty.10.DefaultandRemedies10.1TheLesseeshallbedeemedindefaultofthisAgreementifanyofthefollowingoccurs:10.1.1TheLesseefailstopaytheRentoranyothersumrequiredunderthisAgreementwithindaysofthedatesuchpaymentisdue.10.1.2TheLesseebreachesanyothertermorconditionofthisAgreementandfailstocuresuchbreachwithindaysafterreceivingwrittennoticefromtheLessor.10.1.3TheLesseeabandonstheLeasedPropertyorceasesbusinessoperationstherein.10.2UpondefaultbytheLessee,theLessorshallhavetherighttoterminatethisAgreementandre-entertheLeasedProperty,removetheLessee'sproperty,andrecoveralldamages,costs,andexpensesincurredasaresultofsuchdefault.11.TerminationandSurrender11.1EitherpartymayterminatethisAgreementupondays'writtennoticetotheotherpartyintheeventofamaterialbreachthatcannotbecuredwithinsuchperiod.11.2UponterminationofthisAgreement,theLesseeshallimmediatelyvacatetheLeasedPropertyandreturnpossessionthereoftotheLessoringoodcondition,normalwearandtearexcepted.11.3TheLessorshallreturntheSecurityDeposittotheLesseewithindaysaftertheexpirationoftheTerm,providedthatallconditionsofthisAgreementhavebeenmet.12.GoverningLawandJurisdiction12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe,withoutregardtoconflictoflawsprinciples.12.2AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe,orinthecourtsof,attheLessor'ssolediscretion.13.Miscellaneous13.1ThisAgreementconstitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.13.2AnyamendmentsormodificationstothisAgreementmustbeinwritingand
