2025国际贸易合同样本英文版**INTERNATIONALTRADECONTRACT****SEPTEMBER2025****THISINTERNATIONALTRADECONTRACT("Contract")isenteredintoonthis1stdayofSeptember2025,byandbetween:****(1)("Exporter"),acompanyincorporatedunderthelawsof,withitsregisteredofficeat("Exporter"),and****(2)("Importer"),acompanyincorporatedunderthelawsof,withitsregisteredofficeat("Importer").****WHEREAS,theExporteragreestosupplyandtheImporteragreestopurchasecertaingoodsasdescribedinthisContract;now,THEREFORE,thepartiesagreeasfollows:****1.SCOPEOFSUPPLY**1.1TheExportershallsupplytotheImporterthefollowinggoods(the"Goods"):ProductName:ProductSpecifications:Quantity:UnitPrice:(currency:)TotalAmount:(currency:)1.2TheGoodsshallbesuppliedinaccordancewiththetermsandconditionssetforthinthisContract.**2.PAYMENTTERMS**2.1TheImportershallpaythetotalamountof(currency:)(the"TotalPrice")totheExporterinaccordancewiththefollowingterms:PaymentMethod:FirstPayment:SecondPayment:(ifapplicable)2.2Allpaymentsshallbemadetothefollowingaccount:BankName:AccountHolder:AccountNumber:SWIFTCode:2.3Latepaymentsshallincurapenaltyof%permonth,calculatedontheoutstandingamount.**3.DELIVERYANDSHIPMENT**3.1TheGoodsshallbedeliveredfrom(the"PortofLoading")to(the"PortofDestination").3.2Theestimatedshipmentdateis,andtheGoodsshallbeloadedonboardavesselof(the"Carrier"),named,withtheVoyageNumber,andtheBillofLadingNumber.3.3TheImportershallberesponsibleforallrisksandcostsrelatedtotheGoodsoncetheyhavebeenloadedonboardtheCarrier.3.4TheExportershallendeavortoprovidetheImporterwithupdatedinformationregardingtheshipmentstatus,includingtheestimatedtimeofarrival.**4.INSURANCE**4.1TheExportershallarrangefortheinsuranceoftheGoodsforthefullvalueagainstallrisksoflossordamageduringtransit.4.2Thepolicyofinsuranceshallbeunderwrittenbyareputableinsurancecompanyandshallbecumpedforthevoyagefromto.**5.INTELLECTUALPROPERTYRIGHTS**5.1TheExporterguaranteesthatithastherighttosupplytheGoodsandthattheGoodsdonotinfringeuponanyintellectualpropertyrightsofthirdparties.5.2TheImporteracknowledgesthatalltrademarks,patents,copyrights,andotherintellectualpropertyrightsintheGoodsremainthepropertyoftheExporterunlessotherwisespecifiedinwriting.5.3Intheeventofanyclaimofintellectualpropertyrightsinfringement,theExportershalldefendandindemnifytheImporteragainstallclaims,losses,damages,andexpensesarisingtherefrom.**6.QUALITYANDWARRANTY**6.1TheGoodsshallconformtothespecificationsandstandardsprovidedinthisContract.6.2TheExportershallprovideawarrantyfortheGoodsagainstanydefectsinmaterialorworkmanshipforaperiodof(the"WarrantyPeriod").6.3DuringtheWarrantyPeriod,theExportershall,atitsownexpense,repairorreplaceanydefectiveGoods,providedthatthedefectarisesfrommaterialsorworkmanship.**7.INDEMNITY**7.1TheExportershallindemnifyandholdtheImporterharmlessfromanyclaims,losses,ordamagesarisingfromthebreachofthisContractbytheExporteroritsagentsoremployees.7.2TheImportershallindemnifyandholdtheExporterharmlessfromanyclaims,losses,ordamagesarisingfromthebreachofthisContractbytheImporteroritsagentsoremployees.**8.FORCEMAJUEE**8.1NeitherpartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthisContractifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,strikes,riots,governmentactions,ornaturaldisasters(the"ForceMajeureEvent").8.2IfaForceMajeureEventpreventseitherpartyfromfulfillingitsobligationsunderthisContract,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheForceMajeureEvent.8.3IftheForceMajeureEventcontinuesforaperiodofconsecutivedays,eitherpartymayterminatethisContractbywrittennotice.**9.DISPUTERESOLUTION**9.1AlldisputesarisingoutoforinconnectionwiththisContractshallfirstberesolvedbyfriendly协商betweentheparties.9.2Ifthepartiesfailtoreachamutuallyacceptableagreementwithindaysofthedisputearising,themattershallbereferredtoformediation.9.3Ifmediationfailstoresolvethedisputewithindays,eitherpartymaybringthemattertoarbitrationinaccordancewiththerulesof,ortoacourtofcompetentjurisdiction.**10.GOVERNINGLAW**10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2AnylegalactionorproceedingarisingoutoforrelatedtothisContractshallbeexclusivelybroughtinthecourtsof.**11.MODIFICATIONSANDAMENDMENTS**11.1AnymodificationoramendmenttothisContractshallbeinwritingandsignedbybothpartiestobeeffective.11.2NowaiverofanyprovisionofthisContractshallbedeemedtobeawaiverofanyotherprovisionorawaiverofthatprovisiononanyotheroccasion.**12.MISCELLANEOUS**12.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten,relatingtothesubjectmatterofthisContract.12.2IfanyprovisionofthisContractisfoundtobeinvalidorunenfo
