2025年商务英语口语合同协议ThisContract("Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[PartyALegalName],havingitsprincipalplaceofbusinessat[PartyAAddress]("PartyA")and[PartyBLegalName],havingitsprincipalplaceofbusinessat[PartyBAddress]("PartyB").RecitalsWHEREAS,PartyAandPartyBwishtoengageinabusinessrelationshipinvolvingtheprovisionof[Brieflydescribeservicesorproducts]byPartyAtoPartyB;WHEREAS,thepartieshavehaddiscussionsconcerningthetermsandconditionsunderwhichsuchengagementshouldtakeplace;andWHEREAS,thepartieshaveagreeduponthefollowingtermsandconditions,whichareintendedtoformthebasisoftheiragreement.1.DefinitionsandInterpretationsInthisAgreement,unlessthecontextotherwiserequires:a)"Services"shallmeanthe[Detaileddescriptionofservices,includingscope,standards,andanyspecificrequirementsdiscussedverbally]tobeprovidedbyPartyAtoPartyB.b)"Products"shallmeanthe[Detaileddescriptionofproducts,includingspecifications,quantities,qualitystandards,andanyspecificrequirementsdiscussedverbally]tobesuppliedbyPartyAtoPartyB.c)"GoverningLaw"shallmeanthelawsof[SpecifyJurisdiction,e.g.,theStateofNewYorkortheCountryoftheUnitedKingdom]withoutregardtoitsconflictoflawprinciples.d)"EffectiveDate"shallmeanthedatefirstsetforthabove.e)"Notice"shallmeananynotice,request,demand,orothercommunicationrequiredorpermittedunderthisAgreementthatshallbeinwritinganddeliveredaccordingtotheprovisionsofSection12.2.TermandCommencementa)ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforaperiodof[SpecifyTerm,e.g.,one(1)year]("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.b)TheTermmaybeextendedbymutualwrittenagreementoftheparties.3.Services/ProductsPartyAagreestoprovidetheServicesandPartyBagreestoacceptandpayfortheServicesinaccordancewiththetermsandconditionssetforthinthisAgreement.ThedescriptionoftheServicesisdetailedinSection1(a).PartyAagreestosupplytheProductsandPartyBagreestoreceiveandpayfortheProductsasdescribedinSection1(b).AllspecificationsandstandardsforbothServicesandProductsshallbeasdiscussedandagreeduponbetweentheparties.4.PriceandPaymenta)InconsiderationfortheprovisionofServicesandthesupplyofProducts,PartyBshallpayPartyAthesumof[SpecifyPrice,e.g.,OneHundredThousandUnitedStatesDollars($100,000.00)]("Price").b)ThePriceshallbedueandpayablewithin[SpecifyNumber,e.g.,thirty(30)]daysafterthedatePartyBreceivesinvoicefromPartyAfortheServicesrenderedorProductssupplied.c)Paymentshallbemadeby[SpecifyMethod,e.g.,wiretransfer]tothebankaccountofPartyAprovidedbelow:BankName:[BankName]AccountNumber:[AccountNumber]AccountHolder:[PartyALegalName]5.PaymentTermsa)AllpaymentsunderthisAgreementshallbemadewithoutset-off,counterclaim,orotheroffsetagainstanyotherclaimordemand.b)PartyAshallprovidePartyBwithaninvoiceforeachpaymentrequest,detailingtheServicesrenderedorProductssuppliedandtheapplicablecharges.6.DeliveryandPerformancea)PartyAshalldelivertheServicestoPartyBstartingon[SpecifyStartDate]andshallperformtheServicesoverthedurationoftheTerm.b)PartyBshallprovidePartyAwithallnecessaryinformationandaccessrequiredforPartyAtoperformitsobligationsunderthisAgreementinatimelymanner.c)PartyAshalldelivertheProductstoPartyBat[SpecifyDeliveryAddress]nolaterthantheendoftheTerm,orasotherwisemutuallyagreedinwriting.7.Acceptancea)PartyBshallhavetherighttoinspecttheServicesandProductspriortoacceptance.Acceptanceshallbedeemedtohaveoccurred[SpecifyTimeframe,e.g.,withinten(10)days]afterdelivery.b)IfPartyBdoesnotobjecttotheServicesorProductsinwritingwithintheperiodspecifiedabove,acceptanceshallbedeemedtohaveoccurred.8.IntellectualPropertyRightsa)PartyAshallownallrights,title,andinterestinandtotheServicesprovidedunderthisAgreement.b)PartyBshallhaveanon-exclusive,royalty-freelicensetousetheServicessolelyforthepurposeof[SpecifyPurpose]duringtheTermofthisAgreement.c)AllintellectualpropertyrightsintheProductssuppliedunderthisAgreementshallremainthepropertyofPartyA,andPartyBshallhavenogreaterrightsthanthoseexpresslygrantedherein.9.Confidentialitya)Eachpartyshallholdtheconfidentialinformationoftheotherpartyinstrictconfidenceandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.b)"ConfidentialInformation"shallmeananyandallnon-publicinformation,whethertangibleorintangible,concerningtheotherparty,includingbutnotlimitedtobusinessplans,financialdata,customerlists,andtechnicalinformation.c)ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[SpecifyDuration,e.g.,two(2)years]aftertheendoftheTerm.10.Liabilitya)Eachpartyshallbeliablefordamagesonlyintheamountofactualdamagessufferedbytheinjuredparty,directandconsequentialdamagesshallnotberecoverable.b)Neitherpartyshallbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.11.ForceMajeurea)NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaforcemajeureevent.b)"ForceMajeure"shallmeananyeventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,naturaldisasters,governmentalactions,orfailureofessentialservices.c)Theaffectedpartyshallpromptlynotifytheotherpartyofanyforcemajeureeventandshallusereasonableeffortstomitigateitseffects.12.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygiven:a)Whendeliveredpersonally;b)Upontransmissionbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested;c)Upontransmissionbyovernightcourierservice;d)Byemailtotheaddressessetforthbelow.Theaddressesfornoticesareasfollows:PartyA:[InsertEmailAddressforPartyA]PartyB:[InsertEmailAddressforPartyB]13.GoverningLawandDisputeResolutiona)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction].b)Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]pursuanttothe[SpecifyArbitrationRules,e.g.,ICCRulesofArbitration]adoptedon[InsertDate].Theplaceofarbitrationshallbe[SpecifyCityandCountry].14.EntireAgreementThisAgreement,includingtheattachmentshereto(ifany),constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten,betweentheparties.15.AmendmentsNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbevalidunlessinwritingandsigne
