2025年国际贸易货物买卖合同协议ThisInternationalTradeGoodsSalesContractAgreement("Contract")ismadeandenteredintoon[InsertDate],in[InsertPlace],byandbetween:[InsertFullLegalNameofSeller],havingitsprincipalplaceofbusinessat[InsertSeller'sRegisteredAddress]("Seller"),and[InsertFullLegalNameofBuyer],havingitsprincipalplaceofbusinessat[InsertBuyer'sRegisteredAddress]("Buyer").WHEREAS,Sellerdesirestosellanddeliver,andBuyerdesirestopurchaseandreceive,certaingoods("Goods")asmorefullydescribedherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:1.DescriptionofGoodsTheGoodsbeingsoldunderthisContractare[InsertDetailedDescriptionofGoods,includingName,Model,Grade/Specification],withatotalquantityof[InsertQuantity][InsertUnitofMeasurement](the"Goods").TheunitpriceoftheGoodsis[InsertUnitPrice][InsertCurrency](the"UnitPrice").ThetotalvalueoftheGoodsis[InsertTotalAmount][InsertCurrency](the"TotalAmount").TheGoodsshallcomplywiththespecificationsasper[Insertrelevantstandardorspecification,e.g.,thesamplesagreedupononDate/thedrawingsattachedheretoasExhibitA/InternationalStandardISO[Number]/NationalStandardGB[Number]](the"QualityStandard").ThepackagingoftheGoodsshallbe[Describepackagingrequirements,e.g.,inseaworthywoodencrates,insealedbags,accordingtointernationaltradepractices],suitableforlong-distanceseatransportation.2.TradeTermsThetradetermsforthesaleoftheGoodsunderthisContractshallbe[InsertIncoterms®term,e.g.,CIFShanghai(Incoterms®2020)].AllrisksoflossordamagetotheGoodsshallpassfromSellertoBuyerupon[DescribethepointofrisktransferaccordingtothechosenIncoterms®,e.g.,thegoods'deliveryonboardthevesselattheportofShanghai/theGoods'arrivalattheportofdestination].3.PriceTermsandCurrencyThepricefortheGoodsisfixedandshallbepaidin[InsertContractCurrency](the"ContractCurrency").TheTotalAmountof[InsertTotalAmount][InsertCurrency]representsthepricefortheGoodsunderthisContractandincludes[Specifywhatisincludedintheprice,e.g.,CIFcosts,insurance,andfreighttotheportofdestination/alltaxesandduties].Thepriceis[Insert"fixed"or"subjecttoadjustmentunderClause5"].4.PaymentTermsThepaymentfortheGoodsshallbemadeby[InsertPaymentMethod,e.g.,T/T/L/C]asfollows:[IfT/T]:(a)Adepositof[InsertPercentage]%oftheTotalAmount,i.e.,[InsertDepositAmount][InsertCurrency],shallbepaidbyBuyertoSellerwithin[InsertNumber]daysafterthesigningofthisContract.(b)Thebalanceof[InsertPercentage]%oftheTotalAmount,i.e.,[InsertBalanceAmount][InsertCurrency],shallbepaidbyBuyertoSellerwithin[InsertNumber]daysaftertheissuanceoftheBillofLading/ShippingAdvicebySeller.[IfL/C]:(a)Anirrevocable[Insert"Sight"or"Usance"]LetterofCreditinfavorofSeller,coveringtheTotalAmountof[InsertTotalAmount][InsertCurrency],shallbeopenedbyBuyerthroughitsbanknolaterthan[InsertDate].(b)TheL/Cmustpermitpartialshipmentsandtransshipment.(c)TheL/Cshallbeavailableby[Insert"T/T"or"D/Patsight"orotherdraftterms]againstthepresentationoftherequireddocumentsbySellerasdefinedinClause6.Allbankchargesincurredinthecourseofpaymentshallbeborneby[Insert"Buyer"or"Seller"].5.ShipmentTheGoodsshallbeshippedfrom[InsertPortofShipment]to[InsertPortofDestination]by[InsertTransportMode,e.g.,sea/air]duringtheperiodfrom[InsertStartDate]to[InsertEndDate].Theshippingline/airlineandvessel/flightnumbershallbe[SpecifyifSeller'schoiceormutualagreement,e.g.,arrangedbySeller]andshallbeinformedtoBuyerwithoutdelay.Thetransportationdocumenttobeissuedshallbe[InsertDocumentType,e.g.,CleanOnBoardOceanBillofLading/AirWaybill].6.DocumentsSellershallprovideBuyerwiththefollowingdocumentsby[InsertDate/DeliveryDeadlinebeforeshipment]:(1)CommercialInvoicein[InsertNumber]copiesinEnglish.(2)PackingListin[InsertNumber]copiesinEnglish.(3)BillofLading/AirWaybillin[InsertNumber]copiesin[Specifylanguage,e.g.,English],[Specifytype,e.g.,CleanOnBoard].(4)CertificateofOriginin[InsertNumber]copiesissuedby[Insertissuingauthority,e.g.,theChamberofCommerce]in[Specifylanguage,e.g.,English].(5)[Insertanyotherrequireddocuments,e.g.,InspectionCertificate,QualityCertificate,License].7.Insurance[IfSellerisresponsibleunderIncoterms®likeCIF]:TheSellershall,atitsownexpense,procuremarineinsurancecoveringatleast[InsertPercentage]%oftheTotalAmountfortheGoodsagainstallrisksasperthe[InsertInsuranceClause,e.g.,InstituteCargoClauses(A)/InstituteCargoClauses(C)]publishedbytheInstituteofLondonUnderwriters,includingbutnotlimitedtolossordamagetotheGoodsduringthecarriagebyseafromtheportofshipmenttotheportofdestinationnamedinthisContract.Therelevantinsurancecertificateshallbeissuedin[Specifylanguage]andforwardedtoBuyerimmediatelyafterissuance.8.QualityGuaranteeandInspection(1)TheGoodsshallbeofgoodqualityandconformtotheQualityStandard.(2)TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[InsertNumber]monthsfromthedateofarrivalattheportofdestination(the"WarrantyPeriod").(3)TheBuyershallhavetherighttoconductinspectionoftheGoodsatthe[InsertPortofShipment/PortofDestination]within[InsertTimeframe]daysafterarrival,attheexpenseoftheBuyer.Theinspectionresultsshallbefinalifacceptabletobothparties.Ifnotacceptable,theBuyershallnotifytheSellerinwritingwithin[InsertNumber]daysaftertheinspection,togetherwithrelevantsupportingdocuments.IftheSellercorrectsthedefectswithintheWarrantyPeriod,thecostsshallbebornebytheSeller.9.Marking,Packaging,LabelingTheGoodsshallbemarkedwithshippingmarksasagreeduponorasrequiredbytheIncoterms®termchosen.ThepackagingshallcomplywiththerequirementsspecifiedinClause1.10.GoverningLawandDisputeResolution(1)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction,e.g.,thePeople'sRepublicofChina].(2)AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheparties.Ifthedisputecannotbesettledthroughnegotiationwithin[InsertNumber]days,thepartiesshallsubmitthedisputeto[InsertArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitrationaccordingtothearbitrationrulesof[InsertArbitrationInstitution]effectiveatthetimeofsubmission.Theplaceofarbitrationshallbe[InsertCity,e.g.,Shanghai].Thelanguageofarbitrationshallbe[InsertLanguage,e.g.,English].Thearbitralawardshallbefinalandbindinguponbothparties.[Alternatively,iflitigationischosen:AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtothecompetentpeople'scourthavingjurisdictionat[InsertCity,e.g.,Shanghai]].11.ForceMajeureIfeitherpartyisunabletoperformitsobligationsunderthisContractduetoForceMajeure,whichitcouldnotreasonablypreventorovercome,suchpartyshallpromptlynotifytheotherpartyinwritingoftheoccurrenceanditsexpectedduration.TheaffectedpartyshallbeexemptfromliabilityorresponsiblefordelayinperformingitsobligationsduringtheForceMajeureperiod.IftheForceMajeurecontinuesformorethan[InsertNumber]months,eitherpartyshallhavetherighttoterminatethisContractbygivingwrittennoticetotheotherparty.12.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,sentbyregisteredpost,airmailwithproofofdelivery,orsentbyrecognizedcourierservicetotheaddressessetforthinthefirstparagraphofthisContractortosuchotheraddressaseitherpartymaydesignateinwriting.13.EntireAgreementThisContract,includingitsAnnexesifany,constitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.14.AmendmentsAnyamendmentormodificationofthisContractshallbevalidonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.15.SeverabilityIfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,thevalidity,legality,andenforceabilityofthe
