第三方服务保密协议（中文版）甲方（委托方）：________________________统一社会信用代码：________________________地址：________________________联系方式：________________________乙方（第三方服务提供方）：________________________统一社会信用代码：________________________地址：________________________联系方式：________________________鉴于甲方因业务发展需要，委托乙方提供________________________服务（以下简称“本服务”），双方已就本服务签订《________________________服务协议》（协议编号：________________________）。在本服务履行过程中，甲方需向乙方披露相关保密信息，乙方也可能在服务过程中接触、知悉甲方的保密信息。为保护甲方的商业秘密和合法权益，明确双方的保密责任，根据《中华人民共和国民法典》等相关法律法规，甲乙双方本着平等自愿、诚实信用的原则，达成如下保密协议，以资共同遵守：一、保密信息的定义及范围1.1本协议所称“保密信息”，是指甲方为履行本服务而向乙方披露的，或乙方在提供本服务过程中接触、知悉的，甲方未公开的，具有商业价值或其他保密价值的所有信息，无论以书面、口头、电子数据、实物等何种形式存在。1.2保密信息具体包括但不限于：（1）技术类信息：技术方案、技术图纸、技术参数、软件程序、数据库、研发成果、实验数据、技术诀窍等；（2）经营类信息：商业计划、经营策略、客户名单、供应商信息、销售数据、财务报表、定价体系、招投标文件、商业谈判记录等；（3）服务相关信息：本服务的具体要求、实施方案、工作进度、成果文件、甲方内部对本服务的审批流程及讨论记录等；（4）其他类信息：甲方的内部管理制度、人员信息、未公开的重大决策、与第三方签订的合作协议及相关信息等。1.3乙方确认，甲方通过口头、演示等非书面形式披露的保密信息，一经甲方明确告知该信息为保密信息，即适用本协议的保密要求；甲方后续以书面形式对该等信息进行确认的，不影响乙方已承担的保密义务。二、保密义务2.1乙方承诺，对其接触、知悉的所有保密信息严格保密，不得向任何第三方泄露、披露、传播，不得为履行本服务以外的任何目的使用该保密信息。2.2乙方应建立健全内部保密管理制度，明确专人负责保密信息的管理，采取加密、备份、限制访问等必要的技术和管理措施，防止保密信息被泄露、篡改、丢失。2.3乙方仅可将保密信息披露给其内部因提供本服务而必须知悉该信息的工作人员，且应提前向该等工作人员告知本协议的保密要求，并确保该等工作人员遵守本协议约定；乙方对其工作人员的违反保密义务的行为承担连带责任。2.4本服务终止或解除后，乙方应立即停止使用甲方的保密信息，并在甲方要求的期限内（最长不超过30日），将所有涉及保密信息的文件、资料、电子数据、设备等原件及复印件全部返还给甲方，或按照甲方的要求予以销毁，并出具加盖乙方公章的书面销毁证明；乙方不得留存任何形式的保密信息备份。2.5乙方不得利用保密信息为自己或任何第三方谋取不正当利益，不得将保密信息用于与本服务无关的其他项目或业务。2.6如乙方发现保密信息可能或已经泄露，应立即采取有效措施阻止泄露范围扩大，并在24小时内书面通知甲方，说明泄露的情况、已采取的措施及后续防范方案。三、保密信息的例外情形3.1法律法规或司法机关、行政机关的强制性规定要求乙方披露保密信息的，乙方应在披露前及时书面通知甲方，并在甲方的指导下进行披露，且仅披露符合规定的最小范围的信息；乙方应积极配合甲方采取必要的措施维护甲方的合法权益。3.2已为公众所知悉的信息，且该信息的公开并非因乙方的违约行为导致。3.3乙方在甲方披露之前已合法拥有或独立开发的信息，且有充分证据予以证明。3.4从第三方合法获取的信息，且第三方对该信息无保密义务，乙方在获取时不知晓该信息存在保密瑕疵。四、违约责任4.1如乙方违反本协议约定，泄露、披露或不当使用甲方的保密信息，应立即停止违约行为，并向甲方支付违约金人民币______元；若该违约金不足以弥补甲方的实际损失，乙方还应赔偿甲方的差额部分。4.2甲方的实际损失包括但不限于直接经济损失、间接经济损失（如客户流失、业务中断、商誉受损等）、律师费、诉讼费、保全费、调查取证费、公证费等为维权支出的合理费用。4.3如因乙方违反本协议约定导致甲方的商业秘密被侵犯，甲方有权单方解除《________________________服务协议》，并要求乙方承担由此给甲方造成的一切损失；构成犯罪的，甲方有权向司法机关报案，追究乙方及相关责任人的刑事责任。4.4如乙方的工作人员违反本协议约定，视为乙方违约，乙方应承担本条约定的全部违约责任。五、协议的生效与期限5.1本协议自双方签字或盖章之日起生效，与《________________________服务协议》具有同等法律效力。5.2本协议约定的保密义务期限为自本协议生效之日起至保密信息成为公开信息之日止；即使《________________________服务协议》终止或解除，本协议约定的保密义务仍然有效。六、争议解决因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。七、其他4.1本协议是《________________________服务协议》的补充协议，与《________________________服务协议》约定不一致的，以本协议为准；本协议未尽事宜，双方可另行签订补充协议，补充协议与本协议具有同等法律效力。4.2本协议一式两份，甲乙双方各执一份，具有同等法律效力。（以下无正文）甲方（盖章）：________________________法定代表人或授权代表人（签字）：________________________日期：______年______月______日乙方（盖章）：________________________法定代表人或授权代表人（签字）：________________________日期：______年______月______日

EnglishVersionPartyA(EntrustingParty):________________________UnifiedSocialCreditCode:________________________Address:________________________ContactInformation:________________________PartyB(Third-PartyServiceProvider):________________________UnifiedSocialCreditCode:________________________Address:________________________ContactInformation:________________________WhereasPartyAneedstoentrustPartyBtoprovide______________services(hereinafterreferredtoas"theServices")forthedevelopmentofitsbusiness,andbothpartieshavesignedthe_______________________ServiceAgreement(AgreementNo.:_______________________)inrespectoftheServices.InthecourseofperformingtheServices,PartyAneedstodiscloserelevantconfidentialinformationtoPartyB,andPartyBmayalsoaccesstoandbecomeawareofPartyA'sconfidentialinformationinthecourseofprovidingtheServices.ToprotectPartyA'stradesecretsandlegitimaterightsandinterests,andclarifytheconfidentialityresponsibilitiesofbothparties,inaccordancewiththeCivilCodeofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,bothparties,ontheprincipleofequality,voluntarinessandgoodfaith,reachthefollowingconfidentialityagreementtobejointlyobserved:1.DefinitionandScopeofConfidentialInformation1.1"ConfidentialInformation"asusedinthisAgreementreferstoallinformationdisclosedbyPartyAtoPartyBfortheperformanceoftheServices,oraccessedtoandbecomeawareofbyPartyBinthecourseofprovidingtheServices,whichisnotmadepublicbyPartyAandhascommercialvalueorotherconfidentialvalue,regardlessoftheform(written,oral,electronicdata,physical,etc.)inwhichitexists.1.2Confidentialinformationspecificallyincludesbutisnotlimitedto:(1)Technicalinformation:technicalschemes,technicaldrawings,technicalparameters,softwareprograms,databases,R&Dachievements,experimentaldata,technicalknow-how,etc.;(2)Businessinformation:businessplans,businessstrategies,customerlists,supplierinformation,salesdata,financialstatements,pricingsystems,biddingdocuments,businessnegotiationrecords,etc.;(3)Service-relatedinformation:specificrequirements,implementationplans,workprogress,achievementdocumentsoftheServices,approvalprocessesanddiscussionrecordsofPartyA'sinternalontheServices,etc.;(4)Otherinformation:PartyA'sinternalmanagementsystems,personnelinformation,undisclosedmajordecisions,cooperationagreementssignedwiththirdpartiesandrelatedinformation,etc.1.3PartyBconfirmsthattheconfidentialinformationdisclosedbyPartyAinnon-writtenformssuchasoralanddemonstrationshallbesubjecttotheconfidentialityrequirementsofthisAgreementoncePartyAclearlyinformsthattheinformationisconfidentialinformation;thesubsequentwrittenconfirmationofsuchinformationbyPartyAshallnotaffecttheconfidentialityobligationsalreadyassumedbyPartyB.2.ConfidentialityObligations2.1PartyBundertakestostrictlykeepconfidentialallconfidentialinformationithasaccessedtoorbecomeawareof,andshallnotdisclose,reveal,disseminatetoanythirdparty,orusetheconfidentialinformationforanypurposeotherthanperformingtheServices.2.2PartyBshallestablishandimproveinternalconfidentialmanagementsystems,designatespecialpersonnelresponsibleforthemanagementofconfidentialinformation,andtakenecessarytechnicalandmanagementmeasuressuchasencryption,backupandaccessrestrictiontopreventconfidentialinformationfrombeingdisclosed,tamperedwithorlost.2.3PartyBmayonlydisclosetheconfidentialinformationtoitsinternalstaffwhomustknowtheinformationforprovidingtheServices,andshallinformsuchstaffoftheconfidentialityrequirementsofthisAgreementinadvanceandensurethatsuchstaffcomplywiththeprovisionsofthisAgreement;PartyBshallbejointlyandseverallyliablefortheactsofitsstaffinviolatingtheconfidentialityobligations.2.4AftertheterminationorrescissionoftheServices,PartyBshallimmediatelystopusingPartyA'sconfidentialinformation,andwithinthetimelimitrequiredbyPartyA(nomorethan30daysatmost),returnalloriginalandcopieddocuments,materials,electronicdata,equipmentandotheritemsinvolvingconfidentialinformationtoPartyA,ordestroytheminaccordancewithPartyA'srequirements,andissueawrittendestructioncertificatesealedwithPartyB'sofficialseal;PartyBshallnotretainanyformofbackupofconfidentialinformation.2.5PartyBshallnotusetheconfidentialinformationtoseekimproperinterestsforitselforanythirdparty,andshallnotusetheconfidentialinformationforotherprojectsorbusinessesunrelatedtotheServices.2.6IfPartyBfindsthatconfidentialinformationmayorhasbeendisclosed,itshallimmediatelytakeeffectivemeasurestopreventtheexpansionofthedisclosurescope,andnotifyPartyAinwritingwithin24hours,explainingthesituationofthedisclosure,themeasuresalreadytakenandthesubsequentpreventionplan.3.ExceptionstoConfidentialInformation3.1IflawsandregulationsormandatoryprovisionsofjudicialorgansoradministrativeorgansrequirePartyBtodiscloseconfidentialinformation,PartyBshallnotifyPartyAinwritinginatimelymannerbeforedisclosure,anddiscloseinaccordancewithPartyA'sguidance,andonlydisclosetheminimumscopeofinformationthatmeetstherequirements;PartyBshallactivelycooperatewithPartyAtotakenecessarymeasurestosafeguardPartyA'slegitimaterightsandinterests.3.2Informationthatisalreadyknowntothepublic,andthedisclosureofsuchinformationisnotcausedbyPartyB'sbreachofcontract.3.3InformationthatPartyBlegallyownedorindependentlydevelopedbeforethedisclosurebyPartyA,andhassufficientevidencetoproveit.3.4Informationlegallyobtainedfromathirdparty,andthethirdpartyhasnoconfidentialityobligationfortheinformation,andPartyBwasnotawareoftheexistenceofconfidentialitydefectsintheinformationwhenobtainingit.4.LiabilityforBreachofContract4.1IfPartyBviolatestheprovisionsofthisAgreementbydisclosing,revealingorimproperlyusingPartyA'sconfidentialinformation,itshallimmediatelystopthebreachofcontractandpayPartyAaliquidateddamagesofRMB______;iftheliquidateddamagesareinsufficienttocoverPartyA'sactuallosses,PartyBshallalsocompensatePartyAforthedifference.4.2PartyA'sactuallossesincludebutarenotlimitedtodirecteconomiclosses,indirecteconomiclosses(suchascustomerloss,businessinterruption,damagetogoodwill,etc.),attorneyfees,litigationfees,propertypreservationfees,investigationandevidencecollectionfees,notarizationfeesandotherreasonableexpensesincurredforrightsprotection.4.3IfPartyA'stradesecretsareinfringedduetoPartyB'sviolationoftheprovisionsofthisAgreement,PartyAhastherighttounilaterallyrescindthe________________________ServiceAgreementandrequirePartyBtobearalllossescausedtoPartyAthereby;ifacrimeisconstituted,PartyAhastherighttoreporttothejudicialorganandpursuethecriminalliabilityofPartyBandtherelevantresponsiblepersons.4.4IfPartyB'sstaffviolatestheprovisionsofthisAgreement,itshallbedeemedasPartyB'sbreachofcontract,andPartyBshallbearalltheliabilityforbreachofcontractagreedinthisArticle.5.EffectivenessandTermoftheAgreement5.1ThisAgreementshalltakeeffectonthedateofsignatureorsealbybothpartiesandhasthesamelegaleffectasthe________________________ServiceAgreement.5.2ThetermoftheconfidentialityobligationagreedinthisAgreementshallbefromtheeffectivedateofthisAgreementuntiltheconfidentialinformationbecomespublicinformation;evenifthe________________________ServiceAgreementisterminatedorrescinded,theconfidentialityobligationagreedinthisA
