2025年数字资产管理系统协议PartiesThisAgreementisenteredintoonthis[Day]dayof[Month],2025,byandbetween[ServiceProviderName],acompanyincorporatedunderthelawsof[ProviderJurisdiction]withitsprincipalplaceofbusinessat[ProviderAddress]("ServiceProvider"),and[UserName/CompanyName],anindividual/companyresidingat[UserAddress]("User").BackgroundandPurposeWHEREAS,ServiceProviderhasdeveloped,owns,oroperatesaDigitalAssetManagementSystem(DAMS)capableoffacilitatingthestorage,management,andpotentialtransferofDigitalAssets;andWHEREAS,UserdesirestoutilizetheDAMSprovidedbyServiceProviderforthepurposeofmanagingUser'sDigitalAssets;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:DefinitionsandInterpretations1."DigitalAsset"meansanytoken,code,currency,orotheritemofvaluethatisstoredonoraccessiblethroughablockchainnetwork,includingbutnotlimitedtocryptocurrencies,utilitytokens,non-fungibletokens(NFTs),andotherdigitalrepresentationsofvalue,unlessotherwisespecifiedbyapplicablelaw.2."DAMS"meansthedigitalassetmanagementsystemprovidedbyServiceProvider,includingitssoftware,hardware,infrastructure,andrelatedservices,asmadeavailabletoUservia[specifyaccessmethod,e.g.,theinternetat].3."Account"meanstheuser-specificelectronicaccesstotheDAMScreatedforandidentifiedbyUser.4."PrivateKey(s)/Control"meansthesecretcryptographickey(s)orothermeansbywhichUserhastheabilitytoaccessandcontroltheDigitalAssetsstoredwithintheDAMSunderUser'sAccount,asdefinedbythetechnologyutilizedbytheDAMS.5."ServiceProvider"means[ServiceProviderName],itsaffiliates,successors,andassigns.6."User"means[UserName/CompanyName],itsaffiliates,successors,andassigns.7."ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyeitherPartytotheother,includingwithoutlimitationtechnicaldata,businessplans,financialinformation,customerlists,sourcecode,andUserdata,regardlessoftheformofdisclosure.8."LawsandRegulations"meansallapplicablelaws,regulations,ordinances,andotherauthoritativerulesandrequirementsofanyjurisdictioninwhichthepartiesortheirassetsarelocated,includingbutnotlimitedtothoserelatedtoinformationtechnology,dataprotection,anti-moneylaundering,anddigitalassets.ServiceDescription1.SubjecttothetermsofthisAgreementandServiceProvider'spublishedserviceavailability,ServiceProvidershallprovideUserwithaccesstotheDAMS,enablingUserto[describecorefunctions,e.g.,storecertaintypesofDigitalAssetsinsecuredigitalwallets,viewtransactionhistories,initiatetransfersofDigitalAssetsbetweenaddressescontrolledbyUser'sAccount,andaccessmarketdatarelatedtoDigitalAssets].2.TheDAMSshallbemadeavailablethrough[specifyaccessmethod]duringnormalbusinesshours,definedas[specifyhours,e.g.,24hoursaday,7daysaweek],excludingscheduledmaintenanceperiodsduringwhichServiceProviderwillprovidereasonablenotice.3.ServiceProvidershallprovidetechnicalsupporttoUserregardingtheDAMS,includingassistancewithAccountregistrationissues,generalusagequestions,andtroubleshootingstandardtechnicalproblems,primarilythrough[specifychannels,e.g.,adedicatedsupportportal,emailsupport@,orphonesupportat+1-XXX-XXX-XXXX].UserAccountandSecurity1.UserrepresentsandwarrantsthatUseriseligibletoenterintothisAgreementandisnotlocatedinajurisdictionwheretheuseofDAMSorDigitalAssetsisprohibited.2.UseragreestoprovideaccurateandcompleteinformationwhenregisteringforanAccountandtopromptlyupdatesuchinformationifitbecomesinaccurateorincomplete.3.UserissolelyresponsibleformaintainingtheconfidentialityofUser'sAccountcredentials(includingbutnotlimitedtopasswords,two-factorauthenticationcodes,andanybackupphrasesorkeys)andforallactivitiesthatoccurundertheUser'sAccount.UseragreestonotifyServiceProviderimmediatelyofanyunauthorizeduseofUser'sAccountoranyotherbreachofsecurity.4.ServiceProvidershallimplementcommerciallyreasonablesecuritymeasurestoprotecttheDAMSandUserdatafromunauthorizedaccess,use,modification,ordisclosure,includingencryptionandaccesscontrols.However,ServiceProviderdoesnotwarrantthattheDAMSwillbeabsolutelysecureorfreefromvulnerabilities.5.Useracknowledgesthatthestorage,transmission,andmanagementofDigitalAssetsinvolverisks,includingbutnotlimitedtolossofPrivateKeys,theft,lossofprivateaccess,andpotentiallossofDigitalAssetsduetohacks,fraud,ortechnicalfailures.ServiceProviderisnotresponsibleforanylossofDigitalAssetsthatoccursduetoUser'slossofPrivateKeys,User'sfailuretofollowsecuritybestpractices,orUser'sactionsoutsidethescopeoftheDAMSfunctionality.UserRightsandObligations1.UsershallhavetherighttoaccessandusetheDAMSinaccordancewiththisAgreementandServiceProvider'sreasonableusagepolicies,subjecttoServiceProvider'stermsofservice(ifany)incorporatedbyreference.2.UseragreestousetheDAMSsolelyforlawfulpurposesandincompliancewithallapplicableLawsandRegulations.3.UserisresponsibleforallactivitiesthatoccurundertheUser'sAccountandagreestoholdServiceProviderharmlessfromanyclaimsarisingfromsuchactivities.4.UseragreestokeepallinformationrelatedtoUser'sAccountsecureandconfidential.5.UseragreestopromptlyreportanysuspectedunauthorizedactivityrelatedtoUser'sAccounttoServiceProvider.6.UsershallbesolelyresponsiblefortheaccuracyofallinformationprovidedtoServiceProviderandforensuringthatUserhasthelegalrighttopossessandtransferanyDigitalAssetsstoredormanagedthroughtheDAMS.7.UseragreestoindemnifyandholdharmlessServiceProviderfromanylosses,damages,liabilities,costs,orexpensesarisingfromUser'sviolationofthisAgreementorUser'suseoftheDAMSinviolationofLawsandRegulations.ServiceFeesandPayment1.UseragreestopayServiceProviderthefeesapplicablefortheuseoftheDAMS,assetforthinthe[specifyfeeschedule,e.g.,"DAMSFeeSchedule"incorporatedbyreferenceordescribedherein].Feesmayinclude,butarenotlimitedto,[describefeetypes,e.g.,amonthlysubscriptionfee,apercentagefeeonDigitalAssettransfers,orstoragefeesbasedontheamountortypeofDigitalAssets].2.Thefeesshallbe[specifycurrency,e.g.,inUnitedStatesDollars($)]andpayableaccordingtothetermsspecifiedintheapplicablefeeschedule[ordescribepaymentterms,e.g.,"onamonthlybasisinadvanceonthefirstdayofeachmonth"].3.Paymentshallbemadevia[specifypaymentmethods,e.g.,banktransfertoServiceProvider'saccountdetailsprovidedseparately,orcryptocurrencytransfertotheaddressprovidedbyServiceProvider].4.Allfeesarenon-refundableexceptasexpresslyprovidedinthisAgreement.Confidentiality1.EachPartyacknowledgesthatithasreceivedaccesstoConfidentialInformationoftheotherPartyduringthecourseofthisAgreement.2.EachPartyagreestokeepallConfidentialInformationoftheotherPartyconfidentialandnottousesuchConfidentialInformationforanypurposeotherthantofulfillitsobligationsunderthisAgreement.3.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementandshallapplytoallinformation,whetherdisclosedduringthetermofthisAgreementorthereafter,thatisorbecomesConfidentialInformation.4.EachPartymaydiscloseConfidentialInformationoftheotherPartyonlyasrequiredbylaw,regulation,orcourtorder,inwhichcaseitshallprovidetheotherPartywithpromptwrittennoticeofsuchdisclosureand,totheextentpracticable,seekaprotectiveorderorotherrelieftolimittheuseordisclosureofsuchConfidentialInformation.IntellectualPropertyRights1.Allright,title,andinterestinandtotheDAMS,includingallsoftware,hardware,databases,interfaces,designs,logos,trademarks,copyrights,patents,tradesecrets,andotherintellectualpropertyrightsrelatedthereto,areandshallremaintheexclusivepropertyofServiceProvideroritslicensors.2.UseracknowledgesthatServiceProvidergrantsUseralimited,non-exclusive,royalty-freelicensetousetheDAMSsolelyforthepurposeofmanagingUser'sDigitalAssetsinaccordancewiththisAgreement.3.Usershallnotmodify,reverseengineer,decompile,disassemble,translate,orcreatederivativeworksoftheDAMSoranyportionthereof.4.UserdatastoredwithintheDAMSmaybeusedbyServiceProviderforoperationalpurposes,systemimprovement,andlegitimatebusinesspurposes,subjecttoUser'srightsunderapplicabledataprotectionlawsandServiceProvider'sprivacypolicy[ifapplicableandseparate].DataPrivacyandProtection1.ServiceProvidershallcollect,use,store,process,andtransferUserdataincompliancewithallapplicableLawsandRegulations,includingbutnotlimitedtotheGeneralDataProtectionRegulation(GDPR),theCaliforniaConsumerPrivacyAct(CCPA),andtheCybersecurityLawofthePeople'sRepublicofChina.2.ServiceProvidershallprovideUserwiththerightsgrantedtothemunderapplicabledataprotectionlaws,includingtherighttoaccess,correct,anddeletetheirpersonaldataheldbyServiceProvider,subjecttotheproceduresandlimitationsoutlinedinsuchlawsandServiceProvider'sprivacypolicy[ifapplicableandseparate].3.ServiceProvidershallimplementreasonableadministrative,technical,andphysicalsafeguardstoprotectUserdatafromunauthorizedaccess,use,modification,ordisclosure.4.UseracknowledgesthatthetransmissionandstorageofUserdataovertheinternetinvolvesrisks,andUseragreesthatServiceProviderisnotliableforanylossormisuseofUserdataresultingfromsuchtransmissionorstorage.LimitationofLiabilityandDisclaimer1.TOTHEFULLESTEXTENTPROVIDEDBYLAW,SERVICEPROVIDER'STOTALLIABILITYTOUSERUNDERTHISAGREEMENTFORALLDAMAGES,LOSSES,CLAIMS,ANDCAUSESOFACTION,INCLUDINGBUTNOTLIMITEDTODIRECT,INDIRECT,SPECIAL,INCIDENTAL,ANDCONSEQUENTIALDAMAGES,SHALLBELIMITEDTOTHEAMOUNTPAIDBYUSERTOSERVICEPROVIDERFORTHEDAMSINTHESIX(6)MONTHSIMMEDIATELYPRECEDINGTHECAUSEOFACTION.INNOEVENTSHALLSERVICEPROVIDER'SLIABILITYEXCEEDTHETOTALFEESPAIDBYUSERTOSERVICEPROVIDERFORTHEDAMSDURINGSUCHSIX(6)MONTHPERIOD.2.EXCEPTASEXPRESSLYSTATEDINTHISAGREEMENT,NEITHERSERVICEPROVIDERNORITSAFFILIATES,OFFICERS,DIRECTORS,EMPLOYEES,AGENTS,ORLICENSORSSHALLBELIABLEFORANYDIRECT,INDIRECT,SPECIAL,INCIDENTAL,ORCONSEQUENTIALDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSSOFPROFITS,LOSSOFDATA,LOSSOFUSE,LOSSOFGOODWILL,ORCLAIMSBYTHIRDPARTIES,WHETHERCAUSEDBYTORT(INCLUDINGNEGLIGENCE),BREACHOFCONTRACT,OROTHERWISE,ARISINGOUTOFORINCONNECTIONWITHTHEUSE,ORINABILITYTOUSE,THEDAMSORTHEDIGITALASSETSSTOREDTHEREIN.3.SERVICEPROVIDERPROVIDESTHEDAMSONAN"ASIS"AND"ASAVAILABLE"BASIS,WITHOUTANYWARRANTIESOFANYKIND,EITHEREXPRESSORIMPLIED.NEITHERSERVICEPROVIDERNORITSAFFILIATES,OFFICERS,DIRECTORS,EMPLOYEES,AGENTS,ORLICENSORSMAKEANYWARRANTYORREPRESENTATIONASTOTHEOPERABILITY,SECURITY,INTEGRITY,RELIABILITY,ORAVAILABILITYOFTHEDAMSORTHATTHEDAMSWILLBEFREEFROMVIRUSES,TAMPERING,HACKING,DISRUPTION,OROTHERSECURITYBREACHES.4.UseracknowledgesandagreesthattheuseofDigitalAssetsandtheDAMSinvolvessignificantrisk,andUsershallbesolelyresponsibleforanylossesincurredfromsuchuse.ServiceProviderisnotresponsibleforanylossofDigitalAssetsresultingfromusererror,user'sfailuretomaintainsecurity,oreventsbeyondServiceProvider'sreasonablecontrol,includingbutnotlimitedtoactsof上帝,terrorism,war,insurrection,civilcommotion,naturaldisasters,governmentactions,orcyberattacks.Indemnification1.Useragreestoindemnify,defend,andholdharmlessServiceProvider,itsaffiliates,officers,directors,employees,agents,andlicensorsfromandagainstanyandallclaims,liabilities,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedto:*User'sbreachofthisAgreementoranyapplicableLawsandRegulations;*User'suseoftheDAMSinamannerthatviolatesthisAgreementorisunlawful,fraudulent,orharmful;*AnyclaimsbythirdpartiesallegingthatUser'suseoftheDAMSinfringesormisappropriatestheirintellectualpropertyrightsorviolatestheirprivacyrights;*User'smisuseoftheDAMSoranyinformationobtainedthroughtheDAMS;*User'sfailuretocomplywithanyobligationsunderthisAgreement.2.ServiceProvideragreestoindemnify,defend,andholdharmlessUser,itsaffiliates,officers,directors,employees,agents,andlicensorsfromandagainstanyandallclaims,liabilities,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedto:*ServiceProvider'sbreachofanyrepresentation,warranty,orobligationexplicitlystatedinthisAgreement;*ServiceProvider'sfailuretoprovidetheDAMSinaccordancewiththisAgreement,duetocausesbeyondServiceProvider'sreasonablecontrol,includinghardwareorsoftwarefailures,networkoutages,orcyberattackstargetingServiceProvider'sinfrastructure;and*AnyclaimsbythirdpartiesallegingthattheDAMSinfringesormisappropriatestheirintellectualpropertyrights,providedUserpromptlynotifiesServiceProviderofsuchclaimsand协助ServiceProviderindefendingagainstthem.Non-Transferability1.User'srightsunderthisAgreementarepersonaltoUserandmaynotbeassigned,transferred,orsublicensedtoanythirdpartywithoutServiceProvider'spriorwrittenconsent.AnyattempttoassignortransferthisAgreementwithoutsuchconsentshallbenullandvoid.2.ServiceProvidermaytransferitsrightsandobligationsunderthisAgreementtoasuccessororpermittedassigneeinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets,providedUserisgivenpromptwrittennoticeofsuchtransferandthetermsofthetransferarenotmateriallyadversetoUser.GoverningLawandDisputeResolution1.ThisAgreementandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawsprinciples.2.Anylegalsuit,action,orproceedingarisingoutoforrelatedtothisAgreementshallbeinstitutedexclusivelyinthecourtsofthePeople'sRepublicofChinalocatedin[specifycity,e.g.,Beijing]County-levelcity,DistrictorCity,andUserirrevocablyconsentstothepersonaljurisdictionandvenuetherein.Eachpartyherebyirrevocablyconsentstotheentryofdefaultjudgmentsandtotheenforcementofanyjudgmentrenderedbysuchcourts.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven:1.(i)whendeliveredpersonally;2.(ii)uponconfirmationofreceiptwhensentbyemail;or3.(iii)three(3)businessdaysafterdepositwithanationallyrecognizedovernightcourierservice,suchasFedExorDHL.AllnoticesunderthisAgreementshallbeaddressedtothepartiesasfollows:ServiceProvider:[ServiceProviderLegalName],Attn:LegalDepartment,[ServiceProviderAddress]User:[UserLegalName/FullName],Attn:[AppropriateDepartment,e.g.,AccountsorLegal],[UserAddress]EntireAgreementThisAgreement,includingthefeescheduleincorp
