2026年员工保密及竞业限制协议(中英文版)协议编号(AgreementNo.):________________________甲方(用人单位)与乙方(员工)本着平等自愿、诚实信用、权责统一的原则,就乙方在职及离职期间的保密义务、离职后竞业限制义务事宜,依据《中华人民共和国民法典》《中华人民共和国劳动合同法》《中华人民共和国反不正当竞争法》及人社部《企业实施竞业限制合规指引》等相关法律法规及规范性文件,达成如下协议,作为双方劳动关系的重要补充,共同恪守履行。本协议自双方签字(盖章)之日起生效。PartyA(Employer)andPartyB(Employee)voluntarilyenterintothisAgreementontheprinciplesofequality,voluntariness,goodfaithandunificationofrightsandobligationsregardingPartyB'sconfidentialityobligationsduringandafteremployment,andnon-competeobligationsafterresignation.PursuanttotheCivilCodeofthePeople'sRepublicofChina,LaborContractLawofthePeople'sRepublicofChina,Anti-UnfairCompetitionLawofthePeople'sRepublicofChina,andtheGuidelinesforEnterprises'ComplianceinImplementingNon-CompeteissuedbytheMinistryofHumanResourcesandSocialSecurity,aswellasotherrelevantlaws,regulationsandnormativedocuments,thisAgreementservesasanimportantsupplementtothelaborrelationshipbetweenthetwopartiesandshallbejointlyabidedby.ThisAgreementshalltakeeffectuponsignature(seal)bybothparties.甲方(用人单位)/PartyA(Employer)企业全称(FullEnterpriseName):________________________统一社会信用代码(UnifiedSocialCreditCode):________________________通讯地址(MailingAddress):________________________联系电话(ContactPhone):________________________指定邮箱(DesignatedEmail):________________________法定代表人(LegalRepresentative):________________________乙方(员工)/PartyB(Employee)姓名(FullName):________________________身份证号码(IDCardNo.):________________________户籍地址(HouseholdRegistrationAddress):________________________通讯地址(MailingAddress):________________________联系电话(ContactPhone):________________________指定邮箱(DesignatedEmail):________________________所属部门(Department):________________________岗位名称(Position):________________________入职日期(DateofEmployment):____年____月____日离职后竞业限制补偿接收账户(BankAccountforNon-CompeteCompensation):开户银行(BankName):________________________账户名称(AccountHolder):________________________账号(AccountNo.):________________________鉴于:乙方作为甲方核心岗位员工,在履行岗位职责过程中,将不可避免接触、知悉甲方的商业秘密、技术信息及其他未公开核心保密信息,该等信息是甲方核心竞争力的重要组成部分,对甲方经营发展具有重大商业价值。为保护甲方合法权益,防范信息泄露及不正当竞争风险,乙方确认已知晓自身岗位的涉密属性及竞业限制的相关法律规定,自愿承担保密义务及离职后竞业限制义务,双方据此订立本协议,明确权利与义务。Whereas:AsanemployeeinacorepositionofPartyA,PartyBwillinevitablyaccessandlearnPartyA'stradesecrets,technicalinformationandotherunpublishedcoreconfidentialinformationinthecourseofperformingjobresponsibilities.SuchinformationisanimportantpartofPartyA'scorecompetitivenessandofgreatcommercialvaluetoPartyA'soperationanddevelopment.ToprotectPartyA'slegitimaterightsandinterestsandpreventtherisksofinformationleakageandunfaircompetition,PartyBconfirmsthatitisawareoftheconfidentialnatureofitspositionandtherelevantlegalprovisionsonnon-compete,andvoluntarilyassumesconfidentialityobligationsandnon-competeobligationsafterresignation.ThetwopartiesherebyenterintothisAgreementtoclarifytheirrightsandobligations.第一条保密信息定义与范围/Article1DefinitionandScopeofConfidentialInformation1.1保密信息(ConfidentialInformation):指甲方所有或控制的、未公开披露且具有现实或潜在商业价值,甲方已采取合理保密措施的全部信息,无论其表现形式为书面、电子、口头、实物或其他形式。1.1ConfidentialInformation:ReferstoallinformationownedorcontrolledbyPartyAthatisunpublished,hasactualorpotentialcommercialvalue,andforwhichPartyAhastakenreasonableconfidentialitymeasures,regardlessofitsformofexpressionaswritten,electronic,oral,physicalorotherforms.1.2保密信息具体范围包括但不限于:1.2ThespecificscopeofConfidentialInformationincludesbutisnotlimitedto:(1)技术信息(TechnicalInformation):核心技术方案、技术参数、产品图纸、源代码、算法模型、数据库结构及核心数据、实验数据及分析报告、技术诀窍、生产工艺及流程、检测标准及方法、未公开专利申请文件、研发计划及阶段性成果、技术改进方案、产品原型及样品等;(1)TechnicalInformation:Coretechnicalsolutions,technicalparameters,productdrawings,sourcecodes,algorithmmodels,databasestructuresandcoredata,experimentaldataandanalysisreports,technicalknow-how,productionprocessesandprocedures,testingstandardsandmethods,unpublishedpatentapplicationdocuments,R&Dplansandphasedachievements,technicalimprovementplans,productprototypesandsamples,etc.;(2)经营信息(BusinessInformation):客户名单及核心需求、供应商资源及合作协议条款、价格体系及定价策略、成本核算数据、销售数据及报表、渠道布局及资源分布、市场调研数据及分析报告、品牌规划、公关方案、商业谈判策略、未公开的合作意向及项目信息等;(2)BusinessInformation:Customerlistsandcoreneeds,supplierresourcesandcooperationagreementterms,pricesystemsandpricingstrategies,costaccountingdata,salesdataandstatements,channellayoutandresourcedistribution,marketresearchdataandanalysisreports,brandplanning,publicrelationsplans,businessnegotiationstrategies,unpublishedcooperationintentionsandprojectinformation,etc.;(3)管理信息(ManagementInformation):内部管理制度及流程、组织架构、人力资源规划、核心人员薪酬福利体系、财务预算及资金流向明细、内部会议决议及纪要、重大决策文件、绩效考核方案、涉密载体管理台账、未公开的人事调整方案等;(3)ManagementInformation:Internalmanagementsystemsandprocesses,organizationalstructure,humanresourceplans,corepersonnelsalaryandwelfaresystems,financialbudgetsandcapitalflowdetails,internalmeetingresolutionsandminutes,majordecisiondocuments,performanceappraisalplans,managementledgersofconfidentialcarriers,unpublishedpersonneladjustmentplans,etc.;(4)其他保密信息(OtherConfidentialInformation):甲方与第三方的合作秘密、未公开的重大投融资计划、甲方明确标注为保密的各类文件及资料,以及乙方在任职期间基于甲方保密信息形成的衍生成果。(4)OtherConfidentialInformation:CooperationsecretsbetweenPartyAandthirdparties,unpublishedmajorinvestmentandfinancingplans,variousdocumentsandmaterialsclearlymarkedasconfidentialbyPartyA,andderivativeachievementsformedbyPartyBbasedonPartyA'sConfidentialInformationduringemployment.1.3排除情形(ExclusionScenarios):下列信息不属于本协议约定的保密信息,乙方无需承担保密义务:1.3ExclusionScenarios:ThefollowinginformationshallnotbedeemedasConfidentialInformationunderthisAgreement,andPartyBshallnotbeobligatedtoassumeconfidentialityobligations:(1)已通过公开渠道合法公开,且非因乙方违约导致公开的信息;(1)InformationthathasbeenlegallydisclosedthroughpublicchannelsandisnotdisclosedduetoPartyB'sbreachofthisAgreement;(2)乙方在甲方披露前,已通过合法途径独立获取且无保密义务的信息,乙方需提供有效证明文件佐证;(2)InformationthatPartyBhasindependentlyobtainedthroughlegalchannelswithoutconfidentialityobligationspriortodisclosurebyPartyA,andPartyBshallprovidevalidcertificationdocumentsforconfirmation;(3)依据法律法规、司法机关、行政机关或监管机构的强制性要求必须披露的信息,乙方应提前3个工作日书面通知甲方,配合甲方采取必要保密防护措施,披露范围仅限强制要求的最小范围。(3)Informationthatmustbedisclosedinaccordancewiththemandatoryrequirementsoflawsandregulations,judicialorgans,administrativeorgansorregulatoryauthorities.PartyBshallnotifyPartyAinwriting3workingdaysinadvance,cooperatewithPartyAtotakenecessaryconfidentialityprotectionmeasures,andthescopeofdisclosureshallbelimitedtotheminimumscoperequiredbythemandatoryprovisions.第二条保密义务/Article2ConfidentialityObligations2.1保密期限:乙方的保密义务自接触保密信息之日起生效,直至该信息丧失秘密性、无商业价值或甲方书面解除保密要求之日止。无论甲乙双方劳动关系是否终止,本保密义务均持续有效。2.1ConfidentialityPeriod:PartyB'sconfidentialityobligationshalltakeeffectfromthedateofaccessingConfidentialInformationandterminatewhentheinformationlosesitsconfidentiality,nolongerhascommercialvalueorPartyAwritestolifttheconfidentialityrequirement.Thisconfidentialityobligationshallremainvalidregardlessofwhetherthelaborrelationshipbetweenthetwopartiesisterminated.2.2在职期间义务(ObligationsDuringEmployment):(1)仅在岗位职责必需范围内使用保密信息,不得超出工作需要擅自使用、复制、摘录、传播保密信息;(1)UseConfidentialInformationonlywithinthescopenecessaryforjobresponsibilities,andshallnotarbitrarilyuse,copy,excerptorspreadConfidentialInformationbeyondworkneeds;(2)妥善保管保密信息载体,电子信息需采取加密存储、分级授权访问、病毒防护、访问日志留存等措施,纸质及实物载体需上锁存放、专人看管,严禁随意摆放、转借、带出工作区域或私自留存;(2)ProperlykeepConfidentialInformationcarriers;electronicinformationshalltakemeasuressuchasencryptedstorage,hierarchicalauthorizedaccess,virusprotectionandaccesslogretention;paperandphysicalcarriersshallbestoredinlockedcabinetsandsupervisedbyspecialpersonnel,anditisstrictlyprohibitedtoplace,lend,takeoutoftheworkareaorretainthemprivately;(3)不得向任何第三方披露、泄露保密信息,不得在非工作场合谈论、传播保密信息,不得教唆、协助第三方获取甲方保密信息;(3)ShallnotdiscloseorrevealConfidentialInformationtoanythirdparty,discussorspreadConfidentialInformationinnon-workoccasions,orinstigateorassistthirdpartiestoobtainPartyA'sConfidentialInformation;(4)发现保密信息泄露或存在泄露风险时,立即采取补救措施防止泄露范围扩大,并第一时间书面通知甲方;(4)ImmediatelytakeremedialmeasurestopreventtheexpansionoftheleakagescopeandnotifyPartyAinwritingatthefirsttimeiffindingleakageorriskofleakageofConfidentialInformation;(5)积极配合甲方开展保密检查、信息安全管控及保密培训工作,严格遵守甲方内部保密管理制度。(5)ActivelycooperatewithPartyAinconductingconfidentialityinspections,informationsecuritycontrolandconfidentialitytraining,andstrictlyabidebyPartyA'sinternalconfidentialitymanagementsystem.2.3离职后义务(ObligationsAfterResignation):(1)不得利用在职期间接触的保密信息为自身或第三方谋取利益,不得向新用人单位或其他第三方披露、传授甲方保密信息;(1)ShallnotuseConfidentialInformationaccessedduringemploymenttoseekinterestsforitselforathirdparty,andshallnotdiscloseorimpartPartyA'sConfidentialInformationtoanewemployerorotherthirdparties;(2)离职后5个工作日内,将持有的全部保密信息及载体(原件、复印件、电子文档、存储介质、笔记、草稿等)全部返还甲方,或按甲方要求彻底销毁,不得私自留存任何形式的保密信息,并出具书面确认文件;(2)Within5workingdaysafterresignation,returnallConfidentialInformationandcarriers(originals,copies,electronicdocuments,storagemedia,notes,drafts,etc.)inpossessiontoPartyAinfull,orcompletelydestroytheminaccordancewithPartyA'srequirements,shallnotretainanyformofConfidentialInformationprivately,andissueawrittenconfirmationdocument;(3)发现第三方侵犯甲方保密信息权益时,及时告知甲方并配合甲方采取维权措施。(3)PromptlyinformPartyAandcooperatewithPartyAtotakerightsprotectionmeasuresiffindingathirdpartyinfringingonPartyA'srightsandinterestsinConfidentialInformation.第三条竞业限制义务/Article3Non-CompeteObligations3.1适用前提:乙方确认,其岗位属于甲方高级管理人员、高级技术人员或其他负有保密义务的核心岗位,符合《劳动合同法》规定的竞业限制适用范围,自愿接受本条款约束。3.1ApplicablePremise:PartyBconfirmsthatitspositionbelongstotheseniormanagementpersonnel,seniortechnicalpersonnelofPartyAorothercorepositionswithconfidentialityobligations,whichisinlinewiththescopeofapplicationofnon-competestipulatedintheLaborContractLaw,andvoluntarilyacceptstheconstraintsofthisclause.3.2限制范围(ScopeofRestriction):(1)行业范围:乙方离职后,不得入职与甲方生产或经营同类产品、从事同类业务且存在竞争关系的企业,包括但不限于[具体企业名单/行业类别];(1)IndustryScope:Afterresignation,PartyBshallnotbeemployedbyenterprisesthatproduceoroperatesimilarproducts,engageinsimilarbusinessesandhavecompetitiverelationswithPartyA,includingbutnotlimitedto[specificenterpriselist/industrycategory];(2)地域范围:[具体地域,如XX省XX市/仅限甲方业务覆盖区域],无充足理由不得约定全国或全球范围;(2)GeographicalScope:[Specificregion,suchasXXCity,XXProvince/onlythebusinesscoverageareaofPartyA].Thenationalorglobalscopeshallnotbeagreedwithoutsufficientreasons;(3)行为范围:不得自营或为他人经营与甲方同类业务,不得协助第三方开展与甲方存在竞争关系的业务。(3)BehavioralScope:ShallnotoperateoroperatesimilarbusinessestoPartyAforothers,norassistthirdpartiesincarryingoutbusinessesthathavecompetitiverelationswithPartyA.3.3限制期限(Non-CompetePeriod):自双方劳动关系解除或终止之日起计算,最长不超过2年。若保密信息提前丧失商业价值,甲方可书面通知乙方提前终止竞业限制义务。3.3Non-CompetePeriod:Calculatedfromthedateofterminationorrescissionofthelaborrelationshipbetweenthetwoparties,themaximumperiodshallnotexceed2years.IftheConfidentialInformationlosescommercialvalueinadvance,PartyAmaynotifyPartyBinwritingtoterminatethenon-competeobligationinadvance.3.4经济补偿(EconomicCompensation):(1)补偿标准:甲方按月向乙方支付竞业限制经济补偿,月补偿金额不低于乙方劳动合同解除或终止前12个月平均工资的30%,且不低于劳动合同履行地最低工资标准;若竞业限制期限超过1年,月补偿金额不低于乙方离职前12个月平均工资的50%;(1)CompensationStandard:PartyAshallpaymonthlynon-competeeconomiccompensationtoPartyB.Themonthlycompensationamountshallnotbelessthan30%oftheaveragewageofPartyBinthe12monthspriortotheterminationorrescissionofthelaborcontract,andshallnotbelessthantheminimumwagestandardoftheplacewherethelaborcontractisperformed;ifthenon-competeperiodexceeds1year,themonthlycompensationamountshallnotbelessthan50%oftheaveragewageofPartyBinthe12monthspriortoresignation;(2)支付方式:甲方于每月10日前(遇节假日顺延),通过本协议约定的乙方银行账户支付上月补偿,支付周期与竞业限制期限一致;(2)PaymentMethod:PartyAshallpaythecompensationofthepreviousmonththroughPartyB'sbankaccountagreedinthisAgreementbeforethe10thdayofeachmonth(postponedincaseofholidays),andthepaymentcycleshallbeconsistentwiththenon-competeperiod;(3)补偿调整:乙方离职后,若当地最低工资标准调整,补偿金额相应调整至符合法定标准;(3)CompensationAdjustment:AfterPartyB'sresignation,ifthelocalminimumwagestandardisadjusted,thecompensationamountshallbeadjustedaccordinglytomeetthelegalstandard;(4)义务解除:甲方连续3个月未支付经济补偿的,乙方有权书面通知甲方解除竞业限制义务,自通知送达之日起不再履行本条款约定的限制义务。(4)TerminationofObligation:IfPartyAfailstopayeconomiccompensationfor3consecutivemonths,PartyBhastherighttonotifyPartyAinwritingtoterminatethenon-competeobligation,andshallnolongerperformtherestrictiveobligationsagreedinthisclausefromthedateofserviceofthenotice.3.5例外情形(ExceptionScenarios):乙方在竞业限制期限内,入职非竞争行业企业、或在限制地域外从事同类业务、或受甲方书面同意的,不受本条款限制。3.5ExceptionScenarios:Duringthenon-competeperiod,PartyBshallnotberestrictedbythisclauseifitisemployedbyanenterpriseinanon-competitiveindustry,engagesinsimilarbusinessesoutsidetherestrictedarea,orobtainswrittenconsentfromPartyA.第四条知识产权归属/Article4OwnershipofIntellectualPropertyRights4.1乙方在任职期间,利用甲方物质技术条件、工作时间或岗位职责完成的全部发明创造、技术成果、软件作品、文案设计、数据模型等职务成果,其知识产权均归甲方单独所有。乙方确认该等职务成果属于保密信息范畴,无任何权利主张。4.1Allserviceachievementssuchasinventionsandcreations,technicalachievements,softwareworks,copywritingdesigns,datamodelscompletedbyPartyBduringemploymentbyusingPartyA'smaterialandtechnicalconditions,workingtimeorjobresponsibilitiesshallhavetheirintellectualpropertyrightsownedsolelybyPartyA.PartyBconfirmsthatsuchserviceachievementsbelongtothescopeofConfidentialInformationandhasnorighttoclaim.4.2乙方应及时将职务成果向甲方汇报,并配合甲方办理知识产权登记、申请、维权等相关手续,签署必要文件。未经甲方书面授权,乙方不得私自转让、许可第三方使用或自行申请知识产权登记。4.2PartyBshallpromptlyreportserviceachievementstoPartyA,andcooperatewithPartyAtogothroughrelevantproceduressuchasintellectualpropertyregistration,applicationandrightsprotection,andsignnecessarydocuments.WithoutPartyA'swrittenauthorization,PartyBshallnotprivatelytransfer,licensethirdpartiestouseorapplyforintellectualpropertyregistrationonitsown.第五条违约责任/Article5LiabilityforBreach5.1保密义务违约(BreachofConfidentialityObligations):(1)轻微违约:乙方轻微违约且未造成保密信息泄露的,甲方有权要求乙方限期改正、消除影响,并支付违约金人民币1-3万元;同时可依据内部制度给予警告、降薪、记过等处分;(1)MinorBreach:IfPartyBcommitsaminorbreachofcontractwithoutcausingtheleakageofConfidentialInformation,PartyAhastherighttorequirePartyBtomakecorrectionswithinatimelimit,eliminatetheimpact,andpayliquidateddamagesofRMB10,000to30,000;atthesametime,PartyAmaygivewarnings,salaryreductions,demeritsandothersanctionsinaccordancewithinternalsystems;(2)严重违约:乙方违约导致保密信息泄露、扩散,给甲方造成经济损失或商誉损害的,甲方有权采取以下一项或多项措施:①立即解除劳动合同,不予支付经济补偿金;②要求乙方支付违约金人民币3-30万元(具体金额根据违约情节、损失大小及主观过错确定);③要求乙方赔偿甲方全部损失,包括直接损失、间接损失、预期利益损失及维权产生的律师费、诉讼费、调查取证费等合理费用;④依法追究乙方民事、行政或刑事责任;⑤要求乙方公开澄清事实,消除商誉影响。(2)SeriousBreach:IfPartyB'sbreachcausesleakageandspreadofConfidentialInformation,resultingineconomiclossesorgoodwilldamagetoPartyA,PartyAhastherighttotakeoneormoreofthefollowingmeasures:①Immediatelyterminatethelaborcontractwithoutpayingeconomiccompensation;②RequirePartyBtopayliquidateddamagesofRMB30,000to300,000(thespecificamountshallbedeterminedaccordingtotheseverityofthebreach,themagnitudeoflossesandsubjectivefault);③RequirePartyBtocompensatePartyAforalllosses,includingdirectlosses,indirectlosses,expectedinterestlossesandreasonableexpensessuchasattorneyfees,litigationfeesandinvestigationandevidencecollectionfeesincurredinrightsprotection;④PursuePartyB'scivil,administrativeorcriminalliabilityinaccordancewiththelaw;⑤RequirePartyBtopubliclyclarifythefactsandeliminatetheimpactongoodwill.5.2竞业限制义务违约(BreachofNon-CompeteObligations):(1)乙方违反本协议第三条约定的,无论是否给甲方造成实际损失,均应支付违约金,违约金数额不超过约定竞业限制经济补偿总额的5倍;(1)IfPartyBviolatestheprovisionsofArticle3ofthisAgreement,regardlessofwhetheritcausesactuallossestoPartyA,itshallpayliquidateddamages,andtheamountofliquidateddamagesshallnotexceed5timesthetotalagreednon-competeeconomiccompensation;(2)违约金不足以弥补甲方实际损失的,乙方需补足差额,甲方有权同时主张违约金和损失赔偿;(2)IftheliquidateddamagesareinsufficienttocoverPartyA'sactuallosses,PartyBshallmakeupthedifference,andPartyAhastherighttoclaimbothliquidateddamagesandcompensationforlosses;(3)甲方有权要求乙方立即停止违约行为,解除与竞争企业的劳动关系或终止自营竞争业务,并赔偿甲方因此产生的全部损失。(3)PartyAhastherighttorequirePartyBtoimmediatelystopthebreachofcontract,terminatethelaborrelationshipwiththecompetingenterpriseorterminatetheself-operatedcompetitivebusiness,andcompensatePartyAforalllossesarisingtherefrom.5.3乙方承担违约责任后,不免除其继续履行保密义务、竞业限制义务(若未解除)及赔偿损失的责任。5.3AfterPartyBassumesliabilityforbreachofcontract,itshallnotbeexemptedfromitsobligationstocontinueperformingconfidentialityobligations,non-competeobligations(ifnotterminated)andcompensateforlosses.第六条不可抗力/Article6ForceMajeure因地震、台风、洪水、战争、动乱、突发公共卫生事件、政府强制行为、法律法规重大变更等不可预见、不可避免、不可克服的不可抗力事件,导致乙方无法履行本协议约定的保密义务或竞业限制义务的,受影响一方应立即书面通知对方,说明事件详情及影响,并在5个工作日内提供有效证明。因不可抗力造成的损失,双方互不承担赔偿责任,但乙方应尽力采取措施减少损失扩大。IfaForceMajeureeventthatisunforeseeable,unavoidableandinsurmountable,suchasearthquake,typhoon,flood,war,riot,publichealthemergency,governmentmandatoryact,majorchangeinlawsandregulations,rendersPartyBunabletoperformtheconfidentialityobligationsornon-competeobligationsagreedinthisAgreement,theaffectedpartyshallimmediatelynotifytheotherpartyinwriting,explainthedetailsandimpactoftheevent,andprovidevalidproofwithin5workingdays.NeitherpartyshallbeliableforcompensationforlossescausedbyForceMajeure,butPartyBshallmakeeveryefforttotakemeasurestoreducetheexpansionoflosses.第七条争议解决/Article7DisputeResolution因本协议引起的或与本协议有关的任何争议,双方应首先通过友好协商解决;协商不成的,任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。争议解决期间,除争议事项外,双方应继续履行本协议其他条款。AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstberesolvedbythetwopartiesthroughfriendlynegotiations;ifthenegotiationsfail,eitherpartyhastherighttoinstitutelegalproceedingsinthepeople'scourtwithjurisdictionintheplacewherePartyAislocated.Duringthedisputeresolutionperiod,exceptforthedisputedmatters,bothpartiesshallcontinuetoperformotherclausesofthisAgreement.第八条通知与送达/Article8NoticesandService本协议项下的所有通知、函件、确认文件等,均应以书面形式(包括专人送递、顺丰快递、EMS、指定邮箱发送)送达至本协议列明的双方联系方式。乙方变更通讯地址、联系电话、银行账户等信息的,应提前3个工作日书面通知甲方,否则视为联系方式未变更,由此产生的送达不能、延误等后果由乙方自行承担。Allnotices,letters,confirmationdocuments,etc.underthisAgreementshallbedeliveredinwriting(includingpersonaldel
