建筑设计fidic合同条款

ThisContractismadeandenteredintoonthis______dayof_______________,20__,byandbetween:

[NameofClient],havingitsplaceofbusinessat[AddressofClient]("Client"),and

[NameofDesignFirm],havingitsplaceofbusinessat[AddressofDesignFirm]("Designer").

(Hereinaftercollectivelyreferredtoasthe"Parties"andindividuallyasa"Party")

Whereas,ClientdesirestoengageDesignertoprovideDesignServices("Services")fortheProjectdescribedherein,andDesignerdesirestoprovidesuchServicestoClient.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.ScopeofServices

DesignershallprovideDesignServicesincluding,butnotlimitedto,thefollowingstagesandactivities:

1.1ConceptualDesign:TodevelopandsubmitinitialconceptualdesignsbasedonClient'srequirementsandtheBasisofDesign(asdefinedinClause2.1),includingpreliminarysiteanalysis,functionalprogramming,andconceptuallayoutoptions.

1.2PreliminaryDesign:TodevelopandsubmitapreliminarydesignforClient'sapproval,includingdetailedsiteanalysis,systemschematics,preliminarystructuralandarchitecturalconcepts,costestimates,anddrawingsreflectingthemajorsystemsandspaces.

1.3FinalDesign:Todevelopandsubmitthefinaldesigndocumentsforconstruction,includingallnecessarydrawings,specifications,calculations,calculations,andothertechnicaldocumentsrequiredforconstructionandoperation,totheextentapprovedbyClient.

DesignershallperformtheServiceswithdiligence,skill,andexpertiseconsistentwithindustrystandardsandapplicablelawsandregulations.AlldesigndocumentsshallbepreparedinEnglishunlessotherwiseagreedinwriting.

2.BasisofDesign

ClientshallprovidethefollowinginformationanddatatoDesignerfortheperformanceoftheServices("BasisofDesign"):

2.1ProjectProgram:Aclearstatementoftheprojectobjectives,functions,userrequirements,andanyotherrelevantoperationalinformation.

2.2SiteInformation:Topographicmaps,geotechnicalreports,existingconditionssurveys,zoningregulations,andanyotherrelevantsitedata.

2.3ApplicableLawsandStandards:Copiesofallapplicablenational,regional,andlocallaws,codes,standards,andregulationsthatthedesignmustcomplywith.

2.4Budget:Theapproximatebudgetallocatedfortheproject,ifapplicable.

ClientshallmaketheBasisofDesignavailabletoDesignerpromptlyandshallprovideanyadditionalinformationreasonablyrequiredbyDesignertoperformtheServices.Client'sfailuretoprovidetheBasisofDesigninatimelymannershallnotrelieveDesigneroftheresponsibilityformeetingthemilestonesorcompletiondatesspecifiedinthisContract,unlessotherwiseagreedinwriting.

3.FeesandPayment

3.1ThefeesfortheServicesshallbebasedona[Chooseone:FixedFee/StagedFees/HourlyRate]arrangementasfollows:

[IfFixedFee]Designershallbeentitledtoafixedfeeof[AmountinWords]USD([AmountinNumbers])forallServicesunderthisContract.ThefeeincludesallcostsincurredbyDesignerinconnectionwiththeServices,unlessotherwisespecified.

[IfStagedFees]Thetotalfeeshallbe[AmountinWords]USD([AmountinNumbers]),allocatedasfollows:

(a)[Percentage]%uponexecutionofthisContractforinitialsetupandconceptualwork.

(b)[Percentage]%uponClient'sapprovalofthePreliminaryDesign.

(c)[Percentage]%uponClient'sapprovaloftheFinalDesign.

(d)[Percentage]%uponfinalpaymentuponprojectcompletionandsubmissionofalldesigndocuments.

[IfHourlyRate]DesignershallchargeClientatarateof[AmountinWords]USD([AmountinNumbers])perhourforallServicesperformed,basedonareasonableestimateofthetimeactuallyexpendedbyDesigner'spersonnelontheProject.Thehourlyratesmaybeadjustedafterthefirst[Number]monthsoftheContractuponmutualagreement.

3.2PaymentSchedule:PaymentsshallbemadebyClienttoDesignerasfollows:

(a)EachpaymentunderSection3.1shallbeduewithin[Number,e.g.,30]daysafterthedateDesignersubmitstheinvoicetherefor.

(b)Allpaymentsshallbemadewithoutdeduction,set-off,orretentionunlessexpresslyauthorizedbythisContract.

(c)Allpaymentsshallbemadein[Currency,e.g.,USD]toDesigner'sbankaccountspecifiedbelow:

SWIFTCode:[SWIFTCode]

IBAN:[IBAN,ifapplicable]

3.3ValueAddedTax(VAT)/SalesTax:DesignershallinvoiceforallServicesexclusiveofVATorsalestax,unlessotherwiseagreedinwriting.Clientshallberesponsibleforpayinganyapplicabletaxesrequiredbylaw.

3.4AdditionalCosts:IfClientrequestsadditionalServicesorchangesthatgobeyondtheoriginalscopedefinedinthisContract,thePartiesshallnegotiateandagreeinwritingontheadditionalfeesandpaymentterms.DesignershallprovideareasonableestimateofsuchadditionalcostsuponClient'srequest.

4.CommencementandDuration

4.1ThisContractshallcommenceonthedatefirstsetforthaboveandshallcontinueuntilthecompletionandfinalacceptanceoftheFinalDesigndocuments,unlessterminatedearlierinaccordancewithClause9.

4.2TheestimateddurationfortheServicesisasfollows:

ConceptualDesign:[Number]weeks/months.

PreliminaryDesign:[Number]weeks/monthsfollowingClient'sapprovaloftheBasisofDesign.

FinalDesign:[Number]weeks/monthsfollowingClient'sapprovalofthePreliminaryDesign.

5.DesignReviewandApproval

5.1ClientshallreviewthedesigndocumentssubmittedbyDesigneratthefollowingkeymilestonesandshallprovidewrittenapprovalorcommentswithin[Number,e.g.,21]daysofreceipt:

(a)ConceptualDesignSubmission.

(b)PreliminaryDesignSubmission.

(c)FinalDesignSubmission.

5.2DesignershallrevisethedesignbasedonClient'scomments,providedtheyarereasonableanddonotsignificantlyalterthefundamentalscopeorobjectivesoftheServices.Client'sfailuretoprovidetimelyapprovalshallnotrelieveDesignerofitsobligations,butDesignermayproceedtothenextstageuponwrittennoticetoClient.

5.3FinalacceptanceoftheFinalDesignshallbeconfirmedbyClientinwritinguponreceiptofallsubmitteddocumentsandsatisfactionwiththedesignpackage.

6.OwnershipofDesignRights

6.1UponfullpaymentofallfeesdueunderthisContract,DesignershalltransfertoClient,withoutfurthercharge,allright,title,andinterestinandtothedesigndocumentsanddrawingscreatedbyDesignerunderthisContract,togetherwithanyrevisionsmadeuponClient'sapproval.

6.2DesignershallretaintherighttopublishorusetheProjectforpromotionalpurposes,providedClient'sconfidentialityobligationsunderClause7aremetandDesignerisappropriatelyacknowledged.

7.Confidentiality

7.1EachPartyshallholdtheinformationdisclosedbytheotherPartyduringthetermofthisContractandforaperiodof[Number,e.g.,three]yearsthereafter("ConfidentialInformation")instrictconfidence.

7.2NeitherPartyshalldiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder,ortoemployees,consultants,orsubconsultantsofthereceivingPartywhoneedtoknowsuchinformationfortheperformanceofthisContractandwhoareboundbyconfidentialityobligationsofsimilarnature.

7.3ClientshallnotusethedesignsolelyforthebenefitofathirdpartywithoutDesigner'spriorwrittenconsent.

8.IntellectualProperty

8.1Designer'sintellectualpropertyrightsinthedesignconceptsandsolutionsdevelopedduringtheperformanceofthisContractshallbeownedbyDesignerunlessotherwiseagreedinwriting.

8.2ClientshallhavetherighttousethefinaldesigndocumentspreparedunderthisContractsolelyforthepurposeofconstructingtheProjectdescribedherein.ClientshallnotmodifythedesigndocumentswithoutDesigner'swrittenconsent.

9.Termination

9.1ThisContractmaybeterminatedbyeitherPartyupon[Number,e.g.,30]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithinthenoticeperiod.

9.2Upontermination,Designershall:

(a)SubmittoClientalldesigndocumentsprepared,togetherwithafinalbillforallfeesearneduptothedateoftermination.

(b)IfterminatedforDesigner'sbreach,returntoClientanypre-paidfeesorprovideacreditnoteequivalenttosuchpre-paidfees.

9.3ClientshallpayallfeesearnedbyDesigneruptothedateoftermination.IfterminationisforClient'sbreach,Clientshallalsopayliquidateddamagesintheamountof[AmountorFormula,e.g.,10%ofthetotalfee],unlessDesignerhascausedthebreach,inwhichcaseDesignershallbeliableforitsowndamages.

10.Indemnification

10.1DesignershallindemnifyandholdharmlessClientfromandagainstanyclaims,losses,damages,orliabilitiesarisingoutoforinconnectionwithDesigner'sbreachofthisContractoritsnegligenceormisconductinperformingtheServices.

10.2ClientshallindemnifyandholdharmlessDesignerfromandagainstanyclaims,losses,damages,orliabilitiesarisingoutoforinconnectionwithClient'sbreachofthisContract,Client'sfailuretoprovidetheBasisofDesign,orClient'suseofthedesignforpurposesotherthanthoseagreedupon.

11.Liability

11.1Designer'stotalliabilitytoClientunderthisContractforanycauseshallnotexceedthetotalfeespaidorpayablebyClientunderthisContract.

11.2DesignershallbeliablefordirectdamagesresultingfromitsnegligenceorwillfulmisconductinperformingtheServices,providedsuchdamagesarereportedtoDesignerwithin[Number,e.g.,30]daysofoccurrence.Designershallnotbeliableforindirect,consequential,orpunitivedamages.

12.ForceMajeure

12.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure("Event"),whichmeansaneventbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,fire,flood,explosion,orfailureofessentialutilities,actsoromissionsofgovernmentalauthorities,orepidemicdiseases.

12.2ThePartyaffectedbyanEventshallpromptlynotifytheotherPartyinwriting,providingdetailsoftheEventanditsexpectedduration.TheaffectedPartyshallusereasonableeffortstomitigatetheeffectsoftheEvent.ThetermofthisContractshallbeextendedbythedurationoftheEventandanyreasonablemitigationperiod.

13.Insurance

13.1Designershall,atitsownexpense,procureandmaintainduringthetermofthisContractandfor[Number,e.g.,two]yearsthereafteradequateinsurancecoverages,includingbutnotlimitedto:

(a)ProfessionalIndemnityInsurance(DesignLiabilityInsurance)withalimitof[AmountinWords]USD([AmountinNumbers])peroccurrencefordamagesarisingfromDesigner'sallegednegligenceorerrorsinthedesignservices.

(b)PublicLiabilityInsurancewithalimitof[AmountinWords]USD([AmountinNumbers])peroccurrenceforbodilyinjuryorpropertydamagecausedbyDesigner'soperations.

13.2Clientshall,atitsownexpense,procureandmaintaininsuranceforitsownemployeesandassetsinvolvedintheProject.

14.DisputeResolution

14.1IncaseofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputeamicablythroughgoodfaithnegotiationsbetweendesignatedrepresentativesoftheParties.

14.2Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofthelastwrittencommunicationonthedispute,thedisputeshallbesubmittedto[Chooseone:Arbitration/Litigation].

[IfArbitration]Thedisputeshallbereferredtothe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC),London]forarbitrationinaccordancewithitsRules.Theplaceofarbitrationshallbe[City,Country].ThelanguageofarbitrationshallbeEnglish.TheawardshallbefinalandbindingonbothParties.

[IfLitigation]Thedisputeshallbesubmittedtothecompetentcourtsof[SpecifyJurisdiction,e.g.,theCityof[City],Stateof[State],CountryofClient].

15.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,theStateof[State],CountryofClient].

16.EntireAgreement

ThisContract,includingtheSchedule[Ifany],constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
