国际船舶配件采购合同英文版范本ThisInternationalShipSparePartsProcurementContract("Contract")ismadeandenteredintoasof[InsertDate],byandbetween:[Buyer'sFullLegalName][Buyer'sRegisteredAddress][Buyer'sContactInformation]and[Seller'sFullLegalName][Seller'sRegisteredAddress][Seller'sContactInformation]("Buyer"and"Seller",collectivelyreferredtoasthe"Parties")1.SubjectMatterTheSelleragreestosellandtheBuyeragreestopurchasethefollowingshipspareparts("Goods"):*Description:[Detaileddescriptionofthespareparts,includingname,model,manufacturer'sbrand,specificspecifications,technicalstandards(e.g.,ISO9001,ABSClassApproval),relevantdrawingsortechnicaldocumentsreferenced]*Quantity:[QuantityoftheGoods][UnitsofMeasurement(e.g.,kilograms,pieces)]*UnitPrice:[Priceperunitin[Currency]](Allpricesarequoted[indicateifCIF,CFR,EXWetc.])*TotalPrice:[Totalpricein[Currency]fortheentirequantityofGoods]*PaymentTerms:[Specifypaymentmethod(e.g.,byirrevocableletterofcreditatsightopeningwithBankA,orby30%T/Tinadvanceand70%againstB/Lcopy)andcurrency]2.QualityAssuranceandInspectionTheGoodsshallbeofnew,unused,andhighquality,conformingtothespecificationsagreedupon,themanufacturer'sstandards,and[Specifyanyapplicableindustrystandardsorshipclassrequirements].TheSellershallprovideanoriginalCertificateofQualitywiththeGoods.TheBuyerreservestherighttoinspecttheGoodsuponarrivalatthedestinationport/deliverylocation.AllinspectioncostsshallbebornebytheBuyerunlessthedefectsarefoundtobetheresultoftheSeller'sfailure.TheGoodsshallbecoveredbyawarrantyperiodof[Number]monthsfromthedateofdelivery,duringwhichtheSellershall,atitsownexpense,repairorreplaceanyfaultyGoodsfoundtobedefectiveinmaterialorworkmanshipundernormaluse,upontheBuyerprovidingrelevantproof.3.DeliveryTermsTheSellershalldelivertheGoodsexworksatitspremisesor[SpecifyanotherdeliverypointunderFCAIncoterms],clearedforexport.TheBuyershallappointitsshippingagent[NameofAgent]tocollecttheGoods.TheIncoterms®termgoverningdeliveryis[SpecifyIncoterms®term,e.g.,FCAPortX,CIPPortX,DAPDeliveryLocationY].Thedeliverydateshallbe[SpecifyDeliveryDateorPeriod].AllcostsandrisksassociatedwiththecarriageoftheGoodsunderthechosenIncoterms®termshallbebornebytheBuyer,includingbutnotlimitedtofreight,insurance,andimportdutiesandtaxes.TheSellershallnotifytheBuyerofthereadinessofdeliveryandprovidetheBillofLadingdetails[orothertransportdocumentdetails]asrequired.PackagingshallbesuitableforseatransportandclearlymarkedaccordingtoIncoterms®requirements.4.RiskAllocationTheriskoflossordamagetotheGoodsshallpassfromtheSellertotheBuyeratthe[SpecifypointofrisktransferaccordingtochosenIncoterms®term,e.g.,momenttheGoodsarehandedovertothecarrieratthedeliverypointunderFCA,orwhentheGoodsareplacedatthedisposalofthecarrierunderCIP].5.IntellectualPropertyRightsTheSellerwarrantsthattheGoodsandthetechnicaldocumentsprovideddonotinfringeuponanyintellectualpropertyrightsofanythirdparty.TheSellergrantstheBuyeranon-exclusive,limitedlicensetouseanytechnicaldocumentationprovidedsolelyforthepurposeofinstallingandmaintainingtheGoods.6.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales,HongKongSAR].AnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,LondonInternationalCourtofArbitration(LCIA)]inaccordancewiththe[SpecifyArbitrationRules,e.g.,LCIARules]ineffectatthetimeoftheinstitutionofthearbitration.Theplaceofarbitrationshallbe[SpecifyCity,Country].Thelanguageofthearbitrationshallbe[SpecifyLanguage,e.g.,English].The仲裁awardshallbefinalandbindinguponbothParties.7.ForceMajeureNeitherPartyshallbeliableforanyfailuretoperformitsobligationsunderthisContractifsuchfailureiscausedbyForceMajeure,definedaseventsbeyonditsreasonablecontrol,includingbutnotlimitedtowar,actsofgovernment,strikes,riots,自然灾害,fires,floods,orepidemicdiseases.ThePartyaffectedshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofsucheventandproviderelevantevidence.PerformanceundertheContractshallbesuspendedduringtheperiodofForceMajeure.IftheForceMajeureconditioncontinuesformorethan[Number,e.g.,90]days,eitherPartymayterminatethisContractbywrittennoticetotheotherParty.8.TerminationThisContractmaybeterminatedbyeitherPartyupon[Number,e.g.,30]days'writtennoticeiftheotherPartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithinthenotifiedperiod.Upontermination,theSellershallhavetherighttoclaimanyoutstandingpaymentsdueunderthisContract.AnyGoodsalreadydeliveredshallbegovernedbythetermshereinregardinginspectionandwarranty.9.ConfidentialityBothPartiesagreetokeepconfidentialallbusinessandtechnicalinformationdisclosedbytheotherPartyduringthetermofthisContractandfor[Number,e.g.,three]yearsthereafter,exceptasrequiredbylawortoitsemployeesoragentswhoneedtoknowsuchinformationfortheperformanceofthisContract.Suchrecipientsshallbeboundbythetermsofconfidentialityherein.10.EntireAgreementThisContract,includingtheSchedule[ifany],constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.11.AmendmentsAnyamendmentormodificationofthisContractshallbevalidonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.12.SeverabilityIfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisContract,andtheremainingprovisionsshallcontinueinfullforceandeffect.13.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygiven:(a)whendeliveredpersonally;(b)upontransmissionconfirmationifsentbyemail;or(c)onebusinessdayafterdepositwithareputableovernightcourierserviceoruponmailingbyregisteredorcertifiedmail,returnreceiptrequested,tothePartiesattheiraddressessetforthaboveortosuchotheraddressaseitherPartymaydesignatebynotice.14.CounterpartsT
