ThisContractismadeandenteredintoasof[Date],byandbetween[Client'sFullLegalName],havingitsprincipalplaceofbusinessat[Client'sAddress]("Client"),and[Contractor'sFullLegalName],havingitsprincipalplaceofbusinessat[Contractor'sAddress]("Contractor").

1.DefinitionsandInterpretation

InthisContract,unlessthecontextotherwiserequires:

1.1"Contract"meansthisContractandtheAnnexesreferredtotherein.

1.2"Annexes"meanstheSchedules,TechnicalSpecifications,drawings,andotherdocumentslistedintheContractAgreementasformingpartoftheContract.

1.3"Engineer"means[NameandTitleofEngineer](ortheEngineer'sdesignatedrepresentative)whoisauthorizedinwritingbyClienttoactonClient'sbehalf.

1.4"Equipment"meansthemachinery,materials,components,software,andsystemssuppliedandinstalledbyContractorasdescribedintheContract.

1.5"Work"meanstheworkofdesigning,procuring,constructing,testing,commissioning,anddeliveringtheEquipmentandSystemsasdescribedintheContract.

1.6"Site"meansthelocationdesignatedbyClientat[SiteAddress]fortheinstallationandoperationoftheEquipment.

1.7"CompletionDate"meansthedateonwhichtheEquipmentisreadyforperformancetestingasdeterminedbytheEngineer.

1.8"ContractPrice"meansthetotalpriceagreeduponfortheWorkassetoutintheContractAgreement.

1.9"PerformanceSecurity"meanstheperformancebondorbankguaranteeprovidedbyContractortoClient.

1.10"Defect"meansanydefaultintheWorkorEquipmentthatpreventsitfromsatisfyingtheperformancerequirementsspecifiedintheContract.

1.11"DefectLiabilityPeriod"meanstheperiodfollowingCompletionDateduringwhichContractorisresponsibleforrectifyingDefects.

1.12"Variation"meansanychangeintheWorkdirectedbyoronbehalfofClient.

1.13"Claim"meansanoticesubmittedbyContractortotheEngineerinaccordancewiththeClaimsprovisionsofthisContract,settingoutanassertionofarighttoadditionalpaymentorextensionoftime.

1.14"ForceMajeure"meansaneventbeyondthereasonablecontroloftheaffectedparty,arisingfromcausesbeyonditsforesightorcontrol,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,andgovernmentalactions.

1.15"Day"meansanydayincludingSundayandpublicholidays.

1.16AllreferencestotheContractaretothiswrittenContractandnottoanyoralcommunicationsorstatements.

2.TheContract

TheContractconsistsofthisConditionsofContract(ConditionsofApplicationandConditionsofContract)andtheAnnexes.IntheeventofanyconflictbetweentheConditionsofApplicationandtheConditionsofContract,theConditionsofApplicationshallprevailtotheextentoftheconflict.TheAnnexesformanintegralpartoftheContract.

3.Language

ThelanguageoftheContractis[Language].AlldocumentssubmittedbyContractorunderthisContractshallbeinthelanguagespecifiedabove.Allcommunicationsbetweenthepartiesshallbeinthelanguagespecifiedabove,unlessotherwiseagreedinwriting.

4.ApplicableLawandDisputeResolution

4.1"Law"means[SpecifyApplicableLaw,e.g.,thelawsofthePeople'sRepublicofChina]asamendedfromtimetotime.

4.2"Dispute"meansanydifferencearisingoutoforrelatingtothisContractbetweentheClientandContractorwhichcannotbesettledamicablybythepartiesthemselves.

4.3Thedisputeresolutionprocedureshallbeasfollows:

(a)Thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

(b)Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofthelastcommunicationonthedispute,thepartiesshallappointanDisputeAdjudicatornamedinAnnexA[orspecifymethodofappointment].TheDisputeAdjudicatorshallmakeadecisiononthedisputewithin[Number,e.g.,60]daysfromthedateofreceivingallrelevantdocumentsandinformation.

(c)IfthepartiesdisagreewiththeDisputeAdjudicator'sdecisionwithin[Number,e.g.,28]daysfromthedateofreceiptofthedecision,oriftheDisputeAdjudicatorfailstomakeadecisionwithinthestipulatedtime,thedisputeshallbesubmittedtoArbitrationtobedeterminedbytheInternationalChamberofCommerce(ICC)ArbitrationCourtinaccordancewiththeRulesofProcedureforArbitrationClausesoftheICC.Theplaceofarbitrationshallbe[City,e.g.,Beijing]andthelanguageshallbe[Language,e.g.,Chinese].TheTribunalshallconsistof[Number,e.g.,three]arbitratorsappointedinaccordancewiththeICCRules.

5.Client

5.1ClientshallprovidetheSitefreeofchargeandreadyforusebyContractorfortheWorknotlaterthan[DateorCondition].

5.2ClientshallgrantContractorthenecessaryaccesstotheSiteandsurroundingareasforthepurposeofcarryingouttheWork.

5.3Clientshallprovide,orcausetobeprovided,anynecessaryinformation,data,permits,andapprovalsrequiredfortheWork,asspecifiedintheAnnexes.

5.4ClientshallappointanEngineerinaccordancewiththeprovisionsofCondition12.

5.5ClientshallpayContractortheContractPriceinaccordancewiththetermsofthisContract.

5.6ClientshallreceiveandtesttheEquipmentandSystemsinaccordancewiththeprovisionsofthisContract.

6.Engineer

6.1EngineershallbeappointedbyClientinaccordancewiththeprovisionsofCondition12.

6.2Engineer'sAuthority:Engineershallhavetheauthoritytoissueinstructions,makedecisions,andgiveapprovalsonbehalfofClientinrelationtotheWork,subjecttothelimitationsspecifiedinthisContract.Engineer'sdecisionsandapprovalsshallbefinalandbindingonClient.

6.3Engineer'sDuties:EngineershallperformthedutiesspecifiedintheAnnexes,includingbutnotlimitedto:

(a)ReviewingContractor'sdesignsanddrawings.

(b)ApprovingContractor'sworkplansandschedules.

(c)ApprovingContractor'sVariationProposals.

(d)AcceptingtheWorkuponcompletion.

(e)Certifyingthevariationcostsandextensionoftime.

(f)Certifyingthepaymentapplications.

(g)ResolvingclaimssubmittedbyContractor.

6.4Engineer'sFees:ClientshallpayEngineer'sfeesasagreedbetweenClientandEngineer[orasspecifiedintheAnnexes].

7.Contractor

7.1ContractorshallcarryouttheWorkinaccordancewiththeContract,includingthetechnicalspecificationsanddrawingsspecifiedintheAnnexes.

7.2ContractorshalluseitsbesteffortsandskilltocompletetheWorkwithdueregardtosafetyandtheapplicablelawsandregulations.

7.3Contractorshallberesponsibleforthedesign,supply,installation,testing,commissioning,andhandoveroftheEquipmentandSystems.

7.4ContractorshallensurethatallEquipmentandSystemscomplywiththetechnicalspecificationsandperformancerequirementsspecifiedintheContract.

7.5Contractorshallberesponsibleforobtainingallnecessarylicenses,permits,andapprovalsrequiredfortheWork,atitsownexpense.

7.6ContractorshallmaintainproperrecordsofitsworkandshallmakethemavailabletotheEngineeruponrequest.

7.7ContractorshallberesponsiblefortheoperationandmaintenanceoftheEquipmentandSystemsduringtheDefectLiabilityPeriod.

8.TheContractPrice

8.1TheContractPricefortheWorkis[Amountin[Currency]]assetoutintheContractAgreement.

8.2TheContractPriceisafixedpriceandshallnotbesubjecttovariationexceptasprovidedforinConditions17and18.

9.Payment

9.1Paymentshallbemadein[Currency]inaccordancewiththetermssetoutintheAnnexes.

9.2ContractorshallsubmitapaymentapplicationtotheEngineertogetherwiththerequireddocumentationsupportingtheclaimedpayment.

9.3EngineershallreviewthepaymentapplicationandissueacertificateofpaymenttoClientwithin[Number,e.g.,28]daysfromreceiptoftheapplication.

9.4ClientshallpaytheContractortheamountcertifiedbyEngineerwithin[Number,e.g.,30]daysfromthedateofreceiptofthecertificateofpayment.

9.5Contractorshallbeentitledtointerestatarateof[InterestRate,e.g.,8%perannum]onanyamountoverdueunderthisContract,calculatedfromtheduedateofpaymenttothedateofactualpayment.

9.6ClientshalldeductanamountequaltothePerformanceSecurityfromanypaymentduetoContractorifContractorbreachesanyofitsobligationsunderthisContract.

10.PerformanceSecurity

10.1ContractorshallprovidePerformanceSecuritytoClientintheamountof[Percentage,e.g.,10%]oftheContractPrice.

10.2ThePerformanceSecurityshalltaketheformofaperformancebondissuedbyabankwithareputationacceptabletoClientorabankguaranteeissuedbyafinancialinstitutionacceptabletoClient.

10.3ThePerformanceSecurityshallbesubmittedtoClientwithin[Number,e.g.,28]daysfromthedateoftheContractAgreement.

10.4ClientshallretainthePerformanceSecurityuntil[Condition,e.g.,theDefectLiabilityPeriodexpiresandnoclaimsareoutstanding,orthefinalpaymentismade],whicheverislater.

11.CommencementofWork

11.1TheWorkshallcommenceon[Date]orsuchlaterdateasmaybeagreedinwritingbetweenClientandContractor.

11.2ContractorshallnotcommenceanysubstantialpartoftheWorkuntilithasreceivedClient'swrittenapproval.

12.DurationofContract

12.1TheContractshallcommenceontheEffectiveDateandshallcontinueuntiltheWorkiscompletedandhandedovertoClient,subjecttothetermsandconditionsofthisContract.

12.2TheCompletionDateshallbe[Date]orsuchdateasmaybeextendedinaccordancewithCondition13.

13.SuspensionofWork

13.1EitherpartymaysuspendtheWorkbygivingwrittennoticetotheotherpartyif:

(a)TheotherpartybreachesanyofitsobligationsunderthisContractandfailstoremedythebreachwithinareasonabletimeafterbeingnotifiedthereof.

(b)ForceMajeureoccurs.

(c)TheWorkisnotrequiredbyClient.

13.2ContractorshallbeentitledtoadditionalpaymentandanextensionoftimeforanysuspensionofWorkcausedbyreasonsattributabletoClient.

13.3IftheWorkissuspendedforacontinuousperiodofmorethan[Number,e.g.,90]daysduetoreasonsattributabletoClient,ContractorshallbeentitledtoterminatethisContractinaccordancewiththeprovisionsofCondition25.

14.Completion

14.1TheWorkshallbeconsideredcompletewhenithasbeeninstalled,tested,commissioned,andhandedovertoClientinaccordancewiththeContract.

14.2ContractorshallnotifyEngineerofitsreadinessforperformancetestingnotlaterthan[Number,e.g.,7]daysbeforetheCompletionDate.

14.3EngineershallcarryouttheperformancetestinginaccordancewiththeprovisionsoftheAnnexes.IftheEquipmentandSystemssatisfytheperformancerequirements,Engineershallissueacertificateofcompletion.

14.4IftheEquipmentandSystemsdonotsatisfytheperformancerequirements,ContractorshallrectifyanyDefectswithintheDefectLiabilityPeriod.

15.Testing

15.1ContractorshallberesponsibleforcarryingoutallnecessaryteststoensuretheEquipmentandSystemsmeettheperformancerequirementsspecifiedintheAnnexes.

15.2ContractorshallnotifyEngineerofthecompletionofeachtestandprovidethetestresults.

15.3Engineershallwitnessandapprovetheperformancetesting.

16.DefectLiability

16.1ThereshallbeaDefectLiabilityPeriodof[Number,e.g.,12]monthsfromthedateofEngineer'scertificateofcompletion.

16.2ContractorshallrectifyanyDefectswithintheDefectLiabilityPeriodatitsownexpense.

16.3ContractorshallnotifyEngineerofanyDefectswithin[Number,e.g.,8]daysfromdiscoveringthem.

16.4EngineershallinspectandverifytherectificationofDefectswithin[Number,e.g.,14]daysfromreceiptofContractor'snotification.

16.5IfContractorfailstorectifyaDefectwithinthespecifiedtime,ClientshallhavetherighttoengageotherstorectifytheDefectatContractor'sexpenseandtoclaimanyadditionalcostsincurred.

17.Variations

17.1AnyvariationtotheWorkshallbesubmittedbyContractortotheEngineerinwritingtogetherwithadetailedproposalspecifyingthenatureofthevariation,thereasonstherefor,andtheestimatedcostanddurationimpact.

17.2EngineershallreviewtheVariationProposalandnotifyContractorinwritingofhisdecisionwithin[Number,e.g.,21]daysfromreceiptthereof.

17.3IfEngineerapprovesthevariation,theContractPriceshallbeadjustedaccordingly,andthecompletiondatemaybeextended.

17.4IfEngineerdoesnotapprovethevariation,ContractorshallnotbeentitledtoanyadditionalpaymentorextensionoftimeunlessthevariationissubsequentlyapprovedbytheEngineer.

18.Claims

18.1ContractorshallsubmitaClaimtotheEngineerinwritingwithin[Number,e.g.,28]daysfromthedateonwhichtheeventgivingrisetotheClaimbecameknowntoContractor.

18.2TheClaimshallbeclearlyandfullysubstantiatedbyallrelevantdocumentsandinformation.

18.3ContractorshallkeeparecordofalleventsgivingrisetotheClaimandshallmaketherecordavailabletotheEngineeruponrequest.

18.4EngineershallconsidertheClaimandnotifyContractorinwritingofhisdecisionwithin[Number,e.g.,42]daysfromreceiptthereof.

18.5IfContractorisnotsatisfiedwithEngineer'sdecision,ContractormaysubmittheClaimtotheDisputeAdjudicator[orArbitrationTribunal]inaccordancewithCondition4.

19.Title

19.1ThetitletotheEquipmentshallpasstoClientupon[Event,e.g.,Contractor'scompletionoftheWorkandClient'spaymentoftheContractPrice].

20.Insurance

20.1Contractorshall,throughoutthedurationoftheContractandtheDefectLiabilityPeriod,procureandmaintainthefollowinginsurancesatitsownexpense:

(a)InsurancefortheEquipmentintheamountof[Amount]coveringallrisksoflossordamage.

(b)ThirdPartyLiabilityInsuranceintheamountof[Amount]coveringanyliabilityforlossordamagetothirdparties.

(c)[Specifyotherinsurancerequirements,e.g.,ProfessionalIndemnityInsurance].

20.2Clientshall,atitsownexpense,procureandmaintaininsurancetocoveritsownrisksandliabilitiesrelatedtotheWork.

21.ForceMajeure

21.1NeitherpartyshallbeliableforanydelayinperformingitsobligationsunderthisContractresultingfromForceMajeure,providedthattheaffectedpartyhastakenallreasonablemeasurestopreventormitigatetheeffectsoftheForceMajeure.

21.2TheaffectedpartyshallnotifytheotherpartyinwritingoftheoccurrenceofForceMajeurewithin[Number,e.g.,14]daysfromthedateofitsoccurrence.

21.3TheaffectedpartyshallprovidetheotherpartywithproofoftheForceMajeure.

21.4ThedurationofthedelaycausedbyForceMajeureshallbeextendedbyaperiodequaltothedurationoftheForceMajeure.

21.5IftheForceMajeurecontinuesforacontinuousperiodofmorethan[Number,e.g.,180]days,eitherpartyshallhavetherighttoterminatethisContractinaccordancewiththeprovisionsofCondition25.

22.RiskAllocation

22.1RiskoflossordamagetotheEquipmentduringtheexecutionoftheWorkshallbebornebyContractor.

22.2RiskoflossordamagetotheEquipmentshallpasstoClientuponcompletionandhandover.

22.3RiskoflossordamagetotheWorkduringtheDefectLiabilityPeriodshallbebornebyContractor.

22.4RiskofoperationalfailureorperformancedeficiencyshallbebornebyContractorunlesscausedbyfactorsbeyondContractor'sreasonablecontrolorbyClient'sinstructions.

23.MisrepresentationorNon-Disclosure

23.1Ifeitherpartymakesanyrepresentationorwarrantywhichisfalseinanymaterialrespect,orfailstodiscloseanyfactwhichshouldreasonablyhavebeendisclosed,andtheotherpartyreliesonsuchrepresentationorfailuretodisclose,theaggrievedpartyshallbeentitledtoclaimdamages.

24.Indemnity

24.1ContractorshallindemnifyandholdharmlessClientagainstanylosses,damages,claims,andliabilitiesarisingoutoforinconnectionwithContractor'sbreachofanyobligationunderthisContract.

24.2ClientshallindemnifyandholdharmlessContractoragainstanylosses,damages,claims,andliabilitiesarisingoutoforinconnectionwithClient'sbreachofanyobligationunderthisContract.

25.Termination

25.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyunderthefollowingcircumstances:

(a)Insolventorbankruptcyproceedingsareinitiatedagainsttheotherparty.

(b)TheotherpartycommitsamaterialbreachofthisContractandfailstoremedythebreachwithinareasonabletimeafterbeingnotifiedthereof.

(c)TheotherpartyisunabletocontinueperformanceofitsobligationsunderthisContractduetoreasonsbeyonditscontrol.

(d)TheWorkissubstantiallycompleteandacceptedbyClient.

25.2Intheeventoftermination,ContractorshallbeentitledtopaymentforallWorkperformed,costsincurred,andexpensesincurreduptothedateoftermination,subjecttoEngineer'scertification.
