2026年短视频内容创作委托协议PartiesThisAgreement("Agreement")isenteredintoandeffectiveasof[EffectiveDate],byandbetween[PartyAName]("PartyA"),withitsregisteredaddressat[PartyAAddress]andcontactperson[PartyAContactPerson](hereinafterreferredtoasthe"CommissioningParty"),and[PartyBName]("PartyB"),withitsregisteredaddressat[PartyBAddress]andcontactperson[PartyBContactPerson](hereinafterreferredtoasthe"CreationParty").DefinitionsandInterpretationInthisAgreement,thefollowingdefinitionsshallapply:(a)"ShortVideo"referstovideocontentwithadurationgenerallynotexceedingfiveminutes,distributedprimarilyonshortvideoplatforms,includingbutnotlimitedtoDouyin,Kuaishou,andTikTok.(b)"ContentCreation"referstotheprocessundertakenbyPartyB,includingplanning,scripting,shooting,editing,sounddesign,andfinaloutputoftheShortVideoasrequestedbyPartyA.(c)"Deliverables"refertothefinishedShortVideoscreatedbyPartyBanddeliveredtoPartyAaspertheScopeofWork.(d)"IntellectualPropertyRights"refertoallrightsandinterests,whetherexistingorarising,inortoanycreation,includingwithoutlimitationcopyright,trademarkrights,andmoralrights,inanyformofexpressionoftheDeliverables.(e)"ConfidentialInformation"referstoanynon-publicinformationdisclosedbyeitherPartytotheotherinwritingorinelectronicform,whichismarkedas"Confidential"orcanreasonablybedeterminedtobeconfidentialduetoitsnatureorcontext.ScopeofWork1.PartyAentrustsPartyBtocreateShortVideos("Deliverables")basedontherequirementsspecifiedinthisAgreement.2.Thesubjectmatter,style,targetaudience,andexpecteddurationoftheShortVideosshallbeasdetailedinAppendixA(ifany)attachedtothisAgreement.Ifnoappendixisattached,thespecificrequirementsshallbedetailedinthissection.3.ThetotalnumberofShortVideostobecreatedshallbe[Number]pieces,dividedinto[Number]batchesasfollows:[DetailedBatchInformation,e.g.,Batch1:5pieces,Batch2:5pieces].4.TheformatoftheDeliverablesshallbeMP4,witharesolutionofatleast[Resolution,e.g.,1080p],aframerateof[FrameRate,e.g.,30fps],andclearaudiowithoutbackgroundmusicorwithstandardroyalty-freemusicasspecifiedbyPartyA.5.PartyBshalldeliverthecompletedDeliverablestoPartyAvia[DeliveryMethod,e.g.,WeTransferlink,emailattachment]within[Timeframe,e.g.,7days]afterthecompletionofeachbatch.TermandCommencement1.ThisAgreementshallcommenceontheEffectiveDateandshallremainineffectuntilthecompletionofallDeliverablesandfullpaymentbyPartyA.2.Thetermshallbe[TermDuration,e.g.,180days]fromtheEffectiveDateunlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.FeesandPaymentTerms1.ThetotalfeeforthisprojectisRMB[Amount],payablebyPartyAtoPartyB.2.Paymentshallbemadeviabanktransfertothefollowingaccount:BankName:[BankName]AccountName:[AccountName]AccountNumber:[AccountNumber]3.Paymenttermsshallbeasfollows:(a)Adepositof30%(RMB[Amount])ofthetotalfeeshallbepaidbyPartyAtoPartyBwithin5daysoftheEffectiveDate.(b)Theremaining70%(RMB[Amount])shallbepaidbyPartyAtoPartyBuponthecompletionandacceptanceofallDeliverablesbyPartyAwithin10daysofreceivingthefinalDeliverables.4.PartyBshallprovidePartyAwithaninvoiceforthefullamountofeachpaymentuponreceiptofthesame.5.IfPartyAfailstomakeapaymentwhendue,PartyAshallpayalatefeeof[Percentage,e.g.,0.5%]permonthontheoverdueamountuntilpaymentisreceived.DeliverablesandAcceptance1.PartyBshalldeliverthefirstbatchofDeliverablestoPartyAby[Date].2.PartyAshallreviewtheDeliverablesandnotifyPartyBinwritingwithin[Number,e.g.,5]daysofreceiptregardingacceptanceorrejection.3.IfPartyArejectstheDeliverables,PartyBshallmakerevisionsasrequestedbyPartyAwithin[Number,e.g.,3]daysatnoadditionalcost.PartyBshallhavetherighttorequestPartyA'sapprovaloftherevisedDeliverables.4.PartyAshallaccepttheDeliverablesuponconfirmationthattheymeettheagreed-uponstandardsandspecifications.5.FinalacceptanceshallbedeemedeffectiveuponPartyA'swrittenconfirmationoruponthefullpaymentbyPartyA.IntellectualPropertyRights1.Allpre-existingIntellectualPropertyRightsinanyconcepts,ideas,scripts,orothermaterialsprovidedbyPartyAshallremainthepropertyofPartyA.2.UponfullpaymentofthetotalfeebyPartyA,PartyBshalltransferallIntellectualPropertyRightsintheDeliverables,includingwithoutlimitationthecopyrightandallassociatedrightsandinterests,toPartyAworldwide,irrevocably,andperpetually.3.PartyBshallhavetherighttousetheDeliverablesforinternaltrainingandnon-commercialpurposeswithoutfurtherpermissionfromPartyA.Confidentiality1.EachPartyagreestokeeptheConfidentialInformationoftheotherPartyconfidentialandnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthediscloser.2.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodoftwo(2)yearsafterthedateofterminationorexpiration.LiabilityandIndemnification1.NeitherPartyshallbeliableforanyindirect,consequential,orincidentaldamagesarisingoutoforinconnectionwiththisAgreement.2.PartyAshallindemnifyandholdharmlessPartyBfromandagainstanyclaims,losses,ordamagesarisingfromPartyA'sbreachofthisAgreement.3.PartyBshallindemnifyandholdharmlessPartyAfromandagainstanyclaims,losses,ordamagesarisingfromPartyB'sbreachofthisAgreement.Termination1.ThisAgreementmaybeterminatedbymutualwrittenagreementofbothParties.2.EitherPartymayterminatethisAgreementuponthirty(30)days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.3.Upontermination,PartyBshalldeliverallfinalDeliverablestoPartyAandPartyAshallpayPartyBforallDeliverablescompleteduptothedateoftermination.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.2.AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheParties.3.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationinaccordancewiththeArbitrationRulesofCIETAC.Theplaceofarbitrationshallbe[City,e.g.,Beijing].Miscellaneous1.AllnoticesunderthisAgreementshallbeinwritingandaddressedtothePartiesattheirrespectiveaddressessetforthhereinoratsuchotheraddressaseitherPartymaydesignateinwriting.2.ThisAgreement,includinganyattachments,constitutestheentireagreementbetweenthePartiesandsupersedesallprior
