2026年国际贸易货运代理合同协议PartiesThisAgencyAgreement(“Agreement”)ismadeandenteredintoon[Date],byandbetween[AgentCompanyName],acompanyorganizedandexistingunderthelawsof[AgentCountry]withitsprincipalplaceofbusinessat[AgentAddress](“Agent”),and[PrincipalCompanyName],acompanyorganizedandexistingunderthelawsof[PrincipalCountry]withitsprincipalplaceofbusinessat[PrincipalAddress](“Principal”).BackgroundAgentisengagedinthebusinessofprovidingfreightforwardingservices.PrincipaldesirestoengageAgenttoprovidespecifiedfreightforwardingservicesforthecarriageofgoodsininternationaltrade.ScopeofServicesAgentagreestoprovidethefollowingservicestoPrincipal(the“Services”):1.Securebookingspacewithcarriers(includingbutnotlimitedtooceancarriersforFCLandLCL,aircarriers,andlandcarriers)fortheshipmentofgoodsfrom[Origin]to[Destination]asrequestedbyPrincipalunderthetermsandconditionsagreedupon,inaccordancewiththeIncoterms®termspecifiedbyPrincipalineachtransaction(the“Incoterms®Term”).2.Prepare,submit,andprocessallnecessarydocumentationfortheimportandexportcustomsdeclarationonbehalfofPrincipal.3.Issue,deliver,orarrangeforthedeliveryofallrequiredtransportdocuments,suchasoceanbillsoflading,airwaybills,commercialinvoices,packinglists,andanyotherdocumentsrequestedbythecarriersorrequiredbylaw.4.ProvidetrackinginformationfortheshipmentduringtransituponrequestfromPrincipal.5.CommunicatepromptlywithPrincipalregardingsignificantdevelopmentsintheshipmentprocess.6.[Addanyotherspecificservicesagreedupon,e.g.,arrangewarehousing,arrangeinsurance,coordinatedoor-to-doortransportation,assistwithlocalcustomsclearance].Thecostofsuchadditionalservices,ifany,shallbebornebyPrincipalandshallbebilledseparatelyaccordingtotheprevailingrates.Incoterms®ComplianceTheServicesshallbeprovidedinaccordancewiththeIncoterms®TermspecifiedbyPrincipalineachtransaction.AgentshallactinaccordancewiththeresponsibilitiesdefinedundertheapplicableIncoterms®Term.PrincipalshallberesponsibleforanyadditionalcostsorobligationsarisingundertheIncoterms®Termthatarenotincludedwithintheagreedfreightrate.Agent’sObligations1.Actwithduecare,skill,anddiligenceinprovidingtheServicesandinthebestinterestsofPrincipal.2.UsereasonableeffortstosecurebookingspaceasrequestedbyPrincipal,subjecttoavailabilityandcarrierterms.3.ProvidePrincipalwithestimatedquotesorchargesfortheServicesinadvance,asrequested,orchargePrincipaltheagreedfeesasspecifiedinthisAgreement.4.EnsurethatalldocumentspreparedorsubmittedonbehalfofPrincipalareaccurateandcompletetothebestofAgent’sknowledge,andcomplywiththerequirementsofthecarriersandapplicablelaws.5.KeepinformationconcerningPrincipal,includingbutnotlimitedtocommercialinformation,cargodetails,andfinancialinformation,confidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPrincipal,exceptasrequiredbylaworcourtorder.6.FurnishPrincipalwithallnecessarydocumentsrelatedtotheServicesuponcompletionoftheServices,unlessotherwiseagreed.Principal’sObligations1.ProvideAgentwithallnecessaryandaccurateinformationregardingthegoods,includingbutnotlimitedtodescription,quantity,value,origin,destination,Incoterms®term,andanyspecialhandlinginstructions.2.ProvideAgentwithallnecessarydocumentation,certificates,andlicensesrequiredfortheexportandimportofthegoods,includingbutnotlimitedtocommercialinvoices,packinglists,origincertificates,exportlicenses(ifapplicable),andimportpermits(ifapplicable),andensuretheiraccuracy.3.PayAgentallfees,charges,andexpensesincurredbyAgentinconnectionwiththeprovisionoftheServices,includingfreight,demurrage,storage,customsduties,taxes,andfeesfordocumentationandservices,asagreeduponinthisAgreementorasseparatelybilledbyAgent.4.ProvidetimelyinstructionsandnecessarycooperationtoAgentfortheperformanceoftheServices.5.AuthorizeAgenttoactandrepresentPrincipalinrelationtotheServices.FeesandCharges1.ThefeesfortheServicesshallbeasfollows:[Detailthefeestructure,e.g.,afixedfeeofX%onthevalueofgoods,aflatrateofYpershipment,orspecificchargesforeachservicecomponentlikebooking,customs,documentation].PrincipalshallpayAgentthefeesasagreed.2.AllchargesincurredbyAgentinconnectionwiththeServices,suchasfreight,portcharges,terminalhandlingcharges,fuelsurcharges,customsduties,andtaxes,shallbebilledtoPrincipalseparatelyandshallbedueandpayableaccordingtothetermsspecifiedbyAgent.PrincipalshallreimburseAgentforanysuchchargesuponAgent’svalidinvoice.3.Paymentshallbemadeby[Specifypaymentmethod,e.g.,wiretransfer]toAgent’saccount:[BankName],[AccountNumber],[AccountHolderName],[BankAddress].Paymentshallbemadewithin[Number,e.g.,30]daysaftertheinvoicedateunlessotherwiseagreed.Liability1.Agent’sliabilitytoPrincipalforanyloss,damage,delay,orothermisfortunerelatingtothegoodsarisingduringtheprovisionoftheServicesshallbelimitedinaccordancewith[Specifythegoverningliabilityrule,e.g.,theHagueRules,Hague-VisbyRules,HamburgRules,ortheUnitedNationsConventiononContractsfortheInternationalCarriageofGoodsWhollyorPartiallybySea(CIM),oraspecificcontractclauselimitingliabilitytoacertainamountorvalue].Agent’stotalliabilityunderthisAgreementshallnotexceed[Specifythemaximumlimit,e.g.,theamountofthefreightchargedfortheparticularshipment,oraspecificmonetaryamount].2.Agentshallnotbeliableforanylossordamagetothegoodscausedbythenatureofthegoodsthemselves,inherentrisks,actsofGod,war,terrorism,insurrection,civilcommotion,strikes,lockouts,oractsoromissionsofcarriers,customsauthorities,orotherthirdpartiesoverwhichAgenthasnocontrol.3.Principalshallberesponsibleforanylossordamagetothegoodscausedbydefectsinpackaging,insufficientmarkingorlabeling,orfailuretocomplywiththelawsorregulationsofthecountriesoforiginordestination.4.PrincipalshallbeliableforanydirectorindirectlossordamageresultingfromtheprovisionoffalseormisleadinginformationtoAgent.Claims1.AnyclaimbyPrincipalagainstAgentforanyloss,damage,ordelayshallbesubmittedtoAgentinwritingwithin[Number,e.g.,90]daysfromthedatewhentheloss,damage,ordelayoccurredorwasreasonablyascertainable.2.Suchclaimshallbeaccompaniedbyallnecessaryevidence,includingbutnotlimitedtorelevantdocuments,photographs,andadetaileddescriptionoftheallegedloss,damage,ordelay.3.FailurebyPrincipaltosubmitaclaimwithintheprescribedperiodshallconstituteawaiverofsuchclaimagainstAgent.Documentation1.PrincipalshallprovideAgentwithallnecessarydocumentsfortheServiceswithin[Number,e.g.,10]daysofreceivingAgent’srequest.2.Agentshallprepareandsubmitalldocumentsrequiredbythecarriersandlaws,ensuringtheyareaccurateandcompletebasedontheinformationprovidedbyPrincipal.3.AgentshallretainacopyofalldocumentsissuedorsubmittedonbehalfofPrincipal.ConfidentialityAgentagreestokeepconfidentialallinformation,data,tradesecrets,andbusinessprospectsdisclosedbyPrincipalduringthetermofthisAgreementandforaperiodof[Number,e.g.,3]yearsthereafter.AgentshallnotusesuchconfidentialinformationforanypurposeotherthanperformingitsobligationsunderthisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPrincipal,exceptasrequiredbylaw,regulation,orcourtorder.TermandTermination1.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectfor[Specifyterm,e.g.,oneyear]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreementoruntilthecompletionofthefinalServicesunderthisAgreement.2.EitherpartymayterminatethisAgreementatanytimebyproviding[Number,e.g.,30]days’writtennoticetotheotherparty.3.UponterminationorexpirationofthisAgreement,Agentshall(a)completeanyServicesthathavebeencommencedandforwhichpaymenthasnotyetbeenreceivedshallbebilledandpaymentdue,(b)returntoPrincipalanydocumentsandpropertybelongingtoPrincipal,and(c)continuetokeepconfidentialanyinformationbelongingtoPrincipal.4.Notwithstandingtermination,theprovisionsofthisAgreementregardingconfidentiality,liability,indemnification,anddisputeresolutionshallremaininfullforceandeffect.ForceMajeure1.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,strikes,fire,flood,epidemicdisease,governmentalactionsorregulations,oractsoromissionsofcarriersorcustomsauthorities.2.TheaffectedpartyshallpromptlynotifytheotherpartyofanyForceMajeureeventandshalltakeallreasonableeffortstomitigateitseffects.3.PerformanceoftheobligationsunderthisAgreementshallbesuspendedduringtheperiodofForceMajeure.IftheForceMajeureconditioncontinuesformorethan[Number,e.g.,90]days,eitherpartymayterminatethisAgreementbyproviding[Number,e.g.,30]days’writtennoticetotheotherparty.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,theStateofNewYork,USA].2.Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]accordingtothe[SpecifyArbitrationRules,e.g.,RulesofProcedureforArbitrationClausesandCompositeClaims]inforceatthetimeoftheinstitutionofthearbitration.Theplaceofarbitrationshallbe[SpecifyCityandCountry].Thelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,English].EntireAgreementThisAgreement,includingtheSchedule[ifany],constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterofthisAgreement.AmendmentsThisAgreementmayonlybeamendedormodifiedinwritingandshallbeeffectiveonlyuponexecutionbyauthorizedrepresentativesofbothParties.SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbedeemedseveredfromthisAgreement,andtheremainingprovisionsshallremaininfullforceandeffect.WaiverNowaiverbyeitherPartyofanybreachofthisAgreementshallbeconsideredasawaiverofanysubsequentbreach.ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotconstituteawaiverofsuchprovisionortherighttoenforceitatalatertime.AssignmentPrincipalmaynotassignanyofitsrightsorobligationsunder
