WHEREAS.TheRECEIVERdesirestocooperatewiththePROVIDERtoaccomplishmutualbenefitbyreceivingtheStandbyLetterofCredit.

PROVIDERherebydeclaresunderpenaltyofperjurythattheSBLCwillbecashbackedbyfundsthataregood,clean,clear,andfreeofnon-criminalorigin,theSBLCwillbefreeandclearofallliens,encumbrancesandthirdpartyinterests.

NOWTHEREFORE,theRECEIVERhasagreedtoshare38%ofFaceValuefortheinstrumentstothePROVIDERandProviderhasagreedtoissueSBLCasperfollowingdetails:

WHEREAS.TheRECEIVERdesirestocooperatewiththePROVIDERtoaccomplishmutualbenefitbyreceivingtheStandbyLetterofCredit.

RECEIVERconfirmswithfullcorporateandlegalresponsibilitythatfundsareavailabletofulfiltherequirementsforexecutionofthisinstrumentandRECEIVERfurtherconfirmstocooperatewiththePROVIDER.

ThePROVIDERdesirestotransferandassignallrightstitleandinterestoftheSBLCavailabletothe

RECEIVER.

PROVIDERrepresentsandwarrantsthatithastheabilityandresourcestoarrangedirectly,throughassociates,contactsandsources,withfullcorporateresponsibility,financialinstrumentsperthetermsofassignmentstobeprovidedtoRECEIVER.

PROVIDERherebydeclaresunderpenaltyofperjurythattheSBLCwillbecashbackedbyfundsthataregood,clean,clear,andfreeofnon-criminalorigin,theSBLCwillbefreeandclearofallliens,encumbrancesandthirdpartyinterests.

BothPartiesanyrollsandextensionshavetobeagreeduponbetweenthePROVIDERandtheRECEIVERbyone(1)weekbeforetheinitialcontractamountisexhausted.

NON-SOLICITATION

TheRECEIVERherebyconfirmsanddeclaresthatthePROVIDER,herassociatesorrepresentativesoranypersonorpersonsonitsbehalfhas/havenevereversolicitedtheRECEIVER,hershareholdersorassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransactionorforfuturetransactions.

FORCEMAJEURE

Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsunderthisagreementshallnotconstituteabreachhereunderorgiverisetoanyclaimsfordamagesif,andtotheextentthatsuchdelaysorfailuresinperformancearecausedbyeventsorcircumstancebeyondthecontrolofsuchparty.Theterm“BeyondtheControlofSuchParty“IncludeLawfulorderofGovernmentorAuthority,ActofWar,RebellionorSabotage,Fire,Flood,Earthquakeorothernaturaldisasters.Anyothercausenotwithinthecontrolofsuchpartyorwhichisbyexerciseofreasonablediligence,thepartywillbeunabletoforeseeorpreventorremedy.

ARBITRATION

Alldisputesandquestionswhatsoeverwhicharisesbetweenthepartiestothisagreementandtouchingonthisagreementontheconstructionorapplicationthereoforanyaccountcost,liabilitytobemadehereunderorastoanyactorwayrelatingtothisagreementshallbesettledbythearbitrationinaccordancewiththearbitrationlawsoftheICC.

Thisagreementcontainstheentireagreementandunderstandingconcerningthesubjectmatterhereofandsupersedesandreplacesallpriornegotiationsandproposedagreements,writtenororal.

Neitherofthepartiesmayalter,amend,normodifythisagreement,exceptbyaninstrumentinwritingsignedbybothparties.ThisagreementwillbegovernedbyandconstruedinaccordancewiththelawsofUnitedKingdom.Intheeventthateitherpartyshallberequiredtobringanylegalactionsagainsttheotheritenforceanyofthetermsofthisagreementtheprevailingpartyshallbeentitledtorecoverreasonableattorneyfeesandcosts.

Thisagreementshallbelegallybindingonthepartieshereto,theirprincipals,employees,representatives,agentsandassignsinallcountriesoftheworld.

Thepartiesheretoaffirmthatineverycasetheywillactwiththehigheststandardsofethicsandhonestyinalltheirdealings.
