WHEREAS,theDisclosingPartyandtheReceivingPartyhaveenteredintoacertaincontract(hereinafterreferredtoasthe"MainContract")regarding[Project/Service/Transaction];

WHEREAS,theMainContractcontainscommercialsecretsandcoretermsthatrequireprotection;

WHEREAS,bothpartiesagreetosignthisAgreementtoclarifytheirrespectiveobligationsregardingtheconfidentialityofContractInformation;

NOW,THEREFORE,inordertoprotectthelegitimaterightsandinterestsofbothpartiesandensurethesmoothexecutionoftheMainContract,thepartiesagreetothefollowing:

ARTICLE1DEFINITIONS

1.1"ContractInformation"inthisAgreementreferstoallinformationrelatedtotheMainContract,includingbutnotlimitedtocontractterms,pricedetails,deliverystandards,technicalspecifications,financialdata,communicationrecords,negotiationstrategies,andanyunpublishedcommercialstrategies.

1.2"DisclosingParty"referstothepartydisclosingtheContractInformation.

1.3"ReceivingParty"referstothepartyreceivingtheContractInformation.

ARTICLE2CONFIDENTIALITYOBLIGATIONS

2.1TheReceivingPartyshallonlyusetheContractInformationforthepurposeofperformingtheMainContractandshallnotuseitforanyotherpurposewithoutthepriorwrittenconsentoftheDisclosingParty.

2.2TheReceivingPartyshallnotdisclose,transfer,lease,orprovidetheContractInformationtoanythirdparty,includingbutnotlimitedtoemployees,agents,consultants,orpartners,withoutthepriorwrittenconsentoftheDisclosingParty.

2.3TheReceivingPartyshallensurethatallpersonnelinvolvedintheMainContractareboundbyconfidentialityobligationsnolessstrictthanthosestipulatedinthisAgreementandshallprovidenecessaryconfidentialitytrainingtothesepersonnel.

ARTICLE3SECURITYMEASURES

3.1TheReceivingPartyshalltakesecuritymeasuresnolessstrictthanthoseittakestoprotectitsownconfidentialinformationtopreventtheunauthorizedaccess,copying,use,orleakageofContractInformation.

3.2IftheReceivingPartydiscoversanyleakageorpotentialleakageofContractInformation,itshallnotifytheDisclosingPartyimmediatelyandtakenecessarymeasurestomitigatetheloss.

ARTICLE4EXCEPTIONS

4.1TheReceivingPartyshallnotbeliableforbreachofthisAgreementiftheleakageofContractInformationiscausedbyanyofthefollowingcircumstances:

4.1.1TheinformationwasalreadyinthepublicdomainpriortodisclosurebytheDisclosingParty;

4.1.2TheinformationwasobtainedbytheReceivingPartyfromathirdpartywhohadtherighttodiscloseit;

4.1.3Theinformationisrequiredtobedisclosedbyapplicablelaws,regulations,orjudicialoradministrativeorgans;

4.1.4TheinformationbecomespublicthroughnofaultoftheReceivingPartyafterdisclosure.

4.2IncaseswheretheReceivingPartyisnotliable,itshallcooperatewiththeDisclosingPartytoprovethecircumstancesofexemption.

ARTICLE5BREACHLIABILITY

5.1IftheReceivingPartyviolatesanyoftheprovisionsofthisAgreement,itshallimmediatelystoptheinfringementandeliminatetheadverseeffects.

5.2TheReceivingPartyshallbearcivilliabilityforthelossescausedbyitsbreachofthisAgreement,includingbutnotlimitedtodirectlosses,indirectlosses(includingbutnotlimitedtolossofprofits),reasonableattorneyfees,litigationfees,andotherexpensesincurredinprotectingitsrights.

5.3TheReceivingPartyagreestopayaliquidateddamagestotheDisclosingPartyintheamountofRMB[Amount](RMB[Amount]Yuanand[Amount]Jiao)foranybreachofthisAgreement.

5.4IftheliquidateddamagesagreedinthisArticleareinsufficienttocompensatetheactuallossessufferedbytheDisclosingParty,theReceivingPartyshallmakeupthedifference.

ARTICLE6TERM

6.1ThisAgreementshallcomeintoforceonthedateofsignatureandsealbybothparties.

6.2TheconfidentialityobligationsinthisAgreementshallremaineffectivefor[Number]yearsaftertheexpirationorterminationoftheMainContract,oruntiltheContractInformationbecomeslegallypublic.

ARTICLE7DISPUTERESOLUTION

7.1AnydisputearisingfromorinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiationbetweentheparties.

7.2Ifnegotiationfails,eitherpartymaysubmitthedisputetothePeople'sCourtof[City,Province]wheretheDisclosingPartyislocatedforlitigation.

ARTICLE8MISCELLANEOUS

8.1ThisAgreementismadeinduplicate,witheachpartyholdingonecopy,bothhavingthesamelegaleffect.

8.2AnyamendmentorsupplementtothisAgreementshallbemadeinwritingandattachedtothisAgreementandshallhavethesamelegaleffectasthisAgreement.

8.3ThisAgreementshallprevailforallmattersnotcoveredherein,
