WhereastheDeveloperhasthetechnicalexpertiseandresourcestoperformsuchdevelopment;

1.Definitions

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:

“Software”meansthecustomsoftwareapplicationtobedevelopedbytheDeveloperpursuanttothisAgreement,includingallsourcecode,objectcode,documentation,andrelatedmaterials.

“Deliverables”meansthetangibleandintangibleoutputsoftheDeveloper’swork,includingbutnotlimitedtoprototypes,betaversions,finalsourcecode,usermanuals,andtestreports.

“IntellectualPropertyRights”meansallpatents,copyrights,trademarks,tradesecrets,andotherproprietaryrights,whetherregisteredorunregistered,existingunderthelawsofanyjurisdiction.

TheDevelopershallfollowanagiledevelopmentmethodology,withregularprogressupdatesprovidedtotheClient(nolessthanbiweekly).TheClientshalldesignateaprimarycontacttoreviewprogress,providefeedback,andapproveMilestones.

3.DevelopmentTimelineandMilestones

ThepartieshaveagreedtothefollowingMilestones,eachtobedeliveredandapprovedinsequence:

Milestone2:Developmentofcorefunctionalityanddeliveryofabetaversion,tobedeliveredwithin[X]weeksofMilestone1approval.

Milestone3:Finaltesting,bugfixes,anddeliveryofthefullyfunctionalSoftware,tobedeliveredwithin[X]weeksofMilestone2approval.

8.1DeveloperWarranty

TheDeveloperwarrantsthat:(a)theSoftwarewillconformtotheSpecificationsforaperiodof[X]monthsfromthedateoffinalacceptance;(b)ithastherighttogranttheIntellectualPropertyRightssetforthinSection5;and(c)theSoftwaredoesnotinfringetheIntellectualPropertyRightsofanythirdparty.

8.2ClientWarranty

TheClientwarrantsthat:(a)ithastherighttoprovidealldata,materials,orinformationnecessaryforthedevelopmentoftheSoftware;and(b)suchdata,materials,orinformationdonotinfringetherightsofanythirdparty.

12.1EntireAgreement

ThisAgreement,togetherwithSchedulesAandB,constitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,whetherwrittenororal.

12.2Amendments

NoamendmenttothisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

12.3Notices

12.4Assignment

NeitherpartymayassignthisAgreementwithoutthepriorwrittenconsentoftheotherparty.

12.5GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
