astherighttoapplytotheChinaCommodityInspectionBureauorotherinspectioninstitutionsrecognizedbybothpartiesforinspection.Ifthequalityand/orquantity/weightofthegoodsarefoundtobeinconsistentwiththecontractorinvoice,exceptfortheliabilityoftheinsurancecompanyand/ortheshippingcompany,theBuyerhastherighttofileaclaimagainsttheSellerwithin__daysafterthegoodsareunloadedattheportofdestination,basedontheinspectioncertificateissuedbytheinspectioninstitution.2.Claim:TheSellershallreplytotheBuyer'sclaimnoticewithin__days.IftheSelleragreestotheBuyer'sclaimrequest,itshallmakecompensationinatimelymanner;iftheSellerhasanyobjectionstotheclaim,bothpartiesshallresolveitthroughfriendlynegotiation;ifthenegotiationfails,itshallbehandledinaccordancewiththedisputeresolutionmethodstipulatedinthecontract.十六、不可抗力16.1中文不可抗力(ForceMajeure)：1.任何一方由于不可抗力事件（如战争、地震、洪水、火灾、暴风雪、台风等自然灾害，以及政府行为、社会异常事件等）不能履行或部分履行合同的，应及时通知对方，并在事件发生后__天内提供相关证明文件，根据不可抗力事件的影响，免除或部分免除违约责任。2.如果不可抗力事件持续时间超过__天，双方应通过友好协商决定是否继续履行合同或变更合同条款。16.2英文ForceMajeure:1.Ifeitherpartyisunabletoperformorpartiallyperformthecontractduetoforcemajeureevents(suchasnaturaldisasterslikewar,earthquake,flood,fire,snowstorm,typhoon,aswellasgovernmentacts,socialabnormalevents,etc.),itshallnotifytheotherpartyinatimelymannerandproviderelevantsupportingdocumentswithin__daysaftertheoccurrenceoftheevent.Dependingontheimpactoftheforcemajeureevent,theliabilityforbreachofcontractshallbeexemptedorpartiallyexempted.2.Iftheforcemajeureeventlastsformorethan__days,bothpartiesshalldecidethroughfriendlynegotiationwhethertocontinuetoperformthecontractorchangethecontractterms.十七、延期交货及罚款17.1中文延期交货及罚款(DelayedDeliveryandPenalty)：除本合同第十六条规定的不可抗力原因外，如卖方不能如期交货，买方有权撤销该部分的合同，或经买方同意在卖方缴纳罚款的条件下延期交货。罚款率为每延期__天，按货款总额的__%计算。不足__天者按__天计算。罚款自约定的交货日期届满后的第__天起计算，最多不超过延期货款总额的__%。17.2英文DelayedDeliveryandPenalty:ExceptfortheforcemajeurereasonsspecifiedinArticle16ofthiscontract,iftheSellerfailstodeliverthegoodsontime,theBuyerhastherighttocanceltherelevantpartofthecontract,orwiththeconsentoftheBuyer,theSellermaydelaythedeliveryontheconditionofpayingapenalty.Thepenaltyrateshallbecalculatedat__%ofthetotalamountofthegoodsforevery__daysofdelay.Ifthedelayislessthan__days,itshallbecalculatedas__days.Thepenaltyshallbecalculatedfromthe__thdayaftertheexpirationoftheagreeddeliverydate,andshallnotexceed__%ofthetotalamountofthedelayedgoodsatmost.十八、争议的解决18.1中文争议的解决(SettlementofDisputes)：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交____仲裁委员会，按该委员会的仲裁程序进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用除非仲裁另有决定外，均由败诉方负担。18.2英文SettlementofDisputes:Alldisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlynegotiation.Ifthenegotiationfails,thedifferencesshallbesubmittedtothe____ArbitrationCommissionforarbitrationinaccordancewithitsarbitrationprocedures.Thearbitrationawardisfinalandbindingonbothparties.T
