ServiceAgreementTemplate

ThisServiceAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoasof[EffectiveDate](the"EffectiveDate")byandbetween[PartyALegalName],a[jurisdictionofincorporation/formation]entitywithitsprincipalplaceofbusinessat[PartyAAddress](hereinafterreferredtoas"[PartyA]"),and[PartyBLegalName],a[jurisdictionofincorporation/formation]entitywithitsprincipalplaceofbusinessat[PartyBAddress](hereinafterreferredtoas"[PartyB]").[PartyA]and[PartyB]maybeindividuallyreferredtoasa"Party"andcollectivelyasthe"Parties."

1.Definitions

1.1"Agreement"meansthisServiceAgreement,includingallitsExhibits,Annexes,andanyamendmentshereto.

1.2"Services"meansthespecificservicestobeprovidedby[ServiceProvider,i.e.,eitherPartyAorPartyB,asapplicable]to[ServiceRecipient,i.e.,theotherParty]asmoreparticularlydescribedinExhibitAattachedhereto.

1.3"EffectiveDate"hasthemeaningascribedtoitinthepreamble.

1.5"Term"hasthemeaningascribedtoitinSection3.1.

2.ScopeofServices

2.1ServiceProvider'sObligations:SubjecttothetermsandconditionsofthisAgreement,theServiceProvidershallperformtheServicesinaprofessional,timely,andworkmanlikemanner,inaccordancewithindustrystandardsandanyspecificationssetforthinExhibitA.TheServiceProvidershalldevotesuchtime,skill,andresourcesasarereasonablynecessarytofulfillitsobligationshereunder.

2.2ServiceRecipient'sObligations:TheServiceRecipientshallprovidetheServiceProviderwithsuchreasonableaccess,information,andcooperationasmaybenecessaryfortheServiceProvidertoperformtheServices.Thismayinclude,withoutlimitation,[specificexamples,e.g.,"providingrelevantdata,""grantingaccesstopremisesorsystems,""designatingaprimarycontactperson"].

2.3ChangestoServices:AnymaterialchangestothescopeoftheServicesshallrequireawrittenamendmenttothisAgreement,signedbybothParties,whichshallspecifythenatureofthechangeandanycorrespondingadjustmentstoFeesortheTerm.

3.TermandTermination

3.2Renewal:ThisAgreementmayberenewedforsubsequentterms(eacha"RenewalTerm")uponwrittenagreementofbothPartiesatleast[number,e.g.,"thirty(30)"]dayspriortotheexpirationofthethen-currentterm.

3.3TerminationforCause:EitherPartymayterminatethisAgreementwithimmediateeffectbygivingwrittennoticetotheotherPartyif:

3.4EffectofTermination:UponterminationofthisAgreementforanyreason:

b)TheServiceRecipientshallpaytheServiceProviderforallServicesrenderedandexpensesincurreduptothedateoftermination,inaccordancewiththetermsofSection4;

c)Sections5,6,7,and8shallsurvivetermination.

4.FeesandPayment

4.1Fees:InconsiderationfortheServicesperformedbytheServiceProvider,theServiceRecipientshallpaytheServiceProvidertheFeesassetforthinExhibitB.

4.2InvoicingandPayment:TheServiceProvidershallsubmitinvoicestotheServiceRecipient[frequency,e.g.,"monthly"]forServicesrendered.Invoicesshallbedueandpayablewithin[number,e.g.,"thirty(30)"]daysofreceiptbytheServiceRecipient.

5.Confidentiality

5.2Obligations:TheReceivingPartyshall:

b)UsethesamedegreeofcaretoprotectConfidentialInformationasitusestoprotectitsownconfidentialinformationofsimilarnature,butnolessthanreasonablecare;

c)NotdiscloseoruseConfidentialInformationforanypurposeotherthantoperformitsobligationsorexerciseitsrightsunderthisAgreement;

d)LimitaccesstoConfidentialInformationtoitsemployees,agents,orcontractorswhohaveaneedtoknowandwhoareboundbyconfidentialityobligationsnolessrestrictivethanthoseherein.

5.3Exceptions:Theobligationsofconfidentialityshallnotapplytoinformationthat:

b)WasknowntotheReceivingPartypriortodisclosurebytheDisclosingParty;

c)IsindependentlydevelopedbytheReceivingPartywithoutreferencetotheDisclosingParty'sConfidentialInformation;

6.IntellectualProperty

6.2DevelopedIP:Intellectualpropertyrightsinanymaterials,works,orinventionscreated,developed,orfirstreducedtopracticebytheServiceProviderinthecourseofperformingtheServices("DevelopedIP")shall[chooseone:

a)BeownedexclusivelybytheServiceRecipient;OR

b)BeownedexclusivelybytheServiceProvider,andtheServiceProvidergrantstotheServiceRecipientaperpetual,non-exclusive,royalty-freelicensetousesuchDevelopedIPfor[purpose].]

8.GeneralProvisions

8.1IndependentContractor:TherelationshipbetweenthePartiesisthatofindependentcontractors.NothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,agency,oremployer-employeerelationship.

8.3Assignment:ThisAgreementshallnotbeassignablebyeitherPartywithoutthepriorwrittenconsentoftheotherParty.

8.4GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State/Country],withoutregardtoitsconflictoflawsprinciples.

8.5DisputeResolution:AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifthedisputecannotberesolvedwithin[number,e.g.,"thirty(30)"]days,itshallbesubmittedto[chooseone:

a)Mediationin[city,state]beforeresortingtolitigation;OR

b)Bindingarbitrationin[city,state]inaccordancewiththerulesof[arbitrationbody,e.g.,"theAmericanArbitrationAssociation"].Thedecisionofthearbitrator(s)shallbefinalandbindingonbothParties.OR

c)TheexclusivejurisdictionofthecourtsoftheStateof[State/Country].]

8.9Amendment:ThisAgreementmayonlybeamendedbyawrittendocumentsignedbydulyauthorizedrepresentativesofbothParties.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasoftheEffectiveDate.
