fterobtainingtheownershipofthepainting,PartyBshallbearallthecompensationresponsibilities.V.QualityAssurance5.1PartyBguaranteesthatthepaintingsoldisagenuinework,consistentwiththedescriptionofthepaintinginthiscontract,andtherearenoanyissuessuchasforgery,alterationorotherqualityproblems.5.2PartyBshallprovidePartyAwiththetrueorigincertificateofthepainting,theartist'screationcertificateandotherrelevantdocumentstoprovetheauthenticityandlegalityofthepainting.5.3IfPartyAdiscoversanyqualityproblemsorinconsistencieswiththecontractagreementwithin[X]workingdaysafterreceivingthepainting,ithastherighttorequirePartyBtotakeremedialmeasuresorexchangethepaintingwithin[X]workingdays.PartyBshallbearallthelossescausedtoPartyAbythequalityproblems,includingbutnotlimitedtothe款项paidbyPartyAforthepurchaseofthepainting,transportationfeesandothereconomiclossescausedbythepaintingproblems.VI.RightsandObligationsofBothParties6.1RightsandObligationsofPartyA:Hastherighttoreceivethepaintinginaccordancewiththetime,placeandmethodstipulatedinthiscontract.Paysthe款项inaccordancewiththepaymentmethodstipulatedinthiscontract.Shallconductanacceptanceinspectioninatimelymannerafterreceivingthepainting.Ifanyproblemsarefound,itshallnotifyPartyBinatimelymannerinaccordancewiththetermsofthiscontract.ShallkeepconfidentialtherelevantinformationofthepaintingprovidedbyPartyBandshallnotdiscloseittoanythirdparty.WithoutthepriorwrittenconsentofPartyB,itshallnotusethepaintingforanycommercialpurposeorotherpurposesnotstipulatedinthiscontract.6.2RightsandObligationsofPartyB:Hastherighttoreceivethe款项inaccordancewiththetermsofthiscontract.Deliversthepaintinginaccordancewiththetime,placeandmethodstipulatedinthiscontractandensuresthatthequalityofthepaintingmeetsthecontractrequirements.ProvidesPartyAwiththetrueinformationandrelevantcertificationdocumentsofthepainting.ShallkeepconfidentialthepersonalinformationandbusinessinformationprovidedbyPartyAandshallnotdiscloseittoanythirdparty.Beforedeliveringthepainting,itshallproperlykeepthepaintingandpreventthepaintingfrombeingdamagedorlost.IfthepaintingisdamagedorlostduetoPartyB'sreasons,itshallbearallthecompensationresponsibilities.VII.LiabilityforBreachofContract7.1IfPartyAfailstopaythe款项ontimeinaccordancewiththetermsofthiscontract,foreachoverdueday,itshallpayPartyBaliquidateddamagesof[X]%oftheunpaidamount.Iftheoverdueperiodexceeds[X]days,PartyBhastherighttoterminatethiscontract,confiscatetheadvancepaymentpaidbyPartyA,andatthesametime,PartyAshallpayPartyBaliquidateddamagesof[X]%ofthetotalpurchaseprice.7.2IfPartyBfailstodeliverthepaintingontimeinaccordancewiththetermsofthiscontract,foreachoverdueday,itshallpayPartyAaliquidateddamagesof[X]%ofthepurchaseprice.Iftheoverdueperiodexceeds[X]days,PartyAhastherighttoterminatethiscontract,requirePartyBtoreturntheadvancepaymentpaid,andatthesametime,PartyBshallpayPartyAaliquidateddamagesof[X]%ofthetotalpurchaseprice.7.3IfthepaintingdeliveredbyPartyBhasqualityproblemsorisinconsistentwiththecontractagreement,PartyBshallbeartheliabilityforbreachofcontractinaccordancewithArticle5.3ofthiscontract.IfPartyAsuffersotherlossesduetoPartyB'sbreachofcontract,PartyBshallbearallthecompensationresponsibilities,andthescopeofcompensationincludesbutnotlimitedtothe款项paidbyPartyAforthepurchaseofthepainting,transportationfees,appraisalfeesandothereconomiclossescausedbythepaintingproblems.7.4Ifeitherpartyviolatestheconfidentialityobligationstipulatedinthiscontract,itshallpaytheotherpartyaliquidateddamagesofRMB[FullAmountinChineseCharacters]yuan(小写:￥[SpecificAmount]yuan).Iflossesarecausedtotheotherpartyduetothebreachofcon
