Introduction

THECONTRACT

THISAGREEMENT(the"Agreement")ismadeandenteredintoasof[Date](the"EffectiveDate")byandbetween:

(PartyAandPartyBmaybeindividuallyreferredtoasa"Party"andcollectivelyasthe"Parties".)

WHEREAS:

*PartyAisengagedinthebusinessof[BriefdescriptionofPartyA'sbusinessactivitiesrelevanttothisAgreement];

*PartyBisengagedinthebusinessof[BriefdescriptionofPartyB'sbusinessactivitiesrelevanttothisAgreement];

1.DEFINITIONSANDINTERPRETATION

1.1Definitions:InthisAgreement,unlessthecontextotherwiserequires,thefollowingtermsshallhavethemeaningsascribedtothembelow:

*"Agreement"meansthisagreement,includingallitsSchedulesandAnnexes(ifany),asmaybeamended,modified,orsupplementedfromtimetotimeinaccordancewiththeprovisionshereof.

*"ConfidentialInformation"meansanynon-publicinformationdisclosedbyoneParty(the"DisclosingParty")totheotherParty(the"ReceivingParty")inconnectionwiththisAgreement,whetherinwriting,orally,orbyanyothermeans,whichismarkedconfidentialorwhichareasonablepersonwouldunderstandtobeconfidential.

*"Deliverables"meansthespecificgoods,products,services,orworkproductstobeprovidedbyonePartytotheotherpursuanttothisAgreement,asmoreparticularlydescribedin[ScheduleAorrelevantClause].

*"ForceMajeure"shallhavethemeaningascribedtoitinClause[X](ForceMajeure).

1.2Interpretation:InthisAgreement,unlessthecontextotherwiserequires:

*Wordsimportingthesingularshallincludethepluralandviceversa.

*Wordsimportinganygendershallincludeallgenders.

*Referencesto"Clauses"aretotheclausesofthisAgreement.

*Referencesto"Schedules"or"Annexes"aretotheschedulesorannexesattachedtothisAgreement,whichshallformanintegralparthereof.

*TheheadingsofclausesandsubclausesareinsertedforconvenienceonlyandshallnotaffecttheinterpretationofthisAgreement.

*Referencestoanystatute,ordinance,orotherlawshallbeconstruedasreferencestothesameasamended,modified,re-enacted,orreplacedfromtimetotime.

*Thewords"include","includes",or"including"shallbedeemedtobefollowedbythewords"withoutlimitation".

2.SCOPEOFWORK/SUBJECTMATTER

2.3AcceptanceCriteria:TheDeliverablesshallbedeemedacceptedbyPartyBif:(a)PartyBprovideswrittenacceptancewithin[number]daysofdelivery;or(b)PartyBusesorotherwiseexploitstheDeliverableswithoutwrittenobjectionwithin[number]daysofdelivery,whicheveroccursfirst.IfPartyBreasonablyrejectstheDeliverables,itshallnotifyPartyAinwritingofthespecificdefects,andPartyAshallhave[number]daystoremedysuchdefects.

3.CONSIDERATIONANDPAYMENT

3.1AgreedFee:Inconsiderationfortheperformanceofitsobligationshereunder,PartyBshallpayPartyAthetotalsumof[AmountinWords](equivalentto[AmountinNumbers][Currency])(the"AgreedFee"),whichshallbepayableinaccordancewiththetermsofthisClause3.

3.5Taxes:AllsumspayableunderthisAgreementareexclusiveofanyapplicabletaxes,duties,levies,orchargesimposedbyanygovernmentalauthority,whichshallbetheresponsibilityof[PartyB,unlessotherwiseagreed].

4.TERMANDTERMINATION

4.2Renewal:ThisAgreementmayberenewedforsubsequenttermsuponmutualwrittenagreementofbothPartiesatleast[number]dayspriortotheexpirationofthethen-currentterm.

4.3TerminationforCause:EitherPartymayterminatethisAgreementwithimmediateeffectbygivingwrittennoticetotheotherPartyif:

4.5EffectofTermination:UponterminationofthisAgreementforanyreason:

*Clauseswhichbytheirnatureareintendedtosurvivetermination(including,withoutlimitation,Clauses[Confidentiality,IntellectualProperty,Indemnification,LimitationofLiability,GoverningLawandDisputeResolution,andanypaymentobligationsaccruedpriortotermination])shallcontinueinfullforceandeffect.

5.CONFIDENTIALITY

5.1ObligationofConfidentiality:EachReceivingPartyshallkeepstrictlyconfidentialallConfidentialInformationoftheDisclosingPartyandshallnotdisclose,reproduce,orusesuchConfidentialInformationforanypurposeotherthantoperformitsobligationsorexerciseitsrightsunderthisAgreement.

5.2Exceptions:TheobligationsofconfidentialitysetforthinClause5.1shallnotapplytoinformationthat:

*WasknowntotheReceivingPartypriortodisclosurebytheDisclosingParty,asevidencedbywrittenrecords.

*IsindependentlydevelopedbytheReceivingPartywithoutreferencetotheDisclosingParty'sConfidentialInformation.

6.INTELLECTUALPROPERTYRIGHTS

6.2DevelopedIP:[SpecifyownershipofIntellectualPropertyRightsdevelopedinthecourseofperformingthisAgreement.Forexample:

*AllIntellectualPropertyRightsinanyDeliverablesdevelopedbyPartyAspecificallyforPartyBunderthisAgreementshallvestinPartyBuponpaymentoftheAgreedFeeinfull.

7.REPRESENTATIONSANDWARRANTIES

7.1MutualRepresentations:EachPartyrepresentsandwarrantstotheotherthat:

*IthasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement.

*Theexecution,delivery,andperformanceofthisAgreementbyitdonotconflictwithanyotheragreementtowhichitisapartyoranylaworregulationapplicabletoit.

7.2AdditionalWarrantiesby[PartyA]:[PartyA]furtherrepresentsandwarrantsthat:

*IthasthenecessaryexpertiseandresourcestoperformtheservicesanddelivertheDeliverablesinaprofessionalandworkmanlikemanner.

*TheDeliverableswillconformtothespecificationssetforthin[ScheduleAorrelevantClause]andwillbefreefrommaterialdefectsindesign,materials,andworkmanshipforaperiodof[number]days/monthsfromthedateofacceptancebyPartyB.

*Tothebestofitsknowledge,theDeliverablesdonotinfringeuponanythird-partyIntellectualPropertyRights.

8.INDEMNIFICATION

*Thenegligentactsoromissions,orwillfulmisconduct,of[PartyA]oritsemployees,agents,orsubcontractorsintheperformanceofthisAgreement.

*Thenegligentactsoromissions,orwillfulmisconduct,of[PartyB]oritsemployees,agents,orsubcontractors.

9.LIMITATIONOFLIABILITY

9.1ExclusionofConsequentialDamages:NEITHERPARTYSHALLBELIABLETOTHEOTHERPARTYFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSSOFPROFITS,LOSSOFREVENUE,LOSSOFDATA,ORLOSSOFBUSINESSOPPORTUNITIES,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,WHETHERINCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,OROTHERWISE,EVENIFADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

9.3Exceptions:ThelimitationsandexclusionssetforthinClauses9.1and9.2shallnotapplyto:

*LiabilityarisingfromaParty'sbreachoftheconfidentialityobligationssetforthinClause5.

*LiabilityarisingfromaParty'sfraud,willfulmisconduct,orgrossnegligence.

*AnyliabilitytotheextentitarisesfromtheindemnificationobligationssetforthinClause8.

*Anyliabilitythatcannotbeexcludedorlimitedbyapplicablelaw.

10.FORCEMAJEURE

10.2EffectofForceMajeure:IfaPartyispreventedfromordelayedinperformingitsobligationsunderthisAgreementduetoaForceMajeureevent,thetimefo
