Terms&ConditionsDefinitionIntheseConditions,thefollowingwordsandexpressionshavethefollowingmeaningsunlessandexceptasotherwisespecificallydefined:Companymeans(nameofacertainfreightforwarder)amemberofChinaInternationalFreightForwardersAssociationtradingundertheseconditions.Customermeansanylegalentityornaturalpersonconcludingcontractwiththecompany,acceptingtheserviceprovidedbythecompanyandenjoyingrightsandundertakingobligationsaccordingtothecontract,oranylegalentityornaturalpersonhavinganinterestinthecontract,includingbutnotlimitedtoowner,consignor,andshipper,consigneeofthegoodsortheiragents.Instructionmeansstatementsofthecustomer’sspecificrequirementsandincludestheinstructionsspecifiedonthefrontoftheShippers’Instructionsand/oronthefrontofthecompany’sformoftransportdocument(includingthecompany’shousebilloflading).PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)下一页返回Ownermeanstheownerofthegoods(includinganycontainersorequipmentotherthanthoseprovidedbythecompanyorcarriers)towhichanybusinessconcludedundertheseconditionsrelatesandanyotherpersonwhoisormaybecomeinterestedinthemandincludestheconsigneenamedonthefrontoftheshippers’instructionsand/orthefrontofthecompany’sformoftransportdocument(includingthecompany’shousebilloflading).Goodsincludeliveanimalsandthecontainers,palletsorsimilararticlesoftransportsuppliedbytheshipperforconsolidatingthegoods.DangerousGoodsmeansthegoodsclassifiedasdangerousgoodsunderinternationalconventionsordomesticlawsandthegoodsthatarelikelytobecomedangerous,flammable,radioactive,noxiousordamaging.ApplicationoftheseConditionsAllbusinessundertakenbythecompanyandcompany’stransactionissubjectedtotheseconditionswhichshallbeincorporatedinandtobeanintegralpartofanyagreementbetweenthecompanyandthecustomer.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Thesestandardtradingconditionsmaybemodifiedorwaivedbyagreementbetweenthecompanyandthecustomerreducedintowriting.Wheretheclausesoftheagreementbetweenthecompanyandthecustomerortheclauseofthetransportdocumentsissuedbythecompany,whichincludesbutarenotlimitedtoairwaybill,seawaybillandmulti-modalbillofladingissuedbythecompanylistingthecompanyasthecarrierarecontrarytotheseconditions,theclausesoftheagreementorthebillsshallprevail.Allandanyadvice,informationorservicesprovidedbythecompanygratuitouslyisprovidedonthebasisthatthecompanywillnotacceptanyliabilitywhatsoevertherefore.Noomissionordelayonthepartofthecompanyinexercisingitsrightsshalloperateasawaiverthereof,norshallanysingleorpartialexercisebythecompanyofanysuchrightprecludethefurtherorotherexercisesthereofortheexerciseofanyotherrightwhichithas.Therightsandremediesofthecompanyprovidedintheseconditionsshallbecumulativeandnotexclusiveofanyrightsorremediesotherwiseprovidedbylaw.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Eachoftheprovisionsoftheseconditionsisseverableanddistinctfromtheothersandifatanytimeoneormoreofsuchprovisionsisorbecomesinvalid,illegalorunenforceable,thevalidity,legalityandenforceabilityoftheremainingprovisionsoftheseconditionsshallnotinanywaybeaffectedorimpairedthereby.ContractualStatusoftheCustomerandtheCompanyThecustomerenteringintoanytransactionorbusinesswiththecompanyherebyexpresslywarrantstothecompanythatthecustomeriseithertheownerortheauthorizedagentoftheownerandthatitisacceptingtheseconditions.Wherethecustomeractsastheagentoftheowner,thecustomeralsoacceptssuchliabilitytothecompanythatinrespectofsuchtransactionorbusinessthecompanyisentitledtoenforceitsrightsagainstthecustomerandtheownerjointlyandseverally.Servicesareprovidedbythecompanyasagentsonbehalfofitscustomers,exceptinoneormoreofthefollowingcircumstanceswheretheCompanyactsonitsownbehalf.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Thecustomer’sgoodsareactuallycarried,transported,handledorstoredbythecompanyoritsservantsandthegoodsareundertheactualcontrolorcustodyofthecompany.Theownerhasdemandedinwritingthecompanytogiveinformation(name,freightrate)ofthecarriesundertakingthewholeorpartofthecarriagebeforethegoodsarecarriedoutthecompanyfailstoprovidesuchinformationwithin28daysfromreceiptofsuchwrittendemand.●Thecompanyhasexpresslyagreedinwritingagencytoactonitsownbehalf,or●Thecompanyisheldbyacourtorarbitrationagencytoactonitsownbehalf.●Withoutprejudicetothegeneralityofprovisionsasfollowing:●Thecompanychargesthecustomerforservicesofwhatevernatureatafixedrateanditdoesnotdecideorshowitactsasagentorasprincipal.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回●Thecompanyprovidesequipmentownedorrentedbyitanditdoesnotdecidetoshowitactsasagentorasprincipalincarrying,handlingorstoringthegoods.●Ifthebillofladingorotherdocumentsobtainedbythecompanycanshowthatthecarriagecontractisenteredintobyotherpersonswiththeownerorcustomer,thecompanyistheagent.●Thecompanyactsasagentinsteadofprincipalwhenprovidingservicessuchascustomsclearance,taxation,takingoutlicense,consulardocumentsandcertificateoforigin,inspection,andnotarization.ObligationsoftheCustomerThecustomerwarrantsthatithastakenallthesufficientandeffectivemeasurestohaveafullunderstandingofthecontentsoftheagreementwiththecompanyandofthedocumentsissuedbythecompanyforthecustomeratthetimeofconcludingoracceptingsuchagreementordocuments.●ThecustomerwarrantsthateachandeveryoftheInstructionsgiventothecompanyislawful,validandperformable.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回●Thecustomerwarrantsthatthepresentationsitmadetothecompanyconcerningthegoodsaresufficientandcorrect.●Thecustomerwarrantsthatthepackingandmarksofthegoodsmettherequirementofcarriage.Thecustomershallcomplywiththespecialrequirementsdemandedbythecompanyatthetimeofreceivingthegoodsaccordingtothenatureofthegoodsandthespecialconditionsofthevoyage.Exceptunderspecialarrangementspreviouslymadeinwriting,thecustomerwarrantsthatthegoodsarenotthedangerousgoodsasdefinedunderbindingdocumentssuchaslaw,regulations,internationalconventions,norareothergoodslikelytocausedamage.Shouldthecustomerneverthelessdeliveranysuchgoodstothecompanyorcausethecompanytoacceptorhandleordealwithanysuchgoodsotherwisethanunderspecialarrangementspreviouslymadeinwriting,thecustomershallbeliableforallexpenses,losses,damageswhatsoevercaused,finesandclaimsinconnectionwiththegoodshowsoeverarising.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Thecompanyorotherpersonsinactualcontrolofthegoodshastherighttodecidewhetherthegoodsaredangerousgoodswithoutnoticetothecustomerandshallbeentitledtodestroyorotherwisedisposeofthegoodsattheriskandexpensesofthecustomer,Thecustomershallnotaskthecompanytostopcarriage,returnthegoods,changetheplaceofdestination,ordeliverthegoodstootherconsigneeordissolvethecontractunless,beforethecompanydeliversthegoodstotheconsignee,thecustomerreturnsallbillsortransportdocumentspreviouslyissuedbythecompanyandshallcompensatethecompanyforallthelossescausedtothecompany.RightsandObligationsoftheCompanyGeneralProvisionsUnlessotherwisepreviouslyagreedinwriting,thecompanyisauthorizedtoenterintocontractonitsownbehalforonbehalfofthecustomerforthefollowingmatters,withoutnoticetothecustomers:●selectingthecarrier,modeandrouteoftransportforthegoods;PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回●selectingwhethertocontainerizethegoodsornotandwhethertocarrythegoodsondeckornot;●forthestorage,packing,unpacking,transshippingorotherwisehandlingofthegoods;●otherarrangementsinpursuancetotheInstructionsofthecustomerorasdeemednecessarybythecompany.Thecompanyisauthorized(butisnotobliged)todepartordeviatefromthecustomer’sinstructionsinanyrespectifintheopinionofthecompanysuchdepartureordeviationisnecessaryordesirableinthecustomer’sinterests.Thecompanyshallinanytimecomplywiththeinstructionorordersofthegovernmentaldepartmentsandthecompany’sresponsibilityforthegoodsshallceaseatthetimeofdeliveryorotherwisehandlingofthegoodsaspertheaboveinstructionsandorders.Thecompanyisauthorizedbythecustomertoactandthecompanyisnotrequired,unlessspecificallyrequestedbythecustomerinwriting,toinformthecustomerofdetailsofactstakenbythecompany.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Atanytimewhenthecompanydeemsthatimpediment,risks,delayordisadvantageisorlikelytobeaffectingitsperformanceoftheobligationsandthecompanydoesnothavereasonablemethodstoavoidthesame,thecompanymayterminatetheperformanceofobligationsbygivingawrittennoticetothecustomer.Thecompanymayhandoverallorpartofthegoodstothecustomerforcontrolatanyplacethecompanydeemsconvenientandthecompany’sresponsibilityforthegoodsshallceasetillthen.Thecustomershall,uponrequest,paytheexpensesadditionallyincurredbythecompanyforcarrying,deliveringandstoringthegoodsattheaboveplaceandotherrelevantexpenses.Ifdeliveryofthegoodsoranypartthereofisnottakenbythecustomeratthetimeandplacenotifiedbythecompany,thecompanyshallbeentitledtostorethegoodsoranypartthereofatthesoleriskofthecustomer,whereuponanyliabilitywhichthecompanymayhaveinrespectofthegoodsorthatpartthereofstoredasaforesaidshallwhollycease.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Thecompanyisentitled(butnotobliged)tosellordisposeofallorpartofthegoodsatthesoleriskandexpenseofthecustomerunderanyofthefollowingcircumstances:●Thecompanyhasgivenawritten21-daynoticetothecustomerwhenthecompanyatitssolediscretiondeemsthatallthegoodscannotbedeliveredasinstructed;●Thegoodshaveperishedordeterioratedorareinimmediateprospectofdoingsoinamannerwhichhascausedormayreasonablybeexpectedtocauselossordamagetootherpersonsorproperties.Thecompanyshallnotbeunderanyliabilityforthedateofarrivalordepartureofthegoods,exceptandunlessunderspecialarrangementpreviouslymadeinwriting.WheretheCompanyContractsonBehalfoftheCustomerWherethecompanyactsasagent,thecompanyisentitledtoenterintoacontractonbehalfofthecustomeronthenameofthecustomerinthenameofthecustomerorinitsownnamewithanythirdparty.Thecontractthusconcludedshallhavedirectbindingeffectonthecustomerandthethirdparty.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Wherethecompanyactasagent,thecompanyshallnotbeliableforthelossofthecustomerunlessandexcepttotheextentthatthelossiscausedbythenegligenceofthecompany.Wherethecompanyactsasagent,thecompanyshallnotbeliableforthelosscausedbytheactsoromissionsofthethirdpartyincludingbutnotlimitedtothecarriers,warehousemen,stevedores,railwaybureauandtruck-men,unlessthecompanyhasnotacteddiligentlyinselecting,instructingandsupervisingthethirdparty.WheretheCompanyContractsasPrincipalThecompanyactsasprincipalwhenundertakingcarriagewithitsownmeansoftransportorconcludingagreementandissuingtransportdocumentinthenameofcarrier.Theresponsibilityperiodofthecompanyasthemultimodaltransportoperatorwithrespecttothegoodsundermultimodaltransportcontractcoverstheperiodfromthetimeoftakingthegoodsinitschargetothetimeoftheirdelivery.Theresponsibilityofthecompanyshallbedeterminedbytheprincipleof“networkliability”,subjecttothelawsandregulationsgoverningaspecialsectionofthemultimodaltransport.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页下一页返回Wherethecustomeracceptsthetransportdocumentissuedbypersonsotherthanthecompanyandfailswithinareasonabletimetodemandthecompanytobeartheresponsibilityastheprincipal,thecompanyshallnolongerbeartheresponsibilityastheprincipal.Wherethecompanycontractsasprincipalitshallberesponsiblefortheactsandomissionofthethirdpartyemployedbythecompanyinundertakingthecarriagecontractorotherservicesasifsuchactsandomissionaredonebythecompanyitself.Theoperationoftheclausedosenotprecludesthecompanyfromthebenefitsoftheexceptionsandliabilitylimitationunderthelawsandtheseconditions.PartⅠChinaInternationalFreightForwardersAssociation(Ⅰ)上一页返回SpecialProvisionsConcerningContainerizedTransportWherecontainersarenotstuffedorsealedbythecompany,thecompanyshallnotbeliableforthelossofanddamagetothecontentinthecontainersresultingfromoneormoreofthefollowingcircumstances:●Modeofstuffingorsealing;●Unfitnessofthegoodsforcontainerizedtransport,unlessthecompanyexpresslyrequiresthegoodstobecarriedincontainers;●Un-cargo-worthinessofthecontainersunlessthecontainersaresuppliedbythecompanyoronitsbehalf.Evenifthecontainersaresuppliedbythecompany,iftheun-cargo-worthinessofthecontainersistheresultofthefailureofthecustomertomakepresentationofthespecialnatureofthegoods,thecompanyshallnotbeliable.Thecustomershallholdthecompanyharmlessfromanycircumstanceundertheclauseandshallindemnifythecompanyforanylosscaused.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)下一页返回Wherethecustomerasksthecompanytosupplycontainers,thecompanyisnotobligedtosupplycontainersofspecialtypeorqualitythatfitthegoods,exceptexpressrequirementtothecontraryhasbeengiventothecompany.WarrantiesThecustomershallsaveharmlessandindemnifythecompanyfromandagainstallclaims,losses,damages,costsandexpenses(includingwithoutlimitationallduties,taxes,imposts,levies,deposit,finesandoutlaysofwhatsoevernatureleviedbyanyauthority)arisingoutofthecompanyactinginaccordancewiththecustomer’sinstructions,orarisingfromabreachofwarrantyorobligationbythecustomer,orarisingfromthecustomer’sinaccurateorincompleteorambiguousinformationorinstructions,orarisingfromthenegligenceofthecustomerorowner.Adviceandinformation,inwhatsoeverformasmaybegivenbythecompany,areprovidedbythecompanyforthecustomeronlyandthecustomershallsaveharmlessandindemnifythecompanyfromandagainstallclaims,liabilities,losses,damages,costsandexpensesarisingoutofanyotherpersonrelyingonsuchadviceorinformation.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回Thecustomerundertakesthatanyofficer,servant,agentorsub-contractorofthecompanyshallhavethebenefitofallexceptionsandliabilitylimitationshereinbenefitingthecompany.Thecustomershalldefend,indemnifyandholdharmlessthecompanyfromandagainstallclaims,costsanddemandswhatsoeverandbywhomsoevermadeorpreferredinexcessoftheliabilityofthecompanyunderthetermsoftheseconditions.Thecustomershalldefend,indemnifyandholdharmlessthecompanyinrespectofanygeneralaverageoranyclaimsofageneralaveragenaturethatmaybemadeonthecompanyandthecustomershallprovidesuchsecurityasmayberequiredbythecompanyinthisconnection.Afterthecompanyagreestoacceptdangerousgoodsforcarriage,ifthegoodsintheopinionofthecompanyconstitutearisktoothergoods,property,lifeorhealth,orbytherestrictionofsomelaws,thecarriageordischargeofsuchgoodsmaycausethearrestofthegoods,otherpropertyorpersons,PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回thecompanymaydestroyofotherwisedealwiththegoodswithoutnotice,attheriskandexpensesofthecustomerortheownerandwithoutanyliabilitytothecompany.Thecustomershallbeliableforanyloss,pollution,contamination,delay,demurrage,orlossofanddamagetotheproperty(includingbutnotlimitedtocontainersofthecompanyorothersandtheshipdirectlyorindirectlycausedbythecustomer,ownerandtheirservants,agentsandrepresentativebefore,inthecourseorafterthecarriage.ChargesThecompanyisentitledtochargeongrossweightorvolumeweight.Furtherdetailsrelatingtothecomputationoffreightchargeswillbeprovidedtothecustomeruponrequest.Thecustomershallpaytothecompanyallsumsimmediatelywhenduewithoutdeductionordefermentonaccountofanyclaim,counterclaimorset-off.Whenthecompanyisinstructedtocollectfreight,duties,fees,chargesorotherexpensesfromanypersonotherthanthecustomerandencountersdifficultyincollecting,thecustomershallunconditionallyforthwithpaythesame.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回Onallamountsoverduetothecompany,thecompanyshallbeentitledtointerestcalculatedonadailybasisfromthedatesuchaccountsareoverdueuntilpaymentthereofat0.4%perdayduringtheperiodthatsuchamountsareoverdue.Quotationsaregivenonthebasisofimmediateacceptancebythecustomer.Notwithstandingacceptanceofthequotationsorchargesintheeventofchangesofstatepolicesandmarketincurrencyexchange,rateoffreight,insurancepremiumsoranychargeapplicabletothegoods.Thecompanyoritsagentsareentitledtohavealienonallthegoodsanddocumentsreceivedformoniesduefromthecustomertothecompany,ifanysuchmoniesduetothecompanyarenotpaidwithin28daysafternoticehasbeengiventothecustomerthatsuchgoodsordocumentsarebeingdetained,orifsuchmoniesarenotpaidwithinareasonabletimewhenthegoodsdetainedareperishablegoods,thecompanyisentitledtodisposeofthegoodsand/orsatisfysuchindebtednessanddisposalexpenses.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回ExceptionsoftheCompanyExceptunderspecialarrangementspreviouslymade,thecompanyshallberelievedofliabilityforanylossordamageifandtotheextentthatsuchlossordamageiscausedby:●Actsofomissionsofthecustomeroritsagents;●Inpursuanceofthecustomer’sinstructions;●Improperpackingormarking;●Handling,loading,dischargingandstowingofthegoodsbythecustomeroritsrepresentatives;●Inherentdefectofthegoods;●Strike,commotion,embargo,etc.;●Anyothercauseoreventwhichthecompanyisunabletoavoidbytheexerciseofduediligence.LiabilityLimitationExceptinsofarasotherwiseprovidedbylawandregulationorotherclausesoftheseconditions,thecompany’sliability,whetherarisingfromnegligence,faultorothercauses,shallnotexceedthefollowing,whicheveristheleastofPartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回●thevalueofthegoodslost,damaged,misdirected,mis-deliveredorinrespectofwhichaclaimarises,or●2SDRpergrosskilogramofthegoodslost,damaged,misdirected,mis-deliveredorinrespectofwhichaclaimarises.●(Note:SDRreferstoaSpecialDrawingRight.TheSDRshallbeasdefinedbyInternationalMonetaryFundandthevalueofaSDRshallbecalculatedasatthedatewhensettlementisagreedorjudgment.)Inthecaseofclaimsfordelayinrespectofthetransportationordelivery,thecompany’sliabilityshallnotexceedtheamountofthecompany’sfreightforthegoodsthedeliveryofwhichhasbeendelayed.Theactualvalueofthegoodsmeansthevalueofthegoodsatthetimethecompanytakesoverthegoodsplusinsurance(ifpaid)andfreight.Deductionshallbemade,atthetimeofcompensation,oftheexpensesthathadbeenreducedoravoidedasaresultofthelossofdamageoccurred.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回Furtherandwithoutprejudicetothegeneralityoftheprecedingprovisionsofthisclause,ifthecustomerdeclarethevalueofthegoodsatthetimethecompanytakesoverthegoodsorbymutualarrangementagreedinwriting,thecustomermayclaiminexcessofthelimitssetoutabove,butthecompany’sliabilityshallinnoeventexceedthedeclaredvalueoragreedvalue.NoticeUnlessnoticeoflossordamageisgiveninwritingbytheconsigneetothecompanyatthetimeofdeliveryofthegoodstotheconsignee,suchdeliveryshallbedeemedtobeprimafacieevidenceofthegoodscarriedanddeliveredinapparentgoodorderandcondition.Wherethelossofordamagetothegoodsisnotapparent,thenoticeinwritingshallbegivenwithin7daysfromthenextdayofthedeliveryofthegoods.Intheabsenceofsuchwrittennotice,thedeliveryshallalsobedeemedtobeprimafacieevidenceofthegoodscarriedanddeliveredinapparentgoodorderandcondition.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回Otherclaimsshallbemadewithin14daysofthedateuponwhichthecustomerbecameorshouldhavebecomeawareofthelossordamage.Andanyclaimnotmadeshallbedeemedtobewaivedexceptwherethecustomercanshowthatitwasimpossibleforhimtocomplywiththetimelimitandhehasmadetheclaimassoonasitwasreasonablepossibleforhimtodoso.InsuranceNoinsurancewillbearrangedexceptuponexpressinstructionsgiveninwritingbythecustomerandacceptedbythecompany.Allinsurancearrangedbythecompanyissubjectedtotheusualexceptionsandconditionsofthepoliciesoftheinsurancecompanyorunderwriterstakingtherisk.Thecompanyshallnotbeunderanyobligationtoarrangeaseparateinsuranceoneachconsignment.Shouldtheinsurersdisputetheirliabilityforanyreason,theinsuredshallhaverecourseagainsttheinsurersonlyandthecompanyshallnotbeunderanyresponsibilityorliabilitywhatsoeverinrelationtheretonotwithstandingthatthepremiumuponthepolicymaynotbeatthesamerateasthechargedbythecompanyorpaidtothecompanybyitscustomer.PartⅡChinaInternationalFreightForwardersAssociation(Ⅱ)上一页下一页返回Insofarasthecompanyagreestoarrangeinsurance,thecompanyactssolelyastheagentofthecustomerusingreasonableeffectstoarrangesuchinsurance.Thecompanydoesnotwarrantorundertakeanysuchinsurancewillbeacceptedbytheinsurancecompanyorunderwriters.TimeBarUnlessagreeddifferentlybythecompanyinwritingorsuitbroughtintheproperforumasspecialunderclauseofthes
