海运代理合同-中英文对照甲方委托乙方作为其国际海运代理人，双方经平等协商就相关代理服务事宜达成如下协议：条款1委托事项与服务范围[中文]甲方委托乙方作为其国际海运代理人，为甲方提供以下服务：（1）订舱、配载；（2）货物装箱、拆箱、监装、监卸；（3）报关、报检、报验及相关单证办理；（4）国际多式联运衔接；（5）海运提单、运输单据的签发与审核；（6）货物跟踪与信息反馈；（7）与海运相关的其他辅助服务。乙方应按照甲方的合理指示，以专业谨慎的态度完成委托事项。[英文]Clause1EntrustedMattersandServiceScopePartyAherebyappointsPartyBasitsinternationalmaritimefreightforwardertoprovidethefollowingservicesforPartyA:(1)Bookingspaceandstowagearrangement;(2)Cargopacking,unpacking,supervisionofloadingandunloading;(3)Customsdeclaration,commodityinspection,quarantinedeclarationandhandlingofrelateddocuments;(4)Intermodaltransportconnection;(5)Issuanceandreviewofoceanbillsofladingandtransportdocuments;(6)Cargotrackingandinformationfeedback;(7)Otherauxiliaryservicesrelatedtomaritimetransportation.PartyBshallcompletetheentrustedmatterswithprofessionalandprudentattitudeinaccordancewithPartyA’sreasonableinstructions.条款2双方权利与义务[中文]2.1甲方权利：（1）要求乙方按照本协议约定提供合格的代理服务；（2）查阅与委托事项相关的业务文件与费用明细；（3）对乙方的违约行为提出索赔；（4）单方解除本协议但应提前30日书面通知乙方。甲方义务：（1）及时向乙方提供完整、准确的委托货物信息、报关单证及其他必要材料；（2）按照本协议约定的时间和方式向乙方支付服务费用；（3）配合乙方办理委托事项所需的各项手续。2.2乙方权利：（1）要求甲方及时提供委托事项所需的全部材料与信息；（2）按照本协议约定收取服务费用；（3）拒绝甲方违反法律法规或本协议的不合理指示。乙方义务：（1）严格按照甲方的指示办理委托事项，未经甲方书面同意不得转委托；（2）妥善保管甲方提供的单证、货物相关资料，不得泄露甲方的商业秘密；（3）及时向甲方反馈委托事项的进展情况，确保货物运输的时效性与安全性；（4）按照约定向甲方提供真实、准确的费用结算单据。[英文]Clause2RightsandObligationsofBothParties2.1RightsofPartyA:(1)RequirePartyBtoprovidequalifiedagencyservicesinaccordancewiththisAgreement;(2)Inspectbusinessdocumentsandexpensedetailsrelatedtotheentrustedmatters;(3)FileaclaimagainstPartyBforitsbreachofcontract;(4)UnilaterallyterminatethisAgreementwith30days’priorwrittennoticetoPartyB.ObligationsofPartyA:(1)TimelyprovidePartyBwithcompleteandaccurateentrustedcargoinformation,customsdeclarationdocumentsandothernecessarymaterials;(2)PaytheservicefeestoPartyBwithinthetimeandinthemanneragreedinthisAgreement;(3)CooperatewithPartyBinhandlingallproceduresrequiredfortheentrustedmatters.2.2RightsofPartyB:(1)RequirePartyAtotimelyprovideallmaterialsandinformationrequiredfortheentrustedmatters;(2)CollectservicefeesinaccordancewiththisAgreement;(3)RefuseunreasonableinstructionsfromPartyAthatviolatelawsandregulationsorthisAgreement.ObligationsofPartyB:(1)HandletheentrustedmattersstrictlyinaccordancewithPartyA’sinstructions,andshallnotsub-engageanythirdpartywithoutPartyA’swrittenconsent;(2)ProperlykeepthedocumentsandcargorelatedmaterialsprovidedbyPartyA,andshallnotdisclosePartyA’stradesecrets;(3)TimelyfeedbacktheprogressoftheentrustedmatterstoPartyA,andensurethetimelinessandsafetyofcargotransportation;(4)ProvidePartyAwithtrueandaccurateexpensesettlementdocumentsasagreed.条款3费用与结算[中文]3.1本协议项下的服务费用包括但不限于海运费、报关费、报检费、拖车费、装箱费、单证费、代理费等，具体收费标准以双方确认的报价单为准，报价单为本协议附件，如无另行约定，报价单与本协议具有同等法律效力。3.2甲方应在乙方出具费用结算单据后15个工作日内通过银行转账方式支付至乙方指定账户。如甲方逾期支付，每逾期一日应按照未付金额的0.5‰向乙方支付违约金。3.3乙方应在每月5日前向甲方提供上月的费用结算明细，甲方应在3个工作日内核对确认，如有异议应书面提出，逾期未提出异议视为确认。[英文]Clause3FeesandSettlement3.1TheservicefeesunderthisAgreementincludebutarenotlimitedtooceanfreight,customsdeclarationfee,commodityinspectionfee,truckingfee,packingfee,documentfee,agencyfeeandsoon.Thespecificchargingstandardsshallbesubjecttothequotationconfirmedbybothparties,andthequotationsheetshallbetheappendixofthisAgreement.Unlessotherwiseagreed,thequotationsheetshallhavethesamelegaleffectasthisAgreement.3.2PartyAshallpaythefeestothedesignatedaccountofPartyBviabanktransferwithin15workingdaysafterPartyBissuestheexpensesettlementdocuments.IfPartyAfailstopayonschedule,itshallpayPartyBaliquidateddamagesat0.5‰oftheunpaidamountforeachdayofdelay.3.3PartyBshallprovidePartyAwiththeexpensesettlementdetailsofthepreviousmonthbeforethe5thdayofeachmonth.PartyAshallcheckandconfirmwithin3workingdays,andshallputforwardwrittenobjectionsifthereareanydiscrepancies.Failuretoraiseobjectionswithinthetimelimitshallbedeemedasconfirmation.条款4违约责任[中文]4.1若乙方未按照本协议约定提供服务，导致甲方货物延误、损坏或灭失的，乙方应赔偿甲方因此遭受的直接损失，但因甲方原因、不可抗力或第三方责任导致的除外。4.2若甲方逾期支付费用超过30日，乙方有权暂停办理后续委托事项，直至甲方付清全部费用及违约金，同时有权要求甲方支付逾期付款产生的全部损失。4.3任何一方违反本协议约定的保密义务，应向对方支付相当于当期服务费用总额20%的违约金，若违约金不足以弥补对方损失的，还应赔偿不足部分。[英文]Clause4LiabilityforBreachofContract4.1IfPartyBfailstoprovideservicesinaccordancewiththisAgreement,resultingincargodelay,damageorlossofPartyA,PartyBshallcompensatePartyAforthedirectlossessufferedthereby,exceptthosecausedbyPartyA’sreasons,forcemajeureorthird-partyliabilities.4.2IfPartyAfailstopaythefeesformorethan30days,PartyBshallhavetherighttosuspendhandlingsubsequententrustedmattersuntilPartyApaysoffallfeesandliquidateddamages,andshallalsohavetherighttorequirePartyAtopayalllossescausedbydelayedpayment.4.3IfeitherpartyviolatestheconfidentialityobligationagreedinthisAgreement,itshallpaytheotherpartyaliquidateddamagesequivalentto20%ofthetotalamountofcurrentservicefees.Iftheliquidateddamagesareinsufficienttocompensatetheotherparty’slosses,itshallalsocompensatetheremainingpart.条款5保密条款[中文]双方应对本协议的内容、履行过程中获悉的对方商业秘密、技术信息、客户资料等承担保密义务，未经对方书面同意不得向任何第三方泄露，本保密义务在本协议终止后3年内仍然有效。[英文]Clause5ConfidentialityClauseBothpartiesshallbeartheobligationofconfidentialityforthecontentsofthisAgreementandthetradesecrets,technicalinformation,customerinformationandothercontentsobtainedfromtheotherpartyduringtheperformanceofthisAgreement.Neitherpartyshalldisclosetoanythirdpartywithouttheotherparty’swrittenconsent,andthisconfidentialityobligationshallremainvalidfor3yearsaftertheterminationofthisAgreement.条款6不可抗力[中文]6.1不可抗力是指不能预见、不能避免且不能克服的客观情况，包括但不限于自然灾害、战争、政府管制、港口拥堵、船舶延误等。6.2若因不可抗力导致一方无法履行本协议义务，遭受不可抗力的一方应立即通知对方，并在15日内提供相关证明文件，根据不可抗力的影响程度，可部分或全部免除责任，但应及时采取补救措施减少损失。6.3遭受不可抗力的一方应在不可抗力消除后10日内通知对方恢复履行协议。[英文]Clause6ForceMajeure6.1Forcemajeurereferstoobjectivecircumstancesthatcannotbeforeseen,avoidedandovercome,includingbutnotlimitedtonaturaldisasters,wars,governmentregulations,portcongestion,vesseldelayandsoon.6.2IfonepartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeure,thepartyaffectedbyforcemajeureshallnotifytheotherpartyimmediatelyandproviderelevantsupportingdocumentswithin15days.Dependingontheextentoftheimpactofforcemajeure,theliabilitymaybepartiallyorfullyexempted,butthepartyshalltaketimelyremedialmeasurestoreducelosses.6.3ThepartyaffectedbyforcemajeureshallnotifytheotherpartytoresumeperformanceoftheAgreementwithin10daysaftertheforcemajeureiseliminated.条款7争议解决[中文]因本协议产生的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向乙方住所地有管辖权的人民法院提起诉讼。[英文]Clause7DisputeResolutionAnydisputearisingfromorinconnectionwiththisAgreementshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties.Iftheconsultationfails,eitherpartyshallhavetherighttofilealawsuitwiththepeople’scourtwithjurisdictionoverthedomicileofPartyB.条款8协议的生效、变更与终止[中文]8.1本协议自双方授权代表签字并加盖公章（或合同专用章）之日起生效，有效期为1年，到期前30日内双方均未提出书面终止通知的，本协议自动续展1年，续展次数不限。8.2本协议的变更或补充须经双方书面协商一致，并签署书面文件后方可生效。8.3有下列情形之一的，一方有权单方终止本协议：（1）对方严重违反本协议约定，经书面催告后15日内仍未改正；（2）对方进入破产、清算程序；（3）法律法规规定的其他情形。8.4本协议终止后，双方应在15日内结清尚未支付的费用，乙方应将甲方的相关单证、资料归还甲方。[英文]Clause8Effectiveness,AmendmentandTerminationoftheAgreement8.1ThisAgreementshallcomeintoforceasofthedatewhentheauthorizedrepresentativesofbothpartiessignandaffixtheofficialseal(orcontractspecialseal).Thevalidityperiodis1year.Ifneitherpartygivesawrittennoticeofterminationwithin30daysbeforetheexpirationdate,thisAgreementshallbeautomaticallyrenewedfor1year,andthenumberofrenewalsisunlimited.8.2TheamendmentorsupplementtothisAgreementshallcomeintoforceonlyafterthetwopartiesreachawrittenconsensusthroughconsultationandsignthewrittendocuments.8.3EitherpartyshallhavetherighttounilaterallyterminatethisAgreementunderanyofthefollowingcircumstances:(1)TheotherpartyseriouslyviolatestheAgreementandfailstocorrectitwithin15daysafterreceivingwrittenreminder;(2)Theotherpartyentersintobankruptcyorliquidationproceedings;(3)Othercircumstancesstipulatedbylawsandregulations.8.4AftertheterminationofthisAgreement,thetwopartiesshallsettletheunpaidexpenseswithin15days,andPartyBshallre
