海运代理合同-中英文对照(范本)甲方（委托人）：[法定全称]，统一社会信用代码：[]，注册地址：[]，联系人：[]，联系电话：[]PartyA(Principal):[FullLegalName],UnifiedSocialCreditCode:[],RegisteredAddress:[],ContactPerson:[],Telephone:[]乙方（海运代理人）：[法定全称]，统一社会信用代码：[]，注册地址：[]，联系人：[]，联系电话：[]PartyB(MarineShippingAgent):[FullLegalName],UnifiedSocialCreditCode:[],RegisteredAddress:[],ContactPerson:[],Telephone:[]根据《中华人民共和国民法典》《中华人民共和国海商法》及其他相关法律法规，双方经平等自愿协商，就乙方为甲方提供海运代理服务事宜达成如下协议：InaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theMaritimeCodeofthePeople'sRepublicofChinaandotherapplicablelawsandregulations,thepartieshereto,throughequalandvoluntaryconsultation,herebyreachthefollowingagreementregardingPartyBprovidingmarineshippingagencyservicesforPartyA:1.服务范围1.1乙方接受甲方委托，为甲方提供以下海运代理服务：（1）订舱、提箱、还箱、装箱、报关、报检、代办货运保险；（2）海运货物运输状态跟踪及信息反馈；（3）目的港换单、提货及内陆转运代理；（4）其他与国际海运货物运输相关的配套服务。1.ScopeofServices1.1PartyBacceptstheentrustmentofPartyAtoprovidethefollowingmarineshippingagencyservices:(1)Booking,containerpicking,containerreturning,cargostuffing,customsdeclaration,inspectiondeclarationandfreightinsuranceagency;(2)Trackingofmarinecargotransportationstatusandinformationfeedback;(3)Deliveryorderexchange,cargodeliveryandinlandtransportagencyattheportofdestination;(4)Othersupportingservicesrelatedtointernationalmarinecargotransportation.1.2具体服务内容以双方签字确认的《海运代理服务确认单》为准，该确认单为本合同不可分割的组成部分。1.2ThespecificservicecontentsshallbesubjecttotheMarineShippingAgencyServiceConfirmationFormsignedandconfirmedbybothparties,whichisanintegralpartofthisagreement.2.双方权利与义务2.1甲方权利与义务：（1）有权要求乙方按照本协议约定提供符合标准的海运代理服务；（2）需如实向乙方提供与委托事项相关的全部真实、准确、完整的文件及信息，包括但不限于货物明细、商业发票、装箱单、报关申报资料等；（3）按照本协议约定的时限及金额向乙方支付全部服务费用；（4）配合乙方办理委托事项所需的各项手续，提供必要的协助与支持。2.RightsandObligationsofBothParties2.1RightsandObligationsofPartyA:(1)HavetherighttorequirePartyBtoprovidestandard-compliantmarineshippingagencyservicesinaccordancewiththisagreement;(2)TruthfullyprovidePartyBwithalltrue,accurateandcompletedocumentsandinformationrelatedtotheentrustedmatters,includingbutnotlimitedtocargodetails,commercialinvoices,packinglists,customsdeclarationmaterials,etc.;(3)PayallservicefeestoPartyBwithinthetimelimitandamountagreedinthisagreement;(4)CooperatewithPartyBinhandlingallproceduresrequiredfortheentrustedmatters,andprovidenecessaryassistanceandsupport.2.2乙方权利与义务：（1）有权按照本协议约定收取对应的服务费用；（2）具备合法有效的国际海运代理资质，指派专业人员办理委托事项，恪守勤勉尽责义务完成服务内容；（3）及时向甲方反馈货物运输进度及相关业务信息，妥善保管甲方提交的文件与委托货物；（4）严格按照甲方的书面委托要求办理各项业务，不得擅自变更委托事项或超越委托权限行事。2.2RightsandObligationsofPartyB:(1)Havetherighttocollectcorrespondingservicefeesinaccordancewiththisagreement;(2)Possessvalidandlegalinternationalmarineshippingagencyqualifications,assignprofessionalpersonneltohandleentrustedmatters,andfulfilltheservicecontentswithduediligence;(3)TimelyfeedbackthecargotransportationprogressandrelevantbusinessinformationtoPartyA,andproperlykeepthedocumentsandentrustedcargosubmittedbyPartyA;(4)HandleallbusinessesstrictlyinaccordancewiththewrittenentrustedrequirementsofPartyA,andshallnotchangetheentrustedmatterswithoutauthorizationoractbeyondtheentrustedauthority.3.服务费用及支付方式3.1本协议项下的服务费用涵盖海运费、港口操作费、报关报检费、内陆运输费、货运保险费及乙方代理服务费，具体计费标准及总金额以双方确认的《海运代理服务确认单》为准。3.ServiceFeesandPaymentMethod3.1Theservicefeesunderthisagreementincludeoceanfreight,porthandlingfees,customsandinspectiondeclarationfees,inlandtransportfees,freightinsurancepremiumsandPartyB'sagencyservicefees.ThespecificchargingstandardsandtotalamountshallbesubjecttotheMarineShippingAgencyServiceConfirmationFormconfirmedbybothparties.3.2甲方应在乙方出具正式费用账单后的[]个工作日内，通过银行转账方式将全额费用支付至乙方指定的银行账户：账户名称：[]开户银行：[]银行账号：[]3.2PartyAshallpaythefullamountoffeestothedesignatedbankaccountofPartyBviabanktransferwithin[]workingdaysafterPartyBissuestheformalfeebill:AccountName:[]OpeningBank:[]BankAccountNumber:[]3.3若甲方逾期支付费用，每逾期一日需按照未支付金额的[‰]向乙方支付逾期违约金。3.3IfPartyAfailstopaythefeesoverdue,itshallpayPartyBoverdueliquidateddamagesattherateof[‰]oftheunpaidamountperdayofdelay.4.违约责任4.1若乙方未按本协议约定提供服务，导致甲方遭受损失的，乙方需承担相应赔偿责任；因乙方故意或重大过失造成甲方损失的，乙方应全额赔偿甲方的直接经济损失。4.LiabilityforBreachofContract4.1IfPartyBfailstoprovideservicesinaccordancewiththisagreementandcauseslossestoPartyA,PartyBshallbearcorrespondingcompensationliabilities;ifPartyAsufferslossesduetoPartyB'sintentionalactorgrossnegligence,PartyBshallfullycompensatePartyA'sdirecteconomiclosses.4.2若甲方未按约定支付服务费用，乙方有权暂停提供后续服务，直至甲方结清全部应付费用及逾期违约金，由此产生的一切损失由甲方自行承担。4.2IfPartyAfailstopaytheservicefeesasagreed,PartyBhastherighttosuspendprovidingsubsequentservicesuntilPartyAsettlesallpayablefeesandoverdueliquidateddamages,andalllossesarisingtherefromshallbebornebyPartyAitself.5.保密条款5.1双方应对在本协议履行过程中获悉的对方商业秘密、技术信息、客户资料、业务数据等保密信息承担严格保密义务，未经对方书面同意，不得向任何第三方泄露。5.ConfidentialityClause5.1Bothpartiesshallbearstrictconfidentialityobligationsfortheotherparty'stradesecrets,technicalinformation,customerinformation,businessdataandotherconfidentialinformationlearnedduringtheperformanceofthisagreement,andshallnotdisclosetoanythirdpartywithouttheotherparty'swrittenconsent.5.2本保密义务在本协议终止后[]年内持续有效。5.2Thisconfidentialityobligationshallremainvalidfor[]yearsaftertheterminationofthisagreement.6.不可抗力6.1本协议所称不可抗力，是指不能预见、不能避免且不能克服的客观情况，包括但不限于自然灾害、战争、政府管制措施、港口拥堵、船舶延误、航运管制等。6.ForceMajeure6.1Forcemajeureasmentionedinthisagreementreferstoobjectivecircumstancesthatcannotbeforeseen,avoidedandovercome,includingbutnotlimitedtonaturaldisasters,wars,governmentregulatorymeasures,portcongestion,vesseldelays,shippingcontrol,etc.6.2若因不可抗力导致一方无法履行本协议项下义务，该方应及时通知对方，并在合理期限内提供有效的证明文件，根据不可抗力的影响程度，可部分或全部免除责任，但需采取合理措施减少因不可抗力造成的损失。6.2Ifonepartyisunabletoperformitsobligationsunderthisagreementduetoforcemajeure,thepartyshallnotifytheotherpartyintimeandprovidevalidsupportingdocumentswithinareasonableperiodoftime.Itmaybepartiallyorfullyexemptedfromliabilityaccordingtotheextentoftheimpactofforcemajeure,butshalltakereasonablemeasurestoreducethelossescausedbyforcemajeure.7.争议解决7.1因本协议引起或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方住所地有管辖权的人民法院提起诉讼。7.DisputeResolution7.1Anydisputearisingfromorrelatedtothisagreementshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties;iftheconsultationfails,anypartyshallhavetherighttofilealawsuitwiththepeople'scourtwithjurisdictionattheregisteredaddressofPartyA.8.协议的变更与终止8.1本协议的任何变更或补充，均需经双方书面协商一致后方可生效，变更或补充协议与本协议具有同等法律效力。8.AmendmentandTerminationoftheAgreement8.1Anyamendmentorsupplementtothisagreementshalltakeeffectonlyafterwrittenconsultationandconsentbybothparties,andtheamendedorsupplementaryagreementshallhavethesamelegaleffectasthisagreement.8.2本协议自双方签字盖章之日起生效，有效期为[]年。协议期满前[]个月，若双方均未提出书面终止异议，则本协议自动延续[]年，延续次数不限。8.2Thisagreementshalltakeeffectfromthedatewhenbothpartiessignandaffixtheirofficialseals,withavalidityperiodof[]years.Ifneitherpartyraisesawrittenobjectiontotermination[]monthsbeforetheexpirationoftheagreement,thisagreementshallbeautomaticallyextendedfor[]years,andthenumberofextensionsisunlimited.8.3本协议终止后，乙方应于[]个工作日内将甲方未使用的文件及剩余款项返还甲方，甲方应于同期结清尚未支付的服务费用。8.3Aftertheterminationofthisagreement,PartyBshall
