(新)销售合同中英文(2026版)1.PartiestotheContract合同双方ThisSalesContract(the"Contract")isenteredintoasof[YYYY/MM/DD](the"EffectiveDate"),byandbetween:本销售合同（以下简称“本合同”）由以下双方于[YYYY年MM月DD日]（以下简称“生效日”）订立：•Seller:[FullLegalNameofSeller],withregisteredaddressat[Seller’sRegisteredAddress],contactperson:[ContactName],telephone:[PhoneNumber],email:[EmailAddress](hereinafterreferredtoas"Seller")•卖方：[卖方全称]，注册地址：[卖方注册地址]，联系人：[联系人姓名]，电话：[电话号码]，邮箱：[邮箱地址]（以下简称“卖方”）•Buyer:[FullLegalNameofBuyer],withregisteredaddressat[Buyer’sRegisteredAddress],contactperson:[ContactName],telephone:[PhoneNumber],email:[EmailAddress](hereinafterreferredtoas"Buyer")•买方：[买方全称]，注册地址：[买方注册地址]，联系人：[联系人姓名]，电话：[电话号码]，邮箱：[邮箱地址]（以下简称“买方”）2.CommoditySpecifications货物规格TheSelleragreestosellandtheBuyeragreestopurchasethefollowingcommodities(the"Commodities")underthetermsandconditionssetforthinthisContract:卖方同意按照本合同条款出售，买方同意购买以下货物（以下简称“货物”）：ItemNo.CommodityDescriptionSpecification/ModelUnitQuantityUnitPrice(in[Currency])TotalAmount(in[Currency])项目编号货物描述规格/型号单位数量单价（[货币单位]）总价（[货币单位]）1[Commodity1][Spec1][Unit][Qty1][Price1][Total1]2[Commodity2][Spec2][Unit][Qty2][Price2][Total2].....................合同总价：[大写金额]（[小写金额][货币单位]）Note:Theunitpriceincludesallcostsofproduction,packaging,andtransportationtothedesignateddeliveryplaceasspecifiedinClause4,excludingcustomsduties,value-addedtaxandothertaxesleviedbytheBuyer’slocalgovernment.备注：单价包含生产、包装及运抵第4条指定交货地点的所有费用，不包含买方当地政府征收的关税、增值税及其他税费。3.PaymentTerms付款条款3.1TheBuyershallpaythetotalcontractamountinthefollowingmanner:3.1买方应按以下方式支付合同总价：(1)[Percentage]%ofthetotalcontractamount,equivalentto[AmountinFigures][Currency],shallbepaidwithin[X]workingdaysfromtheEffectiveDateasadvancepayment.(1)合同总价的[百分比]%，即[小写金额][货币单位]，应于生效日起[X]个工作日内支付作为预付款。(2)[Percentage]%ofthetotalcontractamount,equivalentto[AmountinFigures][Currency],shallbepaidwithin[X]workingdaysaftertheBuyercompletestheacceptanceoftheCommoditiesasspecifiedinClause5.(2)合同总价的[百分比]%，即[小写金额][货币单位]，应于买方完成第5条规定的货物验收后[X]个工作日内支付。3.2AllpaymentsshallbemadeviabanktransfertotheSeller’sdesignatedaccount:3.2所有款项应通过银行转账至卖方指定账户：•BankName:[BankName]•开户行：[银行名称]•AccountName:[Seller’sAccountName]•账户名称：[卖方账户名称]•AccountNumber:[AccountNumber]•账号：[账号]3.3IftheBuyerdelayspayment,itshallpaytheSellerapenaltyatarateof0.05%oftheoverdueamountperday,startingfromthefirstdayofdelayuntilthefullpaymentisreceived.3.3若买方逾期付款，应自逾期之日起至款项全额付清之日止，按逾期金额的每日0.05%向卖方支付违约金。4.DeliveryTerms交货条款4.1TheSellershalldelivertheCommoditiesto[DeliveryAddress]onorbefore[YYYY/MM/DD](the"DeliveryDate").4.1卖方应于[YYYY年MM月DD日]（以下简称“交货日”）或之前将货物交付至[交货地址]。4.2Thetransportationmethodshallbe[TransportationMethod,e.g.,seafreight,landfreight],andthetransportationcostsshallbebornebythe[Seller/Buyer].4.2运输方式为[运输方式，如海运、陆运]，运输费用由[卖方/买方]承担。4.3TheSellershallnotifytheBuyerofthedeliverydetails(includingshipmentdate,transportationcompany,trackingnumber)viaemailatleast[X]workingdaysbeforetheshipment.4.3卖方应于发货前至少[X]个工作日通过邮件向买方通知交货细节（包括发货日期、运输公司、运单编号）。4.4RiskoflossordamagetotheCommoditiesshallpassfromtheSellertotheBuyerupontheCommoditiesbeingunloadedatthedesignateddeliveryaddressandsignedforbytheBuyer’sauthorizedrepresentative.4.4货物在指定交货地址卸货并经买方授权代表签收后，货物灭失或损坏的风险由卖方转移至买方。5.AcceptanceTerms验收条款5.1Within[X]workingdaysafterreceivingtheCommodities,theBuyershallconductacceptanceinspectionbasedonthespecifications,quantityandqualitystandardsagreedinthisContract.5.1买方收到货物后[X]个工作日内，应按照本合同约定的规格、数量及质量标准进行验收。5.2IftheBuyerfindsanydiscrepancyinquantity,damageornon-compliancewithspecifications,itshallsubmitawrittenobjectiontotheSellerwithintheacceptanceperiod,accompaniedbyphotos,inspectionreportsandothersupportingdocuments.5.2若买方发现数量不符、货物损坏或规格不符，应于验收期内以书面形式向卖方提出异议，并附上照片、检验报告等证明文件。5.3TheSellershallrespondtotheBuyer’sobjectionwithin[X]workingdays.Iftheobjectionisconfirmedtobevalid,theSellershall,atitsowncost,eitherreplacethenon-compliantCommodities,supplementthemissingquantity,orrepairthedamagedCommoditieswithin[X]workingdays.5.3卖方应于[X]个工作日内对买方的异议作出回应。若异议被确认成立，卖方应自行承担费用，于[X]个工作日内更换不合格货物、补足缺失数量或修复损坏货物。5.4IftheBuyerfailstosubmitawrittenobjectionwithintheacceptanceperiod,theCommoditiesshallbedeemedtohavepassedtheacceptanceinspection.5.4若买方未在验收期内提出书面异议，货物视为验收合格。6.QualityWarranty质量保证6.1TheSellerwarrantsthattheCommoditiesarebrandnew,freefromdefectsinmaterialandworkmanship,andcomplywithallapplicablenationalandindustrystandards,aswellasthespecificationsstatedinthisContract.6.1卖方保证货物为全新产品，不存在材料及工艺缺陷，符合所有适用的国家及行业标准，且与本合同规定的规格一致。6.2ThewarrantyperiodfortheCommoditiesshallbe[X]monthsfromthedateofacceptanceinspectioncompletion.6.2货物的质保期为验收合格之日起[X]个月。6.3Duringthewarrantyperiod,iftheCommoditiesfailduetomanufacturingdefects,theSellershallrepairorreplacethedefectivepartsfreeofcharge,includingtransportationcosts.6.3质保期内，若货物因制造缺陷出现故障，卖方应免费维修或更换缺陷部件，包括运输费用。6.4Thewarrantydoesnotcoverdamagescausedbyimproperoperation,negligence,naturaldisasters,orunauthorizedmodificationoftheCommoditiesbytheBuyer.6.4质保范围不包括因买方操作不当、疏忽、自然灾害或擅自改装货物造成的损坏。7.BreachofContract违约责任7.1IftheSellerfailstodelivertheCommoditiesontime,itshallpaytheBuyerapenaltyatarateof0.05%oftheundeliveredamountperday,startingfromthefirstdayofdelay.Ifthedelayexceeds[X]days,theBuyerhastherighttoterminatethisContractandclaimcompensationforlossescausedbythedelay.7.1若卖方逾期交货，应自逾期之日起，按未交付货物金额的每日0.05%向买方支付违约金。若逾期超过[X]日，买方有权解除本合同，并要求卖方赔偿因逾期造成的损失。7.2IftheCommoditiesareconfirmedtobenon-compliantwithqualitystandardsandcannotberepairedorreplacedwithinareasonabletime,theBuyerhastherighttoreturntheCommoditiesandrequestafullrefundofthepaidamount,orclaimcompensationequalto[Percentage]%ofthetotalcontractamountfordirectlosses.7.2若货物被确认不符合质量标准且无法在合理时间内维修或更换，买方有权退货并要求退还已支付的全部款项，或要求赔偿相当于合同总价[百分比]%的直接损失。7.3EitherpartythatbreachesanyothermaterialtermofthisContractshallcompensatetheotherpartyforalldirectlossescausedbythebreach.7.3任何一方违反本合同其他实质性条款，应赔偿另一方因违约造成的全部直接损失。8.Confidentiality保密条款BothpartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContract,includingbutnotlimitedtocommodityspecifications,pricing,technicaldata,andbusinessplans.Thisobligationshallremainineffectfor[X]yearsfromtheterminationofthisContract,exceptforinformationthatisalreadyinthepublicdomainorrequiredtobedisclosedbylaw.双方应对因本合同获取的对方所有信息予以保密，包括但不限于货物规格、定价、技术资料及商业计划。本保密义务自本合同终止之日起持续[X]年，已公开或法律要求披露的信息除外。9.ForceMajeure不可抗力9.1NeitherpartyshallbeliableforfailuretoperformanyobligationunderthisContractifsuchfailureiscausedbyforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,governmentdecrees,orotherunforeseeable,unavoidableandinsurmountableevents.9.1若因不可抗力事件（包括但不限于自然灾害、战争、政府法令或其他不可预见、不可避免且无法克服的事件）导致任何一方无法履行本合同项下义务，该方无需承担责任。9.2Theaffectedpartyshallnotifytheotherpartyinwritingwithin[X]workingdaysaftertheoccurrenceoftheforcemajeureevent,andprovidesupportingdocumentsissuedbyarelevantauthoritywithin[X]workingdays.9.2受影响方应于不可抗力事件发生后[X]个工作日内书面通知另一方，并于[X]个工作日内提供相关机构出具的证明文件。9.3Uponthecessationoftheforcemajeureevent,theaffectedpartyshallresumeperformanceofitsobligationsassoonaspossible.Iftheforcemajeureeventlastsformorethan[X]days,bothpartiesmaynegotiatetomodifyorterminatethisContract.9.3不可抗力事件终止后，受影响方应尽快恢复履行义务。若不可抗力事件持续超过[X]日，双方可协商修改或解除本合同。10.GoverningLawandDisputeResolution适用法律与争议解决10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction,e.g.,thePeople’sRepublicofChina].10.1本合同受[管辖地，如中华人民共和国]法律管辖并依其解释。10.2AnydisputearisingfromorinconnectionwiththisContractshallfirstberesolvedthroughfriendlynegotiationbetweentheparties.Ifnegotiationfails,eitherpartymaysubmitthedisputetothe[ArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission]forarbitrationin[ArbitrationPlace,e.g.,Beijing]inaccordancewithitscurrentarbitrationrules.Thearbitralawardshallbefinalandbindingonbothparties.10.2因本合同产生或与本合同有关的任何争议，应首先由双方友好协商解决。协商不成的，任何一方均可将争议提交[仲裁机构，如中国国际经济贸易仲裁委员会]，按照其现行仲裁规则在[仲裁地点，如北京]进行仲裁。仲裁裁决为终局裁决，对双方均具有约束力。11.GeneralProvisions一般条款11.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatt
