8.2TheBuyershallacquireonlytheownershipoftheGoodsuponfullpayment,andallintellectualpropertyrightsrelatedtotheGoods(includingbutnotlimitedtodesigns,patents,technicaldocuments)shallremainwiththeSellerunlessotherwiseagreedinwriting.8.知识产权8.1卖方保证货物不侵犯任何第三方的知识产权，包括专利、商标、著作权等。8.2买方仅在全额付款后取得货物所有权，与货物相关的所有知识产权（包括但不限于设计、专利、技术文档）仍归卖方所有，除非双方另行书面约定。9.DisputeResolution9.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifnoresolutionisreachedwithin[X]daysofthestartofnegotiation,eitherpartymaysubmitthedisputetothe[ArbitrationInstitution]locatedin[City,Country]forarbitration.9.2Thearbitrationawardshallbefinalandbindingonbothparties.Thearbitrationshallbeconductedin[Language],andthecostsofarbitrationshallbebornebythelosingpartyunlessotherwiseawardedbythearbitraltribunal.9.争议解决9.1因本合同引起或与本合同有关的任何争议，应通过双方友好协商解决。若协商开始后[X]天内未达成解决方案，任何一方均可将争议提交位于[国家城市]的[仲裁机构]进行仲裁。9.2仲裁裁决为终局裁决，对双方均具有约束力。仲裁应以[语言]进行，仲裁费用由败诉方承担，除非仲裁庭另有裁决。10.GeneralProvisions10.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,supersedingallpriororalorwrittenagreements,understandingsorrepresentations.10.2AnyamendmentormodificationtothisContractshallbeinwritingandsignedbyauthorizedrepresentativesofbothpartiestobeeffective.10.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry/Region].10.4ThisContractshallcomeintoforceu
