2027年度双语保安服务合同

甲方：__________________

在自愿平等、诚实信用的基础上，根据《中华人民共和国民法典》《保安服务管理条例》等法律法规，就乙方向甲方提供专业保安服务事宜，经双方充分协商，达成如下协议，以资共同遵守：

###一、服务内容

1.1乙方为甲方提供专业化保安服务，具体包括但不限于：

（1）门岗值守：负责甲方指定区域的人员、车辆进出登记、身份核验、物品查验及秩序维护；

（2）巡逻防控：对甲方办公区、生产区、仓库、停车场等重点区域进行定时与不定时巡逻，及时发现并上报安全隐患；

（3）监控值守：24小时监控甲方安防系统，对监控画面进行实时巡查，发现异常情况立即处置并报告；

（4）应急处突：针对火灾、盗窃、斗殴、自然灾害等突发事件，按照甲方应急预案协助疏散人员、保护现场、控制事态；

（5）车辆管理：负责甲方内部及外部车辆的引导、停放管理，确保交通秩序畅通；

（6）物品看管：对甲方指定的贵重物品、涉密文件等提供临时看管服务；

（7）客户引导：为甲方来访客户提供引导、咨询及接待协助。

1.2乙方保证具备合法的保安服务资质，向甲方提供营业执照、保安服务许可证复印件（加盖公章），并确保派遣至甲方工作的保安人员无犯罪记录、身体健康，具备相应的专业技能和服务意识，同时提供保安人员的身份证、保安员证复印件及近期体检报告。

###二、服务方式

2.1服务地点：甲方位于__________________（详细地址，包括但不限于办公区域、生产车间、仓库、停车场及其他附属设施）。

2.2服务范围：涵盖甲方上述地点的全部区域及甲方书面要求的其他区域。

2.3保安人员配置：

（1）甲方共需保安人员_______名，具体岗位配置为：门岗_______名、巡逻岗_______名、监控岗_______名、应急机动岗_______名；

（2）如需调整人员数量或岗位，甲方应提前7个工作日书面通知乙方，乙方应在5个工作日内完成人员调配并确保服务质量。

###三、双方权利义务

####（一）甲方的权利与义务

3.1.1权利：

（1）对乙方保安人员的服务质量进行监督、检查，有权要求乙方更换不符合服务要求的人员；

（2）要求乙方定期提交保安工作月报、季度总结，包括巡逻记录、事件处理情况、安全隐患排查报告等；

（3）在紧急情况下，直接指挥保安人员处置突发事件，乙方应予以配合。

3.1.2义务：

（1）为保安人员提供必要的工作条件，包括固定休息室、饮水设备、通讯工具（对讲机等）及执勤所需的基本防护装备（如反光背心、雨具等）；

（2）尊重保安人员的正当履职行为，不得指使保安人员从事违法或违背职业道德的活动；

（3）按时足额支付保安服务费，不得无故拖欠；

（4）协助乙方保安人员熟悉甲方内部管理制度、重点区域分布及应急预案。

####（二）乙方的权利与义务

3.2.1权利：

（1）要求甲方提供必要的工作配合，包括提供甲方区域平面图、安全管理制度等资料；

（2）对保安人员进行统一管理、培训和考核，甲方应予以支持。

3.2.2义务：

（1）确保保安人员严格遵守国家法律法规及甲方的规章制度，文明执勤、礼貌待人，不得与甲方人员或外来访客发生冲突；

（2）负责保安人员的岗前培训（不少于40学时，包括法律法规、岗位职责、应急处理、礼仪规范等）及定期复训（每季度不少于1次）；

（3）为保安人员统一配备制式服装、执勤器械（如电棍、警棍等，需符合国家规定），并负责器械的维护和管理；

（4）为保安人员缴纳社会保险（养老、医疗、失业、工伤、生育保险），发放劳动报酬，保障其合法权益；

（5）建立保安人员档案，记录其培训、考核、奖惩等情况，并接受甲方的查询；

（6）保安人员在执勤过程中因故意或过失造成甲方或第三方人身、财产损失的，乙方应承担赔偿责任（具体赔偿方式见第五条）；

（7）每月5日前向甲方提交上月保安人员考勤表、工作总结及费用发票。

###四、保安服务费及支付方式

4.1服务费用标准：

（1）保安人员月工资标准为每人每月_______元（含税），其中包含工资、社保、服装费、管理费及利润等一切费用；

（2）月度保安服务费总金额为：_______元×_______人=_______元（大写：人民币__________________元整）；

（3）如遇国家最低工资标准调整，双方应协商调整服务费标准。

4.2支付方式：

（1）实行预付制，甲方应于每月_______日前通过银行转账方式向乙方支付当月保安服务费；

（2）乙方在收到款项后5个工作日内，向甲方提供等额合法的增值税专用发票；

（3）甲方逾期支付服务费的，每逾期一日，应按应付未付金额的万分之一向乙方支付违约金，逾期超过30日的，乙方有权暂停服务，直至甲方付清款项及违约金。

4.3费用调整：如因甲方增加保安人员、扩大服务范围或服务标准提升导致费用增加，双方应签订书面补充协议，明确调整后的费用标准及支付方式。

###五、违约责任

5.1单方解除合同：任何一方无正当理由单方解除合同的，应向对方支付三个月服务费作为违约金；因不可抗力导致合同无法履行的，双方互不承担违约责任，可协商解除合同。

5.2甲方违约：

（1）甲方未按约定支付服务费的，按本条第4.2款承担逾期付款违约金；

（2）甲方提供的必要工作条件缺失，导致保安服务无法正常进行的，乙方有权要求甲方限期整改，逾期未整改的，乙方有权减少服务费或解除合同。

5.3乙方违约：

（1）乙方提供的保安人员不符合资质要求或服务标准低劣，经甲方书面通知后7日内未整改的，甲方有权按每人每次_______元的标准扣减服务费；情节严重的，甲方有权解除合同并要求乙方支付一个月服务费作为违约金；

（2）乙方保安人员在执勤过程中故意或过失造成甲方或第三方损失的，乙方应在接到甲方书面通知后10日内承担赔偿责任，赔偿范围包括直接财产损失、医疗费用及合理的精神损害抚慰金（具体金额根据实际损失确定，最高不超过当月服务费总额）；

（3）乙方未经甲方同意擅自更换保安人员的，每次应向甲方支付_______元违约金；一个月内更换人员超过3次的，甲方有权解除合同。

###六、其他事项

6.1保密条款：双方应对在合同履行过程中知悉的对方商业秘密、技术信息等保密信息承担保密义务，未经对方书面同意，不得向任何第三方披露。保密期限自合同生效之日起计算，至合同终止后5年。

6.2合同变更：本合同的变更需经双方协商一致，并签订书面补充协议，补充协议与本合同具有同等法律效力。

6.3不可抗力：因地震、洪水、战争、政府行为等不可抗力因素导致合同无法履行的，受不可抗力影响的一方应及时通知对方，并提供相关证明文件，双方可根据实际情况协商延期履行或解除合同，互不承担违约责任。

6.4争议解决：本合同履行过程中发生的争议，双方应友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。

###ArticleIScopeofServices

1.1PartyBshallprovideprofessionalsecurityservicestoPartyA,includingbutnotlimitedto:

(1)**GuardDuty**:Registeringpersonnelandvehicleentry/exit,verifyingidentities,inspectingitems,andmaintainingorderatdesignatedcheckpointsofPartyA;

(2)**PatrolService**:ConductingregularandirregularpatrolsinkeyareasofPartyA(office,production,warehouse,parkinglot,etc.)topromptlyidentifyandreportsafetyhazards;

(3)**Monitoring**:24-hourmonitoringofPartyA'ssecuritysystem,withreal-timeinspectionofsurveillancefootagetorespondtoabnormalsituationsimmediately;

(4)**EmergencyResponse**:Assistinginevacuatingpersonnel,securingthescene,andcontrollingthesituationforemergenciessuchasfires,theft,fights,ornaturaldisasters,inaccordancewithPartyA'semergencyplans;

(5)**VehicleManagement**:Guidingvehicles,ensuringorderlyparking,andmaintainingsmoothtrafficflowwithinandaroundPartyA'spremises;

(6)**ItemCustody**:ProvidingtemporarycustodyfordesignatedvaluableitemsorconfidentialdocumentsofPartyA;

(7)**VisitorAssistance**:GuidingandreceivingvisitorstoPartyA.

1.2PartyBshallensureitholdslegalsecurityservicequalifications,providingPartyAwithcopiesofitsbusinesslicenseandsecurityservicelicense(stampedwithofficialseal),andensurethatsecuritypersonnelassignedtoPartyAhavenocriminalrecords,areingoodhealth,possessrelevantprofessionalskillsandserviceawareness,andprovidecopiesoftheiridentitycards,securityofficercertificates,andrecenthealthreports.

###ArticleIIIRightsandObligationsofBothParties

####3.1RightsandObligationsofPartyA

3.1.1Rights:

(1)TosuperviseandinspecttheservicequalityofPartyB'ssecuritypersonnel,andtorequirePartyBtoreplacepersonnelwhofailtomeetservicestandards;

(2)TorequirePartyBtosubmitmonthlyandquarterlysecurityworkreports,includingpatrolrecords,incidenthandling,andsafetyhazardinspectionreports;

(3)Todirectlydirectsecuritypersonneltohandleemergenciesinurgentsituations,andPartyBshallcooperate.

3.1.2Obligations:

(1)Toprovidenecessaryworkingconditionsforsecuritypersonnel,includingafixedrestroom,drinkingwater,communicationtools(walkie-talkies,etc.),andbasicprotectiveequipment(reflectivevests,raingear,etc.);

(2)Torespectthelawfulperformanceofdutiesbysecuritypersonnelandshallnotinstructthemtoengageinillegalorunethicalactivities;

(3)Topaysecurityservicefeesontimeandinfull,withoutunjustifieddelay;

(4)ToassistPartyB'ssecuritypersonnelinfamiliarizingthemselveswithPartyA'sinternalmanagementsystems,keyarealayouts,andemergencyplans.

####3.2RightsandObligationsofPartyB

3.2.1Rights:

(1)TorequirePartyAtoprovidenecessaryworkcooperation,includingprovidingPartyA'sareamaps,safetymanagementsystems,andothermaterials;

(2)Tomanage,train,andassesssecuritypersonneluniformly,andPartyAshallprovidesupport.

3.2.2Obligations:

(1)ToensuresecuritypersonnelstrictlycomplywithnationallawsandregulationsandPartyA'srules,performdutiescivilly,andtreatotherspolitely,withoutconflictswithPartyA'sstafforvisitors;

(2)Toberesponsibleforpre-jobtraining(nolessthan40hours,includinglaws,jobresponsibilities,emergencyresponse,andetiquette)andregularrefreshertraining(nolessthan1timeperquarter)forsecuritypersonnel;

(3)Touniformlyequipsecuritypersonnelwithstandardizeduniformsanddutyequipment(suchaselectricbatons,batons,etc.,incompliancewithnationalregulations),andberesponsibleforthemaintenanceandmanagementoftheequipment;

(4)Topaysocialinsurance(pension,medical,unemployment,work-relatedinjury,andmaternityinsurance)forsecuritypersonnel,paywages,andprotecttheirlegitimaterightsandinterests;

(5)Toestablishpersonnelfilesforsecuritypersonnel,recordingtheirtraining,assessment,rewards,andpunishments,andacceptinquiriesfromPartyA;

(6)TocompensateforlossescausedtoPartyAorthirdpartiesduetointentionalornegligentactsofsecuritypersonnelduringduty(specificcompensationmethodsaredetailedinArticleV);

(7)TosubmittoPartyAbeforethe5thofeachmonththeattendancesheet,worksummary,andfeeinvoiceforthepreviousmonth.

###ArticleIVSecurityServiceFeesandPaymentMethods

4.1FeeStandards:

(1)Monthlysalarypersecuritypersonnelis_______RMB(tax-inclusive),includingallcostssuchaswages,socialinsurance,uniforms,managementfees,andprofits;

(2)Totalmonthlysecurityservicefee:_______RMB×_______persons=_______RMB(inwords:RMB__________________);

4.2PaymentMethods:

4.3FeeAdjustment:IfthefeeincreasesduetoPartyAincreasingsecuritypersonnel,expandingservicescope,orupgradingservicestandards,bothpartiesshallsignawrittensupplementaryagreementtoclarifytheadjustedfeestandardsandpaymentmethods.

###ArticleVLiabilityforBreachofContract

5.1UnilateralTermination:Eitherpartyshallterminatethecontractwithoutjustcauseshallpayliquidateddamagesequivalenttothreemonths'servicefeestotheotherparty.Ifthecontractcannotbeperformedduetoforcemajeure,bothpartiesshallnotbeliableforbreachandmayterminatethecontractthroughnegotiation.

5.2BreachbyPartyA:

(1)IfPartyAfailstopayservicefeesasagreed,itshallbeartheoverduepaymentliquidateddamagesasstipulatedinArticle4.2;

(2)IfPartyAfailstoprovidenecessaryworkingconditions,leadingtodisruptionofsecurityservices,PartyBhastherighttorequirePartyAtorectifywithinatimelimit;ifnorectificationismade,PartyBhastherighttoreduceservicefeesorterminatethecontract.

5.3BreachbyPartyB:

(1)IfthesecuritypersonnelprovidedbyPartyBdonotmeetqualificationrequirementsorservicestandardsarepoor,andPartyBfailstorectifywithin7daysofwrittennoticefromPartyA,PartyAhastherighttodeductservicefeesattherateof_______RMBperpersonpertime;inseriouscases,PartyAhastherighttoterminatethecontractandrequirePartyBtopayonemonth'sservicefeesasliquidateddamages;

(2)IfintentionalornegligentactsofPartyB'ssecuritypersonnelcauselossestoPartyAorthirdparties,PartyBshallcompensatewithin10daysofreceivingwrittennoticefromPartyA,withthescopeofcompensationincludingdirectpropertylosses,medicalexpenses,andreasonablementaldamages(thespecificamountshallbedeterminedbasedonactuallosses,notexceedingthetotalmonthlyservicefees);

(3)IfPartyBreplacessecuritypersonnelwithoutPartyA'sconsent,itshallpayliquidateddamagesof_______RMBtoPartyAeachtime;ifmorethan3personnelarereplacedwithinonemonth,PartyAhastherighttoterminatethecontract.

###ArticleVIMiscellaneous

6.1Confidentiality:Bothpartiesshallundertaketokeepconfidentialthebusinesssecrets,technicalinformation,andotherconfidentialinformationlearnedduringtheperformanceofthiscontract,andshallnotdiscloseittoanythirdpartywithoutwrittenconsentoftheotherparty.Theconfidentialityperiodshallbecalculatedfromthedateofcontractentryintoforceandshallcontinuefor5yearsaftercontracttermination.

6.2ContractModification:Modificationofthiscontractrequiresthemutualwrittenagreementofbothparties,andthesupplementaryagreementshallhavethesamelegaleffectasthiscontract.

6.3ForceMajeure:Ifthecontractcannotbeperformedduetoforcemajeurefactorssuchasearthquakes,floods,wars,orgovernmentacts,theaffectedpartyshallpromptlynotifytheotherpartyandproviderelevantsupportingdocuments.Bothpartiesmaynegotiatetodelayperformanceorterminatethecontractbasedontheactualsituation,withoutliabilityforbreachofcontract.

6.4DisputeResolution:Disputesarisingduringtheperformanceofthiscontractshallberesolvedthroughfriendlynegotiation.Ifnegotiationfails,eitherpartyhastherighttofilealawsuitwiththepeople'scourthavingjurisdictionwherePartyAislocated.

I.ScopeofServices

1.1PartyBshallprovideprofessionalsecurityservicestoPartyA,encompassingallaspectsofsafetyandsecuritymanagement.Specificservicesincludebutarenotlimitedto:

(1)AccessControl:Managingentryandexitpoints,verifyingidentitiesofpersonnelandvisitors,inspectingitemsforsecurityrisks,andmaintainingorderlyflowofpeopleandvehicles.

(2)PatrolServices:ConductingscheduledandunscheduledpatrolsacrossPartyA'spremises,includingofficeareas,productionzones,warehouses,parkinglots,andoutdoorspaces,todetectandreportsafetyhazards,unauthorizedactivities,orsuspiciousbehavior.

(3)SurveillanceOperations:Operatingandmonitoringsecuritysystems,suchasCCTVcameras,alarmsystems,andaccesscontroldevices,ensuringcontinuoussurveillanceandimmediateresponsetoalerts.

(4)EmergencyResponse:Addressingincidentslikefires,medicalemergencies,thefts,naturaldisasters,orsecuritybreaches,inaccordancewithPartyA'semergencyprotocols,includingevacuationassistance,firstaid,andcoordinationwithemergencyservices.

(5)VehicleManagement:Directingvehicletraffic,enforcingparkingregulations,preventingunauthorizedparking,andensuringsafemovementofvehicleswithinPartyA'spremises.

(6)PropertyProtection:Securingandsafeguardingdesignatedhigh-valueassets,confidentialdocuments,equipment,andinventoryagainsttheft,damage,orunauthorizedaccess.

(7)VisitorSupport:Greeting,guiding,andassistingvisitors,includingclients,contractors,anddeliverypersonnel,ensuringaprofessionalandwelcomingexperiencewhileenforcingsecurityprotocols.

(8)EventSecurity:ProvidingenhancedsecurityduringspecialeventshostedbyPartyA,suchasconferences,exhibitions,orgatherings,includingcrowdcontrolandaccessmanagement.

(9)EnvironmentalMonitoring:Checkingforenvironmentalriskslikefirehazards,structuralweaknesses,orunsafeconditions,andrecommendingcorrectiveactions.

(10)DocumentationandReporting:Maintainingdetailedlogsofsecurityactivities,incidents,andpatrols,andsubmittingregularreportstoPartyAforreview.

1.2PartyBshallensurefullcompliancewithlegalrequirementsforsecurityservices.PartyBmustprovidePartyAwithcertifiedcopiesofitsbusinesslicense,securityservicelicense,andotherrelevantpermits,allbearingtheofficialsealofPartyB.Additionally,PartyBshallfurnishcopiesofidentificationdocuments,securityofficercertifications,andrecenthealthexaminationreportsforallpersonnelassignedtoPartyA'spremises.PartyBguaranteesthatallpersonnelhaveundergonebackgroundchecksandpossessnocriminalrecords.

II.ServiceManner

2.1ServiceLocation:PartyBshallprovidesecurityservicesexclusivelyatPartyA'sdesignatedpremiseslocatedat__________________,includingallbuildings,facilities,grounds,andadjacentareasasspecifiedinwritingbyPartyA.Anyexpansionormodificationoftheservicelocationrequiresmutualwrittenagreement.

2.2ServiceScope:TheservicesshallcoverallareaswithinPartyA'spremises,includingbutnotlimitedtoadministrativeoffices,manufacturingplants,storagewarehouses,parkingfacilities,commonareas,andoutdoorspaces.PartyBmayberequestedtoextendservicestoadditionallocationsspecifiedbyPartyAinadvance,withcorrespondingadjustmentstoservicefees.

2.5ContractTerm:Thiscontractshallcommenceon_______年____月____andterminateon_______年____月____.Uponexpiration,PartyAmayrenewthecontractbyprovidingwrittennoticetoPartyBatleast30dayspriortotheenddate.Renewaltermsshallbenegotiatedingoodfaith,andanymodificationsshallbedocumentedinasupplementaryagreement.

III.RightsandObligationsofBothParties

A.PartyA'sRightsandObligations

1.Rights:

(1)PartyAshallhavetherighttosupervise,inspect,andevaluatetheperformanceofPartyB'ssecuritypersonnel,includingconductingunannouncedvisitsandrequestingdetailedworkreports.

(2)PartyAmayrejectorrequestthereplacementofanysecuritypersonneldeemedunfitfordutyduetoincompetence,misconduct,orfailuretomeetservicestandards.

(3)PartyAshallreceivemonthlyandquarterlyreportsfromPartyB,summarizingsecurityactivities,incidentlogs,patrolrecords,andrecommendationsforimprovements.

(4)Inemergencysituations,PartyAmayissuedirectinstructionstosecuritypersonnel,whomustcomplypromptlytoensuresafetyandorder.

2.Obligations:

(1)PartyAshallrespecttheprofessionalconductofsecuritypersonnel,supportingandfacilitatingtheirlawfuldutieswithoutinterferenceorobstruction.

(2)PartyAshallprovideadequateworkingconditions,includingsecurerestareas,communicationdevices(e.g.,two-wayradios),necessarytools(e.g.,flashlights,first-aidkits),andaccesstoessentialfacilitieslikerestroomsanddrinkingwater.

(3)PartyAshallfurnishPartyBwithfloorplans,emergencycontactlists,securityprotocols,andanyrelevantupdatestoensurepersonnelarefullyinformed.

(4)PartyAshallpayallfeesasstipulatedinthiscontractontimeandinfull,withoutunjustifieddelays.

(5)PartyAshallmaintainacooperativerelationshipwithPartyB,addressingconcernspromptlyandparticipatinginjointsecurityreviewsasrequested.

B.PartyB'sRightsandObligations

1.Rights:

(1)PartyBshallhavetherighttoreceivetimelypaymentsfromPartyAforservicesrendered,asoutlinedinSectionIV.

(2)PartyBmaymanage,train,anddisciplineitssecuritypersonnelwithoutundueinterferencefromPartyA,providedthatsuchactionsdonotviolatecontractualtermsorlaws.

(3)PartyBshallhaveaccesstoPartyA'spremisesduringservicehourstoperformduties,andPartyAshallfacilitateentryasneeded.

2.Obligations:

(1)PartyBshallmaintainallnecessarylegalpermitsandcertificationsforsecurityservices,ensuringcompliancewithnationalandlocalregulations.

(2)PartyBshallemployallsecuritypersonnelasfull-timeemployees,executeformalemploymentcontracts,andhandleallstatutorybenefits,includingsocialinsurance,work-relatedinjuryinsurance,andpaidleave.

(3)Securitypersonnelshallundergocomprehensiveinitialtraining(minimum40hours)coveringlegalrequirements,emergencyprocedures,customerservice,andethicalconduct,withquarterlyrefreshertraining(minimum8hoursperquarter)tomaintainproficiency.

(4)PartyBshallensureallpersonneladheretostrictprofessionalstandards,includingwearingstandardizeduniforms,displayingidentificationbadges,andcarryingauthorizedequipmentsuchasbatonsorpepperspray,inaccordancewithlegallimits.

(5)PartyBshallconductdailybriefingsandweeklyperformancereviewsforpersonneltoensureservicequalityandaddressissuesproactively.

(6)Intheeventofsecurityincidents,PartyBshallinvestigatethoroughly,documentfindings,andsubmitreportstoPartyAwithin48hours,includingrecommendationsforpreventivemeasures.

(7)PartyBshallmaintainconfidentialityregardingallinformationobtainedduringservice,includingbusinessoperations,visitordata,andsecurityvulnerabilities,andshallnotdisclosesuchinformationtothirdpartieswithoutPartyA'swrittenconsent.

IV.SecurityServiceFeesandPaymentMethods

4.1FeeStructure:

(1)Themonthlysecurityservicefeeshallbecalculatedatarateof_______RMBpersecuritypersonnel,inclusiveofallcostssuchaswages,taxes,insurance,uniforms,equipment,andmanagementoverhead.

(2)Thetotalmonthlyfeefor_______personnelis_______RMB(inwords:RMB__________________).Theannualfee,payableinquarterlyinstallments,totals_______RMB(inwords:RMB__________________).

(3)Feesaretax-inclusiveandsubjecttoadjustmentifthenationalminimumwagestandardchanges,withrevisionstobemutuallyagreeduponanddocumentedinasupplementaryagreement.

4.2PaymentSchedule:

(1)Feesshallbeprepaidonaquarterlybasis.PartyBshallissueaformalinvoicetoPartyAbythe5thdayofeachquarter,coveringtheupcomingthreemonths'services.

(2)PartyAshallremitpaymentviabanktransfertoPartyB'sdesignatedaccountwithin10daysofreceivingtheinvoice.BankdetailsshallbeprovidedbyPartyBandupdatedinwritingifchanged.

(3)Latepaymentsshallincurliquidateddamagesatarateof0.01%oftheoverdueamountperday.Ifpaymentisdelayedbeyond30days,PartyBmaysuspendservicesuntilfullpaymentisreceived,withoutliabilityforanyresultingsecuritylapses.

4.3AdditionalCharges:

(1)OvertimeservicesrequestedbyPartyAoutsidestandardhoursshallbebilledatanadditionalrateof_______RMBperhourperpersonnel.

(2)CostsforspecializedequipmentortemporarypersonnelbeyondtheagreedallocationshallbebornebyPartyAandinvoicedseparately.

V.LiabilityforBreachofContract

5.1TerminationforCause:

(1)Eitherpartymayterminatethiscontractwithimmediateeffectuponwrittennoticeiftheotherpartycommitsamaterialbreach,suchasfailuretoperformcoreservices,insolvency,orillegalactivities.Thebreachingpartyshallcompensatethenon-breachingpartyforalldirectlossesincurred.
