国际货物买卖合同INTERNATIONALSALESCONTRACT合同编号（ContractNo.）：【__________】签订日期（DateofSigning）：【__________】年【__】月【__】日签订地点（PlaceofSigning）：【__________】买方（TheBuyer）：【__________】法定地址（Address）：【__________】法定代表人（LegalRepresentative）：【__________】电话（Tel）：【__________】传真（Fax）：【__________】卖方（TheSeller）：【__________】法定地址（Address）：【__________】法定代表人（LegalRepresentative）：【__________】电话（Tel）：【__________】传真（Fax）：【__________】买卖双方经友好协商，同意按照下列条款签订本合同，并共同遵照执行。TheSellerandtheBuyer,throughfriendlynegotiation,agreetosignthisContractonthefollowingtermsandconditions,andbothPartiesshallabidebyandimplementthisContractjointly.第一条商品名称、规格、数量Article1NameofCommodity,SpecificationsandQuantity（一）商品名称：【__________】（以下简称“合同货物”）。1.1NameofCommodity:【__________】(hereinafterreferredtoasthe"ContractGoods").（二）规格型号：合同货物的具体规格、型号、技术参数、质量标准及外观要求详见本合同附件一《商品规格明细表》。该附件为本合同不可分割的组成部分，与本合同正文具有同等法律效力。1.2SpecificationsandModels:Thedetailedspecifications,models,technicalparameters,qualitystandardsandappearancerequirementsoftheContractGoodsaresetforthinAnnex1"DetailedSpecificationSheet",whichisanintegralpartofthisContractandshallhavethesamelegaleffectasthemaintextofthisContract.（三）数量：合同货物总数量为【__________】（计量单位），允许卖方在【__】%的范围内增减装运数量，增减部分按本合同单价结算。短溢装数量的计算以实际装运数量为准，买方不得因该范围内的数量差异拒收货物或提出索赔。1.3Quantity:ThetotalquantityoftheContractGoodsshallbe【__________】(unitofmeasurement).TheSellerisallowedtodeliverwithmoreorless【__】%attheSeller'soption.Thepricefortheover-shipmentorunder-shipmentshallbesettledaccordingtotheunitpricestipulatedinthisContract.Theactualshippedquantityshallbetakenasthebasisforcalculation.TheBuyershallnotrejectthegoodsorlodgeclaimsduetoquantitydifferenceswithinsuchtolerance.（四）生产国别与制造商：合同货物的生产国为【__________】，制造商为【__________】。卖方保证合同货物为全新、未使用过的正品，采用最新及优良的材料和合乎标准的工艺制造，并在各方面符合本合同规定的规格、质量和性能要求。1.4CountryofOriginandManufacturer:ThecountryoforiginoftheContractGoodsshallbe【__________】,andthemanufacturershallbe【__________】.TheSellerwarrantsthattheContractGoodsarebrandnew,unusedgenuineproducts,manufacturedwiththelatestandfinestmaterialsandstandardworkmanship,andthattheyconforminallrespectstothespecifications,qualityandperformancerequirementsstipulatedinthisContract.第二条单价与总价Article2UnitPriceandTotalValue（一）单价：合同货物单价为【__________】（货币名称，如美元USD）【__________】（大写：【__________】），贸易术语为【FOB/CIF/CFR】【__________】港（按照《2020年国际贸易术语解释通则》/INCOTERMS®2020解释）。该单价已包含货物生产、包装、内陆运输及本贸易术语项下卖方应承担的全部费用。2.1UnitPrice:TheunitpriceoftheContractGoodsshallbe【__________】(currency,e.g.USD)【__________】(inwords:【__________】),onthetermsof【FOB/CIF/CFR】【__________】Port(asperINCOTERMS®2020).Theunitpriceshallincludeallcostsofproduction,packaging,inlandtransportationandallotherexpensestobebornebytheSellerunderthesaidtradeterms.（二）总价：合同货物总价款为【__________】（货币名称）【__________】（大写：【__________】）。该总价为固定价格，除本合同另有约定外，不因原材料价格波动、汇率变动、人工成本变化或其他任何因素而调整。2.2TotalValue:Thetotalcontractpriceshallbe【__________】(currency)【__________】(inwords:【__________】).Thetotalpriceisafixedpriceandshallnotbeadjustedduetofluctuationsinrawmaterialprices,exchangeratechanges,laborcostvariationsoranyotherfactors,unlessotherwisestipulatedinthisContract.（三）价格调整：如因买方要求变更规格、包装或运输方式导致成本变化，双方应另行签订书面补充协议调整价格。未经双方书面确认，任何一方不得单方面变更合同价格。2.3PriceAdjustment:Ifcostchangesresultfromchangesinspecifications,packagingortransportationmethodsrequestedbytheBuyer,bothPartiesshallsignawrittensupplementaryagreementtoadjusttheprice.NeitherPartymayunilaterallychangethecontractpricewithoutwrittenconfirmationbybothParties.第三条包装条件Article3Packing（一）包装方式：合同货物应采用适合远洋运输和长途内陆运输的坚固包装，具备良好的防潮、防震、防锈和防腐蚀性能，适应气候条件的变化。因包装不良或防护措施不当而引起的货物锈蚀、损坏和损失，由卖方承担全部责任和费用。3.1PackingMethod:TheContractGoodsshallbepackedinseaworthyandsturdyexportpackingsuitableforlong-distanceoceantransportationandinlandtransportation,withadequatemoisture-proof,shock-proof,rust-proofandcorrosion-resistantproperties,andsuitableforclimaticchanges.TheSellershallbefullyresponsibleforanyrust,damageandlossattributabletoinadequatepackingorimproperprotectivemeasures.（二）包装规格：每一包装单元的毛重、净重、外形尺寸及内装数量详见本合同附件一。包装上应以不褪色的涂料印刷下列唛头：合同编号、目的港、商品名称、规格、件号、毛重/净重、尺码以及“小心轻放”“防潮”“向上”等适当的装运标志。3.2PackingSpecifications:Thegrossweight,netweight,dimensionsandquantityperpackagearedetailedinAnnex1.EachpackageshallbemarkedwithfadelesspaintshowingtheContractNo.,portofdestination,nameofcommodity,specifications,packagenumber,gross/netweight,measurement,andappropriateshippingmarkssuchas"HANDLEWITHCARE","KEEPDRY","THISSIDEUP".（三）包装费用：包装费用已包含在合同总价中，卖方不得另行收取。包装物（包括集装箱、托盘等）不回收，除非双方另有书面约定。3.3PackingCharges:Packingchargesareincludedinthetotalcontractprice,andtheSellershallnotchargethemseparately.Packingmaterials(includingcontainers,pallets,etc.)shallnotbereturnableunlessotherwiseagreedinwritingbybothParties.第四条装运唛头Article4ShippingMarks卖方应在每件货物外包装上以醒目且不褪色的油漆刷制下列唛头：【__________】。唛头内容应与本合同约定及商业发票、装箱单保持一致。因唛头不清、错误或缺失导致货物错发、延误或无法清关的，由卖方承担责任。TheSellershallconspicuouslystencilthefollowingshippingmarksontheoutersurfaceofeachpackagewithfadelesspaint:【__________】.TheshippingmarksshallbeconsistentwiththestipulationsofthisContract,thecommercialinvoiceandthepackinglist.TheSellershallberesponsibleforanymis-delivery,delayorcustomsclearancefailurecausedbyunclear,incorrectormissingshippingmarks.第五条装运港与目的港Article5PortofLoadingandPortofDestination（一）装运港：合同货物的装运港为【__________】港口。卖方应在装运期内于该港口完成装船。5.1PortofLoading:TheportofloadingfortheContractGoodsshallbe【__________】Port.TheSellershallcompleteloadingatthesaidportwithinthetimeofshipment.（二）目的港：合同货物的目的港为【__________】港口。买方如需变更目的港，应至少在装运期前【__】天以书面形式通知卖方，并承担因此产生的额外费用和风险。5.2PortofDestination:TheportofdestinationfortheContractGoodsshallbe【__________】Port.IftheBuyerrequirestochangetheportofdestination,itshallnotifytheSellerinwritingatleast【__】daysbeforethetimeofshipment,andbearanyadditionalcostsandrisksarisingtherefrom.第六条装运期限Article6TimeofShipment（一）装运时间：卖方应于【__________】年【__】月【__】日或之前完成合同货物的装船并取得已装船提单。分批装运允许/不允许（在允许的情况下，每批装运数量及间隔由双方另行约定）。6.1TimeofShipment:TheSellershallcompletetheloadingoftheContractGoodsonboardthecarryingvesselandobtaintheon-boardBillofLadingonorbefore【__________】.Partialshipmentsareallowed/notallowed(ifallowed,thequantityandintervalofeachpartialshipmentshallbeseparatelyagreedbybothParties).（二）转运：合同货物允许/不允许在【__________】港转运。如允许转运，转运港口应由卖方选择，但卖方应负责安排全程运输并承担转运费用和风险。6.2Transshipment:TransshipmentoftheContractGoodsat【__________】Portisallowed/notallowed.Iftransshipmentisallowed,theportoftransshipmentshallbeselectedbytheSeller,whoshallberesponsibleforarrangingthroughtransportationandbearingtransshipmentcostsandrisks.（三）装运通知：卖方应在货物装船完毕后【__】小时内，以电报/电传/电子邮件方式将合同编号、商品名称、数量、毛重、发票金额、船名、航次、提单号、装船日期及预计到达目的港日期通知买方，以便买方及时办理保险和接货手续。6.3ShippingAdvice:TheSellershall,within【__】hoursafterthecompletionofloading,advisetheBuyerbycable/telex/e-mailoftheContractNo.,nameofcommodity,quantity,grossweight,invoicevalue,nameofcarryingvessel,voyagenumber,B/LNo.,dateofshipmentandexpecteddateofarrivalattheportofdestination,sothattheBuyercanarrangeinsuranceandtakedeliveryofthegoodsintime.第七条保险Article7Insurance（一）按【FOB/CFR】条件成交时：由买方负责投保海洋货物运输险，投保金额为发票金额的110%，投保险别为一切险及战争险。卖方应在货物装船后及时向买方发出装运通知，以便买方投保。7.1On【FOB/CFR】Terms:InsuranceshallbecoveredbytheBuyeragainstoceanmarinecargotransportationrisksfor110%oftheinvoicevalue,coveringAllRisksandWarRisks.TheSellershallpromptlysendshippingadvicetotheBuyerafterloadingsothattheBuyercaneffectinsurance.（二）按【CIF】条件成交时：由卖方负责投保海洋货物运输险，投保金额为发票金额的110%，投保险别为中国保险条款（C.I.C.）一切险及战争险，保险责任范围自货物运离装运港仓库起至目的港买方仓库止。卖方应向买方提供保险单正本一份。7.2On【CIF】Terms:InsuranceshallbecoveredbytheSelleragainstoceanmarinecargotransportationrisksfor110%oftheinvoicevalue,coveringAllRisksandWarRisksasperChinaInsuranceClauses(C.I.C.),withcoveragefromthetimethegoodsleavethewarehouseattheportofloadinguntiltheyreachtheBuyer'swarehouseattheportofdestination.TheSellershallprovidetheBuyerwithoneoriginalinsurancepolicy.第八条付款条件Article8TermsofPayment（一）付款方式：买方应通过信誉良好的银行开立以卖方为受益人的不可撤销即期信用证。信用证应在本合同签订后【__】个银行工作日内开立，并于装运期开始前【__】天送达卖方所在地通知行。信用证的有效期应延至最后装运日后第【__】天，在中国境内到期议付。8.1MethodofPayment:TheBuyershallopenanirrevocablesightLetterofCreditinfavoroftheSellerthroughabankofgoodstanding.TheL/Cshallbeopenedwithin【__】bankingworkingdaysaftersigningthisContractandreachtheadvisingbankattheSeller'slocation【__】daysbeforethecommencementoftheshipmentperiod.TheL/CshallremainvalidfornegotiationinChinauntilthe【__】thdayafterthelatestdateofshipment.（二）信用证条款：信用证金额应与合同总价一致，允许按实际装运数量增减。卖方凭下列单据向议付银行议付货款：（1）全套清洁已装船海运提单；（2）商业发票一式三份；（3）装箱单一式三份；（4）保险单（CIF条件下）；（5）原产地证明书；（6）双方约定的其他单据。8.2L/CTerms:TheamountoftheL/Cshallbeconsistentwiththetotalcontractvalue,allowingformoreorlessaccordingtotheactualshippedquantity.TheSellershallnegotiatethepaymentwiththenegotiatingbankagainstthefollowingdocuments:(1)Fullsetofcleanon-boardoceanBillsofLading;(2)CommercialInvoiceintriplicate;(3)PackingListintriplicate;(4)InsurancePolicy(underCIFterms);(5)CertificateofOrigin;(6)OtherdocumentsagreeduponbybothParties.（三）信用证修改：如信用证条款与本合同约定不符，卖方有权要求买方修改。买方应在收到卖方通知后【__】个工作日内完成修改并通知卖方。因修改信用证产生的费用由责任方承担。8.3L/CAmendment:IfthetermsandconditionsoftheL/CdonotconformtothisContract,theSellershallhavetherighttorequesttheBuyertomakeamendments.TheBuyershallcompletetheamendmentsandnotifytheSellerwithin【__】workingdaysuponreceiptoftheSeller'snotice.CostsarisingfromL/CamendmentsshallbebornebytheresponsibleParty.（四）其他付款方式（备选）：经双方协商一致，亦可采用付款交单（D/P）、承兑交单（D/A）或电汇（T/T）等方式付款，具体条款由双方另行签订补充协议约定。采用托收方式时，卖方应通过银行以托收方式向买方提示汇票和单据，买方应在汇票提示时承兑或付款赎单。8.4AlternativePaymentMethods:Uponmutualagreement,paymentmayalsobemadebyDocumentsagainstPayment(D/P),DocumentsagainstAcceptance(D/A),orTelegraphicTransfer(T/T),withspecifictermstobestipulatedinasupplementaryagreement.Whencollectionisused,theSellershallpresentthedraftanddocumentstotheBuyerthroughthebankforcollection,andtheBuyershallacceptorpayagainstdocumentsuponpresentationofthedraft.第九条单据条款Article9Documents（一）卖方应提交下列单据，份数及内容应符合信用证或本合同的要求：9.1TheSellershallsubmitthefollowingdocuments,withthenumberofcopiesandcontentsconformingtotherequirementsoftheL/CorthisContract:1.商业发票：注明合同编号、信用证编号、商品名称、规格、数量、单价、总价及贸易术语，由卖方签章。(1)CommercialInvoice:IndicatingContractNo.,L/CNo.,nameofcommodity,specifications,quantity,unitprice,totalvalueandtradeterms,signedandstampedbytheSeller.2.装箱单/重量单：逐件列明每件包装的毛重、净重、尺码及内装数量，由卖方签章。(2)PackingList/WeightList:Itemizingthegrossweight,netweight,dimensionsandquantityperpackage,signedandstampedbytheSeller.3.海运提单：全套清洁已装船提单，做成“凭指示”（ToOrder）并空白背书，注明运费到付（FOB/CFR）或运费已付（CIF），通知方为【__________】。(3)OceanBillofLading:Fullsetofcleanon-boardB/Lmadeout"toorder"andblankendorsed,marked"FreightCollect"(FOB/CFR)or"FreightPrepaid"(CIF),withnotifyingpartyas【__________】.4.保险单：CIF条件下，按本合同第七条规定的险别和金额出具。(4)InsurancePolicy:UnderCIFterms,issuedfortherisksandamountstipulatedinArticle7ofthisContract.5.原产地证明书：由【__________】（商检机构/商会）签发，证明货物的原产地。(5)CertificateofOrigin:Issuedby【__________】(commodityinspectionauthority/chamberofcommerce),certifyingthecountryoforiginofthegoods.6.品质检验证书：由【__________】出具的品质、数量/重量检验证书，证明货物符合合同规定。(6)InspectionCertificate:Qualityandquantity/weightinspectioncertificateissuedby【__________】,certifyingthatthegoodsconformtotheContractrequirements.（二）卖方应在货物装船后【__】天内，将上述单据的副本一份（或全部）以航空邮寄方式直接寄交买方或目的港代理人，以便买方及时办理报关和提货手续。9.2TheSellershall,within【__】daysaftershipment,mailonecopy(orallcopies)oftheabovedocumentsbyairmaildirectlytotheBuyeroritsagentattheportofdestination,sothattheBuyercanhandlecustomsdeclarationandtakedeliveryofthegoodsintime.第十条装运与交货条款Article10ShipmentandDelivery（一）交货方式：卖方负责在装运港将货物装上买方指定的船只（FOB条件下）或负责安排运输至目的港（CIF/CFR条件下）。货物风险自货物在装运港越过船舷（或装上船）时由卖方转移至买方。10.1DeliveryMethod:TheSellershallberesponsibleforloadingthegoodsonboardthevesseldesignatedbytheBuyer(underFOBterms)orarrangingtransportationtotheportofdestination(underCIF/CFRterms).TheriskofthegoodsshallpassfromtheSellertotheBuyerwhenthegoodspasstheship'srail(orareloadedonboard)attheportofloading.（二）FOB条件下买方派船：买方应按本合同规定的装运期安排船只按期到达装运港，并在船只预计到达前【__】天将船名、预计受载日期、合同编号等事项通知卖方。如买方未能按期派船，卖方有权代为租船订舱，由此产生的滞期费、仓租费及其他额外费用由买方承担。10.2VesselDesignationbyBuyerunderFOBTerms:TheBuyershalldesignatethevesseltoarriveattheportofloadingonscheduleaccordingtotheshipmentperiodstipulatedinthisContract,andnotifytheSellerofthevesselname,expectedloadingdate,ContractNo.,etc.【__】daysbeforethevessel'sexpectedarrival.IftheBuyerfailstodispatchthevesselonschedule,theSellershallhavetherighttocharterspaceonbehalfoftheBuyer,andanyresultingdemurrage,storagechargesandotheradditionalexpensesshallbebornebytheBuyer.（三）装卸时间与滞期费：按租船合同规定执行。如卖方在约定的装卸时间内未能完成装卸作业，应按租船合同规定向船方支付滞期费；如提前完成，则可获得速遣费。10.3LaytimeandDemurrage:Executionshallbeinaccordancewiththecharterparty.IftheSellerfailstocompleteloading/unloadingwithintheagreedlaytime,itshallpaydemurragetothecarrierasstipulatedinthecharterparty;ifcompletedearlier,dispatchmoneyshallbereceived.第十一条质量保证Article11QualityGuarantee（一）质量标准：合同货物的质量、规格、性能应符合本合同附件一规定的技术标准和质量要求。卖方保证货物为全新、未使用过的正品，在正确安装、正常使用和维护条件下，自货物到达目的港之日起【__】个月内不存在设计、材料和制造工艺上的缺陷。11.1QualityStandards:Thequality,specificationsandperformanceoftheContractGoodsshallconformtothetechnicalstandardsandqualityrequirementsstipulatedinAnnex1.TheSellerwarrantsthatthegoodsarebrandnew,unusedgenuineproducts,andthatunderproperinstallation,normaluseandmaintenanceconditions,thereshallbenodefectsindesign,materialsorworkmanshipwithin【__】monthsfromthedateofarrivalattheportofdestination.（二）质保责任：在质保期内，如发现货物存在上述缺陷，卖方应在收到买方通知后【__】天内免费修理或更换有缺陷的部件或整件货物。由此产生的运费、保险费、检验费及其他相关费用由卖方承担。因买方操作不当、保管不善或非正常使用导致的损坏，卖方不承担质保责任。11.2WarrantyLiability:Duringthewarrantyperiod,ifanydefectsasmentionedabovearefound,theSellershall,within【__】daysafterreceiptoftheBuyer'snotice,repairorreplacethedefectivepartsortheentiregoodsfreeofcharge.Allresultingshippingcosts,insurancepremiums,inspectionfeesandotherrelatedexpensesshallbebornebytheSeller.TheSellershallnotbeliablefordamagecausedbytheBuyer'simproperoperation,negligentstorageorabnormaluse.（三）技术资料与售后服务：卖方应随货物提供产品说明书、安装手册、操作指南及维修保养手册（如适用）。质保期内卖方应提供必要的技术支持和售后服务。11.3TechnicalDocumentationandAfter-salesService:TheSellershallprovideproductspecifications,installationmanuals,operationguidesandmaintenancemanualsalongwiththegoods(asapplicable).Duringthewarrantyperiod,theSellershallprovidenecessarytechnicalsupportandafter-salesservice.第十二条检验条款Article12Inspection（一）装船前检验：卖方应在货物装运前委托【__________】（检验机构）对货物的品质、规格、数量/重量、包装进行检验，并出具检验证书。该检验证书作为卖方向银行议付货款的单据之一，但不作为货物品质、数量和重量的最终依据。12.1Pre-shipmentInspection:TheSellershall,beforeshipment,entrust【__________】(inspectionauthority)toinspectthequality,specifications,quantity/weightandpackingofthegoods,andissueaninspectioncertificate.ThiscertificateshallbeoneofthedocumentsfortheSellertonegotiatepaymentwiththebank,butshallnotbetakenasthefinalbasisforthequality,quantityandweightofthegoods.（二）到岸复验：货物到达目的港后【__】天内，买方有权委托【__________】（检验机构）对货物的品质、规格、数量/重量进行复验。如发现货物品质、规格或数量与本合同规定不符，除属于保险公司或船方责任的以外，买方有权凭该检验机构出具的检验证书向卖方索赔。12.2Re-inspectionatDestination:Within【__】daysafterthegoodsarriveattheportofdestination,theBuyershallhavetherighttoentrust【__________】(inspectionauthority)tore-inspectthequality,specificationsandquantity/weightofthegoods.Ifthequality,specificationsorquantityarefoundnotinconformitywiththisContract,theBuyershallhavetherighttolodgeclaimsagainsttheSellerbasedontheinspectioncertificateissuedbythesaidauthority,except
