2025年工业无人驾驶系统协议PartiesThisAgreementismadeandenteredintoon[Date]byandbetween[SupplierName],acompanyorganizedandexistingunderthelawsof[SupplierJurisdiction]withitsprincipalplaceofbusinessat[SupplierAddress]("Supplier"),and[CustomerName],acompanyorganizedandexistingunderthelawsof[CustomerJurisdiction]withitsprincipalplaceofbusinessat[CustomerAddress]("Customer").DefinitionsandInterpretations1."IndustrialUnmannedDrivingSystem"(the"System")referstothehardware,software,algorithms,andrelatedtechnologiesprovidedbySupplierforthepurposeofautonomousnavigationandoperationinindustrialenvironments,asfurtherdescribedinExhibitAattachedhereto.2."ServiceLevelAgreement(SLA)"referstothespecificperformancestandardsandmetricsagreeduponbythePartiesregardingtheavailability,reliability,andperformanceoftheSystem.3."ServiceProvider"referstoSupplier,oritsdesignatedagentsorsubprocessors,responsibleforprovidingservicesunderthisAgreement.4."Fault"referstoanymalfunction,failure,orerrorintheSystemthatpreventsitfromoperatingasintended.5."Maintenance"referstoactivitiesperformedbytheServiceProvidertoensuretheproperfunctioningoftheSystem,includingsoftwareupdates,hardwarerepairs,andsystemtuning.6."Upgrade"referstotheprocessofenhancingtheSystem'scapabilitiesorperformancebyaddingnewfeatures,functions,orhardwarecomponents.7."Data"referstoanyinformation,whetherstructuredorunstructured,collected,generated,orprocessedbytheSystem,includingbutnotlimitedtooperationaldata,sensordata,anduserdata.8."NetworkSecurity"referstothemeasurestakentoprotecttheSystemanditsdatafromunauthorizedaccess,use,disclosure,disruption,modification,ordestruction.9."EffectiveDate"referstothedateonwhichthisAgreementbecomeslegallybindingontheParties.10."ExhibitA"referstotheattacheddocumentdetailingthespecificationsandfunctionalitiesoftheIndustrialUnmannedDrivingSystem.ScopeofWork1.SuppliershallprovidetheIndustrialUnmannedDrivingSystem,including但不限于thefollowingcomponents:[Listofhardwarecomponents],[Listofsoftwarecomponents],and[Listoftechnicaldocumentation],asdescribedinExhibitA.2.TheSystemshallbecapableofautonomousnavigationandoperationwithinthedesignatedindustrialenvironmentspecifiedbyCustomer,complyingwithallapplicablesafetystandardsandregulations.3.SuppliershalldeploytheSystemattheCustomer'ssitelocatedat[CustomerSiteAddress]andintegrateitwithCustomer'sexistingindustrialinfrastructureinaccordancewiththeintegrationplanmutuallyagreeduponbytheParties.4.Suppliershallprovidecomprehensivetechnicaldocumentation,includingsystemmanuals,operationguides,maintenanceprocedures,andtrainingmaterials,toenableCustomertoeffectivelyoperate,maintain,andmanagetheSystem.5.Suppliershallprovide[Number]hoursoftrainingtoCustomer'sdesignatedpersonnelontheoperationandmaintenanceoftheSystem.TermandTermination1.ThisAgreementshallcommenceontheEffectiveDateandcontinueforatermof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement("Term").2.ThisAgreementmaybeterminatedbyeitherPartyupon[Number]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysofreceivingwrittennoticeofthebreach.3.UponterminationorexpirationofthisAgreement,CustomershallpromptlyceaseusingtheSystemandreturnallhardwareandsoftwarecomponentstoSupplier,exceptforthesoftwarethatispermanentlyintegratedintoCustomer'sexistingsystemsandagreeduponinwritingbySupplier.4.AllrightsandobligationsofthePartiesunderthisAgreementshallsurviveterminationorexpirationofthisAgreement,including,butnotlimitedto,confidentiality,indemnification,andwarrantyobligations.PaymentTerms1.ThetotalpricefortheIndustrialUnmannedDrivingSystemprovidedunderthisAgreementis[Amount](the"PurchasePrice").2.ThePurchasePriceshallbepaidbyCustomertoSupplierin[Number]installments,withthefirstinstallmentof[Amount]dueuponsigningthisAgreement,andtheremaininginstallmentsof[Amount]eachdueon[Dates].3.Paymentshallbemadebycheckorwiretransfertothefollowingaddress:[SupplierBankAddress].4.SuppliershallissueaninvoicetoCustomerwithin[Number]daysafterthereceiptofeachpayment.5.Allpaymentsshallbemadeinthecurrencyof[Currency].WarrantiesandGuarantees1.SupplierwarrantsthattheSystemshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number]monthsfromthedateofdelivery(the"WarrantyPeriod").2.Supplier'sliabilityunderthisAgreementshallbelimitedtotherepairorreplacementofanydefectivepartsoftheSystemdiscoveredduringtheWarrantyPeriod.3.Suppliermakesnowarrantiesorguarantees,expressorimplied,regardingtheSystem'sperformance,including,butnotlimitedto,anywarrantiesofmerchantability,fitnessforaparticularpurpose,ornon-infringement.ServiceLevelAgreements(SLAs)1.SuppliershallprovidethefollowingservicestoCustomerundertheSLA:a.24/7systemmonitoringandfaultresponse.b.Supportforsystemoperationandmaintenance.c.Softwareupdatesandsystemupgrades.2.TheSLAspecifiesthefollowingperformancemetrics:a.Faultresponsetime:Within[Number]minutesofnotification.b.Faultresolutiontime:Within[Number]hoursforminorfaults,within[Number]hoursformajorfaults.c.Systemavailability:Atleast[Percentage]%peryear.3.IncaseofSupplier'sfailuretomeettheSLAmetrics,Suppliershall[Describeconsequences,e.g.,providecredittowardsfutureservices,extendthewarrantyperiod].IntellectualPropertyRights1.AllintellectualpropertyrightsintheSystem,includingbutnotlimitedtocopyrights,patents,andtrademarks,shallremaintheexclusivepropertyofSupplier.2.Customershallhaveanon-exclusive,royalty-freelicensetousetheSystemsolelyforthepurposesofthisAgreement.3.Customershallnotmodify,reverseengineer,decompile,orcreatederivativeworksoftheSystemwithoutthepriorwrittenconsentofSupplier.DataPrivacyandSecurity1.SuppliershallcollectandprocessonlytheDatanecessaryfortheoperationandimprovementoftheSystem.2.SuppliershallusetheDatasolelyforthepurposesagreeduponwithCustomerandshallnotdiscloseittoanythirdpartywithoutCustomer'spriorwrittenconsent,exceptasrequiredbylaw.3.SuppliershallimplementappropriateNetworkSecuritymeasurestoprotecttheSystemanditsDatafromunauthorizedaccess,use,disclosure,disruption,modification,ordestruction.4.UponterminationorexpirationofthisAgreement,SuppliershallsecurelydeleteorreturnallDatacollectedbytheSystemtoCustomer,asdirectedbyCustomer.LiabilityandIndemnification1.SuppliershallbeliabletoCustomeronlyfordirectdamagesresultingfromitsbreachofthisAgreement.2.SuppliershallindemnifyandholdharmlessCustomerfromandagainstanyclaims,losses,damages,andexpensesarisingoutoforinconnectionwithSupplier'sbreachofthisAgreement.3.CustomershallindemnifyandholdharmlessSupplierfromandagainstanyclaims,losses,damages,andexpensesarisingoutoforinconnectionwithCustomer'smisuseoftheSystemoritsviolationofapplicablelawsandregulations.Confidentiality1.EachPartyshallholdtheotherParty'sConfidentialInformationinstrictconfidenceandnotdiscloseittoanythirdpartywithouttheotherParty'spriorwrittenconsent.2."ConfidentialInformation"includesanytechnical,commercial,financial,orotherinformationdisclosedbyaPartytotheotherPartyinconnectionwiththisAgreement.3.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number]years.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]withoutregardtoitsconflictoflawsprinciples.2.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution]in[City,State].3.Thearbitrationshallbeconductedin[Language]andshallbeheldin[City,State].4.ThePartiesagreetosubmittothejurisdictionofthearbitrationcourtandt
