(hereafter as “party a”) agrees to appoint rmjm hong kong limited (hereafter as “party b”) in providing master layout plan and architectural design for the qingdao vanke” jinyu residential & retail project” (hereafter referred to as “the project”).當地設計院（以下稱作丙方）將由業主（甲方）另行聘請，並另立合同。the local design institute (hereafter referred to as party c) should be separately appointed by the client (party a) under separate contract.1.0 項目資料project data1.1 項目名稱：青島萬科【金域華府】項目。project name：qingdao vanke “jinyu residential & retail project”1.2 項目位置：中國青島市。project location：qingdao, china1.3 總用地面積：77,000平方米m2total site area1.4 淨用地面積：68,153平方米m2net site area1.5 容積率： 2.89plot ratio1.6 建築密度： 21.2%site coverage1.7 綠地率： 36%green ratio1.8 建築高度：100米(m)building height2.0 設計依據basis of design2.1 中國人民共和國及有關當局地塊勘察和設計要求。peoples republic of china and related local government site investigation and design requirements.2.2 甲方於二零零九年四月三十日提供的規劃設計任務書（見於附件一）。mlp design brief provided by party a on 30th april, 2009 (see appendix 1).3.0 乙方之服務概述general description of services for party b3.1 提供設計服務范圍包括： provide the scope of the design service comprising: 總體規劃設計。master layout plan design. 建築方案設計。architectural schematic design. 建築初步設計。architectural extended preliminary design. 建築外立面施工圖大樣意向設計。architectural elevation construction drawings detail design intent. 審查由丙方提供的建築外立面施工圖紙。review of architectural elevation construction drawings produced by party c. 在建築施工期間提供有限度顧問服務。limited construction stage support services.3.2 在總體規劃設計及建築方案設計期間，乙方為項目主要顧問。乙方亦按美學、體塊、進度及規劃之要求進行設計，擔任項目主要設計師之角色。乙方將在擴初至施工圖階段，評審丙方的圖紙，並根據需要，到工地視察，以確保建築符合原來設計理念。party b shall be lead consultant during the master layout plan and architectural schematic design stages. party b shall be lead designer with respect to all aesthetic, massing, programmatic and planning requirements. party b will review party cs drawings throughout the preliminary design and construction documentation stages as well as visit the construction site as necessary to ensure adherence to the original design intent.3.3 在所有設計階段，乙方須協助甲方確保項目不超出已定成本範圍。party b, at all stages shall aid party a in verifying that the approved budget is not exceeded.3.4 乙方須對現場材料樣板及做法進行定板定樣，且定期到工地查核工程質量及審核建築材料樣板。party b shall confirm the on-site material sample and the method and shall undertake periodic site visits to verify quality of the works. party b should advise party a in terms of material sample approval.3.5 對於立面幕牆、建築入口雨蓬及鋼構架等安裝圖的審核。review shop drawings for the curtain wall, building entrance canopy and steel structure.4.0 設計工作範圍scope of design work4.1 總體規劃設計階段及成果master layout plan design stage & deliverables乙方應收集和查閱有關項目的基本資料，對現場及周邊環境作實地考察，熟悉現場及周邊情況，瞭解項目用地特色，並與甲方開會進行充分溝通，協商以確定整個項目的發展方向。party b should collect and review project background information and survey onsite conditions and its surrounding areas. party b is to become familiar with the site and surrounding conditions, understand the sites special characteristics, communicate thoroughly with party a, and assist in determining the projects development directives. 4.1.1概念總體規劃設計階段：乙方將以電腦演示及多方案構思草圖的方式向甲方進行前期規劃設計彙報，雙方就乙方提供的草案進行交流和討論，內容包括：conceptual master layout plan design stage: conceptual master layout plan presentation will include a powerpoint presentation and several schemes that party b will present the schemes to party a. both parties to discuss the schemes provided by party b. discussion include:(a) 提供多個3個總體概念性規劃方案，供甲方研究選擇。提供所有能表達設計意念之草圖、圖紙。provide 3 conceptual master layout plans for party as selection. provide all sketches and drawings that will convey the design intent.(b) 各個規劃方案的規劃分析圖。planning analysis for all planning schemes.(c) 每一個概念方案提供一個1：2000工作模型 / 體塊模型)。one 1:2000 working model / massing model per conceptual scheme.(d) 主要功能分區及各種建築產品分佈圖。zoning for key functional areas and all architectural types disposition diagram.(e) 分期開發示意圖。phasing diagram.(f) sketchup透視圖。perspectives views by sketchup.(g) sketchup總體鳥瞰圖。aerial view perspective by sketchup.(h) 基地的主要剖面圖。sections of the site.(i) 各種建築產品類型的概念圖片。conceptual photos of all types of architectural products. (j) 其他表達設計意圖的示意圖片若干。other pertinent diagrams that convey the design intent. 4.1.2總體規劃設計成果階段：通過彙報與甲方進行充分的溝通與交流，乙方對前期規劃草案，根據甲方要求進行修改與完善，並經甲方書面確認，形成正式的前期規劃方案，製作並提交如下最終規劃設計的設計成果：master layout plan design deliverable stage: thoroughly communicate and discuss the design with party a through presentations. party b is to revise and refine the conceptual planning scheme as per party as requests. revisions are to be confirmed by party a in writing. conceptual planning schemes are to be revised into a final mlp scheme, produced into the following final conceptual planning design deliverables:(a) 總體規劃平面圖。master layout plan.(b) 規劃分析圖（例如景觀、交通、綠化、間距、日照、消防、功能等）。master layout analysis plan (including landscape, traffic, green area, separation, sun shading, eva, functional disposition, etc.).(c) 分期開發示意圖。phasing diagram.(d) 基地剖面圖。site sections.(e) 環境、綠化的概念性設計草案。conceptual landscape ideas and sketches.(f) 工作模型(1：2000)。working model (1：2000).(g) 建築單體標準層概念平面圖。conceptual typical floor plans.(h) 總規方案區內主要視點的電腦透視圖（a3規格）。computer generated perspectives of the key visual points within the master plan (a3 format).(i) 經濟技術指標。project development schedule.(j) 相關設計說明。relevant design descriptions.注note：在總體規劃設計期間，由甲方分開聘任的當地設計院（丙方）須提供服務如下：the local design institute (party c), which will be separately appointed by party a, shall undertake the following services during the master layout plan design stage: 按政府審批程式的規定向甲方要求所有開展項目所必需的文件。obtaining all the necessary project initiation documents from party a according to the requirement stipulated by the local government. 就所有建築法規及物業條例，向甲方及項目團隊提供建議。advise party a and project team of all statutory regulations in relation with the building and property restrictions. 就政府提出的規劃條件向甲方及設計團隊提供建議。advise party a and project team on the planning conditions provided by the local planning department. 協助工料測量師，為甲方提出的設計要求提供造價估算。collaborate with the q.s. and advise party a of the cost implications of party as requirements.4.2 建築方案設計階段architectural schematic design stage 4.2.1按甲方確認的規劃設計進行方案設計工作，並提供一切所需圖紙、模型、效果圖、設計文本、描述方案設計的空間佈置、選料及外觀設計意圖。based on the approved master layout plan design to further develop the scheme to provide all necessary drawings, models, perspectives and brochures sufficient enough to indicate the spatial arrangements, materials and appearance of the design intent.4.2.2協助甲方獲得建築方案政府審批通過。assist party a in obtaining the government approval of the schematic design.4.2.3與甲方另聘之設計顧問單位作設計協調。assist party a to coordinate the design with other disciplines who are employed directly by party a.4.2.4如有需要，出席有關政府部門要求的設計報批會議，並按有關政府部門之要求修改設計。attend liaison/design approval meetings/conferences with government authorities as necessary and revise design to incorporate requirements stipulated by government authorities.4.2.5此階段的設計成果須符合政府方案審批之標準，並提交以下文件：deliverables at this stage shall be at a level of details sufficient for submission to the government authorities. architectural deliverables diagrams經濟技術指標development data所有地下室平面圖all basement floor plans1:200所有裙樓平面圖all podium floor plans1:200塔樓標準層平面圖typical tower floor plans1:200所有外部立面圖all exterior elevations1:200主要建築剖面圖major building sections1:500透視效果圖perspective renderings（包括日、夜效果）(including day & night views)意境板/圖像mood boards/ images實體模型physical model1:500注note：在建築方案設計階段，由甲方自行委任的當地設計院（丙方）或其他專業顧問單位來提供下列服務：the local design institute (party c), which will be appointed separately by party a, shall undertake the following services during the architectural schematic design stage: 進行機電及結構設計。carry out structure and m&e design. 如有需要，出席跟政府部門進行的設計聯繫會議，並按政府部門有關規定及要求協助乙方修改設計。attend design liaison/approval meetings/conferences with government authorities as necessary and assist party b to revise design to incorporate requirements stipulated by government authorities. 就所有建築法規及物業條例、 規劃條件以及控規要求等，向甲方及項目團隊提供建議。advise party a and project team of all statutory regulations in relation with the building and property restrictions. 進行人防設計，或由甲方另外聘請的人防設計單位完成。carry out civic defense shelter design. or party a to employ another design institute separately to carry out the civic defense shelter design. 進行初步建築節能計算，協助乙方研究大樓外立面設計及選材。preliminary energy saving calculation, assisting party b to study building elevation and carry out material selection. 審核乙方完成的建築面積計算、消防逃生距離之計算等。review and approve the area calculation, fire escape distance calculation that has been done by party b. 審核乙方已完成的方案圖紙，並向甲方及乙方提供任何能幫助通過政府審批的意見。review and approve the schematic drawings that party b has completed. advise party a and b on any issues might fail the government approval. 給圖紙蓋章、簽字，並協助甲方進行方案報批。provide the statutory stamping and signing to the drawings and assist party a to do the schematic government submission.4.3 建築初步設計階段architectural extended preliminary design stage4.3.1根據政府批准之方案設計，進行初步設計並完成所有設計圖紙及提供所用的材料、外立面及主要設計元素的詳細資料及說明。based on the approved architectural schematic design, continue to develop and complete all necessary design drawings, outline specification, required to indicate the detailed character of the exterior envelope and major design elements.。4.3.2與甲方另聘之設計顧問單位作設計協調。assist party a to coordinate the design with other disciplines who are employed directly by party a.此階段應提交以下文件：architectural deliverables for this stage shall be:建築設計說明architectural narrative總平面圖master layout plan1:500經濟技術指標development data所有地下室平面圖all basement floor plans1:100所有裙樓平面圖all podium floor plans1:100所有塔樓平面圖all tower floor plans1:100所有外部立面圖all exterior elevations1:200主要大樓剖面圖major building sections1:2004.3.3提供建築設計說明、圖紙及門窗表。furnish design descriptions, drawings of major design elements and window / door schedule.4.3.4向甲方另聘之結構、機電等其他專業提供建築初步設計圖，供其進行相關初步設計。provide architectural epd drawings to other disciplines for them to carry out their respective part of epd design.4.3.5向甲方提供立面材料方案，並協助工料測量師作出概算以供甲方審核。propose finishing materials and assist quantity surveyor to produce cost estimates for the party as endorsement.4.3.6丙方每次提出的結構、機電專業配合涉及乙方時，乙方應予以配合、解決並落實。if party c has any structure and m&e discipline issues which requires party b actions, party b shall coordinate, solve and implement.4.3.7乙方在此設計階段因自身方案原因或甲方、政府的原因對建築初步設計進行修改時，應及時告之丙方，以免造成丙方返工和各專業之間設計不一致。during this stage, if party b amends the architectural preliminary design for refinement of its scheme or due to party a or governmental reasons, party b shall notify party c immediately to avoid abortive work by party c and to ensure consistency of design among disciplines.注note：在建築初步設計階段期間，由甲方自行委任的當地設計院（丙方）或其他專業設計顧問單位來提供下列服務：the local design institute (party c), which will be separately appointed by party a, shall undertake the following services during the architectural extended preliminary design stage: 按已批的建築方案設計，在得到甲方的確認後，發展結構及機電初步的設計。準備相關設計的初步設計圖紙、初步材料技術要求、模型及文件，詳細描述空間佈置，選材及外觀。與乙方跟進，確保完成整個設計發展項目。based on the approved architectural schematic design, and after confirmation from party a, expand the architectural, structural and building services preliminary design. prepare all necessary coordinated design development drawings, specifications, models and documents relating to the scope of work to provide sufficient indication to the spatial arrangements, materials and appearance. liaise with party b to ensure a full and complete epd/design development package. 按報批要求整合乙方的建築設計圖紙，並完成所有供政府有關部門報批的圖紙及文本。complete all necessary drawings and brochures required for submission to appropriate government authorities for approval. 如有需要及應甲方要求，方可提供及證明實用率的詳細計算，包括但不限於實用面積、可售面積及總建築面積provide and certify, as and when required by party a, schedule(s) detailing the calculation of efficiency and of the areas which include but not limited to the usable floor area, saleable area and gross floor area. 與其他設計顧問單位及乙方充分合作。coordinate with other design consultants and party bs work for the epd. 人防設計。civic defense shelter design. 節能設計及建築耗能計算。preliminary energy cost calculation.4.4 建築外立面施工圖大樣意向設計階段architectural elevation construction drawings detail design intent stage 4.4.1提供牆身大樣構造及做法。provide wall construction detail.4.4.2提供1：100外牆顏色分塊及色彩搭配的工作模型。provide 1：100 curtain wall color zoning and color scheme working model.4.4.3主要節點設計說明及技術要求，建築總說明。major details design specification and technical requirement, architectural general specification.4.4.4在丙方準備建築、結構、機電等施工圖期間給予配合。provide assistance to party c during the course of their preparation of architectural, structural and e&m construction drawings.4.4.5提供外墻門窗節點大樣及分格樣式。provide external door and window detail.4.4.6提供陽臺、欄杆、入口雨篷、屋頂構件、構架大樣，入口大堂大樣等與外立面效果相關的節點大樣圖。provide terrace, handrail, entry canopy, roof component, entrance lobby detail and faade related detail drawings.注note：在施工圖設計階段期間，由甲方自行委任的當地設計院（丙方）須提供下列服務：the local design institute (party c), which will be separately appointed by party a, shall undertake the following services during the construction drawings stage: 按已批的初步設計，在得到甲方的確認後，發展建築、結構及機電施工圖設計。準備一切所需的設計發展協調圖紙、專業說明書及文件等，並詳細描述空間佈置，選材及外觀。與乙方跟進，以確保整個設計發展項目得以順利完成。based on the approved architectural extended preliminary design, and after confirmation from party a, expand the architectural, structural and building services construction drawings design. prepare all necessary coordinated design development drawings, specifications, models and documents relating to the scope of work to provide sufficient indication to the spatial arrangements, materials and appearance. liaise with party b to ensure a full and complete epd/design development package. 完成所有供政府有關部門報批的圖紙及設計文本。complete all necessary drawings and brochures required for submission to appropriate government authorities for approval. 為現場樣板房安裝進行設計協調及提供施工要求。coordinate design and construction requirements for the implementation of facade mockup. 與乙方充分合作。fully co-operate with party b. 人防設計。civic defense shelter design. 初步能源造價計算。preliminary energy cost calculation.4.5 建築外立面施工圖設計審核階段architectural elevation construction drawings review stage 4.5.1當地設計院（丙方）進行施工圖設計期間，乙方進行兩次審核，分別在50%及90%的階段。目的是確保乙方的設計意圖在施工圖中得到體現。during ldis construction drawings design stage, party b review twice (2) at 50% and 90% stage respectively to ensure embodiment of design intent of party b in the construction drawings.4.5.2按甲方要求，在文件報審階段，出席協調會議，確保工程符合原來設計理念。attend coordination meeting as requested by party a to ensure compliance with design intent, attend design coordination 1 no. of meeting throughout the documentation stage.4.5.3協助甲方評審有關招標、招標分析，並就乙方所負責之工程與投標人進行會議等工作。assist party a with tender evaluation, tender analysis, meetings with tenderers in relation to the scope of work that party b is responsible for.4.5.4確認簡要專業說明。finalize outline specification.注note：在施工文件準備階段期間，由甲方自行委任的當地設計院（丙方）須提供下列服務：the local design institute (party c), which will be separately appointed by party a, shall undertake the following services during the construction documentation stage: 為主要顧問，負責聯絡、咨詢及與其他顧問，政府部門及公共事業公司合作，準備所有符合招標及工程要求的工程圖紙及規格書。如設計有任何變更，須知會甲方，並須得到其批核。to be the lead consultant to liaise, consult and collaborate with all other consultants, government authorities and utility companies in the preparation of full set of working drawings and specifications of sufficient details suitable for tendering and construction. in case of design changes, party a must be notified and approval obtained. 當甲方要求，並按其要求提供及證明實用率的詳細計算，包括但不限於實用面積、可售面積及總建築面積provide and certify, as and when required by
