方：_签订日期：_年_月_日ThisagreementisenteredintothisDay,Month&YearbyandbetweenNameandCompleteAddressofSponsorhereinafterreferredtoasSponsorandKansasStateUniversity,2FairchildHall,Manhattan,KS,66506-1103hereinafterreferredtoastheUniversity?WorkwillbeperformedatKansasStateUniversityintheDepartmentofDeptNameWhereas,theprojectcontemplatedbythisAgreementisofmutualinterestandbenefittoUniversityandtoSponsorandwillfurtherinstructionalandresearchprojectobjectivesofUniversityinamannerconsistentwithitsstatusasanon-profit,tax-exempteducationalinstitutionNow,therefore,thepartiesheretoagreeasfollows:1STATEMENTOFWORK?TheUniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinAppendixAhereof2PRINCIPALINVESTIGATOR/PROJECTDIRECTOR?TheprojectwillbedirectedbyPI/PDName?If,foranyreason,sheisunabletocontinuetoserveasprincipalinvestigator/projectdirectorandamutuallyacceptablesuccessorisnotavailable,Universityand/orSponsorshallhavetheoptiontoterminatesaidprograminaccordancewithClause15-TERMINATION3PERIODOFPERFORMANCE?TheprojectshallbeconductedduringtheperiodofStartDateandEndDateandwillbesubjecttorenewalonlybymutualagreementoftheparties4PROJECTCOSTSANDPAYMENT?Inconsiderationoftheforegoing,SponsorwillpayUniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccountingPaymentshallnotexceedthetotalestimatedcostofEnterAmount?Sponsorshallmakepaymentwithinthirty30daysofthereceiptofaninvoicefromUniversityorshallpay$uponthefullexecutionofthisagreementand$onoraboutdate5REPORTS?BriefprogressreportsoftheprojectwillbemadeperiodicallybyUniversitytoSponsorandafinalreportwillberenderedoncompletionoftheproject?DuringthetermofthisAgreement,representativesofUniversitywillconsultand/ormeetwithrepresentativesofSponsortodiscussprogressandresults,aswellasongoingplansoftheprojectandUniversitywillprovideprojectinformationtoSponsorasreasonablyrequested6FACILITIES?TheUniversitywillprovidetheutilitiesandoffice,laboratoryandfieldspaceneededfortheproject7PROPERTY?AllequipmentdetailedintheprojectbudgetandpurchasedfromthisfundshallbethepropertyoftheUniversity8PUBLICITY?SponsorwillnotusethenameofUniversity,norofanymemberofUniversitysprojectstaff,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofanauthorizedrepresentativeofUniversity?UniversitywillnotusethenameofSponsor,noranyemployeeofSponsor,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofSponsor9INSURANCE?Universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyUniversity?TheUniversityhasnoliabilityinsurancepolicyassuchthatcanextendprotectiontoanyotherperson10BACKGROUNDINTELLECTUALPROPERTY?BackgroundIntellectualPropertymeanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisAgreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembodyingproprietarydatasuchastechnicaldataandcomputersoftwareBothpartiesagreetoprovidetheBackgroundIntellectualPropertynecessarytocompletetheobjectivesoftheproject?BothpartiesshallretainallrightstotheirrespectiveBackgroundIntellectualPropertyprovidedforthispurpose?NeitherpartyshallassumeanyrightsintheotherpartysBackgroundIntellectualPropertyprovidedforthisprojectotherthantherighttousesaidBackgroundIntellectualPropertytoachievetheobjectivesofthisproject11PROJECTINTELLECTUALPROPERTY?ProjectIntellectualPropertymeansthelegalrightsrelatingtoinventionsincludingSubjectInventionsasdefinedin37CFR401,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingcomputersoftware,firstmadeorgeneratedduringtheperformanceofthisAgreementOwnershipofProjectIntellectualPropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursuedreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense?JointlymadeorgeneratedProjectIntellectualPropertyshallbejointlyownedbythePartiesunlessotherwiseagreedinwritingThePartiesagreetodisclosetoeachother,inwriting,eachandeveryInventionwhichmaybepatentableorotherwiseprotectableundertheUnitedStatesPatentlawsinTitle35,UnitedStatesCodeThePartiesacknowledgethattheywilldiscloseInventionstoeachotherandtheawardingagencywithintwo2monthsaftertheirrespectiveinventorsfirstdisclosetheinventioninwritingtothepersonsresponsibleforpatentmattersofthedisclosingparty?AllwrittendisclosuresofsuchInventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35USC205SponsorshallreceivethefirstoptiontonegotiateforalicensetocommercializetheProjectIntellectualPropertyofUniversity,subjecttoanyrightsoftheGovernmenttherein?SponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoProjectIntellectualPropertyofUniversity,foraninitialoptionperiodofthree3monthsaftersuchinventionhasbeenreportedtoSponsor?ThetermsofsubsequentlicensingagreementsforUniversityownedand/orJointlyownedIntellectualPropertywillbenegotiatedingoodfaithandbymutualagreementbythePartiestothisAgreement12CONFIDENTIALITY/PUBLICATIONS?DuringthetermofthisAgreement,andforaperiodoffive5yearsthereafter,eachpartywillmaintaininconfidenceallconfidentialBackgroundIntellectualPropertyandProjectIntellectualPropertyofaparty,aswellasallotherConfidentialInformationofapartydisclosedbythatpartytotheotherinconnectionwiththisProject?Neitherpartywilluse,discloseorgrantuseofsuchConfidentialInformationexceptasrequiredtoperformunderthisAgreement?EachpartywilluseatleastthesamestandardofcareasitusestoprotectitsownConfidentialInformationtoinsurethatstudents,interns,employees,agentsandconsultantsdonotdiscloseormakeanyunauthorizeduseofsuchConfidentialInformation?Anystudent,intern,employee,agentorconsultantofthereceivingpartymustbenotifiedoftherestrictionsontheuseofthedisclosingpartysConfidentialInformationandmustagreewiththoserestrictionsbeforebeingallowedaccesstotheConfidentialInformation?EachpartywillpromptlynotifytheotherupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformationEitherpartymaypublishitsresultsfromthisproject?However,thepublishingpartywillprovidetheotherpartyathirty30dayperiodinwhichtoreviewproposedpublications,identifyproprietaryorconfidentialinformation,andsubmitcomments?Thepublishingpartywillnotpublishorotherwisediscloseproprietaryorconfidentialinformationinaccordancewiththeproceduresdescribedinthisarticleandthepublishingpartywillgivefullconsiderationtoallcommentsbeforepublication?Furthermore,uponrequestofthereviewingparty,publicationwillbedeferredforuptosixty60additionaldaysforpreparationandfilingofaPatentapplicationwhichthereviewingpartyhastherighttofileortohavefiledatitsrequestbythepublishingparty13MODIFICATION?AnyagreementtochangethetermsofthisAgreementinanywayshallbevalidwhenthechangeismadeinwritingandapprovedbyauthorizedrepresentativesofthepartieshereto14REPRESENTATIVES?Designatedrepresentativesforthepartiesare:Sponsor:University:IfTechnicalNamePrincipalInvestigatorsNameAddressKansasStateUniversityTelephoneAddressManhattan,KSIfContractualNamePaulRLoweAddressKansasStateUniversityTelephone2FairchildHallManhattan,KS15TERMINATION?PerformanceunderthisAgreementmaybeterminatedbySponsoruponathirtydayadvance,writtennotice?IntheeventofearlyterminationofthisAgreementbySponsor,SponsorshallpayallcostsaccruedbyUniversityasofthedateofthenoticeoftermination,includingnon-cancelableobligations,whichshallincludeallnon-cancelablecontractsandfellowshipsorpostdoctoralassociat
