方：_签订日期：_年_月_日THISSETTLEMENTAGREEMENTismadethisM,D,Y,betweenAAA,acorporationorganizedandexistingunderthelawsofPLACENAMEandhavingitsregisteredofficeatAAA,andBBB,LTD,acorporationorganizedandexistingunderthelawsofPLACENAMEandhavingitsregisteredofficeatBBBandWHEREAS,inYEAR,CCC,Inc,acorporationorganizedandexistingunderthelawsoftheStateofPLACENAMECCC,BBB,andtheothershareholdersofAAA,enteredintotheNihonCCCKKJointVentureAgreement,whichtheyamendedbythatcertainAmendedJointVentureAgreementdatedM,D,YThesetwoagreementsandtheirincidentalandrelatedagreementsshallbereferredtocollectivelyhereinastheJVA;WHEREAS,AAAandBBBenteredintothatcertainMasterDistributorAgreementdatedM,D,YThisagreementanditsincidentalandrelatedagreementsshallbereferredtocollectivelyhereinastheMDA;WHEREAS,CCC,AAA,andBBBterminatedtheirbusinessrelationshipsinvolvingCCCcomputersoftwareandotherproductsCCCProductsarisingoutoftheJVAandMDAasofM,D,Y;andWHEREAS,anumberofunresolvedissuesremainfromtheterminationofsaidJVAandMDAandthepartiesdesiretoresolvesaidissuesuponthetermsandconditionsdescribedbelowNOW,THEREFORE,ITISAGREEDASFOLLOWS:Section1ConfirmationCCCterminatedsalesofCCCProductsthroughdistributorsofAAAorthroughotherdistributorsinPLACENAMEasofM,D,YThepartieshavediscussed,confirmed,andmutuallyagreeuponthefollowingfacts:1AsaresultofBBBconveyingitssharesinAAAtoCCConM,D,Y,theJVAwasamicablyterminated2TheMDAwasamicablyterminatedasofM,D,Y3BBBhasintroducedandwillcontinuetointroduceanycustomersithasdevelopedpursuanttoitsactivitiesundertheMDAtoAAAoritsdesigneeandwillassistintheorderlycontinuationofalltransactionsdealingwithCCCProductsHowever,AAAanditsdesigneeshallnotberesponsiblefororassumeanyofBBBsliabilitiesnotonlymonetaryliabilities,butserviceliabilities,andanyandallliabilitiesofanytypeandnaturetoanyofBBBscustomersevenifAAAoritsdesigneereceivedanintroductiontothecustomerfromBBBandenteredintoabusinessrelationshipwithsaidcustomer4PursuanttothetermsandconditionsofthisAgreement,AAAagreestopaytoBBBasumcertaintosettleanyclaimsarisingoutoftheterminationoftheJVAandMDA,ifany,andforBBBscustomerlist,goodwill,etchereinafterreferredtocollectivelyasSettlementProceedsTheparticularbreakdownofhowtheSettlementProceedswillbeallocatedamongthevariousmatterswillbedeterminedupondiscussionsbetweenthepartiesheretoasprovidedinSection4belowUponAAAspaymentandBBBsreceiptoftheSettlementProceeds,eachparty,representingallofeachpartysrespectivesubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,releasesandforeverdischargestheotherparty,representingallofsaidpartyssubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,forallclaimsarisingoutoforresultingfromtheterminationoftheJVAandMDA5TodateBBBhaspurchasedfromCCCandretainsinitscurrentinventoryacertainquantityofaCCCProductcalledaChipBundleThepartiesagreethatBBBshallbeentitledtocontinuetosellitscurrentinventoryofsaidChipBundlesinPLACENAMEBBBagreesnottomakeadditionalnewpurchasesofsaidChipBundlesandAAAagreesnottopurchaseandwillnotallowCCCtopurchaseanyChipBundlesfromBBB6Thepartiesheretoagreethatasbetweenthemtherearenoclaims,debts,obligations,orliabilitiesarisingoutoftheterminationoftheJVAandMDAotherthanthosespecificallyidentifiedinthisAgreementSection2CustomerIntroductionAssistance1BBBhasdisclosedandshalldisclosetoAAAoritsdesigneethefollowinginformationimmediatelyafterthepartiesexecutethisAgreement:aAlistofallcustomerswithwhomBBBhasorhadbusinesstransactionsundertheMDA;bThecontentsofanycontractsormaintenanceagreementsbetweenBBBandanycustomersidentifiedintheprecedingclause;andcAlistofpotentialcustomersdiscoveredduringBBBsbusinessactivitiesduringtheperiodfromM,D,YtoM,D,YwithwhomBBBbelievesthatAAAoritsdesigneehaveachancetoconcludeanagreementandareportonthestatusofallnegotiationsinprogress2BBBagreesthatAAAoritsdesigneearefreetoconcludecontractsforCCCProductsandotherproductswiththepersonsorentitiesidentifiedbyBBBintheprecedingclausesandBBBagreestocooperateinsuchactivitieswithAAAanditsdesignee3Thepriorclausesnotwithstanding,upontheexpirationoftheone1yeartermofanymaintenanceagreementsidentifiedinclause1bofthisSection2above,AAAoritsdesigneeshallsucceedtotherightsofBBBundersaidmaintenanceagreementsHowever,AAAoritsdesigneemayproposeinadvancewhatevertermsandconditionsitmayrequireinordertosucceedtosaidmaintenanceagreementsInaddition,BBBagreestocooperatewithAAAoritsdesigneeintheorderlysuccessionofsaidmaintenanceagreementswithoutadditionalcompensationunlessthepartiesmutuallydetermineinwritinginadvancethatBBBshouldreceiveandthatAAAshouldpayadditionalcompensationforanysuchservicesSection3SettlementProceeds1AAAherebyrecognizesthatithasadutytopaytoBBBasSettlementProceedsthesumofSaidSettlementProceedsshallbepaidbywiretransfertoanaccountdesignatedbyBBBbyM,D,Y2AAAherebyagreesthatitoritsdesigneeshallmakepaymenttoBBBasprovidedintheprecedingclauseMoreover,AAAagreesthatitwillbearthecostofthetelegraphictransferhandlingchargesSection4AllocationofSettlementProceedsBasedupondiscussionsbetweenthepartiesregardingthecustomerinformationdisclosedtoAAAoritsdesigneepursuanttoSection14ofthisAgreement,thepartieswilldecidebyM,D,YtheparticularbreakdownofhowtheSettlementProceedswillbeallocatedamongthevariousmatterstheFinalAllocationFurthermore,inaccordancewiththeFinalAllocationasdeterminedhereinabove,AAAoritsdesigneeandBBBbyM,D,YshallprepareandconcludeasettlementagreementrelatingtothesaleofBBBscustomerlist,goodwill,etctoAAAoritsdesigneeCustomerListSettlementAgreementandasettlementagreementrelatingtoJVAandMDAterminationclaims,ifanyTerminationSettlementAgreementTheSettlementProceedspayabletoBBBbyAAApursuanttothisAgreementshallbeallocatedrespectivelytotheCustomerListSettlementAgreementandtheTerminationSettlementAgreementpursuanttotheFinalAllocationdeterminedhereinaboveIftheFinalAllocationofSettlementProceedsresultsinanincreaseinanygovernmentaltaxes,duties,licenses,fees,excises,ortariffsnoworhereafterimposedonthepaymentoftheSettlementProceeds,suchchargesshallbepaidbythepartyobligatedbylawtomakesuchpayment,orinlieuthereof,thepartyobligatedbylawtomakesuchpaymentshallprovideanexemptioncertificateacceptabletotheotherpartyandtheapplicableauthorityIfrevenuestampsarerequiredunderPLACENAMEeselawtobeaffixedtothisAgreement,thepartiesshallberequiredtobearthecostofsuchstampsforthecopyintheirpossessionEachpartyshallberesponsibleforallcostsandexpensesincurredonitsbehalf,includingbutnotlimitedtoattorneysfees,relatedtothisAgreementandthenegotiationsandconsultationsleadinguptotheformationofthisAgreementSection5LawGoverningThisSettlementAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofPLACENAMEThepartiesheretoherebyagreethatanysuitsbroughthereundershallbebroughtintheTokyoDistrictCourtinTokyo,PLACENAME,whichwillhavesoleandexclusivejurisdictionforthefirstinstanceSection6AttorneyFeesIntheeventasuitoractionisbroughtbyanypartyunderthisAgreementtoenforceanyofitsterms,orinanyappealtherefrom,itisagreedthattheprevailingpartyshallbeentitledtoreasonableattorneysfeesSection7NoticesAnynoticeunderthisAgreementshallbeinwritingandshallbeeffectivewhenactuallydeliveredinperson,orthenextbusinessdayfornoticessentbytelefaxandpromptlyconfirmedinamanuallysignedwriting,orthree3daysafterbeingdepositedinthemail,registeredorcertified,postageprepaidandaddressedtothepartyattheaddressstatedinthisAgreementorsuchotheraddressasanypartymaydesignatebywrittennoticetotheotherSection8WaiverFailureofanypartyatanytimetorequireperformanceofanyprovisionofthisAgreementshallnotlimitthepartysrighttoenforcetheprovision,norshallanywaiverofanybreachofanyprovisionbeawaiverofanysucceedingbreachofanyprovisionorawaiveroftheprovisionitselfforanyotherprovisionSection9AssignmentExceptasotherwiseprovidedwithinthisAgreement,neitherpartyheretomaytransferorassignthisAgreementwithoutpriorwrittenconsentoftheotherpartySection10PresumptionThisAgreementoranyprovisionthereofshallnotbeconstruedagainstanypartyduetothefactthatsaidAgreementoranyprovisionthereofwasdraftedbysaidpartySection11TitlesandCaptionsAllarticle,sectionandparagraphtitlesorcaptionscontainedinthisAgreementareforconvenienceonlyandshallnotbedeemedpartofthecontextnoraffecttheinterpretationofthisAgreementSection12PronounsandPluralsAllpronounsandanyvariationsthereofshallbedeemedtorefertothemasculine,feminine,neuter,singularorpluralastheidentityofthePersonorPersonsmayrequireSection13EntireAgreementThisAgreementcontainstheentireunderstandingbetweenandamongthepartiesandsupersedesanypriorunderstandingsandagreementsamongthemrespectingthesubjectmatterofthisAgreementSection14AgreementBindingThisAgreementshallbebindingupontheheirs,executors,administrators,successorsandassignsofthepartiesheretoSection15FurtherActionThepartiesheretoshallexecuteanddeliveralldocuments,provideallinformationandtakeorforbearfromallsuchactionasmay
