租 赁 协 议Lease Agreement由Between甲 方: 李全胜 ;Party A: ; And和乙 方: Party B: Michael David Garfield Slofstra1. 协议当事人Parties出租人: 李全胜 (以下简称“出租人”)Landlord: (hereinafter referred to as “Party A”)承租人: Tenant: Michael David Garfield Slofstra2. 租赁房屋Leased Property 2.1 出租人同意将位于 徐汇区南丹东路223弄1号楼1002室 【地址】、建筑面积为 平方米的房屋,包括房屋内装置、设备、家俱和电器(以下简称“租赁房屋”)出租给承租人。 Party A hereby agrees to lease the premise which is located at Room1002, Building 1, Lane 223, East Nandan Road, Xuhui district, Shanghai including fixtures, furniture and appliances (hereinafter referred to as the “Leased Property”) to Party B for residential use. The total area of the Leased Property is square meters. 2.2 出租人应在租期首日前将处于清洁、良好和可居住状态的租赁房屋交付给承租人,并提供附件一所列的家具及家用电器。 出租人应于交房前结清应缴的水、电、电话、煤气、宽带使用等费用。双方于交房时验收附件一所列的家具及家用电器,验收合格,双方签署书面的凭证并交接钥匙。Party A shall deliver the Leased Property to Party B in a clean, good and workable condition and provide the furniture, fixtures and appliances to Party B according to appendix 1 before the first day of the lease term. Party A shall pay charges for water, gas, electricity, telephone and broadband usage before handing over the Leased Property. Party B will check the furniture, fixtures and appliances listed in appendix 1 when taking over the Leased Property. And if Party B accepts the fixtures and appliances, both parties shall sign a written document and hand over the keys.2.3 出租人保证其对租赁房屋拥有合法所有权或出租权,出租人身份证明文件及产权证复印件见附件二。如果签署本协议的出租人非租赁房屋产权证上的所有权人,则出租人须另外提供租赁房屋所有权人同意转租的证明文件或授权代表房屋所有权人签署本租赁协议的授权书。Party A ensures that he / she has the legal ownership of the Leased Property or the right to sublease the Leased Property. Appendix 2 shows the copy of the ID card of Party A and the certificate of real estate. If the name on the certificate of real estate is not the same as the name of Party A on this agreement, Party A shall provide documents to show that the landlord permits Party A subleasing the Leased Property or an authorization letter from the landlord to sign this agreement on behalf of the real landlord.3. 租赁期限Lease Term 3.1 本协议租期为 1 年,自 2011 年 8 月 20 日至 2012 年 8 月 19 日。The lease term is one year(s), from 20th Aug, 2011 Date to 19st Aug 2012 Date.3.2 租赁期满,如承租人愿意续约,则双方于期满前2个月内协商续约事宜。承租人在同等条件下有优先承租租赁房屋的权利。If Party B intends to renew this lease agreement upon expiry, both parties shall negotiate two months prior to the date of expiry. Party B has the priority to lease the Leased Property under equal conditions. 4. 租金和支付Rent and Payment4.1 租金为每月人民币 8200 元,租赁期2011 年 8 月 20 日至 2012 年 8 月 19 日,租金按月以人民币方式支付,该租金已包含 发票税费、物业管理费、有线及卫星电视安装及使用费、宽带安装及使用费。 The rent shall be RMB 8200 per month, from 20th Aug, 2011 to 19th Aug, 2012, the rental shall be paid monthly in RMB; from 20th Aug, 2012 to 31st Aug, 2012, the rental shall be paid dairy(RMB 270) in RMB. All rental invoice tax fee, management fee, cable and satellite TV installation and receive fee, broadband installation and usage fee are included in the rent. 4.2 租金在每月的第 20 日前支付,首月租金于本协议签定后15个工作日内支付。出租人收到租金后5日内向承租人开具并交付正式的租金发票。若出租人迟延开具并交付发票,承租人有权相应的延迟支付下月租金。The rent shall be paid before the 20th day of every month. The rent for the first month shall be paid within 15 business days after the agreement is signed by both parties. Upon receiving the rent payment, Party A shall issue and deliver to Party B an official invoice within 5 days. If Party A delays to issue or deliver the invoice, Party B has the right to delay the payment of the following months rent accordingly. 租金应划转到出租人指定的下述银行账号内:The rent shall be wire transferred to the bank account number stated below:银行名称: 工商银行报春路支行 .Bank Name:出租人: 李全胜 .Name of the landlord:帐号: 9558 8810 0100 1286806 .Account Number:4.3 租金在租期内不得进行调整。 The rent shall not be adjusted during the lease term.4.4 承租人承担租期内发生的水费、电费、煤气费、现场会所使用费,根据帐单凭证按时支付,如不按期付款,滞纳金由承租人承担。【出租人每月在收到租金后五日内返还承租人入住人员人民币 / 元作为上述费用的津贴。All charges for water, gas, electricity & telephone usage during the lease term shall be born by Party B. Party B shall pay the charges according to the bills on time, otherwise Party B shall bear the late payment penalty. Party A shall refund RMB / to the personnel of Party B, who actually lives in the Leased Property, every month within 5 days after receipt of the rent from Party B. 5. 押金Deposit5.1 承租人应在本协议签定后15个工作日内向出租人支付相当于两个月租金的押金,共计人民币16400 元,出租人收到押金时出具收款凭证。出租人于租赁期满或本协议终止后30日内将此押金无息返还承租人。Party B shall pay RMB 16400 as deposit to Party A, which equals to two months rent, within 15 business days after the agreement is signed by both parties. Party A shall issue the evidence when receiving the deposit and shall refund the deposit in full to Party B (excluding interest) within 30 days after expiry of the lease term or termination of this agreement. 5.2 除本协议另有约定外,租期内任何一方不得擅自提前解除本协议。若出租人擅自提前收回出租房屋,应返还押金给承租人,并支付押金金额的违约金;若 承租人擅自提前解除本协议,则押金作为违约金不予退还。 Except as otherwise provided in this agreement, Party A and Party B shall not early terminate this agreement during the lease term. If Party A early terminates this agreement, Party A shall refund the deposit to Party B and pay default penalty, which equals to the amount of deposit, to Party B. During the term, if Party B early terminates this agreement, the deposit will be confiscated by Party A as default penalty.6. 出租人的义务和责任Obligations and Responsibilities of Party A6.1 出租人承担本协议所涉及的所有税费。Party A shall pay all taxes involved in this agreement.6.2 出租人应采取合理措施确保租赁房屋良好和安全,并确保租赁房屋的设备和设施获得正常维护和修理。出租人在获承租人通知后应即时修理或修复墙壁、屋顶、卫生设施、管道设备、下水道等发生的问题,费用由出租人负担,除非此种问题系由承租人故意或重大过失引致。如出租人未能及时修复,承租人有权自行或雇佣他人修复,维修费用由出租人承担,承租人有权从租金中直接抵扣该维修费用。若租赁房屋出现漏水等问题不能即时修复,修理期间租金不予支付,承租人并有权要求减少租金。Party A shall take reasonable precautions to ensure the security and maintenance of the Leased Property. Party A shall promptly repair or remedy any defect of the walls, roofs, sanitary, plumbing facilities, drains, pipes after being notified by Party B at the expense of Party A, unless such defects are caused by the gross negligence or intention of Party B. If Party A fails to perform the maintenance obligation, Party B may maintain and repair the Leased Property on its own or engage someone to do so, and the expenses arising therefrom shall be borne by Party A. Party B has the right to deduct the expenses from the rent directly. If the Leased Property cant be repaired promptly for the reason of leaking and etc, Party B has the right not to pay the rent during the period of repair and reduce the rent.6.3 出租人需要进入承租人所租赁房屋,除非紧急的原因(如火灾、水灾、人身伤害等)且为维护承租人的利益外,出租人应提前48小时书面形式通知承租人,并经承租人同意 。Party A shall not enter into the Leased Property without providing Party B 48 hours prior written notice and the approval from Party B, only unless for emergency reasons, such as fire, flood, assault and battery, and for the purpose of protecting the benefits of Party B.6.4 出租人在租期内出售租赁房屋的,需提前3个月向承租人发出书面通知,且应确保该出售行为不对承租人的承租行为产生任何影响,否则出租人应赔偿承租人相等于押金数额的违约金。If Party A sells the Leased Property during the lease term, Party A shall notify Party B 3 months before the sale and shall guarantee the sale will in no way affect the terms and conditions of this agreement. Otherwise, Party A shall pay default penalty, which equals to the amount of deposit, to Party B.6.5 出租人应确保租赁房屋在租期内有安静的居住环境(不可控因素除外)。Party A shall ensure quiet environment during the lease term(except un-controllable conditions).6.6 出租人保证该租赁房屋在本协议签定时及租期内没有产权纠纷,若因产权纠纷、按揭、抵押等造成承租人的损失,由出租人全部赔偿。Party A guarantees no ownership disputes as to the Leased Property when signing the agreement and during the lease term and shall compensate all losses of Party B arising out of ownership disputes or mortgage loan. 7. 承租人的义务和责任Obligations and Responsibilities of Party B7.1租期内, 此租赁房屋为 Michael Slofstra 先生及其家人或客人居住,承租人不得将租赁房屋转租给其他第三人。并遵守国家和上海市有关房屋使用和物业管理的规定。承租人保证,在租赁期内未征得甲方书面同意以及按规定经有关部门审核批准前,不擅自改变上款约定的使用用途。During the term of this agreement, the Leased Property is to be occupied by Michael Slofstra and her/ his family or guests for residential purpose. Party B can not sublease the Lease Property to any third party. Party B guarantee that during the lease term, it shall not alter the purpose of the Property without Party As prior written consent as well as the approval from the relevant governmental department.7.2 承租人应及时支付租金、押金和本协议涉及的其他费用。Party B shall promptly pay the rent, deposit and other charges as formerly identified in this agreement.7.3 租赁期满或本协议终止,承租人应将租赁房屋以完整清洁的状态归还出租人,正常损耗除外。 After expiry or termination of this agreement, Party B shall return the Leased Property in full and clean condition, except for fair wear and tear.7.4 租赁期满或本协议终止,承租人不能将租赁房屋及时归还的,双方另行协商延长租赁期限的,不足一个月的,按日以人民币 270 元/天支付租金。 After expiry of the term or termination of this agreement, if Party B cant return the Leased Property on time, both parties shall negotiate to extend the lease term or Party B shall pay RMB 270 per day as rent.7.5 租赁期间,乙方应合理使用并爱护该房屋其附属设施。因乙方使用不当或不合理使用,致使该房屋及其附属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙方承担但甲方须出具第三方提供的正式发票。During the lease term, Party B shall reasonably use and take good care of the Property and the facilities attached. Party B shall be responsible to repair immediately the damages caused to the Property and/or facilities due to improper and unreasonable use by Party B. If Party B refuses to repair, Party A may repair on its behalf and the expenses incurred shall be borne by Party B as supported by official third party receipts and/or invoices. 7.6 乙方需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由甲方报请有关部门批准后,方可进行。乙方增设的附属设施的设备归属及其维修责任由甲、乙双方另行书面约定。乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者增设附属设施的,甲方可以要求乙方恢复房屋原状或赔偿损失。Before carrying out any extra renovation or addition of facilities attached and equipment, Party B shall obtain the written consent of Party A and submit the same to the relevant authority for examination and approval in accordance with the regulations. The works could only be carried out upon completion of the procedure of approval with the relevant authority by Party A. The responsibility of the maintenance of the added facilities by Party B shall be agreed by Party A and Party B in separate written agreement. Party B has renovated the Property or added facilities attached to the Property without obtaining the written consent of Party A or outside the scope of the written approval of Party A, Party A may require Party B to restore the Property to its original state.8. 违约 Default8.1 如果出租人违反本协议的条款、承诺,或出租人的行为给承租人的居住带来不便或影响,承租人可以书面形式通知出租人改正,出租人收到通知后15天内未改正的,承租人可以单方提前解除本协议,出租人在本协议终止后30天内返还承租人所有预付的租金及押金(扣除已用租金),并赔偿承租人损失。If Party A breaches any provision of this agreement or affect the residence of Party B, Party B may notify Party A to correct the acts in written. If Party A fails to correct the acts within 15 days after receiving the note, Party B may unilaterally terminate this agreement. Party A shall refund the rent Party B has paid in advance together with the deposit within 30 days (deducted actual used rent) to Party B and compensate the loss of Party B. 8.2 如果承租人逾期支付租金超过15日,则须按日加收未付金额1%作为滞纳金。如果承租人未能支付租金超过30日,经出租人书面催告后合理期限内仍未支付,则出租人有权终止本协议并要求赔偿损失。If payment is overdue for more than 15 days since the due day, a penalty of 1%of outstanding rent shall be levied per day for such delay. If Party B fails to settle the payment for more than 30 days and fails to pay the rent within a reasonable period after being noticed by Party A in written, Party A has the right to terminate this agreement and request compensation.8.3 如果一方违约,给对方造成损失的,支付的违约金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分。During the lease term, if either Party terminates the agreement (excluding “Force Majeure” described below), the Party that has terminated the agreement is required to pay the penalty of the deposit as defined in the agreement. If the verified third party direct costs related to the termination exceeds the deposit amount, the other Party is entitled to an additional penalty to offset the loss and the outstanding amount shall be paid.9. 适用法律和仲裁Governing Law & Dispute Resolution9.1 本协议适用中国法律(香港、台湾、澳门法律除外)。This agreement shall be construed in accordance with and governed by the laws of China (except for the laws of Hong Kong, Taiwan and Macao).9.2 因本协议所生争议,双方应协商解决,协商不成,任何一方可将争议提交中国国际经济贸易仲裁委员会上海分会,根据提交仲裁时最新的仲裁规则进行仲裁,仲裁裁决对双方当事人具有约束力。仲裁语言是中文。Any dispute arising out of the performance of this agreement shall be resolved by negotiation. Failing the settlement by negotiation, the parties hereby agree to refer the dispute to China International Economic and Trade Arbitration Commission Shanghai Commission in accordance with the rules in effect at the time of submission. The award of arbitral tribunal shall be binding on both parties. The language of the arbitration shall be Chinese.10. 不可抗力Force Majeure10.1 本协议项下不可抗力是指超出任何一方合理控制的、不可预见且不能克服的事件,包括但不限于:水灾、瘟疫、自然火灾、战争或与战争类似的情形、暴乱。任何一方因不可抗力而未能按时履行本协议项下的义务,均不承担迟延责任。受到不可抗力影响的一方当事人应将不可抗力发生及对本协议项下义务履行的影响及时(不超过不可抗力发生后5日)通知另一方当事人。Force majeure means such unforeseeable occurrences beyond the reasonable control of a party such as, but not restricted to: flood, plague, natural fire, war or warlike conditions, riot, sabotage. Neither party shall be liable for any delay resulted by force majeure. The party affected by force majeure shall inform the other party the occurrence of force majeure event and its effect no later than 5 days after the occurrence.10.2 不可抗力导致租赁房屋受损,出租人应及时修复,修复期间租金不支付。如果该不可抗力持续时间超过30天,或出租人修复时间超过30天的,承租人有权解除本协议,不承担违约责任。 If the Leased Property is damaged by Force Majeure event, Party A shall repair it timely and Party B has the right not to pay the rent during the period of repair. If the circumstances of force majeure or repair exceed 30 days, Party B shall be entitled to terminate this agreement. 11. 转让Assignment11.1 承租人不得将本协议、本协议项下的全部或部分权利、义务转让给第三方。 Party B shall not assign this agreement, all or part of its rights or obligations to any third party.11.2 出租人不得将本协议、本协议项下的全部或部分权利、义务转让给第三方。 Party A shall not assign this agreement, all or part of its rights or obligations to any third party.12. 其他规定Miscellaneous12.1 本协议所有修改、补充和变更应以书面作出,且经双方签字、盖章后生效。All amendments, supplements and alterations to this agreement shall be made in writing and signed by both parties. 12.2 本协议自双方签字、盖章之日起生效,一式三份,租赁双方及中介方各执一份。中、英文本具有同等效力,如果中英文文本不一致的,以中文为准。The agreement shall be effective on the signing date, three sets of the agreement written in both English and in Chinese, 1 set for Party A, and 1 set for Party B, and 1 set for Agency Company.
