MapServerLicenseAgreement betweenaaacorporationandbbb,inc thisamendedandrestatedagreement(thisagreement)isenteredintoasof,(m,d,y)(theeffectivedate)byandbetweenaaacorporation,acorporationorganizedunderthelawsofthestateof(placename)(aaa),andbbb,inc.,acorporationorganizedunderthelawsofthestateof(placename)(bbb),withreferencetothefollowingfacts: a.onorabout,(m,d,y),aaacausedtheformationofbbbandtransferredcertainaaaassetstobbbinreturnforcertainstockinbbb. b.toassistbbbinitsdaytodayoperationsasanewcorporateentity,aaaandbbbenteredintoamapserverlicenseagreementdatedasof,(m,d,y)(themapserveragreement),pursuanttowhichaaaprovidedcertainlocalstreetmapsanddrivingdirectionsandothermappingservicestobbb,andbbbengagedaaatoprovidesuchservices. c.thepartiesnowdesiretoamendandsupercedethemapserverlicenseagreementinitsentiretybyenteringintothisamendedandrestatedmapserverlicenseagreementpursuanttothetermsandconditionssetforthherein. therefore,thepartiesherebyagreeasfollows: aaaconfidential 1.definitions 1.1affiliatesshallmeananyentityinwhich,asoftheeffectivedate,bbb,directlyorindirectly,orthroughoneormoreintermediaries,holdsthebeneficialownershipofmorethanfiftypercent(50%)oftheequitysecuritiesorinterests,andonlysolongassuchownershipcontinues. 1.2datashallmeanallthirdpartydatalicensedbyaaaandusedinmapsandintheseparatedatadump,asoftheeffectivedate. 1.3datadumpshallmeanthesetofdataincludingbutnotlimitedtopointsofinterest,city,andregion,generallycontaininguniqueidentifierssuchastherelatedgeographiclocation,name,type,andlanguage,andusedinbbbscatalogingsystemtoenableuserstosearchbypointofinterestwhenperformingasearchonbbb. 1.4bbbiconshallmeananygraphicsortext,including,withoutlimitation,persistenthyperlinksintheformofanbbblogoorotherrepresentationaliconcreatedbybbbforanbbbtravelserviceorproduct. 1.5bbbdatafeedshallmeanthedatasuppliedbybbbtoaaawhichcontainsthegeographiclocationforanytravelserviceofferedbybbb,andthelocationwherethebbbiconorotherrepresentationalicon,whichincludesanunderlyingurltothebbbwebsite,mapsusedbybbb. 仝1仝2仝3仝4仝5仝6仝7仝8仝9仝10仝11仝12仝13仝14仝15仝16仝17仝18仝19 1.6bbbmapsshallmeanthemapservicesprovidedonthebbbwebsite,locatedat.bbb.asoftheeffectivedate. 1.7bbbupdatesshallmeananyupdates,upgrades,errorcorrections,orotherimprovementstotheservertechnologythatbbboritsaffiliatesmayhavedevelopedorwilldeveloppursuanttothisagreement. 1.8bbbwebsitemeansanywebsiteownedorcontrolledbybbboritsaffiliates,whichisaccessedbyusers. 1.9launchdateshallmeanthedatethatbbbbeginsprovidingtravelserviceswithmapsservedfromputershostedbyaaa,andwhichinnoeventwillbelaterthansix(6)monthsaftertheeffectivedate;providedaaahasmeettherequirementsofexhibitcandthepartieshavenotmutuallyagreedtopostponesuchuse. 1.10linkshallmean:(i)maps,or(iii)anyotheralternativemethodthatenablesausertoaccessbbb.linksalsoincludeanyconnectiontobbbthroughtheinternet,email,broadband,internetii,wirelessandhandhelddevices,cellphones,digitalappliances,orotherdigitalinteractivemeans,networks,devices,ortransmissions(whetherexistingnoworinthefuture). 1.11mapsshallmeancollectively,maps. 1.12mapsshallmeanareliablewebenabledmappingsolutiondevelopedbyaaathatincludesinteractivemaps,proximitysearchinganddetaileddrivingdirections. 1.13pointofinterestshallmeanthosecertaingeographiclocations,whichincludebutarenotlimitedto,suchplacesascampgrounds,parksandotherattractionsorplacesofinterest(e.g.theempirestatebuilding). 1.14servertechnologyshallmeantheputersoftwareownedbyaaaandlistedinexhibita. 1.15serviceshallmeanthehostingofservertechnology,maps,specificationsandformats,andwhichincludeswithoutlimitationthetesting,implementation,hosting,maintenance,support,operationandupdateschedules,asapplicable,fortheservertechnology,mapsasprovidedbyaaatobbbasapartofsuchservice,mapsascontemplatedherein. 2.delivery,operation,anduse 2.1delivery.thepartiesacknowledgethatbbbalreadyhascopiesoftheservertechnologyanddatainitspossessionasoftheeffectivedate. 2.2updatesanderrorcorrections. (a)mapsthataaaisoperatingasoftheeffectivedateinabetaenvironmenttoascertainifitmeetsthestabilityrequirementsoutlinedinexhibitchereto.eachupgradetheretoshallbetestedinasimilarfashion.thepartieswillcooperatetoensurethatthebetatestingoftheinitialversionandanyupgradetheretoisconcludedinatimelymanner. (b)mapupdates.whenandifaaamakesmerciallyavailableduringthetermofthisagreementanyupdates,upgrades,errorcorrections,maps(mapupdates),mapupdatestobbbonservershostedbyaaatotheextentpermittedunderapplicablelicenseagreements.uponbbbsmencementofuse,mapupdatewithinsixty(60)daysafteritisfirstmademerciallyavailable;providedtheymeettherequirementsofexhibitcandthepartieshavenotmutuallyagreedtopostponesuchuse. (c)heeventthatbbboritsaffiliatedevelopsanyupdates,upgrades,errorcorrections,orotherimprovementstotheservertechnology,bbbshallpromptlydeliver,orcauseitsaffiliatetodeliver,suchbbbupdatestoaaa. 2.3supportandoperation.priortothelaunchdate,bbbshallbesolelyresponsibleforthesupportandoperationofthebbbmaps.effectiveasofthelaunchdate,aaashallbesolelyresponsibleforthesupportandoperationofthemaps,andagreestoprovidetheservicetobbbinaccordancewithexhibitcheretowithatleastthesameservicelevelthataaawillprovidetotheaaapropertiescurrentlyusingbbbmapsbackendmapserver,whichshallbenolessthanamerciallyreasonableservicelevel.asoftheeffectivedate,theseaaapropertiesincludecarpoint,homeadvisor,msmute,msnmobile,msnbcandyellowpages(theaaabackendproperties).aaashallinsurethatithastheserverinfrastructurenecessarytodeliverstableserviceandhandlethevolumeofcalls/mapsserversthatwillbegeneratedbyusagelevelsforecastedquarterlybybbbpursuanttosection2.4,andthatsuchserviceshallbedeliveredinahighgradeandprofessionalmannerandinaccordancewiththissection2.3andexhibitc.aaawillprovidebbbwithninety(90)daysadvancednoticeshouldaaachangeoralterinanywaytheunderlyinglatitude/mapsassetforthinsection2.5below. 2.4bbbwillmakeamerciallyreasonableefforttoprovideaaawithreasonablyaccuratequarterlyforecastofusageandsixty(60)daysadvancenoticeofanyknownsignificantusagevolumeincreasesandmajorreleases. 2.5mapswillproceedasfollows: (a)priortothelaunchdate,aaashallprovidebbbwithanexplanationoftheservicesandoperatingproceduresnotspecifiedonexhibitcthataaawillprovide. (b)aaashallresolvethefour(4)bugswhicharelistedonexhibiteheretopriortothelaunchdate. (c)pursuanttosection2.1above. (d)bbbmustgiveaaaatleastsixty(60)dayspriorwrittennoticeoftheactuallaunchdate. (e).bbbwillputtheredirectinplacetotheaaaservers. 2.6useofmaps. (a)thepartiesacknowledgethataaaisalreadyusingbbbmapstoservelocalstreetmapsand/orprovidedrivingdirectionsintheaaabackendproperties.aaaagreesthatbythelaunchdate,itshallceaseuseofbbbmapsontheaaabackendproperties,andinanyandallcurrentandfutureversionofanyaaasoftwareprograms(currentlyusedinfrontpage,macoffice,entourage,andaaaoutlook).notwithstandingtheforegoing,aaashallnotberequiredtoceaseuseofbbbmapsinaaahotmail,aaaiesearchormsn.,ortostoplinkingtothefrontendofanbbbwebsite;provided,however,thatfollowingthelaunchdate,bbbshallnotbeobligatedtoprovidemappingservicestoanyaaapropertyorproduct. (b)notwithstandinganythingtothecontraryinthisagreement,mapsortheserviceprovidedbyaaauntilsix(6)monthsaftertheeffectivedate,mapsorservicemeettherequirementsofexhibitcandthepartieshavenotmutuallyagreedtopostponesuchuse. 2.7mapfunctionality.withinone(1)yearfollowingtheeffectivedate,aaa,atitssolecostandexpense,mapsfunctionalitywhichenablesbbb,atitsoption,maps,anbbbiconoraiconrenderedbyaaatorepresentthespecificlocationofatravelservicemade*availablebybbb(representationalicon),whichwillcontainalinkbacktoanbbbwebsitedeterminedbybbb. 2.8cobranding. (a)exceptpursuanttocertainbbbagreementswheremapsarenotbrandedwithbbbicons,logodesignatedbyaaafromtimetotime.thepartiesagreethatinanycasewhereamapisnotbrandedwithanbbblogo,logocontaindesignationssuchas.orhttp:/ormarksofsimilarintentthatserveasaprotocoldesignator,logo,withtheplacementandsizeofsuchcobrandingtobemerciallyreasonableandmutuallyagreeabletotheparties.arepresentativesampleofthemapcobrandingisattachedasexhibitghereto. (b)heeventbbbprovidesaaawithanewormodifiedbbbiconforsuchcobranding,aaashallimplementthenewbbbiconwithinthirty(30)daysfollowingreceiptoftheupdatefrombbb.aaashallnotuseanybbbiconinanyothermannerorforanyotherpurposewithoutpriorwrittenapprovalbybbb.bbbshallnotuseanytrademarkofaaainanymannerorforanypurposewithoutpriorwrittenapprovalbyaaa. 2.9datasetupdates.aaawillusemerciallyreasonableeffortstoupdatethedataonaquarterlybasis. 2.10mapsprovidedbyaaatobbbinaccordancewiththisagreement. 3.license 3.1servertechnology.aaaherebygrantstobbbanditsaffiliatesaperpetuallicense(i)tomake,use,reproduce,modify,adapt,createderivativeworksbasedon,andtranslatetheservertechnologyinobjectcodeandsourcecodeform,and(ii)todistribute(directlyandindirectly),transmit,displayandperformpublicly,license,rent,lease,andselltheservertechnologyinconnectionwithmapsinobjectcodeform.notwithstandingtheforegoing,bbbanditsaffiliatesshallhavenorighttodistribute,transmit,display,license,rent,leaseorsellinanymanneranyportionoftheservertechnologyimplementedintheaaageographyproductunitsretailproductsorinternaltoolswithoutthepriorapprovalofaaa.additionally,bbbagrees,foritselfandonbehalfofitsaffiliates,thatbbbanditsaffiliatesshallnotlicensetheservertechnology,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarepetitivewiththeaaageographyproductunits()orthelearningbusinessunitsproductsorserviceswithoutthepriorapprovalofaaa,whichapprovalshallnotbeunreasonablywithheldordelayed. 3.2thirdpartyexclusions.fortwentyfour(24)monthsaftertheeffectivedate,aaaagreesthatitwillnotwithrespecttolocalstreetmapsanddrivingdirectionsandothermappingservices,providesuchmappingservicestothefollowingentitiesthroughadirectcontractualagreementwithsuchentities:hotelreservationsnetwork,travelocity,orbitz,cendant(butonlywithregardtocendantstravelrelatedservicesandbusinesses),priceline,oranyentitythat,atthetimesuchagreementisexecuted,isawhollyownedsubsidiaryofanyoftheforegoingentities.notwithstandingtheforegoing,travelocityshallremainanexcludedpartyforthetermofthisagreement.inaddition,aaaagreesthatbbbshallbeaprovideroftravelbooking,travelserviceortravelpointofinterestdatathatisfeaturedand/orintegratedintothemapsprovidedand/ordevelopedbytheaaageographyproductunit. 3.3data.asoftheeffectivedate,aaahaslicensestousethedataforaaasownbusinesspurposes.totheextentaaahastherighttosublicenserightsindatatobbbforbbbsbusinesspurposes,aaaherebydoessosublicensethedataforuseinconnectionwithmapsandthedatadump.totheextentaaadoesnothavetherighttosublicensedatatobbbandtotheextentsuchsublicenseisnecessaryforthepurposesoftheservicesdescribedinsection2.3above,aaashallusereasonableeffortstoassistbbbtoobtainlicensesinsuchdata,atbbbsexpense.additionally,bbbagreesthatitshallnotlicensethedata,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarepetitivewiththeaaageographyproductunitsorthelearningbusinessunitsproductsorserviceswithoutthepriorapprovalofaaa,whichapprovalshallnotbeunreasonablywithheldordelayed. 3.4bbbupdatestoservertechnology.bbb,onbehalfofitselfanditsaffiliates,herebyirrevocablyconveysandassignstoaaa,andagreestoassigntoaaa,allright,titleandinterestinanycopyrightsinthebbbupdates,andinallrenewalsandextensionsofthosecopyrightsthatmaybesecuredunderthelawsnoworhereafterinforceandeffectintheunitedstatesofamericaorinanyothercountryorcountries. 4.payments 4.1servertechnology.aaashallprovidethelicensesintheservertechnologytobbbfreeofcharge.mencinguponthelaunchdate,bbbmay,butshallnotberequiredto,developbbbupdatestotheservertechnology,buttotheextenttheyaredevelopedtheyshallpromptlybedeliveredtoaaa. 4.2paymentschedules.thepaymentschedulesforservicesdeliveredunderthisagreementandpriortotheeffectivedateofthisagreementareonexhibitfattachedhereto. 4.3mostfavorednation.aaawillnotchargebbbapriceforservicesrenderedunderthisagreement,orprovidebbbwithalevelofservice,maps. 5.confidentialinformation.thepartiesunderstandandacknowledgethateachofthem(andtheirrespectiveemployees,consultantsandsubcontractors)mayhavedisclosedtoit,inconnectionwiththerenditionofservicesandperformanceoftheirobligationsofthisagreement,confidentialand/orproprietaryinformationoftheotherparty.thetermsandconditionsofthatcertainnondisclosureagreementbetweentheparties,dated,(m,d,y),shallapplytoallsuchconfidentialandproprietaryinformation.aaaandbbbeachagreethatthetermsandconditionsofthisagreement,includingitsattachments,willbedeemedtoconstitute,andbetreatedas,confidentialinformationpursuanttothissection5. 6.warranties,indemnification,andlimitationofliability 6.1warranties. (a)aaarepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsofthestateof(placename)andhasauthoritytoenterintothisagreementandperformitsobligationshereunder;and (b)aaarepresentsandwarrantsthatithasandwillnotgrantanyrightsintheservertechnologytoanythirdpartythatareinconsistentwiththerightsgrantedtobbbherein. (c)bbbrepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsofthestateof(placename)andhasauthoritytoenterintothisagreementandperformitsobligationshereunder. (d)exceptasprovidedinthissection6.1,eachpartydisclaimsallwarranties,eitherexpress,impliedorstatutory,includingbutnotlimitedtoany(ifany)impliedwarrantiesofmerchantability,offitnessforaparticularpurpose,oflackofviruses.theservertechnology,data,bbbupdates,andmapsareprovidedasiswithallfaults,andnowarrantiesorpromisesaremadethatlicensedmaterialswillworkorworkforanyparticularpurpose.also,thereisnowarrantyoftitle,authority,ornoninfringementinthelicensedmaterials. 6.2indemnification. (a)aaa. (i)aaashallindemnifyandholdharmlessbbbandbbbsdirectors,officers,employees,andagents(each,anbbbclaimant),fromanyandallthirdpartyclaims,demands,actionsorcausesofaction,costs,liabilities,losses,expenses,damages,judgments,awards,chargesandamountspaidinsettlement(including()reasonableattorneysfees,costsandexpertwitnessfees)broughtagainstsuchbbbclaimanttotheextentitisbaseduponaclaimthattheservertechnologyinfringeanycopyrightorpatentormisappropriateanytradesecretofathirdparty(bbbclaims). (ii)intheeventanythirdpartyassertsaclaimofinfringementwithrespecttoanyservertechnologyoranyportionthereof,aaashallnotifybbbpromptlyandmay,ataaasexpense,replaceormodifytheservertechnologyorportionthereofwithaversionthatisnoninfringing,providedthatthereplacementormodifiedversionhassubstantiallyequivalentfunctionalitytotheversionbeingreplaced. (iii)aaashallhavenoobligationtoindemnifyunderthissection6.2totheextentanbbbclaimarisesoutofanbbbclaimantscontinuinguseofinfringingservertechnologyafter(a)aaahasprovidedanoninfringingreplacementwithsubstantiallyequivalentfunctionality,and(b)thebbbclaimanthashadareasonableamountoftimetotestandimplementthereplacementversion. (iv)intheeventanbbbclaimismadeorfiledagainstanbbbclaimant,thebbbclaimantshallpromptlynotifyaaaofthesameinwriting,andaaashalldefend,promise,and/orsettlethebbbclaimatitsexpense.aaashallnotberesponsiblefortheexpenses,includingcounselfees,ofthebbbclaimantincurredafteraaaassumesdefenseofthebbbclaim,butthebbbclaimantmayparticipatethereinandretaincounselatitsownexpense.aaawillnotberesponsibleforanysettlementmadebybbboranybbbclaimantwithoutaaaswrittenpermission,whichwillnotbeunreasonablywithheldordelayed.aaawillnotconsenttotheentryofanyjudgmentorenterintoanysettlementaffectingthebbbclaimant,totheextentthatthejudgmentorsettlementinvolvesmorethanthepaymentofmoney,withoutthepriorconsentofthebbbclaimant,whichconsentshallnotbeunreasonablywithheldordelayed.bbbandanybbbclaimantshallprovideinformation,assistanceandauthority,atbbbsexpense,tohelpaaadefend,promiseorsettl
