摘要 从上个世纪8 0 年代中后期开始，跨国并购逐渐取代绿地投资，成为企业 进一步拓宽国际市场，实现快速发展的最重要途径，越来越多的中国企业加入 到国际并购的浪潮中。尤其到2 0 0 0 年后，中国企业的跨国并购可谓风生水起。 各大公司纷纷走出国门，在国际市场上寻找机会。在中国企业积极进入国际市 场的同时，国外企业也加快了并购中国企业的步伐，给中国市场带来了新的资 金来源并促进中国市场进一步繁荣。 但是，并不是所有的跨国并购都能达到预期的目标。大部分中国企业的跨 国并购最终以失败而告终。导致跨国并购失败的原因有很多，如文化冲突、人 力资源整合失败等，而其中不可忽略的一点就是法律因素。这篇文章正是通过 对近几年来中国企业涉及的几个跨国并购案例进行研究，试图从一个独特的视 角来分析这些案例失败的原因，即法律规定的差异。世界各国的法律体系不尽 相同，涉及到具体的法律规定时差异更大。而跨国并购所涉及到的企业或公司 通常处于不同的国家或经济体。因此，如果对对方国家的法律缺乏了解，并购 双方容易在跨国并购过程中或并购后的经营阶段发生法律冲突，并最终导致并 购失败。因此，研究法律差异对跨国并购的影响有着现实的意义。 本文共分为五个章节。第一章主要讲述本文的写作目的、研究方法等。第 二章着重介绍并购及跨国并购的概念、历史、动因、及影响因素。第三章是本 文的主体，重点对失败案例进行分析研究，并指出其法律冲突之处。第四章对 解决法律冲突问题提出一些建议。第五章对全文进行总结。 关键词：跨国并购；法律冲突；反垄断法；劳动法 a b s t r a c t f r o mt h el a t e8 0 so f2 0 t hc e i l t u r y , c r o s s -
