1 TERMINATION AGREEMENT 合合同同终终止止协协议议书书 THIS TERMINATION AGREEMENT this Agreement is entered into as of 17 January 2011 by and between XXX Trading Shanghai Co Ltd XXX and XXX Surveyors Shanghai Co Ltd the Consultant 本合同终止协议书 以下简称为 本本协协议议 于 2011 年 1 月 17 日签署 本协议 当事人为XXX 贸易 上海 有限公司 以下简称为 XXX 与 XXXXXX 测 量师事务所 上海 有限公司 以下简称为 咨咨询询公公司司 RECITALS 事事实实陈陈述述 WHEREAS XXX and the Consultant entered into that certain Consultancy Services Agreement dated 12 January 2011 the Consultancy Services Agreement 鉴于 XXX 与咨询公司于2011 年 1 月 12 日签订一咨询服务协议 下 称 咨咨询询服服务务协协议议 WHEREAS after mutual consultation XXX and the Consultant have concluded that it would be in their mutual best interests to terminate the Consultancy Services Agreement 鉴于 经协商一致 XXX 与咨询公司基于其共同利益达成本协议以终止 该咨询服务协议 WHEREAS the parties hereto constitute all of the parties to the Consultancy Services Agreement 鉴于 本协议的当事人与咨询服务协议的当事人为相同当事人 AGREEMENT 协议协议 NOW THEREFORE in consideration of the premises set forth above the mutual covenants and agreements set forth herein and for other good and valuable consideration the adequacy of which is hereby acknowledged the parties hereto hereby agree as follows 因此 考虑到上述前提 本协议所包含的承诺和约定 并确认本协议所 需足额且适当的对价的充分性 当事人约定如下 2 1 1Termination The parties hereto hereby consent to the dissolution and termination of the Consultancy Services Agreement Accordingly effective as of the execution and delivery of this Agreement by each of the parties hereto notwithstanding anything to the contrary stated in the Consultancy Services Agreement and or stated in applicable laws the Consultancy Services Agreement shall be deemed dissolved and terminated and none of the provisions thereof shall continue to be of any further force and effect 一 协议终止 本协议当事人现达成合意 解除并终止咨询服务协议 本协议经当事人各方签 署并交付 即行生效 即使咨询服务协议或其所适用的法律中存在任何与之涵 义相反的条款 仍不影响本协议的生效效力 咨询服务协议就此予以解除并终 止 其中任何条款不再发生效力 1 2Release Each party hereto hereby fully and forever releases waives and discharges each other party hereto and such other party s directors officers employees stockholders partners members subsidiaries affiliates agents representatives successors and assigns collectively the Released Parties from and against any and all claims demands actions causes of action lawsuits contracts agreements rights debts liabilities obligations damages losses costs and expenses of every kind or nature whatsoever Claims whether known or unknown suspected or unsuspected at law in equity or otherwise that such waiving party may now have has ever had or may hereafter have against any of the Released Parties on account of arising out of or relating to the Consultancy Services Agreement 二 免责 本协议当事人各方就此永久性免除并放弃对于对方当事人及其总监 管理人员 雇员 股东 合伙人 成员 子公司 附属公司 代理商 代表处 债权受让 方 债务承担方等 统称为 免责方免责方 以诉讼 衡平或任何其它方式 提 出任何与咨询服务协议相关 已知或未知 已察觉或未察觉的任何赔偿请求 要求 起诉 合同 协议 权利 债权 义务 债务 损害 损失 费用等 统称为 权利主张权利主张 1 3Covenant Not to Sue Each party hereto hereby irrevocably covenants and agrees to refrain from directly or indirectly asserting any claim or demand or commencing or instituting or causing to be commenced or instituted any action lawsuit or other proceeding of any kind against any of the Released Parties based upon any Claim or matter released waived and or discharged hereby 三 不诉保证 本协议当事人现作出不可撤销之约定 双方不得直接或间接 就本协议所免责 并放弃的权利主张或相关事项 提出任何权利主张或诉讼请求 提起诉讼或其 它此类行为 3 1 4No Assignment of Claims Each party hereto hereby represents and warrants that it has neither assigned nor transferred nor purported to assign or transfer nor will assign or transfer to any other person or entity any Claim or right being released discharged and or waived herein and agrees to indemnify defend and hold each Released Party harmless from any liability claims demands damages costs expenses and attorneys fees incurred by them such Released Party arising from or in connection with any person or entity asserting an assignment or transfer of such a Claim or right 四 诉权转让禁止 本协议当事人各方表示并保证 未曾也无意在现在或将来将任何在本协议中已 免除或放弃的诉讼主张及其他权利转让给任何自然人或组织 当事人均同意赔 偿 保护并保障任一免责方免受任何由诉讼主张及其他权利转让所引起的法律 责任 诉讼主张 诉讼请求 赔偿 费用 指出及所涉及的律师费等不良后果 SECTION 2 MISCELLANEOUS 第二部分 其他 2 1Governing Law This Agreement shall be governed by and construed in accordance with the laws rules and regulations of the People s Republic of China 一 适用法律 本协议的签订 解释和履行以中华人民共和国法律法规为准 2 2Language This Agreement has been executed in English counterparts 二 语言 本协议用英语副本签署 2 3Counterpart Execution This Agreement may be executed in one or more counterparts each of which shall be deemed an original but all of which together shall constitute one and the same instrument 三 副本签署 本协议可能存在一份或多份副本 各副本与正本具有同样效力 合为同一文本 4 Remainder of the page intentionally left blank signatures to follow 此页特意留白 以提示后页文件签署 5 IN WITNESS WHEREOF the parties hereto have caused their duly a
