Article2BothPartiesResponsibilityandLiability 2.1ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgiveConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime. 2.2ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermits,andotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant. 2.3Consultantshallfurnishasufficientnumberofpetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultantsresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultantspersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder. 2.4ConsultantshallprovideClientwithallthetechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeSchedulefortheServices. 2.5ConsultantshallassistClientspersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplyClientspersonnelwithofficespaceandnecessaryfacilitiesaswellastransportation. 2.6ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyourringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultantspersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract. 2.7AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3. Article3PriceandPayment 3.1Thetotalcontractpriceis_(say_only)in_(currency).Thebreakdownpricesoftheabovementionedtotalcontractpriceareasfollows: ContractPriceforItem1:_(say_only)in_(currency); ContractPriceforItem2:_(say_only)in_(currency); ContractPriceforItem3:_(say_only)in_(currency); ContractPriceforItem4:_(say_only)in_(currency). 3.2ThetotalcontractpriceshallincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeoplesRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClientsofficebyallkindsofforms. IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServices,thepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract. 3.3AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough_inChinato_fortheaountofConsultant. InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaordancewiththefollowingmannerandpercentage: 3.3.1_percent(_%)ofthetotalcontractprice,i.e._(Say:_only),shallbepaidbyClienttoConsultantwithin_(_)daysaftertheclienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.One(1)originalandtwo(2)duplicatecopiesofConsultantsgovernmentapproval,orawrittenstatementofthepetentauthoritiesorrelevantagencyofConsultantscountrycertifyingthatsuchdocumentisnotrequired; B.One(1)originalandone(1)duplicatecopyofIrrevocableLetterofGuaranteeforadvancepaymentissuedbyConsultantsBankinfavorofClientcovering_(Say:_only),specimenofwhichisasperAppendix4; C.Five(5)copiesofprofomainvoicecoveringthetotalcontractprice; D.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; E.Two(2)copiesofsightdraft. ThesaidshallbedeliveredbyConsultantnotlaterthan_daysaftertheeffectivedateofthe_presentContract. 3.3.2_percent(_%)oftheContractpriceforItem1,i.e._(Say:_only)shallbepaidbyClienttoConsultantwithin_(_)daysafterClienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.Ten(10)copiesoftechnicalservicereportonItem1; B.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; C.Two(2)copiesofsightdraft. 3.3.3_percent(_%)oftheContractpriceforItem2,i.e._(Say:_only)shallbepaidbyClienttoConsultantwithin_(_)daysafterClienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.Ten(10)copiesoftechnicalservicereportonItem2; B.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; C.Two(2)copiesofsightdraft. 3.3.4_percent(_%)oftheContractpriceforItem3,i.e._(Say:_only)shallbepaidbyClienttoConsultantwithin_(_)daysafterClienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.Ten(10)copiesoftechnicalservicereportonItem3; B.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; C.Two(2)copiesofsightdraft. 3.3.5_percent(_%)oftheContractpriceforItem4,i.e._(Say:_only)shallbepaidbyClienttoConsultantwithin_(_)daysafterClienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.Ten(10)copiesoftechnicalservicereportonItem4; B.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; C.Two(2)copiesofsightdraft. 3.3.6_percent(_%)oftheTotalContractprice,i.e._(Say:_only)shallbepaidbyClienttoConsultantwithin_(_)daysafterClienthasreceivedthefollowingdocumentsprovidedbyConsultantandfoundtheminorder. A.Five(5)copiesofmanuallysignedmercialinvoiceindicatingtheamounttobepaid; B.Two(2)copiesofsightdraft. 3.4IncaseConsultantisliableforpayingtoClientthepenaltyundertheContract,Clientshallhavetherighttodeductitfromanysaidpayment. 3.5ThebankingchargesofbothpartiesincurredinChinafortheexecutionoftheContractshallbebornebyClientandthoseincurredoutsideChinashallbebornebyConsultant. Article4DeliverySchedule 4.1ThedeadlineforthearrivaloftheTechnicalservicereportsCIF_is: A.TechnicalservicereportonItem1:_monthsaftereffectivenessoftheContract; B.TechnicalservicereportonItem2:_monthsaftereffectivenessoftheContract; C.TechnicalservicereportonItem3:_monthsaftereffectivenessoftheContract;and D.TechnicalservicereportonItem4:_monthsaftereffectivenessoftheContract. 4.2ConsultantshallinformClientbyfaxwhentheTechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientshallinformConsultantwhentheTechnicalservicereportshavebeenreceived. 4.3Shouldanydocumentbemissingordamagedduringthetransport,Consultantshallbenotifiedaordinglyandwithintwo(2)weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge. Article5Confidentiality 5.1Alldataassembled,developed,piled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindingonConsultantnotwithstandingtheterminationoftheContractforanyreason. 5.2WithinthevalidityperiodofContract,bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty. 5.3Eitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherparty,whicheitherpartyanditspersonnelmayobtainorbeaessibletointhecourseoftheperformanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty. Article6TaxesandDuties 6.1AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaordancewiththetaxlawsofPRCshallbebornebyClient. 6.2AlltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,aordingtoChinesetaxlawsandtheagreementbetweenthegovernmentofPRCandthegovernmentofConsultantscountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonineshallbebornebyConsultant. Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay. 6.3AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant. Article7Warranty 7.1ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbypetentpersonnelinaordancewithaeptedstandards. 7.2IntheeventofafailureofConsultanttoprovideClientwithsatisfactoryserviceswithinthescopeofworkdescribedinAppendix1atanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodof_daystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaordancewiththeScopeofworkdescribedinAppendix1. 7.3TheConsultantsguaranteeliabilityshallexpire_monthsafteritsconsultancyserviceisfinallyinspectedandaeptedbyClient,orafterfinalpaymentismade. Article8OwnershipofTechnicalServiceReports 8.1FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialpiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient. 8.2Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenapprovalofClient. Article9Assignment 9.1NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty. Article10Termination 10.1If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaordingtothedeliveryschedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates: A._percent(_%)ofthetotalcontractpriceperweekforthefirstfourweeks; B._percent(_%)ofthetotalcontractpriceperweekfromthefifthweektotheeighthweek; C._percent(_%)ofthetotalcontractpriceperweekfromtheninthweekofdelay. Odddayslessthanone(1)weekshallbecountedasone(1)weekforcalculatingtheliquidateddamage. 10.2Thetotalliquidateddamageforlatedeliveryshallnotexceed_percent(_%)ofthetotalcontractprice.Paymentoftheliquidateddamageforlatedeliveryshallnotreleaseconsultantfromitsobligationtodelivertechnicalservicereports. 10.3Clientmay,withoutprejudicetoanyotherremedyforConsultantsfollowingbreachofContract,terminateContractinwholeorinpartbyawrittennoticeofdefaultsendtoConsultant,ifConsultant A.Failstodeliveranyoralloftechnicalservicereportswithin_(_)daysafterthescheduleddeliverydateasspecifiedinArticle4;or B.FailstomakethetechnicalservicereportsmeettheminimumlevelofAeptanceStandardsasspecifiedinAppendix1. ConsultantshallrefundtoClientallthepaymentseffectedbyClienttoConsultantplusaninterestattherateof_percent(_%)perannumincaseofsuchatermination. 10.4Eitherpartymay,withoutprejudicetoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty. A.FailstoperformitsconfidentialityobligationunderContract;or B.FailstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodof_(_)daysuponreceiptofthewrittennoticeoraperiodagreeduponbetweentheparties; C.Beesbankruptorinsolvent;or D.AffectedbyanyeventofForceMajeureformorethan_days. Article11ForceMajeure 11.1ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovere,theaffectedpartyshallnotifytheotherpartyofitsourrencebyfaxandsendbyregisteredairmailacertificateissuedbythepetentauthoritiesoragencywithinfourteen(14)daysfollowingitsourrence. 11.2TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay. 11.3BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovaloftheeffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly. Article12Arbitration 12.1AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-missionforarbitrationinaordancewiththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawofP.R.C. 12.2Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed. Article13LanguageandStandards 13.1CorrespondenceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheEnglishlanguage. 13.2Measuresshallbewritteninthemetricsystem. Article14GoverningLaw 14.1Theconstruction,validity,andperformanceofthisContractshallbegovernedbythelawsofthePeoplesRepublicofChina. Article15EffectivenessoftheContractandMiscellaneous 15.1Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.EitherPartyshallnotifyinwritingtheotherpartyoftheapprovaldate.ThelaterdateofapprovalshallbetakenastheDateofEffectivenessofContract. 15.2Contractshallbevalidandremaininforcefor_(_)yearsfromtheDateofEffectiveness. 15.3TheoutstandingcreditanddebtbetweenthepartiesunderContractshallnotbeaffectedupontheterminationorexpirationofContract. 15.4AppendiceshereofshallbeintegralpartsofContractandhavethesamelegalforceasthetextofContractitself.ThetextofContractshallprevailincaseofanydiscrepanciesbetweenthetextofContractandAppendices. 15.5Allamendments,supplements,subtractions,oralterationstoContractshallbemadeinwrittenformandbeevaliduponthesignatureoftheauthorizedrepresentativesofbothparties.Thevalidamendments,supplements,subtractions,oralterationsshallfromanintegralpartofContractandshallhavethesamelegalforceasthetextofContract. 15.6AllmunicationsbetweenthepartiesshallbeinEnglishinwrittenformduringimplementationofContract.Faxesconcerningimportantmattersshallbeconfirmedtimelybyregisteredorexpressmails. 15.7T
