Whereas,theBuyerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orKnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts.Nowitisherebymutuallyagreedasfollows: Article1Definitions 1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticle11.5. 1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest. 1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract. 1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendix1. 1.5“DestinationAirport”refersto_Airport. 1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1. 1.7“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendix3. 1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities. 1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators. 1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely_. 1.11“Know-how”referstoanyvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunknowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbytheSellerforkeepingKnow-howinsecrecy.ThespecificdescriptionofKnow-howissetforthinAppendix3. 1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached_()percentofthetotalEquipmentprice. 1.13“Patent”referstoanyandalloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendix3. 1.14“PerformanceTest”meansthetestsforexaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendix1. 1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandexplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendix4. 1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendix6. 1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendix7. 1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials. 1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12. Article2ScopeoftheContract 2.1TheSellersObligation 2.1.1TheSellershallsupplytheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orKnow-howassetforthintheContract. 2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendix3,thespecificationisdetailedinAppendix1. 2.1.3TheSellershallprovidedesigninaccordancewithAppendix5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendix4. 2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendix6. 2.1.5TheSellershallconducttheTechnicalTrainingasperAppendix7. 2.2TheBuyersObligation 2.2.1TheBuyershallathisowncostsandexpenses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendix2.TheBuyershallensurethepleteness,correctnessandaccuracyofallsuchinformationanddata. 2.2.2TheBuyershallathisowncostsandexpenses,obtainallnecessaryimportpermits,undertakecustomsclearance,takedeliveryoftheEquipmenttobesuppliedbytheSellerandtransportthemtotheJobSiteintime. 2.2.3TheBuyershallathisowncostsandexpenses,performallthecivilworks,construction,Erection,TestRun，CommissioningandPerformanceTestinaccordancewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbytheSellerasperAppendix6. 2.2.4TheBuyershallathisowncostsandexpenses,supplyalltheequipments,sparepartsandfacilitiesrequired,exceptfortheEquipmentsuppliedbytheSellerasperAppendix3. 2.2.5TheBuyershallathisowncostsandexpenses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,Commissioning,andPerformanceTestasspecifiedinAppendix2. 2.2.6TheBuyershallathisowncostsandexpenses,performnecessaryadministrationandsecurityguardattheJobSite. Article3GrantofLicense 3.1TheSelleragreestogranttotheBuyerandtheBuyeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendix1.TheBuyershallnotmakeuseofPatentand/orKnow-howforanypurposesotherthanthosestipulatedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbytheBuyershallinnocaseexceed_. 3.2(Option1)ThelicensegranndertheContractshallbeanexclusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanythirdparties,ortoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4. (Option2)ThelicensegranndertheContractshallbeanon-exclusivelicense.TheSellershallretainitsrighttograntthelicensestoanythirdparties,andtoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4. 3.3ThelicensegranndertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuyershallneitherbeentitledtotransferrantsub-licensetoanythirdpartywithoutpriorwrittenapprovalfromtheSeller. 3.4Territory 3.4.1TheSelleragreestograntthelicensetotheBuyeronlywithintheterritoryof_(countryorregion).TheBuyershallnotexplorePatentand/orKnow-howinanyplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller. 3.4.2TheSelleragreestograntalicensetotheBuyertouseandselltheContractProductsonlywithintheterritoryof_(Countryorregion).IncasetheBuyerfailstoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebytheBuyer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanyremediesspecifiedintheContract. Article4Price 4.1TheBuyeragreestopaythetotalContractprice,TechnicalTrainingandTechnicalServicefeetotheSeller. 4.2ThetotalContractprice,includingpriceoftheEquipment,design,TechnicalDocumentationandalicensefeeinafixedamount,shallbe_(say_only). Thebreakdownpriceisasfollows: ThepriceforEquipmentis_(say_only). Feefordesignis_(say_only). FeeforTechnicalDocumentationsis_(say_only). Licensefeeis_(Say:_only) 4.2.1ThetotalContractpricefortheEquipmentisfordeliveryCIF_Port,andtheTechnicalDocumentationsisfordeliveryCIP(byair)_Airport.CIFandCIPtermshallbeinterpretedinaccordancewithINCOTERMS2000,issuedbytheINTERNATIONALCHAMBEROFMERCE(ICC). 4.2.2ThetotalContractpriceincludesthepriceforsparepartslistedinAppendix3.However,thetotalContractpricedoesnotcoverthesupplyofanyotherspareparts.AttheBuyersrequest,theSellermayprovidewithanyotherspareparts.Aseparateagreementshallbesignedbetweentheparties. 4.2.3Theabovepriceisfixedandfirm. 4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnicalTrainingfeespecifiedinAppendix6,7. 4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanywaybeexplainedorinterpretedascoveringanyofthecustomduties,taxes,orcharges,fees,andexpensesunlessexpresslylistedintheContract. Article5Payment 5.1DownPayment Within_()daysaftersigningtheContract,theBuyershallpay_()percentofthetotalContractpriceamounting_byT/TtotheSeller. .TheBeginningofOption. 5.2OptionOne:PaymentbySightL/C ThebalanceofthetotalContractpriceamounting_(says_only)shallbepaidbyanirrevocableLetterofCreditatsight,issuedwithin_()daysaftersigningtheContractbyareputablebankin_acceptabletotheSellerinfavoroftheSeller.TheLetterofCreditshallbeavailableuponthepresentationofthefollowingdocumentstill_(specificexpirationdateoraspecificcircumstancefortheexpirationoftheLetterofCredit). 5.2.1_()percentofthetotalContractpriceamounting_(say_only)shallbepaidbytheBuyertotheSellerwithin_daysafterthefollowingdocumentshavebeensubmittedbytheSeller: (a)BillofLadinginone(1)originaland_()copies; (b)CommercialInvoiceinone(1)originaland_()copies; (c)Packinglistinone(1)originaland_()copies; (d)CertificateofOrigininone(1)originaland_()copies; (e)InsurancePolicyinone(1)originaland_()copies; 5.2.2_()percentofthetotalContractpriceamounting_(say_only)shallbepaidbytheBuyertotheSellerwithin_daysafterthefollowingdocumentshavebeensubmittedbytheSeller: (a)One(1)copyoftheAcceptanceCertificatesignedbytheBuyerasperArticle11.5,ortheSellerswrittenstatementspecifyingthelapseofmorethanseven(7)daysaftertheSellersnoticerequestingtheBuyertoissuetheAcceptanceCertificateinaccordancewithArticle11.5; (b)One(1)copyofmercialinvoice. 5.2.3_()percentofthetotalContractpriceamounting_(say_only)shallbepaidbytheBuyertotheSellerwithin_daysafterthefollowingdocumentshavebeensubmittedbytheSeller: a)One(1)originalLetterofRetentionGuaranteeintheformofAppendix10; b)One(1)copyofCommercialInvoice. 5.2OptionTwo:PaymentunderaL/G ThebalanceofthetotalContractpriceamounting_(say_only),plusinterestfordeferredpaymentintheamountof_(say_only),totaling_(say_only)asdetailedinAppendix12shallbepaidbytheBuyerbyinstallmentsasspecifiedinAppendix12andbackedbyanirrevocableLetterofGuaranteeinfavoroftheSelleraspertheAppendix11,issuedwithin_()daysaftersigningtheContractbythereputablebankin_acceptabletotheSeller. .TheEndofOption. 5.3AllthebankingchargesincurredintheSellersbankshallbebornebytheSellerwhilethoseincurredoutsidetheSellersbankshallbebornebytheBuyer. Article6DeliveryofEquipmentandTechnicalDocumentation 6.1TheDeliveryoftheEquipment 6.1.1ThedeliveryoftheEquipmentlistedinAppendix3shallbepletedwithin_()monthsfromtheEffectiveDateoftheContract. 6.1.2Within_()monthsaftertheEffectiveDateoftheContract,theSellershallsendtotheBuyerapreliminarydeliverysclebyfax. Notlaterthan_()daysbeforethefirstshipment,theSellershallsubmittotheBuyerthefinaldeliveryscleinthree(3)copiesindicatingContractnumber,dispatchnumber,nameoftheEquipment,quantity,approximatedimensions,volumeofeachpackageandtimeofeachshipment. 6.1.3Theportofshipmentis_,whiletheportofdestinationis_. 6.1.4Advanceshipment,partialshipmentandtransshipmentareallowed,however,theSellershallinformtheBuyerthirty(30)daysbeforesuchshipment. 6.1.5ThedateofBillofLadingforeachshipmentshallbeconsideredastheactualdeliverydate. 6.1.6TheSellershallnotifytheBuyerbyfaxofthefollowingwithinfive(5)workingdaysaftereachshipmentiseffected: (a)Contractnumber (b)Nameofthevesselandloadingport (c)NameoftheEquipmentshipped (d)NumberanddateofBillofLading (e)Totalvolume (f)Totalgrossandweight (g)Totalnumberofpackages/cases 6.1.7TheSellershallairmailthefollowingdocumentsinduplicatetotheBuyer: (a)BillofLading (b)CommercialInvoice (c)PackingList (d)CertificateofOrigin (e)InsurancePolicy. 6.2TheLateDeliveryoftheEquipment 6.2.1IftheSellerfailstodelivertheEquipmentinaccordancewiththefinaldeliveryscle,theSellershallpaytotheBuyerliquidateddamagesforsuchdelayatthefollowingrates: (a)Fromthefirstweektothefourthweek,theliquidateddamagesshallbe _()percentofthevalueofthedelayedportionoftheEquipmentper week (b)Fromthefifthweektotheeighthweek,theliquidateddamagesshallbe _()percentofthevalueofthedelayedportionoftheEquipmentperweek (c)Fromtheninthweek,theliquidateddamagesshallbe_()percentof thevalueofthedelayedportionoftheEquipmentperweek 6.2.2Thefractionsoffourdaysormoreshallbecountedasoneweekandfractionsoflessthanfourdaysshallbeomitted.Thetotalaggregateamountoftheliquidateddamagesshallnotexceed_()percentofthevalueofthedelayedportionEquipment. 6.2.3TheSellershallbereleasedfromtheliabilitytotheBuyerwhatsoeverinrespectofthelatedeliveryafterhispaymentofliquidateddamagesinaccordancewithArticle6.2.NotwithstandingtheSellerspaymentoftheliquidateddamagesforthelatedeliveryEquipment,theSellershallnotbereleasedfromhisobligationtodelivertheEquipment. 6.3TheDeliveryoftheTechnicalDocumentation 6.3.1TheTechnicalDocumentationlistedinAppendix4shallbedeliveredCIP_airportbyairwithin_()monthsaftertheEffectiveDateoftheContract. 6.3.2ThedateofairwaybillshallberegardedastheactualdeliverydateoftheTechnicalDocumentation. 6.3.3Within_()workingdaysaftersendingeachlotoftheTechnicalDocumentation,theSellershallinformtheBuyeroftheContractnumber,itemnumber,numberanddateofairwaybillandtheflight. 6.3.4Incaseofshortage,lossofordamagetotheTechnicalDocumentationduetotheSellersreason,theSellershallmakesupplementtotheBuyerwithin_()daysafterreceivingtheBuyerswrittennotificationwithoutanyfurthercharge. Article7PackingandMarking 7.1TheEquipmentshallbepackedtowithstandlongdistancetransportation,multiplehandling. 7.2TheSellershallmarkthefollowingontwooppositesidesofeachpackagewithindeliblepaintedEnglishwords: (a)Destination (b)Consignee (c)Contractnumber (d)Shippingmark (e)Gross/weight(kg) (f)Case/balenumber (g)Dimensions:LxWxH(cm) 7.3Eachpackageshallcontainone(1)copyofpackinglist. 7.4TheSellershallmarkonthepackage,ifnecessary,“HandlewithCare,“RightSideUp,“Fragileorotherindicativemarksaccordingtothecharacteristicsandfeatureofthegoodsaswellasdifferentrequirementfortransportation,loadingandunloadingofthegoods. 7.5Ifthegoodsweighthree(3)ormorethanthree(3)metrictons,gravity,hoistingpositionandillustrativemarksshallbemarkedsoastofacilitateloading,unloadingandhanding. 7.6AllTechnicalDocumentationprovidedbytheSellershallbeproperlypackedtowithstandlongdistancetransportationandmultiplehandling.Thesurfaceofeachpackageshallbemarkedwiththefollowingwords: (a)Destination (b)Consignee (c)Contractnumber (d)Gross/weight(kg) (e)Itemnumber (f)Dimensions:LxWxH(cm) Article8TechnicalServiceandTechnicalTraining 8.1TheSellershalldispatchtechnicalpersonneltoJobSitetorenderTechnicalServiceinaccordancewithContractaccordingtoatimescleagrponbetweenbothparties.Thenumber,specialty,rank,treatmentofthepersonnel,andpaymentaswellasthecontents,andrequirementsofTechnicalServicearespecifiedinAppendix6. 8.2TheBuyershallhavetherighttosenditstechnicalpersonneltotherelevantfactoryselectedbytheSellerfortraining.Thenumber,speciality,treatmentofthepersonnel,andpaymentaswellasthecontents,timescle,andrequirementoftraining,arespecifiedinAppendix7. 8.3Eitherpartyshallprovideassistancetotheotherpartystechnicalpersonnelintheirapplicationforvisa,workingpermit,and/orothernecessaryformalitiesforrenderingTechnicalServiceortrainingundertheContractintheotherpartysfactory. 8.4EitherPartystechnicalpersonnelshallabidebythelawsoftheotherpartyscountryandtheregulationsoftheotherpartyduringtheirstayintheotherpartyscountry. Article9StandardsandInspection 9.1TheSellershallcarryoutthedesign,manufacture,inspectionandtestoftheEquipmentaccordingtotheexistingstandardsofthePeoplesRepublicofChina,namelyGB. 9.2TheSellerorthemanufacturershall,athisowncostsandexpenses,inspecttheEquipmentandissuetheex-workqualitycertificat
