SP1 (PC), conversation soft of CNC and PC, network support soft, pamphlet for programming control (in Chinese or in English) and PC communication cables CP5512 PCMCIA CARD and SIMATIC MPI KABEL.NC system and exchanging (communication) program of BALLUFF read/write controller8液压、气动、润滑、冷却和其它液体原理图、明细表及布置图（选用标准元件的规格、制造厂家）Schematic diagram, list and layout of hydraulic, pneumatic, lubrication, cooling and other fluids (specification and manufacture of the standard element)9合格证（含蓄能器、压力容器、气体、安全及机械电器元件试验等）Quality Certificate (including accumulator, pressure vessel, gas, safety and test of mechanical and electrical elements, etc.)10机床的使用操作说明书、维修保养说明书Pamphlet showing manual operation and maintenance11辅助材料参数表（油脂、机油、乳化切削液、清洗剂、气体等）Table showing parameters of the assistant material (grease, engine oil, cutting fluid, detergent and gas, etc.)12加工中心机械结构原理图，加工中心的机内排屑器图纸（维修）Schematic diagram of the Processing Center and drawing of the chip groove (maintenance)13数控编程手册Pamphlet of numerical control programming14数控系统电气控制原理及接线图手册(含编程梯图)；Pamphlet showing electrical control and connection of the Processing Center(including programming diagram)15数控系统原始参数出厂设定文件Documents showing original parameters of the numerical control system16设备使用润滑油的名称、规格、型号、厂商明细、价格、合格证及出厂证明；Name, type, price, Quality Certificate of the lubrication17控制系统、伺服系统、编码器、检测元件、滚珠丝杠、轴承、合格证、原产地出厂证明Original certificates of control system, servo system, encoder, testing element, ball bearing, axis and Quality Certificate18主轴维护、保养资料及主轴电机、功率、扭矩、转速特性曲线图表Documents showing maintenance of the main axis and diagram, indicating generator, power, twisting moment and speed.19刀具管理系统硬件、软件的操作、使用、维护、维修资料和编程手册Pamphlet showing operation, use, maintenance and program of the cutting tool20数控系统的功能及数控系统主要电路板的编号Function of numerical control system and its numbering of main board21机床出厂几何精度及动态精度检验卡Inspection card of geometry accuracy and dynamic accuracy 5参考付款方式一（可根据具体情况进行更改）看看是否文件有遗漏。付款方法和条件为：(1) 合同总价的30，计_（大写: _）。在买方收到卖方提交下列单据经审核无误后三十天内支付给卖方。(1) 卖方国家有关当局出具的有效出口许可证影印本一份，或有关当局出具的不需出口许可证的证明文件一份：(2) _银行出具的以买方为受益人，金额为合同总价的比例30不可撤销的保证函正付本各一份（保证函格式见附件11）。(3) 金额为合同总价的形式发票一式六份。(4) 即期汇票一式二份。(5) 商业发票一式六份。上述单据卖方应于本合同生效之日起三十天内提交。买方在收到卖方按本合同第五章规定的货物装船通知后三十天内，经由银行出具以卖方为受益人，金额为合同总价的80的不可撤销的信用给卖方（保函格式见附件12-2）。（2）合同总价的60%，即_美元将按照每批货物价值的60%并在买方收到卖方下列单据并审核无误后予以支付： a. 标有“运费已付”的全套已装船清洁海运提单3份正本,2份副本，按顺序理好，空白抬头，通知目的港；b. 表明货物品名、数量、单价和总价的金额为有关合同货物交货价的80%的商业发票一式 5份；c. 标明每箱内容的装箱单一式5份；d. 以买方为受益人的按发票金额百分之一百一十(l10)投保一切险和战争险的保险单 l份正本，4份副本；e.由买卖双方授权代表在卖方工厂共同签署的货物预验收证书1份正本，4份副本；f. 制造厂商出具的质量证书一式5份；g. 以买方为抬头开给买方银行的已交货的合同货款的即期汇票；h. 卖方证实承运船只的名称和国籍已经买方批准的信函；i. 根据本合同条款第7条的规定通知启运的电传复印件；j. 制造厂商出具的原产地证书一式5份。(3)合同总价的10%，即_美元在买方收到卖方下列单据并审核无误后予以支付：a 合同总价10%的商业发票一式5份；b.货物在买方工厂安装，检验合同后由买卖双方授权代表共同签署的货物验收证书l份正本，4份副本； c.形式发票一式5份； d.以买方为抬头开给买方银行的的即期汇票。按本合同规定，如果卖方应支付赔款或和罚款时，买方有权从上述任何一次付款中扣除。买、卖双方因履行本合同所发生的银行费用，在中国发生的，由买方负担；在中国以外发生的，由卖方负担。参考付款方式二TERMS OF PAYMENT付款条件The total Contract price shall be paid by the Buyers to the Sellers according to the following conditions:全部合同金额按如下条件由买方向卖方支付：The 100% of total Contract price viz USD (say: thousant US DOLLARS Only) shall be paid to the Sellers by the Buyers by an irrevocable Letter of Credit which shall be issued by the Buyers bank 45 days before the contractual time of shipment :合同总金额的100合 美元 (大写合 美元整)应由买方以不可撤销信用证向卖方支付，信用证由买方银行在货物装船前45天内开具:1. The 90% of total Contract price viz USD 905,400.00(SAY:Nine hundred and five thousand four hundred USD ONLY) shall be payable against the presentation of the following documents by above mentioned L/C:. 合同总金额的90合 美元 (大写合 美元整)应由买方以上述不可撤销信用证向卖方凭交如下单据支付： 3/3 set of clean on board Bill of Lading marked Freight Prepaid, made out to order, blank endorsed and notifying the Buyers;3/3套已装船不记名清洁提单，注明”运费已付”，空白背书，通知方为买方； Commercial invoice covering 100% of the total Contract prices signed by the Sellers in 6 originals; 六份卖方签字的100%合同金额的正本商业发票; Commercial invoice covering 90% of the total Contract price signed by the Sellers, in 2 originals; 二份卖方签字的90%合同金额的正本商业发票; Detailed Packing List in 4 originals;四份详细的正本装箱单； Quality and Quantity Certificate in 2 originals; 二份正本品质与数量证书； 1 original Phytosanitary Certificate for wooden packages issued by Competent Authority(Company) or Non Wooden Packages Certificate issued by the Sellers;一份由权威部门（公司）出具的正本木质卫生检疫证明，或由卖方出具的非木质包装证明一份； Full set original Insurance Policy /Certificate plus 2 copies for 110% Contract price endorsed in blank, showing claims payable in China in currency of the Letter of Credit, covering Door-to-door All risks and War risks in favour of the Buyers;全套以买方为受益人的原始保险单/证明及2份副本，保额为合同金额的110%，空白背书，注明可在中国以信用证币种赔付，投保“门对门”一切险和战争险； Certificate of Origin in one original and two copies;原产地证书正本一份，副本两份； 1 copy of fax to the Buyers advising particulars of shipment within 48 hours
